AeonMetalsLimited(“Aeon”)advisesthatithasbeennotifiedbyAeonDirectorPaulHarristhathehasenteredintoanAgreementwithOCPAsia(HongKong)LimitedandOCPAsia(Singapore)PteLimited(“OCPCompanies”)toprovideconsultancyservicestotheOCPCompanies.PartofthefeespayableundertheconsultancyagreementarelinkedtotheperformanceoftheAeonsharepriceoveraspecifiedperiodthroughprovisionswhichwillhavetheeffectofincreasinghisremunerationconsequentonincreasesintheAeonsharepricebeyondthecurrentAeonsharepriceattheendofthespecifiedperiodandreducinghisremunerationonadecreasefromthecurrentAeonsharepriceattheendofthespecifiedperiod.

AsOCPAsia(HongKong)LimitedanditsrelatedbodiescorporatearesubstantialshareholdersinAeon,MrHarrishasrequestedthathebeconsideredtobeanonindependentDirectorasaconsequenceofthisconsultingrelationship.TheAeonBoardhasagreedtothisrequest.
