TWENTY THIRD AND FINAL APPLICATION FOR COMPENSATION OF FEES AND COSTS OF ACCOUNTANT FOR RECEIVER
Berkowitz Pollack Brant Advisors and Accountants ("BPB")1, accountant to the court-
appointed receiver (the "Receiver") of Lancer Management Group, LLC ("Lancer''), Lancer
Management Group II, LLC ("Lancer II"), Lancer Offshore, Inc. ("Offshore"), Omnifund, Ltd.
("Omnifund"), LSPV, Inc. ("Offshore LSPV") and LSPV, LLC ("Partners LSPV") ("Partners
LSPV", together with Offshore, Omnifund, and Offshore LSPV the "Receivership Funds"),
Alpha Omega Group, Inc. ("Alpha Omega") and G.H. Associates, LLC ("G.H. Associates"),
and formerly the person in control of Lancer Partners, L.P. ("Partners"), hereby requests the

Court to enter an order approving: (1) all fees for services rendered by BPB in this
Receivership; and (2) all expenses incurred by BPB in this proceeding.
Throughout this Receivership, the Court has approved on an interim basis twenty
two fee applications of BPB, with fees totaling $5,489,314.20 and expenses totaling
$10,735.20. Pursuant to previous orders of this Court, the Receiver paid these amounts to
BPB.
By this Application, BPB seeks final compensation of previously unbilled fees for
services rendered and reimbursement of expenses incurred from December 1, 2013
through August 18, 2015 (the "Current Period") of $128,864.00 and $51.88, respectively.
BPB also seeks final compensation of those fees previously authorized on an interim basis
and paid by the Receiver from August 11, 2003 through November 30, 2013 (the "Prior
Period") of$5,489,314.20 and $10,735.20, respectively.
On October 21, 2005, BPB entered into a letter agreement with the Group Plaintiff
[DE 1102, 1152] (the "Agreement") by which it consented to a holdback of 10% of fees
requested in interim fee applications.2 As such, a total of $458,803.97 was withheld froni
Prior Periods (the "Holdbacks"). Thus, the total amount requested by BPB on a final basis
include (1) fees and expenses from the Current Period of $128,864.00 and $51.88,
respectively; (2) fees and expenses from the Prior Period of $5,489,314.20 and $10,735.20,
respectively; and (3) the Hold backs of $458,803.97, for a final award of fees in the amount
of $6,076,982.17 and expenses in the amount of $10,787.08.

A. During the Current Period, BPB has rendered necessary services for and on behalf
of the receivership estate, as set forth below. Because disclosure of detailed time entries
would be detrimental to and undermine the Receiver's efforts in the Receivership, the daily
time records of BPB have been redacted where necessary. At the Court's request, BPB will
immediately make the time records available to the Court ex parte for an in camera
inspection.

Review documentation provided by the Funds' Administrators and conversion of 7 years of paper accounting records into a useable electronic format. Recreation of converted accounting records into searchable database, including general ledgers, supporting subledgers and bank account information.

Comparison of claims to investor files maintained by the Funds' administrators in order to assist counsel to assess the validity of submitted claims. Description - .Assist counsel in the retrieval of documents pertaining to Receivership Entities' portfolio company holdings. Documents produced by the Receivership Entities and third parties were reviewed, indexed, categorized and organized by portfolio company.
The Funds' administrators' documents and records were produced on ten CD RO!Vls, which were printed, indexed, organized and filed as they would be kept in the ordinary .course of business. This resulted in the creation of 135 binders, containing financial recOrds and investor files with supporting indices. Illegible reports and missing investor files were identified. A detailed review and analysis or these records was performed, including: • Organization of investor files by category-- subscription, redemption or equalization information. • Review and analysis of e-m ails produced and identification of correspondence relevant to issues identified by Receiver's counsel. • Analysis of records, including but not limited to management fees, incentive fees, restricted stock and private placements. •Identification of sources of information to be utilized in reconciling fund administrators' records to cash accounts.

COMPENSATION:
The determination of fees to be awarded is largely within the discretion of the trial
court. Monaghan v. Hill, 140 F.2d 31 (9th Cir. 1944). This discretion is, however,
predicated on the assumption that careful consideration is given to all evidence of the value
of the accountants' services in the light of the factors relevant to a determination. These
factors are set forth in In re Gypsum Cases, 386 F.Supp. 959 (N.D. Cal. 1974) and In re
Norman v. Housing Authority of City of Montgomery, 836 F.2d 1292 (11th Cir. 1988), as
follows: (1) the time and labor properly employed in the servicing of the case; (2) the quality
of services rendered; (3) the scope of the activity and conspiracy under attack; (4) the
financial risk involved; (5) the magnitude, complexity and novelty of the issues involved; (6)
the beneficial results obtained; and (7) the degree to which, if any, efforts were supported
by prior governmental action. BPB requests the Court to consider these factors in
determining reasonable compensation for the services rendered to date by BPB, as
summarized below:

a. Time and Labor Required - The exhibits attached to this application include
the Summary of Twenty Third and Final Application for Compensation of Fees and Costs of

b. Novelty and Difficulty of Services and Skills Requisite to the Accounting. -
The issues presented in this case are novel given the state of the Receivership Entities'
records, or lack of records, the difficulty of the records recovery process, the unavailability
of the Receivership Entities' accounting personnel, the lack of production of records by the
Receivership Entities' third party financial services providers, outside accountants and
auditors and the unique way the Receivership Entities conducted their business affairs. The
experience and capabilities of the professionals involved with this case meet the
requirement of the accounting skills and judgment and experience in the fields of
bankruptcy and related corporate financial and taxation issues and other forensic
accounting and consultation skills required for the successful completion of the objectives of
the Receiver.
c. The Skill Requisite to Perform the Services Properly. BPB has staffed the
engagement with personnel experienced in bankruptcy accounting reporting and disclosure.
d. The Preclusion of Other Employment by the Professional Due to Acceptance
of this Case. BPB has not been precluded from any other employment due to the
acceptance of this case.
e. The Customarv Fee. The customary fee for services of the type rendered.
herein, BPB charges commercial clients on one or more of the following criteria:
reasonable fee for services rendered, hourly charges, or fixed fee. To the extent hourly

charges are relevant, BPB commands from commercial clients hourly rates ranging from
$78 an hour to $475 per hour depending on the level of professional skill required
f. Whether the Fee is Fixed or Contingent. The fee is contingent inasmuch as
the Receiver relies upon a Court Order approving the fee. BPB has not entered into any
agreement to fix a fee.
g. Time Limitations Imposed by the Client or Other Circumstances. BPB was
directed to commence work by the Receiver on August 11, 2003 to assist the Receiver in:
the investigation of the manner in which the affairs of the Receivership Entities were
conducted; the determination of what happened to investors' capital contributions; the
investigation of possible preferential transfers and fraudulent conveyances; the adjudication
of investor and creditor claims, the preparation of the Monthly Financial Reports and the
Statement of Financial Affairs and the Schedules required to be filed with the Petition.
While no specific deadlines have been imposed, BPB is working with haste and care to
assist the Receiver.
h. The Amount Involved and the Results Obtained - The above summary,
together with exhibits, details the time, nature and extent of the professional services
rendered by BPB for the benefit of the investors and creditors. BPB has assisted the
Receiver in bringing monies into the estate for distribution and their efforts to bring
anticipated additional funds to be secured.
i. The Experience, Reputation, and Ability of the Professional. BPB is an
established accounting firm comprised of eighteen directors and over 150 personnel. Its
professionals and staff working on this case are experienced in matters of this kind.
Richard A. Pollack has testified as an expert witness in similar matters where accounting
fees were awarded on the same basis as those sought in this application.

j. Undesirability of Case. This case is not undesirable. BPB is privileged to
have the opportunity to serve the Receiver and appear before the Court in this proceeding.
k. Nature and Length of Professional Relationship With Client. BPB's
relationship with the Receiver began on August 11, 2003.
I. Awards in Similar Cases. The amount requested by BPB is reasonable in
terms of awards in cases of similar magnitude and complexity. The compensation which
BPB requests comports with the mandate of the Bankruptcy Code, which directs that
services be evaluated in light of comparable services performed in non-bankruptcy cases in
the community. Considering the results obtained thus far, this fee request is appropriate.
Likewise, as with all major accounting firms, BPB's overhead expenses are substantial.
Much of the fee, which the Court awards BPB, will merely defray such significant overhead
expenses already incurred and paid during the pendency of this case.
k. Government Support - Although the SEC investigated and filed the initial
pleadings in this case, BPB has assisted the Receiver to secure and protect the assets of
the Receivership Entities and discover the operation of the fraudulent scheme through
investigation and analysis.

CONCLUSION
The Applicant respectfully requests. that this Court enter an order approving on a
final basis all fees and expenses rendered by BPB in this Receivership including: (1)
previously unbilled fees and expenses from the Current Period of December 1, 2013
through August 18, 2015 of $128,864.00 and $51.88, respectively; (2) previously billed and
paid fees and expenses from the Prior Period of August 11, 2003 through November
30, 2013 of $5,489,314.20 and $10,735.20, respectively; and (3) previously billed, but
unpaid Holdbacks of $458,803.97, for a total final award of $6,076,982.17 in fees and
$10,787.08 in expenses. BPB seeks and reserves the right to file a supplemental fee
application for services rendered and costs incurred on behalf of the Receiver to the
conclusion of the Receiver's affairs.
