A vendor is defined as a dealer, distributor, merchant or other seller providing goods or services that are required for the conduct of a Federal program. Prime recipients or sub-recipients may purchase goods or services needed to carry out the project or program from vendors. Vendors are not awarded funds by the same means as sub-recipients and are not subject to the terms and conditions of the Federal financial assistance award.
A vendor:(1) Provides the goods and services within normal business operations(2) Provides similar goods or services to many different purchasers(3) Operates in a competitive environment(4) Provides goods or services that are ancillary to the operation of the Federal program(5) Is not subject to compliance requirements of the Federal program(6) Is required to provide information to the prime or sub-recipient to meet reporting requirements
What Is a Vendor?

What Vendor Information is Reported?
All vendor payments must be reported. Individual payments greater than $25,000 must be reported separately with the following data elements for each payment:
Vendor identity either through DUNS number (Dun and Bradstreet Data Universal Numbering System OR the Vendor Name and the zip + 4 digit code of the vendor’s headquarters. To register for a DUNS: http://www.dnb.comPayment description and payment amount (required to be reported by prime recipients; optional for subrecipients)

Contract Terms and Conditions
Vendors are subject to the some of the terms and conditions of the Federal financial assistance award.
Examples:Wage Rate Requirements (Davis-Bacon Act, Section 1606)
Use of American Iron, Steel, and Manufactured Goods (Section 1605)
Jobs Reporting – includes jobs or employees directly charged to Recovery Act supported projects/activities paid for with Stimulus funds
Section 902 Review of contractor, sub-contractors, and associated contracts and transactions
Section 1553 Whistleblower Protection
Compliance with Anti-Discrimination and Equal Opportunity Statutes
OPEN ENDED REQUIREMENT to comply with any other ARRA requirements when notified
E-verify (under State statute)

Contract Terms and Conditions
DFA posted an “ARRA Award Terms Exhibit” (Memo #12) at www.mmrs.state.ms.us on the Stimulus page.
All Ts and Cs won’t apply to each project. Ts and Cs can be edited, but, state entities can choose
to be “safe” and include all of them on a contract. If a contract was negotiated prior to Stimulus, but will
now include Stimulus funding, the contract must be amended to include the ARRA Ts and Cs.
