Let s start with these 3 Counties, send them out to the Board and if we get requests from the board
members to review additional Counties in this area, make the request for those bylaws at that
time. I feel you get too many examples things can get very confusing. If the other bylaws that
we have requested come in, we can go ahead and send those out as well.
So go ahead and send these out to the board using the BCC that we have been doing so no one
violates OMA by responding to everyone. Also, please remind everyone that
comments/suggestions are to go to Cathy, not me! We probably need to remind foks that
comments/suggestions for the bylaws are also due on April 22nd. That is what the original
email stated that we sent out last week.

know the man so feels it is hard to give an opinion on his recommendation from Mr. McIntyre. Right
now I am leaning toward appointing him and not creating any more waves by questioning this
suggestion from the CB. Do you have a strong opinion either way for this probably does impact you the
most. He will have to be brought up to speed on the CB Mental Health Plan for sure and maybe already
has been.
Have you and Cory already chatted about this? Let me know. I need to decide soon and hopefully get in
contact with him on Friday since the meeting is next week!
Are we missing something here?... my paranoid side coming out? Maybe this is a way to downplay our
Advisory Board by sending the new inexperienced guy and the County will just plow forward with their
plan? Who the heck knows what they are thinking/doing.

health. From the County Board perspective, the person should be versed in the County Plan. We have
two choices:

Honestly, I do not even know if he is permanently in that position.

With the appointment of Susan Schafer as Chairman of the Health Committee, Susan
has informed the Health Department that she will not represent the County Board on
the Mental Health Advisory Board (MHAB) like originally planned. The MHAB bylaws
state that The Advisory Board shall include one member of the Board of Health and
one member of the County Board. The County Board Chairman shall recommend a
County Board representative who will be appointed by the Board of Health President.
The next Mental Health Advisory Board Meeting has been set for April 8th at 8:30 am. It
is my hope to get your County Board recommendation(s) within the next several weeks
so I can review those and appoint a new representative to the MHAB before the April 8th

Let s start with these 3 Counties, send them out to the Board and if we get requests from the board
members to review additional Counties in this area, make the request for those bylaws at that
time. I feel you get too many examples things can get very confusing. If the other bylaws that
we have requested come in, we can go ahead and send those out as well.
So go ahead and send these out to the board using the BCC that we have been doing so no one
violates OMA by responding to everyone. Also, please remind everyone that
comments/suggestions are to go to Cathy, not me! We probably need to remind foks that
comments/suggestions for the bylaws are also due on April 22nd. That is what the original
email stated that we sent out last week.

Before we do that I would at least like to amend the bylaws to state that the terms forthe officers be in 1 year terms. I believe this would allow other board members theopportunity if they would like to be considered to run for one of the positions to do sobefore their term is up for re-appointment and if they choose not be re-appointed thenthey would have had the opportunity to serve in one of those capacities if they shouldchoose to. It would also allow the board at that time to look at the bylaws when the newofficers take over to see if there is any changes that members might want to see. If theyare looked at once a year I believe that would be a good policy to set.
Will this discussion take place at the next board of health meeting as a group ? I am notopposed to taking input from other members but with the open meetings act I believe itwould be quicker and easier if Judy and myself took the suggestions at the next meetingand then bring back the rules ready for a vote at the July meeting.
Please let me know if you have any thoughts on these items.

In reviewing all this information pertaining to bylaws, it has come to my attentionthat we should have had our election in 2015 not 2016. In all the turmoil about thechanging of the Board from 8 to 11 members, the whole scenario around thefunding of Chestnut, and the entire situation about the MHAB, time just slippedby. We had our last formal Board vote in 2011 that had initial officer terms runthrough June 2013. Each officer agreed to second terms that would have expiredJune 2015. At that point we should have had another election. But I was alsoconfused by the Board documents we have that indicate the end of Boardmember terms and it reflects June 30, 2016 for Becky’s term ending. It didn’tdawn on me that Board member terms are three years while officer terms are two.I apologize for missing that, but it was all too hectic at the time. We will have tohave the re-vote at the May meeting and I will try to have everything run via theStates Attorney recommendations.

We must also remember that our current bylaws require a 2/3 vote of the BOH toamend the bylaws. That would require approval of 7 members to make anamendment. I have looked through several LHD bylaw versions and the 2/3requirement is standard language in all of them. So even a majority cannotchange the bylaws.

Before we do that I would at least like to amend the bylaws to state that the terms forthe officers be in 1 year terms. I believe this would allow other board members theopportunity if they would like to be considered to run for one of the positions to do sobefore their term is up for re-appointment and if they choose not be re-appointed then

Absolutely.
By the way, during my conversation with Bob Keller about the bylaws he alludedto the fact that the BOH needs a good authority lesson between the BOH and thecounty board. I told him the saga of us trying to get that accomplished. He saidhe would love to do that for the BOH. That gave me an idea. Perhaps we shouldhave a BOH member, such as Dr. Bowers, recommend having one under BoardIssues. Isn’t that how these items for review get started? Something to consider.If it is asked for by a BOH member, who can argue against it?

I say no to the 1 year. I believe that does not provide for continuity of boardoperation if possible changes are made every 6 meetings. We only meet 6 timesper year. Also you want board members who have spent ample time on the boardof heath before they try and jump into being an officer of the board. There is a lotto learn about the health department before you could have any capacity as anofficer.
Also bylaws are rules for the framework of operation. It is not intended to act as apolicy and procedure manual.

Thatbeing the case, I feel it would be in the best interest of the board to elicitsuggested modifications from the entire board membership before determining if
a working committee is appropriate and necessary to address this suggestion.The current bylaws were most recently updated in November, 2014 and wererevised 10 times overall since their adoption in January, 1967.
In order to assist board members wishing to determine if our current bylaws needamending and what specific amendments may be necessary, I have attached thefollowing:
1) Most current copy of the Board of Health Bylaws.2) A short legal definition of bylaws which specifically notes that bylaws .
Specifically noting that they are rules enacted by the board to provide aframework for its operation and management. The bylaws specify thequalifications, rights, & liabilities of membership to the board and thepowers and duties of the board.
3) For the very reason that the bylaws specify the powers and duties along withthe purpose of the board, I have attached a copy of the powers and dutiessection of the County Health Department Act from the County Code.
I have also asked staff of the health department to acquire copies of thebylaws from several comparable sized health departments in Illinois. I haveasked them to request copies from the Sangamon County HealthDepartment, St. Clair County Health Department, Lake County HealthDepartment, DuPage County Health Department, and the Macon CountyHealth Department. Copies of these comparable health department bylawscan act as a sort of “best practices” review for similar purpose organizationswith similar powers and duties. In addition, if our board members identifyspecific topic areas they feel are ill-addressed or absent from our bylaws, itis likely that topical area may well be present in the bylaws of other Boardsof Health be well-present and can be lifted and inserted to improve ourcurrent bylaws.
I am asking Cathy Coverston Anderson to act as the staff liaison to assist withthis review. Please take some time to review the current bylaws, along with theattached short legal definition and the powers and duties section of the CountyHealth Department Act.
