CUSTOMERSHALLPAYALLTAXES:IncentivepaymentsreceivedbytheCustomeroranyThirdPartyPayeeunderthisAgreementmaybetaxablebythefederal,state,andlocalgovernment.TheCustomerisresponsiblefordeclaringandpayingallsuchtaxes,regardlessofwhoreceivestheincentive.a)Exceptasexpresslyprovidedherein,ifeitherAmerenIllinoisortheCustomerdesirestomodifytheseTermsandConditions,themodificationmustbeinwritingandsignedbyanauthorizedrepresentativeofthepartyagainstwhichenforcementofthemodificationissought.11. REMOVALOFEQUIPMENT:TheCustomeragrees,asaconditionofparticipationintheprogram,toremoveanddisposeofanyequipmentbeingreplacedbytheEEMsinaccordancewithallapplicablelaws,rules,andregulations.TheCustomerfurtheragreesnottoreinstallanyofreplacedequipmentanywhereinIllinois,ortransferittoanyotherpartyforinstallationinIllinois.12.
