The National Association of State Contractors Licensing Agencies (NASCLA) was formed in Utah in 1962 as a nonprofit organization dedicated to the mutual assistance of its members in striving for the better regulation of the construction industry to protect the health, welfare, and safety of the general public.
The association’s membership is comprised of state and local contractor licensing agencies, construction firms, construction trade associations, and others associated with the construction industry.

CONSTITUTION
OF THE
NATIONAL ASSOCIATION OF STATE CONTRACTORS’ LICENSING AGENCIES
PREAMBLE
The National Association of State Contractors’ Licensing Agencies (the “Association”) was formed in 1962 as a non-profit corporation in the State of Utah. The Association is composed of agencies from states that have enacted laws to regulate the
business of contracting. It is dedicated to the mutual assistance of the member states in striving for better regulation of the
construction industry to protect the health, safety, and welfare of the general public. These revised Constitution and Bylaws were adopted by the Board of Directors in Orlando, Florida on
April 27, 2012.
ARTICLE I
NAME
The name of the Association shall be the National Association of State Contractors Licensing Agencies.
ARTICLE II
PURPOSES
The purposes of the Association are:
1. To promote protection of public health and safety through the licensing of contractors.
2. To provide a forum for the discussion of problems common to the regulation of the construction industry and to
develop solutions.
3. To assist licensing agencies in developing contractor licensing laws and rules.
4. To provide a clearinghouse for information concerning court decisions, attorney general opinions, and disciplinary
proceedings.

5. To provide technical assistance in the development of license classification systems.
6. To provide mutual assistance in the standardization of licensing examinations.
7. To provide consultation on office procedures and administration.
8. To educate the public as to the benefits of using licensed contractors.
9. To provide a continuing education program for the construction industry.
ARTICLE III
BOARD OF DIRECTORS
1. The business and affairs of the Association shall be managed by a Board of Directors elected by the regular
members.
2. Each contractor licensing agency who is a member in good standing with the Association and whose membership fees
have been paid in full shall have one vote to elect the Board of Directors.
ARTICLE IV
OFFICERS
1. The Officers of the Association shall be a President, a First Vice President (President-Elect), a Second Vice President, a Secretary, a Treasurer, the Immediate Past President and the Second Immediate Past President. Other offices or committees
may be formed by the Board of Directors.
2. The Officers shall be elected annually by the Board of Directors except for the position of Treasurer. The Treasurer may be elected by the Board of Directors for a term of two (2)
years. No person may hold more than one office other than the positions of Secretary and Treasurer, which may be held by one
person.

3. The powers and duties of the Officers shall be as provided in the Bylaws.
4. A Director, Officer, or employee may be removed by a vote of two-thirds of the total membership of the Board of Directors
whenever, in its judgment, the removal will serve the best interests of the Association.
ARTICLE V
MEMBERS
The regular members of the Association shall be the representative or representatives designated by the respective
state contractor licensing agency. Should a state have more than one state contractor licensing agency, then it shall be the
representative or representatives designated by each respective state contractor licensing agency. Each state licensing agency shall have only one vote for and one available position on the
Board of Directors. Each member agency may elect to have one member serve on the Board of Directors. The voting members will ratify all proposed Board of Directors members, unless for cause. Such cause must be fully and publicly explained to the
members of the Board of Directors.
ARTICLE VI
ASSOCIATE, AFFILIATE, & BUSINESS MEMBERS
Associate, affiliate, and business members shall be as defined in the Bylaws.
ARTICLE VII
FEES
Fees for membership and other special projects shall be established by the Board of Directors.
ARTICLE VIII
AMENDMENTS
This Constitution may be altered, amended, or repealed by a vote of two-thirds of the Board of Directors at any regular or
special meeting.

The principal office of the National Association of State Contractors’ Licensing Agencies (the “Association”) is to be located in Scottsdale, Arizona, or at such other location as

Board of Directors may designate.
ARTICLE II
MEETINGS
1. The date and place of the annual meeting of the Association shall be set by the President or the Board of
Directors.
2. A mid-year meeting may be held at sites adopted by the Board of Directors.
3. Special meetings, for any purpose, may be called by the President at any time.
4. Special meetings may also be called at the written request of one third of the Board of Directors. The President shall then provide a Notice of Meeting to the Board of Directors setting
the time and place of the meeting to be held, within 30 days of the written request.
5. Said meetings may be held in person, by telephone or by electronic mail to the extent allowed by law.

ARTICLE III
BOARD OF DIRECTORS
1. The Association shall be governed by the Board of Directors. The Board of Directors shall establish the governing policies and procedures for the management and operation of
the Association. The Board of Directors shall also develop long range polices and strategies, adopt the annual budget, establish
membership dues, and elect Association Officers.
2. Each State Contractors Licensing Agency who is in good standing with the Association and whose membership fees for
the year have been paid in full shall hold one voting position and may place one member for ratification on the slate of annual
Board of Directors to be elected.
3. Membership on the Board of Directors shall be open to state licensing agency directors, staff, or board members who are recommended by the state agency and who affirmatively desire to participate as a member of the Board or Directors.
4. A majority of the total number of Board of Directors shall constitute a quorum for the transaction of business.
5. The act of the majority of the Board of Directors present at a meeting at which a quorum is present shall be the act of the
Board of Directors, unless otherwise specified.
6. Any action required or permitted to be taken by the Board of Directors at a meeting may be taken without a meeting
if a consent to that action is given in writing by the required number of Directors.
7. The Board of Directors shall not receive compensation for their services.
8. A vacancy on the Board of Directors or of the Officers may be filled by the Board of Directors at the next Board of Directors
meeting.
9. A member of the Board of Directors who has two unexcused absences out of the three immediately previous

Board of Directors meetings is ineligible to vote at future Board or Directors meetings unless waived by the President for good
cause.
ARTICLE IV
OFFICERS
1. The Officers of the Association shall be a President, a First Vice President who also serves as President-Elect, a Second Vice President, a Secretary, a Treasurer, the Immediate Past President and the Second Immediate Past President. Other
Officers or committees may be elected by the Board of Directors.
2. The Officers shall be elected annually by the Board of Directors except for the position of Treasurer. The Treasurer
may be elected by the Board of Directors for a term of two (2) years, but only in even numbered years. The Board may
elect a Treasurer Elect to assist the Treasurer, but only in odd numbered years. The Treasurer Elect shall not be a voting
member of the Executive Committee, but may be invited to attend and participate in Executive Committee and other
committee meetings.
3. The President shall preside and act as chair at all meetings of the Board of Directors and the Executive Committee. The
President may sign, with the Secretary, deeds, leases, contracts, checks or other instrument which the Board of Directors or Executive Committee has authorized to be executed. The
President may not sign these documents where their signing and execution has been expressly delegated by the Board of Directors or by these Bylaws to some other Officer, agent or
employee of the Association. The President shall appoint the members of and fill vacancies on committees as established
by the President or by the Board of Directors. In general, the President will perform duties incidental to that office and all other duties as may be prescribed by the Board of Directors.
4. The First Vice President shall be the President-Elect and in the President’s absence, death, inability or refusal to act, shall perform the duties of the President. When the Vice President is

acting as President, the Vice President shall have all the powers of and be subject to all the restrictions upon the President.
5. The Second Vice President shall succeed the First Vice President.
6. The positions of Secretary and Treasurer may be held by one person.
ARTICLE V
EXECUTIVE DIRECTOR
An Executive Director may be hired by the Board of Directors to manage the daily affairs of the Association. A vacancy in
this position may be filled by the Executive Committee subject to approval by the Board of Directors. As Executive Director, that person shall perform such duties and responsibilities as shall be assigned by the Board of Directors or the Executive Committee. The Executive Director shall have the authority
to manage and direct the day-to-day business and affairs of the Association, subject to the control of the Board of Directors
and the Executive Committee, including the supervision and management of other staff, entering into contracts approved by
the Board of Directors or Executive Committee and retaining legal counsel and consultants as necessary.
In general, perform all of the duties incidental to the position of Executive Director and any other duties that may be assigned
by the President, the Executive Committee or the Board of Directors. If required by the Board of Directors, the Executive
Director shall give a bond for the faithful discharge of the Executive Director’s duties in a specified sum and with the
surety designated by the Board of Directors.
ARTICLE VI
AUDITS
The Association shall have full audits every five (5) years or as determined by the Executive Committee or the Board or Directors and have financial reviews for the interim years.

ARTICLE VII
COMMITTEES
Section 1. Executive Committee
1. The Executive Committee shall consist of the President, the First Vice President, the Second Vice President, the
Secretary, the Treasurer, the Immediate Past President and the Second Immediate Past President. The President shall be the
chair of the Executive Committee.
2. The Executive Committee shall act for the Board of Directors between meetings of the Board of Directors, within the policies established by the Board of Directors, except in those matters reserved in these Bylaws for determination by the Board of Directors. The Executive Committee shall have
operational authority for the Association.
3. The Executive Committee shall approve the annual report to the Board of Directors regarding the Association’s financial
transactions and condition.
4. The Executive Committee shall make recommendations to the President and the Board of Directors regarding financial
procedures, fees, and expenditures.
5. The Executive Committee shall prepare an annual budget for adoption by the Board of Directors at the annual meeting. Subsequent deviation from the adopted budget shall require the approval of a majority of the members of the Executive Committee. Deviation from the adopted budget shall not
exceed an increase of 15%. Any such deviation shall be reported to the Board of Directors.
6. The Executive Committee shall make recommendations to the Board of Directors for amendments to the articles of
incorporation, constitution, and Bylaws.
7. The Executive Committee shall perform additional duties, as directed by the President or the Board of Directors.

8. Members of the Executive Committee shall either be an employee or agent of a governmental contractor regulatory
agency.
9. A member of the Executive Committee who has two Unexcused Absences, during their service on the Executive committee may be removed as a member of the Committee by a vote of 2/3rds or more of the remaining members of the
Committee. The President shall determine whether an absence is excused. In the event the absence is by the President, the Vice
President shall make the determination.
Section 2. Program Committee
1. The Program Committee shall be appointed at the annual meeting by the newly-elected President based upon the recommendations of the First Vice President, who shall serve as
its chair. Its members shall serve a one-year term.
2. The Program Committee shall be responsible for proposing programs to be conducted by the Association,
proposing agenda items for the national and mid year meetings, and proposing the site for the mid year meetings.
3. The Program Committee shall perform additional duties, as directed by the President or the Board of Directors.
Section 3. Nomination Committee
1. The Nomination Committee shall be appointed at the annual meeting by the newly-elected President. Its members
shall serve a one-year term and consist solely of past Presidents. The most immediate past President shall serve as the
Nomination Committee’s chair.
2. The Nomination Committee shall recommend, at the annual meeting, a slate of Officers to the Board of Directors for
office for the following year.

Section 4. Membership Committee
1. A Membership Committee shall be appointed at the annual meeting by the President, based upon the
recommendations of the First Vice President. Its members shall serve a one-year term.
2. The Membership Committee shall be responsible for coordinating contacts with potential members, identifying
needs of the current members, and recommending programs to address those needs of the members and the needs of
recruitment efforts.
Section 5. Fiscal Policy and Procedures Committee
1. The Fiscal Policy and Procedures Committee shall consist of the members of the Executive Committee and two
(2) at-large members selected from the Board of Directors. The Treasurer shall be the chairperson of the Committee.
2. The at-large Members shall be nominated by the President and confirmed by the Board of Directors. The at-large members shall serve a two (2) year term, which shall
be staggered. Vacancies shall be filled by the President with the appointed Member of the Board of Directors to serve the
unexpired portion of the term in question.
3. The Committee shall be responsible for review and oversight of the fiscal affairs of the Association. The Committee
shall recommend fiscal policies and procedures relative to the fiscal affairs of the Association to the Executive Committee.
4. Members of the Fiscal Policy and Procedures Committee shall either be an employee or agent of a governmental
contractor regulatory agency.
Section 6. Other Committees
There shall be such other committees as the Board of Directors sees fit to create from time to time, to serve in the manner so
established by the Board of Directors.

ARTICLE VIII
AFFILIATE, ASSOCIATE, AND BUSINESS MEMBERS
The Board of Directors shall set the annual membership fee for associate, business, and affiliate members. Each application
for membership shall be subject to the approval of the Board of Directors. These members shall have no vote on the Board of
Directors.
1. Associate memberships are limited to contractor trade associations, contracting firms, construction material suppliers and regional (county, city, or municipality) contractor licensing
agencies.
2. Affiliate memberships are limited to former employees of the State Contractors Licensing Agencies and board members of
such agencies who are not actively engaged in the contracting business.
3. Business memberships are limited to firms whose business is related to the construction industry. These members
shall not use the name of this Association, its logo, or in any manner refer to NASCLA in their advertising, selling, or
soliciting.
ARTICLE IX
HONORARY MEMBERS
Honorary Memberships are available to those individuals who meet one (1) of the following criteria:
(i) Member of the NASCLA Board of Directors for at least five (5) years, or
(ii) held the office of NASCLA President.
Honorary Membership status may be granted while the individual is still a Member of the Board. While not a Member
of the Board, an Honorary Member is entitled to reduced conference and other fees based on polices established by the
Executive Committee.

ARTICLE X
INDEMNIFICATION
The Association shall indemnify an individual, made a party to a proceeding, because the individual is or was a member of the Board of Directors, Officer, employee, or agent, against liability
received in the proceeding if:
1. the individual’s conduct was in good faith;
2. the individual reasonably believed that the individual’s conduct was in, or not opposed to, the corporation’s best
interests; and
3. in the case of any criminal proceeding, the individual had no reasonable cause to believe the individual’s conduct was
unlawful.
ARTICLE XI
AMENDMENTS
These Bylaws may be altered, amended, or repealed by a vote of two-thirds of the Board of Directors at any regular or special
meeting.
