SQLServerLicensing Models
yPer Processory License required for each physical or virtual
processor accessed by an operating systemenvironment running SQL Server.
y Does not require any device or user client accesslicenses (CALs).
yPer Server/Per CALy Server license required for each operating system
environment running an instance of SQL Server.y Device or User CAL for each client device or user
that accesses a system running SQL Server.

5/33
PerProcessory Physical Processors: license for each physical
processor that the physical operating system
environment uses.
yVirtual Processors: license for each virtual processorthat each of those virtual operating systemenvironments uses. If a virtual operating system
environment uses a fraction of a virtual processor, thefraction counts as a full virtual processor.

PerProcessoryAccess unlimited user or device access
y Multicore Processors - regardless of number of cores
SQL is licensed per processor; not per corey Processor Platform regardless of the processor type
(32 bit, 64 bit, and IA64) SQL license is not platformspecific but number of processors a function of the
edition.y Product Availability processor licenses available for
Enterprise, Standard, and Workgroup Editions.

PerServer/Per CALyAccess determined by number of CALs
y Processor Platform regardless of the processor type
(32 bit, 64 bit, and IA64) SQL license is not platformspecific but number of processors a function of theedition.
y Product Availability processor licenses available for
Enterprise, Standard, and Workgroup Editions.

PerServer/Per CALy When is a CAL needed?
y You must acquire and assign a CAL to each device or user thataccesses your instances of the server software directly or
indirectly.
y You do not need CALs for:y Any servers licensed to run instances of the server software,
and
y
Up to two devices or users to access instances of the serversoftware only to administer those instances.
y Versions: CALs permit access to instances of earlierversions, but not later versions, of the server software.

PerServer/Per CALyAvailable Product CALs:
y SQL CAL - Can be used with any licensed server running
SQL Server regardless of the platform (32 bit, 64 bit, andIA64) and edition (Enterprise, Standard, or Workgroup).
yWorkgroup CAL Can be used only with a licensed SQLServer Workgroup Edition server.
yAvailable License Types: User or Device CALs

Multiplexing
Multiplexing. Hardware or software you use to:
y Pool connections,
y
Reroute information,y Reduce the number of devices or users that directly
access or use the product, or
y Reduce the number of devices or users the product
directly manages,
Does not reduce the number of licenses of anytype that you need.

y Ability to run up to the same number of passive fail-overinstances in a separate operating system environment for
temporary support.y Passive servers do not need a license.
y Number of processors must not exceed the number ofprocessors used in the corresponding operating systemenvironment in which the active instances are running.
y May run the passive fail-over instances on a server other thanthe licensed server.
y Three types of failovers: database mirroring, failoverclustering, and backup log-shipping.

Virtualization and Multi-Instancingy Creating and Storing Instances on Your Servers or
Storage Media.y You may create any number of instances of the server
software and additional software.
y You may store instances of the server software andadditional software on any of your servers or storagemedia.
y
You may create and store instances of the serversoftware and additional software solely to exercise yourright to run instances of the server software under any ofyour software licenses as described above (e.g., you maynot distribute instances to third parties).

17/33
Virtualization and Multi-Instancing
y Licensing Per Processor:y A license is needed for each running instance on a virtual
processor
y Virtual processors considered to have the same number ofthreads and cores as each physical processor
y Each virtual operating environment containing a runninginstance of SQL can have an unlimited number of instances
y Licensing Per Server:
y
A license is needed for each virtual operating systemenvironment containing a running instance of SQL
y Each virtual operating environment containing a runninginstance of SQL can have an unlimited number of instances

18/33
Virtualization and Multi-Instancing
y Assigning the License to the Server.
y Before you run any instance of the server software youmust assign that license to one of your servers.
y You may not assign the same license to more than oneserver.
y You may reassign a software license, but not on a short-term basis (i.e., not within 90 days of the last
assignment).y You may reassign a software license sooner if you retire
the licensed server due to permanent hardware failure.

SQLServer Developer Editiony Installation and Use Rights.
y General. One user may install and use copies of the softwareto design, develop, test and demonstrate your programs.
Testing does not include staging on a server in a productionenvironment, such as loading content prior to productionuse.
y Additional Licensing Requirements and/or UseRights.y User Testing. End users may access the software to perform
acceptance tests on your programs.y Distributable Code. You may use Distributable Code as
described in the Universal License Terms.y Downgrade. The licensed user may run a prior version in
place of the licensed version for any copy run.

License Terms forSQLServer 2005 Technology
Some server products include SQL Server 2005 Technology(e.g., MOM and SMS)
Can run, at any one time, one instance of that technology
in one physical or virtual operating system environment onone server solely to support that software.
Do not need SQL Server CALs for that use.
May create and store any number of instances of SQL
Server Technology on any of your servers or storage media

ServiceProviderLicense Agreement

ServiceProviderLicense Agreement (SPLA)
y What is SPLA?y SPLA is an agreement with Microsoft that enables an organization to
license Microsoft products and use them to provide software services to itscustomers.
y Software Services are services that an organization provides to its
customers to make available, display, run, access, or otherwise interact withthe licensed products.y These services may be provided from one or more data centers through the
Internet, a telephony network or a private network on a rental, subscriptionor services basis, whether or not the services provider receives a fee.
y Software services exclude any services involving an installation of a Microsoftlicensed product directly on any device to permit a customer to interact withthe Microsoft licensed product.
y Why SPLA?y Volume licensing does not cover commercial hosting services which occurs
when a fee is charged to access the software or when the software is beingprovided to a third party to use as part of its business.

ServiceProviderLicense Agreement (S
PLA)
When is SPLAapplicable?y When you provide customer direct or indirect access to
Microsoft products, such as hosted websites or Line ofB
usiness (LOB
) applications through Microsoft serversoftware.y Direct and indirect access occurs when:
y The organization facilitates its customers business(including business transactions with third parties)through software services; or
y The organization provides its customer with access to andusage of any application (Microsoft or otherwise), and theapplication is running on a server and interacts with alicensed Microsoft product on that server.

Acquiring Licenses through ISVs/VARsy Typically use rights are restricted to the version and
edition included in the license provided
y
Pricing could be lower than volume licensingy Maintenance may or may not be available through the
ISV/VAR
y Licenses cannot be added to a volume license
agreement for ongoing maintenance

DowngradeRights
8/6/2019 SQL Server Licensing Overviewl
30/33
DowngradeRightsy Customers can acquire SQL Server 2005
licenses and run prior versions of SQL Serverper downgrade rights outlined in the EULAand Product Use Rights documents.
y Customers can install SQL Server 2005 onthe same server the license is assigned to at alater date.
y Use rights are based on the version andedition that is acquired not what is installed.
