With the implementation of the Mainland and Hong Kong Closer Economic Partnership Arrangement(CEPA), and further relaxation of the individual travel policy, the Hong Kong economy will surely get outof its slump by reaping the benefits of the rocketing Chinese economy.

In retrospect of the turbulent 2003, the epidemic of Severe Acute Respiratory Syndrome (SARS) and theU.S. war on Iraq drove the local unemployment rate to a long-standing high. Worse still, there was politicalinstability in the territory. But the New Year has just begun, and Year of the Monkey is around the corner,which symbolizes adroitness and intelligence. It is our belief that with unified forces and perseverance, HongKong people can tackle difficulties lying ahead, such as the economic restructuring and political reform. NWSHwishes Hong Kong an economic revival, with the market booming again and jobless rate continuing to plunge.

In December 2003, NWSH and Chow Tai Fook Enterprises Limited jointly announced

the formation of a comprehensive transport service provider, encompassing a

full range of diversified transport-related businesses under the two companies,

including local franchised and non-franchised bus services, ferry services and

other transport-related businesses. The new business structure does not only

enhance operating efficiency to provide better service for passengers, but also

creates a strong brand in the transport industry to tap more investment opportunities

in Mainland China. The first joint venture of New World First Bus Services

(China) Limited in the Mainland commenced operation this month. We will

continue to explore more opportunities with synergistic benefits.

Enhancing shareholders' value

On the infrastructure side, NWSH has recently entered into an agreement with

Wuhan City Construction Fund Management Office and Zhaoqing Highway

Development Ltd. for the disposal of a Wuhan bridge project at a consideration

of approximately HK$1.10 billion and 13 road and bridge projects in Zhaoqing

at approximately HK$1.168 billion, respectively. Living up to our commitments

to shareholders, proceeds from the disposals will be used for debt reduction

and new investments with more attractive returns.

Giving back to the society

We extend our commitments towards the community. I am very pleased that

NWSH received the honour of the “Top 10 High Service Hour Award 2002 (Private

Organization)” from the Social Welfare Department amongst many long-established

corporations, despite the short history of our corporate volunteer team. We

have always seen the importance of giving back to the society. NWS Volunteer

Alliance, which was established two years ago, carries our missions to remunerate

to the society with our diversified resources and to encourage staff participation

in community service. Through volunteering, donating, mentoring and other

means, the Group and its subsidiaries hope to build a better environment for

those who need help. I would like to see more of our colleagues caring more

about our community and participating in volunteering.

Mr. Lam believed good communication and mutual understanding are the

keys to effective human resources management. Every member of the Group,

from top management to frontline staff, should understand the corporate

goals through efficient communication channels. “We keep emphasizing

our missions of enhancing shareholders’ return, strengthening the balance

sheet and seeking investment opportunities in different occasions, so both

the management and our staff have a very clear understanding about these

three corporate goals.

“On the other hand, we, as management, also seek to understand the

difficulties faced by our fellow colleagues. In management meetings held

twice a week, senior management staff from different departments and

business divisions reflect on the challenges they and their colleagues meet,

and discuss matters in an open manner. It is the two-way communication

that moves us ahead,” said Mr. Lam.

“Open” and “Assertive” are the two keywords that Mr. Lam used to describe

the corporate culture of NWSH. “Open” is interpreted as open communication

and transparency in decision making; while “Assertive” means every staff

member of NWSH takes every chance and devotes every effort for best

results.

For a large enterprise like NWSH with over 30,000 staff, staff cohesion and their sense

of belonging are crucial topics for management. Executive Director Mr. Patrick Lam

shared his experience in bringing the staff together in this fast growing company.

Staff of the Hong Kong Convention and Exhibition Centre (HKCEC) has

given a good example of team spirit in NWSH. Despite the severe hit on

its convention and exhibition businesses during the SARS outbreak, HKCEC

has had a quick rebound, thanks to the understanding and support of its

staff who suggested various solutions to help the company through the

hard times, such as taking no pay leave or advance leave. Mr. Lam said,

“I feel very proud of our colleagues.”

He was also proud of the newest member of the group, Sky Connection

Ltd, which retails free duty tobacco and liquor and has become a wholly

owned subsidiary of NWSH recently. With 15 outlets at the Hong Kong

International Airport and another two at the Hong Kong-China Ferry Terminal

and Hong Kong-Macau Ferry Terminal, respectively, the company is among

the largest free duty retailers in the world. Its effective management has

been fully reflected by the results of the Raven Fox Awards 2003, in whichSky Connection Ltd was highly commended in the “Best Liquor Travel Retailerin Asia/ Pacific” and “Best Tobacco Travel Retailer in Asia/ Pacific” categories.

Also presented with a promising outlook is the greening and environmental

industry, especially in Mainland China. Hong Kong Island Landscape Co

Ltd (HKIL) has recently invested in an 11-hectare nursery in Guangzhou in

response to the growing demand for landscaping works in the fast-developing

region. Mr. Lam said a number of high quality species of trees are planted

in this new nursery for better yield.

Besides a dynamic service provider, NWSH is also a responsible corporate

citizen. Mr. Lam said, “We believe remunerating to the community is no

less important than to our shareholders. Our corporate volunteer team,

NWS Volunteer Alliance, which has been set up for only two years, has

become one of the 10 private corporations contributing the highest hours

in community service. I very much appreciate the passion and devotion of

our volunteers. Though I am not able to join every service, I do want to

urge our colleagues to volunteer. It is often more satisfying to give than

to receive." Bringing staff from different subsidiaries and positions together,

the volunteer team can also enhance the cohesiveness among staff.

Finally, Mr. Lam said to the staff of NWSH, “We are a responsible and

committed company with devoted staff and tremendous growth opportunities.

I hope they will do their best to grow with NWSH.”

In the annual Volunteer Award Presentation Ceremony organizedby the Social Welfare Department (SWD), NWSH was bestowed“Top 10 High Service Hour Award 2002 (Private Organization)”,for its 3004.5 hours of community service from 1 January to 31December 2002. The ceremony was held at the Government Houseon 6 December 2003 which was officiated by Mrs. Betty Tung,wife of the Chief Executive and Volunteer-in-chief, and Mr. PaulTang JP, Director of Social Welfare. Executive Director Mr. PatrickLam received the honour on behalf of NWSH.

Besides, for the second consecutive year NWSH was presented with the Caring Companylogo. The achievements of NWS Volunteer Allianceare attributable to a team of devoted andenthusiastic volunteers. To celebrate its 2nd

anniversary, about 70 volunteers gatheredat Sai Kung to enjoy a barbecue party on2 November 2003 a f te r wood landconservation works for the CorporateAfforestation Scheme. The top 10 outstandingvolunteers were announced and awarded

on that day. Ms. Anna Lau,Personnel and AdministrationM a n a g e r o f M i l l e n n i u mEngineering Ltd, became thehighest service hour volunteer for the second year, serving 113.5 hours incommunity service in this year alone (Please refer to the table for otherawardees). To encourage participation from volunteers’ families and friends,outstanding non-staff volunteers were also awarded and there are sevenrecipients this year.

There are 11 Free Duty outletsin the departure hall and fouroutlets in the arrival hall of theHong Kong International Airport.Due to SARS, passenger volumein October 2003 dropped 5.3%compared with the same monththe previous year. Free Duty,however, managed to register a1% growth in turnover. Accordingto Mr. Baker Salleh, Chief ExecutiveOfficer of Sky Connection, thenew Free Duty outlet located onthe south s ide of the departure hal l with a gross f loor area of8,000 sq. ft. attracts a lot of customers after it was renovated. The highlightof this outlet is a mini bar with free sampling service and product promotersoffering customers up-to-date information on various liquor.

Mr. Salleh sees duty free shops in overseas airports as Free Duty’s rivals,and the edge over them is quality service and merchandise. In terms ofproduct variety, Free Duty offers over 90% of the popular selection ofpremium tobacco and liquor in the market. The merchandise is presentedin such an attractive and orderly manner that customers can reach whatthey want with ease. In addition, a pre-order service is available for customersto pick up their purchase before they board their plane. During rush hour,more checkout counters are open with each cashier being able to processa transaction within 20 seconds. The most appealing thing to customersis that Free Duty’s tobacco products are sold at about one third of theHong Kong market price.

In the future, Sky Connection envisages tendering for duty free tobaccoand liquor shops as well as candy, perfume and fashion shops at overseasairports and terminals.

Public transport has becomeindispensable and irreplaceable insuch a big country as MainlandChina. It is in fact an importantindex to indicate how civilized thecountry has become. Nowadays,Mainland authorities tend todevelop cities connected by asophisticated network of publictransport. However, public transportin Mainland China has long beennotorious for its high cost yet poorservice. In view of this, Chinese officials are opening up the market aswell as absorbing handsome capital, advanced know-how and managerialexpertise so as to enhance the quality of the public utility.

NWFB (China) inaugurates services in Mainland ChinaYunnan Province, for instance, launched Kunming New World First BusServices Limited (Kunming NWFB), its first ever joint-ventured bus serviceswith foreign investors, on 1 January 2004. Our group member New WorldFirst Bus Services (China) Limited (NWFB (China)) and Kunming Bus GeneralCompany own 51% and 49% shares of Kunming NWFB, respectively. Thejoint venture’s asset value is RMB300 million and the contract period is 30years. It currently has a workforce of around 2,000 staff and a fleet of 687buses serving 39 routes. Its scope of businesses includes public bus service,components assembly for new buses and bus maintenance.

In its mission to raise the quality of local bus services, Kunming NWFB hasnot only introduced state-of-the-art technology and computerized managementmodels, but also launched a corporate portal and hotlines, and hire customerservice ambassadors. It is expected that the city’s passenger utilizationrate with buses will increase from the current level of 13% to between20% and 25%.

Off work, Madam Ho is an active member of Banyan Elderly Services Association.The charitable organization has been serving over 200 home alone elderlywho used to live in Tsz Wan Shan Estate, Wong Tai Sin. For the ease ofcoordination, Madam Ho makes use of her computer knowledge to consolidateall the contact information of the elderly. Besides, whenever they go foroutings, she takes her own digital camera to capture their happy moments,and then has the pictures well edited for their retention.

Madam Hoand her teammates helpedthe residing elderly withevery detail involved in theremoval, such as applicationfor ut i l i t ies as wel l asfurnishing. In order to layfloor tiles for their new flats,Madam Ho got a masonto lecture her on the skills.Under 30ºC temperature,she and a few o the r

NWSH disposed of road and bridge projectsNWSH entered into an Agreement in Principle on 12 December 2003 withWuhan City Construction Fund Management Office for the disposal of itsapproximately 48.86% interest in Wuhan Bridge Construction Co., Ltd. ata consideration of RMB1.18 billion (equivalent to approximately HK$1.10billion).

Meanwhile, NWSH announced that it had entered into agreements withZhaoqing Highway Development Limited for the disposal of 13 road andbridge projects in Zhaoqing at an aggregate consideration of approximatelyHK$1.168 billion on 17 November 2003. NWSH will eye new investmentopportunities while part of the proceeds will be used for debt reductionthat will further lower the Group’s debt level and hence reduce its interestexpenses.
