    FIRST AMENDMENT TO MAINTENANCE EASEMENT AGREEMENT

    This FIRST AMENDMENT TO MAINTENANCE EASEMENT AGREEMENT ("First

    Amendment") is made and entered into March Ist 2017, by and between Sierra

    Canyon Association("SC"),a Nevada non-profitcorporation,and Somersett Owner's Association

    ("SOA"), a Nevada non-profitcorporation,sometimes referredto herein as "Party"or "Parties".

    This FirstAmendment isenteredintowith referenceto thefollowing:

    A. On May, 14, 2008 the partiesentered intoa Maintenance Easement Agreement,

    recorded on February 17,2010 in the officialrecordsof Washoe County, Nevada as Document

    No. 3850228 ("the Original Agreement") for the purpose of maintaining a uniform scheme,

    including without limitationmaintaining, repairing,and replacing the landscape, hardscape,

    softscape,and relatedirrigationsystems,includingcontrollers,within theeasement areas- along

    Somersett and Del Webb Parkways (the"Main Thoroughfare").

    B. Subsequently,itwas discoveredthattheOriginalAgreement containedan incorrect

    ExhibitB thatdid not correctlydescribethe Easement Area as defined therein.The Partiesnow

  • Partiesnow desireto correctthaterror,to add additionalproperty to the Easement Area to be

    maintained,to refineand confirm the scope of maintenance responsibilities,and to establisha

    processforadding additionalpropertytotheEasement Area inthefuture.The ExhibitB attached

    to the OriginalAgreement isreplacedand willbe of no furtherforce and effect.The Easement

    Area from the OriginalAgreement shallbe referredto as the OriginalEasement Area and is

    depictedintheattachedExhibitC.

    C. There are presentlytwo entrancefeaturesat SC. There isone thatisatthe north

    eastentrance on Somersett-Ridge Parkway ("NE Entrance") and one thatis at the south west

    entrance off of US 40 and US 80 on Somersett-Ridge Parkway ("SW Entrance").Attached

    hereto as Exhibit D and incorporatedhereinby thisreferenceisa map depictingthe respective

    entryfeatures.

    D. Section 7.2 of the OriginalAgreement permits the Partiesto amend itso long as

    the amendment or modificationisin writingand signed by the Partiesin interestatthe time of

    the amendment or modification.

    NOW THEREFORE, forgood and valuableconsideration,the receiptand sufficiencyof

    which ishereby acknowledged, SC and SOA agree to amend the OriginalAgreement as follows:

    1. The Partiesagree to two changes to the Original Easement Area as follows:a)

    the land under and immediately adjacentto the SC NE Entrance featureisadded to the Original

    Easement Area - SC will,however, continueto maintain,repairand/orreplacethe NE Entrance

    featurestructure;and b) the largegrassed area acrossDel Webb Parkway East from the Aspen

    Lodge tenniscourts (as shown on pages 2 and 3 of Exhibit E) is removed from the Original

    Easement Area-SOA will,however, continueto maintain,repairand/orreplacethe sidewalk and

  • mow stripto the curb adjacentto the largegrassed area and the sidewalk and mow stripremains

    in the Original Easement Area. SC reserves the rightin itssole discretionto remove such

    portionsof thissidewalk and mow striparea as itdeems necessary for one or more driveway

    accessestothelargegrassedarea.

    The revisedEasement Area including OriginalEasement Area and the areas added or

    revisedunder thisFirstAmendment shallbe as depictedon the Exhibit E map attachedhereto

    ("Revised Easement Area" ). The Main Thoroughfare shallalso include within the Revised

    Easement Area, the area along Somersett Ridge Parkway as well as the areaalong Somersett and

    Del Webb Parkways.

    2. The specificboundaries of the Easement Area shallbe as setforthin the metes

    and bounds descriptionssetforthinExhibitF attachedhereto.

    3. The easement ("Easement") granted in the OriginalAgreement shallbe deemed

    expanded to the extentnecessary to provide access to and include the Revised Easement Area

    and shall be non-exclusive and for the purpose of performing the maintenance and other

    obligationssetforthin the OriginalAgreement and as amended by thisFirstAmendment and for

    the same term as setforthinthe OriginalAgreement.

    4. Except as specificallyexcluded below, hardscape,without limitationincludesall

    walls(includingrockery walls),fences(includingsplitrailfences),and paved surfaceswithinthe

    Revised Easement Area. With regardto propertyadded to the Revised Easement Area from and

    afterthe effectivedate of thisFirstAmendment, SOA shallnot have a duty to maintain rockery

    walls or splitrailfences,but shallotherwise be responsiblefor allmaintenance, repairs,and

  • replacement of landscaping, hardscape, softscape and related irrigationsystems, including

    controllerstherein.

    5. Upon recordationof thisFirstAmendment, the expense of watering within the

    Easement Area shallbe initiallyspliton an 80% (SOA) 20% (SC) basisbetween theparties.The

    partiesagree SOA shallpay the water billsfor such meters and SC shallreimburse SOA for

    twenty percent (20%) of such billswithin thirty(30) days aftersuch billsare presentedto SC.

    The respectivecommunity managers of the Partiesshallrevisethe presentbillingpracticesto

    reflectthe divisionof the water costsas setforthhereinand make whatever otheradjustmentsto

    billingor cost allocationpracticesas are reasonably necessary commencing upon the recording

    of thisFirstAmendment. No more frequentlythan every two (2)years during the term hereof,

    eitherparty may request an auditof the water used to perform the requiredobligationsin the

    Revised Easement Area. The costsof the auditshallbe borne by the requestingparty. Ifthe

    water auditreflectsthatthe divisionof expenses as setforthhereinisno longer equitable,then,

    subjectto any requiredboard approvals,the community managers shalldevise and implement an

    equitableformula forfutureuse.

    6. The developer of SC has conveyed the area adjacentto Villages 11 and 12 and

    SOA and as constructionof SC Villages13-15 proceeds,itisexpected thatthe developer of SC

    willtendertitleto additionalpropertytobe added to the Revised Easement Area. SC and SOA

    agree that any portion of the property already transferredand being transferredfrom the

    developer to SC may become partof the Revised Maintenance Easement Area upon agreement

    by SC and SOA. Such agreement may be accomplished by resolutionsadopted by the respective

    boards of SC and SOA. A furtheramendment of this FirstAmendment or the Original

  • Agreement is required. The Parties agree that the uniform scheme of maintenance and

    landscaping is desirableand furtheredby inclusionof the additionalareas into the Revised

    Easement Area. SOA's maintenance responsibilitieswithin portionsof the area stillowned by

    the developer of SC shallcommence only afterthe property has been transferredfrom the

    developer to SC, the necessary resolutionshave been adopted, and a furtheramendment is

    executed by the parties. SC agrees to contact SOA and offer representativesof SOA the

    opportunityto participatein inspectionof any propertyto be transferredfrom the developer of

    SC to SC. Any comments by SOA representativeson the statusof the property will be

    consideredin any punch listof corrections.

    7. SC and SOA agree,subjectto governing law and the terms of theirrespective

    governing documents, that SC shallinclude the SW Entrance feature structure within the

    Revised Easement Area granted hereunder. If SOA determines that itsinterestsrequire fee

    simple ownership of the SW Entrance featurestructureand the underlying realproperty,then

    SOA shallpay any and allother costs and expenses of SC associatedwith the approval and

    conveyance of fee ownership, including,without limitation,allcostsof the vote requiredby the

    SC governing documents to authorize such ownership transferand allcosts and effortsfor

    advocacy of the measure to the SC owners who are eligibleto vote on any such proposed

    conveyance of thepropertyfrom SC to SOA Whether or not feetitleto the SW Entrance feature

    structureor land istransferredas setforthherein,SOA willmaintain,repairand/or replacethe

    SW Entrance structure,landscape,hardscape,softscape,irrigation,etc.around the structure.SC

    understands SOA's agreement to accept responsibilityfor maintenance of the SW Entrance

    featureis with the intentto change the signage thereon to reflectitas an entry to the entire

  • Somersett development without mention of any neighborhoods, sub-associationsor their

    developers.In accordance with thisunderstanding,and atthe requestof SOA, SC has contacted

    the Pulte corporationwith regard to itscontinuinginterest,ifany, in the currentsignage.Pulte

    management advised SC thatonce allunitsalesin SC arecomplete, Pultehas no furtherinterest

    in the signage and does not, and will not, object to any changes proposed by SOA. Pulte

    estimates,based on currentmarket conditions,thatsaleswillbe complete in 2017. SC is not

    aware of any rightsretainedby the developer of SC thatwould prohibitthe signage changes that

    SOA may, in itsfulldiscretion,want tomake once thePulteunitsalesarecomplete.

    8. SC shallnot make changes or modificationsto landscaping within the Revised

    Maintenance Easement Area without the priorwrittenconsent of SOA, such consent willnot be

    unreasonably withheld.

    9. The addressesfornoticeidentifiedin paragraph 6 of the OriginalAgreement shall

    be changed toreflectthe addressesof thecurrentcommunity management forSC and SOA.

    10. Except as specificallyrevisedand amended as setforthherein,allprovisionsof

    theOriginalAgreement and Exhibit"A" shallremain unchanged and in fullforceand effect.

    11. This FirstAmendment shallbe effectiveupon the date of itsrecordationin the

    OfficialRecords of Washoe County, Nevada.
