G e n e r a l t e r m s o f s a l e

1. ApplicationThese General Terms govern all sale contracts stipulated by Boffi S.p.A. – Via Oberdan 70 – 20823 Lentate sul Seveso (MB), Fiscal Code No. 09696360156, VAT No. 02642250969. Placing an order with Boffi S.p.A. implies full knowledge and acceptance of the General Terms herein.

2. Acceptance of orders – With-drawalAll orders are subject to acceptance from Boffi S.p.A., who shall reply to offerers as soon as possible. In the event that confirmation is not made, the order shall be considered ineffective. Boffi S.p.A. shall reimburse any amount received from the offerer in connection with the order and shall not be bound to any further performance.Pre-confirmation shall be sent to the of-ferer together with plans referring to the composition and possible customised items. The offerer must check, confirm and return the aforesaid pre-confirmation to Boffi S.p.A.. Following this, Boffi S.p.A. will forward to the offerer a final confirmation document indicating the estimated goods arrangement.The amounts paid by the offerer at the time of the order are considered as “ca-parra confirmatoria“ (earnest money) in compliance with Art. 1385 of the Italian Civil Code. Except as otherwise provided by appli-cable law, either party may withdraw from the agreement in case of protested bills, seizures, attachments, registration of liens against the other party or its property, as well as in the event of other signs of financial difficulties, either temporary or permanent.

3. Changes to the orderBoffi S.p.A. reserves the right to accept or refuse any requests for changes or additions to the original order that the purchaser may request after the order has been confirmed. In the event that the aforesaid changes or additions are accepted, variations of price and goods arrangement may occur.

4. Choice of goods. ChangesThe purchaser shall verify the suitability of goods ordered, their features and di-mensions with respect to the purchaser’s requirements and the expected location of the goods.Boffi S.p.A. reserves the right to modify at any time the features of its products, materials, processing techniques or sup-pliers. Consequently, the goods ordered may undergo modifications regarding features, design and materials. Should these modification occur, price changes may result.

5. Delivery of goodsThe goods are understood to be sold “ex factory“ Boffi S.p.A. in Lentate sul Seveso, unless otherwise agreed, and the purchaser shall promptly collect them at its own expense. Even if organized by Boffi S.p.A. at the request or in the interest of the purchaser, transportation is always at the latter’s expense and risk. The week of goods arrangement speci-fied on the final order confirmation is not binding. Boffi S.p.a. undertakes to comply with it. Shipping will be forwarded in the week following the week specified on the order confirmation when the goods are ready. As for any ex works delivery, ship-ping should be organised with the dealer according to when it is ready.

6. Terms of the goods arrange-mentWhen the terms of the goods arrange-ment are expressed in days, they shall be intended as working days. Delivery terms shall be suspended during holidays. In any case, foreseen delivery terms are merely indicative and depend on the regular carrying out of the supply and production processes of both Boffi S.p.A. and its suppliers.Terms of the goods arrangement bound by economical penalty are not admitted.

7. Return of goodsReturn of goods and/or packaging shall not be accepted unless previously author-ized in writing by Boffi S.p.A., on a case to case basis. In the event that return of goods and packaging has been previ-ously authorized, they shall be delivered “carriage prepaid“ by the purchaser and free of any other charges, to Boffi S.p.A.’s plant, or to any other place as indicated by Boffi S.p.A.

8. Retention of titleGoods are sold with retention of title in accordance with Art. 1523 of the Italian Civil Code until the price has been paid in full. All risks shall be assumed by the purchaser upon time of delivery. The purchaser must keep the goods in perfect condition and refrain from anything that might damage or destroy them. Until full payment of the goods, the purchaser shall not sell or transfer or dispose of the goods, unless authorized in writing by Boffi S.p.A. In the event that the purchaser violates any of the above provisions, Boffi S.p.A. may request immediate payment of the balance, without prejudice to the right of Boffi S.p.A. to terminate the agreement in accordance with Art. 1456 of the Italian Civil Code.

9. Limitation of liabilityPursuant to Art. 1218 of the Italian Civil Code., both parties are exonerated from any liability in the event that their possible

non-performance or delay derives from causes not accountable to them such as, solely in order to offer an example, lack of, delay in, defective or insufficient delivery of goods, materials, energy or services by suppliers, suspension of work for any reason, and duration, the breakdown or malfunctioning of machines, installations and in general any limitation of production for reasons beyond their control.Boffi S.p.A. is not liable for any possible differences in dimensions and installa-tions which do not appear in the plan(s) delivered by the purchaser at the time of the order and/or made after the pos-sible visit carried out by Boffi S.p.A.’s technicians. Furthermore, Boffi S.p.A. shall not be held liable in the even that installation of the goods is in whole or in part prevented by possible defects, either clear or concealed, of the building works (walls, ceilings etc.) or of technical nature (electricity, gas, water, etc.)

10. ClaimsThe purchaser shall check the goods im-mediately after delivery and in any event before they are utilized and/or altered in any way. Any claims must be forwarded in writing by registered letter with return receipt, with advance notice also sent by a fax, within eight days after delivery of goods, in the case of evident defects, and within eight days of discovery in the case of concealed defects. As an express exception to Art. 1745 of the Italian civil code, when applicable, only direct claims will be considered valid. Claims sent to agents or to other intermediaries or as-sistants will not be held valid.

11. GuaranteeBoffi S.p.A. grants a contractual warranty to the purchaser that is governed by the provisions listed in the “Guarantee Cer-tificate“ described in the section “Guar-antee“ of the website “www.boffi.com“Subject matter: Boffi S.p.A. guarantees the quality of all its products, covering possible manufacturing defects concern-ing any element manufactured by Boffi S.p.A. and sold by it. It is understood that: a)possible differences in colour or grain are not considered as defects when veneered wood is assembled with solid wood parts; b) that possible differences in planarity are not considered defects when doors in veneered wood are placed near doors with solid wood frame.Validity: The guarantee is valid only with regard to purchases made through Boffi S.p.A. or through an authorized Boffi S.p.A.’s dealer (the “Dealer“) and consists in the substitution or repair, free-of-charge, of the defective elements, ascertained upon testing and recognized as such by Boffi S.p.A. or by its repre-sentatives.The validity of the contract guarantee is

subject to the purchaser providing Boffi S.p.A. with the guarantee certificate, duly completed in every part and bearing a numbered certified protocol. The Dealer shall activate on line the guarantee and shall deliver the guarantee certificate to the purchaser.The purchaser must verify that the guar-antee certificate contains the purchaser’s correct identification data, a complete list of the purchased products and that it is delivered to the purchaser together with the product’s data sheets including the technical features and user and mainte-nance instructions.Duration: The duration of the guarantee is three years. The guarantee is valid as of the date of the tax receipt and/or the delivery note given to the purchaser. In any case, the guarantee shall have a start date 6 months from the date of the deliv-ery bill issued by Boffi S.p.A. to the Dealer. If it is agreed that installation must be made by the Dealer, the Dealer shall inform Boffi S.p.A. of any delay in the installation phase.

The Guarantee shall not be applicable:• to defects or damages deriving from

fair wear and tear of the products or from its improper use;

• to defects or damages deriving from failure to follow user instructions, or cleaning and maintenance sugges-tions included in the product data sheet;

• to inevitable small tone variations on all materials and finishes due to long-term exposure to natural or artificial lighting, to fumes or to natural aging process. Therefore possible replacements may have some differences if compared to the original finishes. This issue can not be used as a cause for a complaint or product return;

• to defects or damages caused by woodworm, long-term use of the product in unsuitable environment with excessive heating or humidity or other abnormal climatic conditions;

• to defects or damages caused by faulty installation or from alterations, adulterations, modifications or repairs made by the purchaser or any third parties.

The Guarantee shall expire in the event of:• defects or damages to the single com-

ponents caused by faulty installation or use of defective hydraulic and elec-trical components by non specialized personnel and/or which do not comply with the laws and regulations in force in the Country;

• defects or damages to the single com-ponents arising from transportation;

• damages to the single components deriving from disassembly, assembly, installation, adulterations and modifi-

cations when done by the purchaser without express authorization from Boffi S.p.A.;

• defects or damages to elements and/or structures which house electrical appliances not installed by Boffi S.p.A. or the Dealer;

• defects or damages deriving from the use of goods produced by third sup-pliers not sold by Boffi S.p.A.

Extension: the three-year guarantee is val-id for all accessories, taps, washbasins, bathtubs, spare parts, complementary items, including previously substituted parts whose guarantee shall expire at the same time as the original guarantee.

Electrical appliances: electrical appli-ances, as they are independent from the composition in which they are installed, are covered by the manufacturer’s guar-antee, against which it hast to be asserted for any defect.

TopsIn case of composition orders without top, a price increase will be added con-sisting of a fixed rate at linear meter for the worktop.

Packaging and special casesAll the units are delivered assembled ex-cept special cases, when more packages are better managed and moved.

Customised finishesIt’s possible to ask custom finishes: for these you can use price increases and timings as reported in chapter CUSTOM-ISED SOLUTIONS - PRICE INCREASES - MAINTENANCE.

Product technical information Together with the final order confirmation the dealer will receive a ‘Product Technical Information’ which is to be forwarded to the final customer The Technical informa-tion includes a description of all the ma-terials used in the composition, technical specifications, finishes, and the products recommended for suitable maintenance and cleaning. A Boffi multipurpose “Clean Set” is available: a package will be for-warded free of charge when the goods are being delivered (only for orders of compositions with top included). The Boffi “Clean Set” can be then re-ordered.

12. PriceFor deliveries that are made within 150 days from the order, the price agreed upon is not subject to variations, except when modifications, as described in point 3 above, have been requested by the purchaser. For deliveries beyond that time limit, the price may be increased in the event of increases in costs of raw materials, services or labour or in prices of Boffi S.p.A.’s suppliers and in proportion thereto. Boffi S.p.A. shall promptly notify the purchaser of such increase and, in the event that the price has been increased by more than 10%, the purchaser shall be entitled to withdraw from the agreement, for the portion not yet performed, within ten days from receipt of the above notice.All prices are espressed in price-codes: the recommended retail price is in Euro and is obtained by multiplying the price code (P) specified on the price list by the coefficient ‘K’ according to commercial terms and conditions. Installation and useBoffi S.p.a. recommends, before any installation, to download from the website www.boffi.com the installation instructions for the product you are installing. Boffi S.p.a. is not liable for problems depend-ing on incorrect installations and improper use, both of goods manufactured by Boffi and of goods manufactured by authorized third-party suppliers. Boffi S.p.a is not liable for direct and indirect damages suffered by the customer and depending on from incorrect installation, negligence, improper use, non-use of the product, use of the product in unsuitable environ-ments, excessive heat or humidity or other climatic agents.

Plans and descriptions Plans and descriptions included in the list are not binding. All sizes are in millimetres. Unit depths include door thickness, not including handles if present. Dimensions are nominal and guided by the physical limitations of the various materials.

13. PaymentPayments must be made to Boffi S.p.A.’s domicile or elsewhere as indicated in the invoice on their maturity dates and in ac-cordance with the terms and conditions indicated in the invoice. Issue of promis-sory notes or acceptance of drafts by purchaser shall not determine a change in the place of payment.

14. Outstanding amountsInterest on arrears shall be applied at the rate as provided in Art. 5 of Legisla-tive Decree No. 231/2002 of Italian Law, except in the case that the purchaser is a consumer (that is a natural person which purchases goods for purposes not connected with his professional activity), which would result in the application of the legal interest as provided by Art. 1284 of the Italian civil code. Non-payment or partial payment shall en-title Boffi S.p.A. to suspend performance of the order and entails the automatic extension of terms of the goods arrange-ment. Boffi S.p.A. retains the right to terminate the contract for purchaser’s non-performance pursuant to Art. 1453 and following of the Italian civil code.

OrdersTo provide for an efficient order filling, comply with the following guidelines: • Use ‘Boffer’ software to provide any price estimate.• Include composition plans quoted drawings.• Specify whether the doors are left- or right-hand and requests for units with finished side panels.• Orders received far in advance and including long delivery date will be confirmed within 3 months of the date of receipt and will be delivered once the goods are ready. Prices in force at the time of the order confirmation will be applied.• Please always specify the requested delivery week. The orders are entered in compliance with their arrival date at Boffi.Waiting times to check any order and to send the order confirmation depends on the company business activity at that specific time of the year and on the accuracy of the information supplied by the customer.

15. Boffi S.p.A.’s general terms of purchase to prevailThe general terms of sale herein shall prevail over any general terms of pur-chase or sale of the purchaser which will, therefore, not be applicable, even if known to Boffi S.p.A.

16. Applicable law and place of jurisdictionThe agreement between the purchaser and Boffi S.p.A. is governed by Italian law.For any controversy connected with the agreement, the exclusive place of jurisdiction is the Court of Milan, Italy, unless otherwise provided by law.il contratto per inadempimento dell’acquirente ai sensi dell’art. 1453 e seguenti c.c.

Filling out the order form:The correct procedure to fill out orders is as follows:1. Furnishings: List the codes of the furnishings looking at the elevation from left to right (this also applies to corner compositions).Please enter all composi-tion cabinets specifying the finish and colour/wood specie required. Then enter the internal accessories if included. 2. Tops: always watching the drawing from left to right, please enter all the tops, back-splashes, back panels with precise info about finish required, including cus-tomisations, washbasins and taps.
