EVENT BACKGROUND

The last decade has been marked by significant developments and events in the Corporate Legal Practice in Kenya. In just the last ten years, we’ve seen an overhaul of legislation governing major practice areas including but not limited to the enactment of the Companies Act, 2015, the Insolvency Act, 2016, the Competition Act, 2010, the Tax Procedures Act, 2015 and the Limited Liability Partnership Act, 2011. We’ve further witnessed the automation of government processes such as the business registration service accessible on the e-citizen public platform backed by the Business Registration Service Act of 2015.

Besides the introduction and overhaul of new legislation and the emergence of new practice areas in Kenya’s corporate legal practice, we’ve seen the entry of international law firms in the Kenyan legal market and formation of alliances. Global law firms have entered and continue to enter into partnerships and alliances with local firms to provide their clients access to the region and tap into the local expertise of Kenyan corporate law firms. As a result of these developments, the top tier corporate law firms in the country have been instructed to advice on major transactions in Kenya and the region – which has led to more lawyers being ranked by global ranking organizations such as the IFLR 1000 and Chambers & Partners 500.

The last decade has been a major and significant turning point for corporate legal practice in Kenya and as we enter into a new decade, it is imperative that we take stock of these developments and identify the key areas to improve on, in positioning Kenya as the regional nexus/hub for corporate legal practice.

The Summit is organized and hosted by Strathmore Law School in collaboration with the Bowmans (Coulson Harney) as the lead Partner.

About the Summit?

The 1st Corporate Law Summit is proposed to be the beginning of a series of annual summits aimed at bringing together the leading corporate law practitioners and in-house counsels within the Kenyan market, to audit the Kenyan corporate legal practice and hold important discussions on the development of the practice. The summit will bring together key players from both the private legal practice and government regulators, with the hope of improving the quality and delivery of corporate law services within the Kenyan market.

Aims and Objectives

1. To provide a platform to discuss and audit the growth, development, challenges and opportunities of the corporate legal practice in Kenya;

2. To bring together both corporate legal practitioners, government agencies and regulators to identify the areas of improvement and build collaboration in delivering efficient corporate legal services in the Kenyan legal market;

3. To provide a forum for addressing the ever-evolving legal developments in Kenya and the relevance of the Kenyan legal framework in today’s corporate legal practice;

4. To provide a forum for corporate legal practitioners to learn from the experience and expertise of highly ranked and reputable corporate lawyers in the Kenyan legal market; and

5. To provide a networking platform and establish a sustainable network of corporate lawyers, in-house counsels and regulators in the Kenyan legal market.

Target Audience

The summit will target corporate legal practitioners, in-house counsels, Chief Legal/Compliance Officers/Heads of Legal, Heads of regulatory affairs, Company Secretaries, Regulators and aspiring corporate lawyers.

Forum Format

The 1st Corporate Law Summit will be a fully virtual event.

The Event will have a plenary session at its opening that will host the managing partners of the top corporate law firms in the country to discuss the growth, development and state of the Kenyan corporate legal practice.

Thereafter, there will be several thematic sessions/forums running consecutively as outlined below. The confirmed speakers for each session will be confirmed in due course.

ConclusionThis will mark the 1st Corporate Law Summit in Kenya and we believe it will be the beginning of a series of Kenyan and Regional summits to keep abreast of the developments and areas of growth in the corporate legal practice in Kenya.

Paras Shah is a partner at Bowmans (Coulson Harney LLP) and heads the M&A and projects practice group. He is one of the leading corporate & commercial lawyers in Kenya and specialises in private equity, mergers & acquisitions, corporate and commercial law, banking and fi nance law, privatisations, capital markets and real estate law. She is an advocate of the High Court of Kenya with over 8 years experience. She holds a Bachelor of Laws Degree from the University of Nairobi, and a Certified Public Secretary. Currently, she is undertaking Masters Degree in Arts at the University of Nairobi.

Mr. Mburu possess advanced skills in Competition Law dealing with regulation of market structure and conduct. This has been through establishing and developing broad knowledge in analysis of complex mergers and acquisitions, carrying out market inquiries and sector studies, investigation of policies, procedures and programmes of regulatory authorities to assess their effect on competition and consumer welfare and advising Government on competition matters.

PROF. THOMAS ROSSSenior Associate Dean and Director of the Phelps Centre for the Study of Government and Business in the Sauder School of Business at the University of British Columbia

Prof. Thomas W. Ross is Senior Associate Dean (Special Projects), the UPS Foundation Professor of Regulation and Competition Policy and the Director of the Phelps Centre for the Study of Government and Business in the Sauder School of Business at the University of British Columbia.

An economist, he did his undergraduate work at the University of Western Ontario and earned his doctorate at the University of Pennsylvania in 1981.

Professor Ross worked at the University of Chicago and Carleton University before moving to U.B.C. (in 1992) and spent a year as the first holder of the T.D. MacDonald Chair in Industrial Economics at the Competition Bureau in 1990-91 and a year as a National Fellow at the Hoover Institution at Stanford University from 1987-88.

From 1993 to 1996 he served as the Chair of the Policy Analysis and Strategy Division of the Sauder School.

Anne is a Partner in the Corporate department at Anjarwalla & Khanna and an Advocate of the High Court of Kenya. With over ten years of experience as a corporate lawyer, Anne specialises in mergers and acquisitions, IT & telecommunications law, competition law and intellectual property law.

Having been involved in a number of prominent corporate law transactions in Kenya, Anne has represented multinational corporations such as Helios Investment Partners, Vivo Energy, Telkom Kenya, Godrej Group and Schneider Electric and is a recognised leader in her field.

She also co-heads A&K’s Competition Law Practice and has spearheaded multiple initiatives in antitrust law development in Kenya and and COMESA, including organising and speaking at conferences in several countries across Africa and in the US as well as representing Kenyan stakeholders at multiple COMESA Competition Workshops where Guidelines for the COMESA Competition Regime have been passed and then operationalised. She is a regular speaker at corporate law conferences and an ardent writer on contemporary legal topics and the Editor of Legal Notes, a quarterly newsletter published by ALN (an alliance of top tier law firms in 15 African Jurisdictions).

She is ranked by the Chambers Global Legal Directory, which has described her as a “very positive and sparky” lawyer and receiving client praise for her drafting skills and contracts analysis. In addition, Anne has been voted one of Kenya’s best M&A lawyers by IFLR1000 as well as Best Lawyers International, the oldest and most respected worldwide legal peer review guide. Anne won the CfC Stanbic Rising Star Award 2015 in the Professional Services category. Kenneth Gathuma is an Advocate of the High Court of Kenya who has legal advisory skills developed through providing legal advice to government ministries and state-owned corporations for 12 years. Until his appointment as the Director-General in March 2020, Mr Gathuma was the Acting Director General of BRS and formerly served as Deputy Head of Government Transactions in the Offi ce of the Attorney General & Department of Justice where large Government development projects were arranged and concluded. He holds a Bachelor of Laws Degree from the University of Nairobi.

PROF. BITANGE NDEMOProfessor of Entrepreneurship at the University of Nairobi

Bitange Ndemo is Professor of Entrepreneurship at the University of Nairobi’s Business School. His research centers on the link between ICTs and small and medium enterprises with emphasis on how ICTs influence economic development in Africa.

Prof. Ndemo Chaired the Kenya Distributed Ledgers and Artificial Intelligence Taskforce that developed the country’s a road map for digital transformation. He is an advisor and Board member to several organizations including Safaricom one of the leading

telecommunication company in Africa, a member of the OECD Expert Panel for Blockchain, World Economic Forum Global Blockchain Council (part of the World Economic Forum’s Global Fourth Industrial Revolution Councils).

Besides having been a Permanent Secretary of Kenya’s Ministry of Information and Communication where he was credited with facilitating many transformative ICT projects, a Senior advisor to UN’s Global Pulse (Big Data initiatives) and the UNCDF’s Better than Cash Alliance and UNICEF’s Innovation Council. He is an Open Data/Big Data evangelist and dedicated to simplification (visualization) of data for ordinary citizens to consume. He writes two columns every week for the Business Daily and Nation on-line.

Malachi has over ten years’ experience in corporate governance work and is mainly involved in supporting multi-sectoral Boards, advising on company secretarial matters, drafting Board Charters and committees terms of reference, minutes and resolutions, providing routine compliance services to local companies and to foreign Companies registered in Kenya, Uganda and Tanzania, effecting share transfers in public and private companies, registration and de-registration of companies, obtaining PIN registrations with KRA and attending to other secretarial and administrative duties to include obtaining Entry Permits

for expatriate clients.

Malachi is the founding Partner and Chief Executive of Liroja Services, a corporate governance consulting based in Westlands, Nairobi.

Malachi holds a Bachelor of Science degree from Strathmore University, and is currently pursuing a Masters’ degree in Public Policy and Management, also at Strathmore University.
