    21. Validity of Offer

    Offers shall be valid for a period of 120 days from bid closing date or extension, if any.

    22. Quotation to be on Firm price basis

    Prices quoted as per schedule of Prices P-I,P-,II,P-III& P- IV by the bidders shall remain Firm during the bidders Performance of the contract and not subject to variation on any account. Quotation submitted with variable price will be treated as non-responsive and the same shall be rejected.

    23. Custom Duty, CVD, etc.

    For goods offered from abroad Custom Duty, CVD and other applicable levies, etc, if payable, will be paid directly by the bidder and shall be included in the tender price only.

    24. Taxes, duties, levies etc

    In case bidder offering goods manufactured in India, ED/Service Tax & VAT/ CST and other statutory levies solely in respect of transaction between the Owner and the supplier under the contract, shall be included in the tender price only.

    1.1 INTRODUCTION:

    As a responsible corporate citizen GRSE is always endeavour to harness of non polluting renewable energy resources to control green house gases and to stop climate change. With this perspective GRSE intends to promote the use of solar energy for power generation with the ultimate objective to end global warming and to help our future to avert energy crisis. A significant part of the large potential of solar energy in the country could be developed by promoting grid interactive solar photovoltaic power systems. In this regard GRSE proposed to set up a 100 kWp grid interactive solar photovoltaic power plant on the roof top of the Electrical Department as a pilot project with an aim to cater the entire lighting load of Planning Department during day hours and any surplus generation would be fed to the grid based on local consumption.

    1.2SOLAR SYSTEM AND COORDINATION WITH EXISTING SYSTEM: The Grid interactive Roof Top Solar Photo Voltaic (GTRTSPVS) consists of mainly three major components viz. the solar photovoltaic (SPV) modules, array, array mounting structure and the inverter or power conditioning unit(s). The SPV array converts the solar energy into DC electrical energy. The array mounting structure holds the PV modules in required position and the DC electrical energy is converted to AC power by the inverter or PCU, which is connected to the utility power grid. The AC power output of the inverter is fed to the AC distribution board through metering panel and isolation panel. The 415 V AC output-3 of the system can be synchronized with the grid and the power can be fed to the LT grid during holidays/Sunday/Saturday when the consumption may be low in Planning Department.

    1.2.1 The main objective is the high availability and reliability of the plant. In order to achieve the main objective, the following principles shall be adopted while designing system.

    a) Technology: Solar PV Mono / Poly crystalline cells of high efficiency and the modules

    should be manufactured in India so as to meet MNRE Guidelines. GRSE Ltd will avail subsidy for solar plant from MNRE as such bidder should use the modules and other material which is eligible for such subsidy.

    b) The Stabilized output of solar Power plant shall be 100kWp after one year

    The bidder shall demonstrate the capacity of plant after one year from date of commissioning of plant.

    The bidder shall use adequate capacity of SPV module, PCUs, Junction boxes

    etc to ensure generation of power as per design estimates. This is to be done by applying liberal de-rating factors for the array and recognizing the efficiency parameters of PCUs, transformers, etc.

    The output at Invertors (s) will be considered for verification purpose. Bidder should indicate procedure and details of software or formula for demonstration of capacity of plant in tender itself. For other purpose the meter reading will be considered.

    c) Use of equipment and systems with proven design and performance that have a

    high availability track record under similar service conditions. d) Selection of the equipment and adoption of a plant layout to ensure ease of

    maintenance. e) Strict compliance with the approved and proven quality assurance norms and

    procedures during the different phases of the project. f) Proper monitoring in the synchronizations which ensures the availability of power

    to the grid. Generation voltage of 415V has to fed to grid voltage at the point of interconnection.

    g) The injection of DC power in to Grid shall be avoided by using suitable isolation transformer etc at output of inverter.

    h) Ripple content must not exceed 3% on DC side i) Limits for harmonics as per CEA technical standard on Grid connectivity are as

    follows:

    Total voltage harmonics distortion not more than 5% Individual voltage harmonics distortion not more than 3 % Total current harmonics distortion not more than 8%

    j) The power plant has to operate in parallel with the grid system which is infinite electrical system. Any faults not taken care will result in damage of only SPV power plant without affecting DISCOMS infinite system. Thus the Solar Power Plant has to protect its equipment against any of possible fault or other disturbances from the grid.

    k) Very fast microprocessor based Directional and Reverse power flow protection should be provided to ensure isolation of the solar power plant from the grid at the time of any fault or/and any additional suitable protection.

    1.2.2 The basic and detailed engineering of the plant will aim at achieving high

    standards of operational performance especially considering following: a. Optimum availability of modules during the day time. b. Ensuring module layout to prevent shading. c. Selection of PCUs with high track record and readily availability of requisite

    spares. d. Careful logging of operation data / historical information from the Data Monitoring

    Systems, and periodically processing it to determine abnormal or slowly deteriorating conditions.

    e. SPV power plant should be designed to operate satisfactorily in parallel with the Discom Grid within permissible limits of high voltage and frequency fluctuation conditions, so as to export the maximum possible units to the grid after internal consumption.

    f. Flat plate arrays are held fixed at a tilted angle and face towards the equator, are most common. The angle of tilt should be approximately equal to the angle of latitude for the site. A steeper angle increases the output in winter; while a shallower angle more output in summer. It should be arranged in such a manner that optimize generation is achieved.

    g. Based on the Solar Insolation data, the solar PV system should be so designed that it shall take into account the mean energy output after allowing for various losses, temperature corrections, on an average day for each month of the year.

    h. Bidder should use the modules and other material which is eligible for subsidy from MNRE.

    i. The offered Grid Connected Solar Power Plant should be able to generate power through solar energy and supply clean and green electricity to the grid.

    1.2.3 The specification provided with this bid document is a functional one; the design

    provided in this document is only meant as an example. The Bidder must submit a proposal based upon their own design. The bidders are advised to visit the site before designing the plant and offer their bid. The bidders are also required to incorporate all the system required for efficient operation of 100 kWp solar Plant in parallel with Discom supply.

    1.2.4 The supplier/manufacturer shall submit the detail design of the complete solar

    generating system by using their software to optimize the combination of modules considering the specific location, isolation, nature of load etc.

    1.3 LOCATION:

    Main Unit of GRSE Ltd. is situated in the bank of river Hooghly at Garden Reach (Metiabruz) in Kolkata, West Bengal. The location of the site is shown in the Exhibit I.

    1.4 SITE DESCRIPTION:

    An area of about 12500 sq feeton the roof top of Electrical Department could be used for installation of 100 kWp SPV module. It is proposed to utilize the vacant area available on the rooftop terrace for installation of 100 kWp which could serve as a grid connected system and Ground floor of said Department could be used for collection of data analysis on the availability of solar power.

    1.5 EXIS TING POWER SUPPLY ARRANGEMENTS:

    1.5.1 CESC Supply

    Electrical Power requirement for Planning Department at Main Unitismeeting from source of CESC viz Main supply from Modern Hull ShopSub-Station. The power received at 6.0 kV level is stepped down to 0.415 kV by 2 Nos. oil filled type 6.6/0.440 kV, 1x1600 kVA& 1 x 1000 kVA distribution transformers located at theModern Hull shop Sub-Station, Main Unit. 02 nos. 1x550 kVAr& 1 x 350 kVAr capacitor banks have also been provided to improve the power factor.

    1.5.2 LV Distribution System

    The load of GRSE is fed from transformer (Tr-1&Tr-2) through LT feeders. LT system is maintained by GRSE. The single line diagram of the supply system is given below:

    2.1.STUDY AND PREPARATION OF BID 2.1.1 The Bidder is advised to read carefully all instructions and conditions

    appearing in this document and understand them fully. All information required as per the bid document must be furnished and the appendix contained herein should be duly filled in. Failure to provide the information as required may render the bid technically unacceptable. The bid shall be submitted in English Language only.

    2.1.2. The Bidder in quoting their rate shall for all purpose, whatsoever, be deemed to have themself independently obtained all relevant and necessary information for the purpose of preparing their tender. The correctness or completeness of the details, given in the tender documents is not guaranteed. The Bidder is required to satisfy them in all respect, before the submission of offer.

    2.1.3. The Bidder shall be deemed to have examined the tender document, to

    have obtained his own information in all matters whatsoever that might affect the carrying out of the works at the schedules rates and to have satisfied themself to the sufficiency of their tender. Any error in description or quantity or omission in the Contract Document shall not vitiate the contract or release the Contractor from executing the work comprised in the contract according to drawings and specifications at the scheduled rates. They should deemed to know the scope, nature and magnitude of the works and requirement of materials, equipment, tools and labour involved, wage structures and as to what all works they have to complete in accordance with the contract documents irrespective of any defect, omissions or errors that may be found in the contract documents. The Contractor shall be deemed to have visited site and surroundings, to have satisfied himself to the working conditions at the site, nature and conditions of rock and soil, availability of water, electric power, labour etc, transportation facilities, probable sites for labour accommodation and store go-downs etc and all other factors involved in the execution of works.

    2.2. INFORMATION TO BIDDER

    2.2.1 A prospective bidder requiring any clarification of the bidding documents may

    notify the tendering authority in writing or by cable (hereinafter cable include e mail, letter and facsimile) at GRSEs address indicated in the invitation to Bid. GRSE will respond to any request for clarification which he received earlier than 15 days prior to the deadline for submission of bids. Copies of the GRSEs response will be forwarded to all purchasers of the bidding documents, including a description of the enquiry but without identifying its source.

    2.2.2 The purpose of the pre-bid discussion meeting will be to clarify issues and to answer queries on any issue raised.

    2.2.3 The bidder shall submit queries in writing or by Fax/Telex/e-mail to reach GRSE not later than one week before the meeting. The date of such meeting will be fixed by GRSE.

    2.2.4 Minutes of the meeting, including the text of the questions raised without identifying the source of enquiry and the responses given, will be transmitted

    without delay to all purchasers of the bid/tender documents. Any modification of the tender/bidding documents which may become necessary as a result of the pre-bid meeting shall be made by GRSE exclusively through the issue of an Addendum and not through the minutes of the pre-bid meeting.

    2.2.5 Non-attendance at the pre-bid meeting will not be a cause for disqualification of a bidder.

    2.2.6. All addenda are to be considered an integral part of the tender document which will be web hosted and can be viewed in www.eprocure.gov.in& www.grse.nic.in.

    2.2.7. Bid should be filled in only with indelible ink or typed. Any bid filled in by pencil or otherwise shall not be considered.

    2.2.8. All additions, alterations, and over-writings in the bid or accompanying documents must be clearly signed and stamped by the authorized signatory to the bid.

    2.3 BIDDER

    2.3.1 Bids may be submitted by:

    a) Single person/ entity b) Newly formed incorporated joint venture (JV) company. c) Consortium (to be incorporated as JV) having a maximum of three members; d) An Indian arm of a foreign company.

    2.3.2 Fulfilment of acceptance criteria and certain additional conditions in respect of

    each of the above 4 types of bidders is stated below, respectively:

    a) The sole bidder shall fulfill the bid acceptance Criteria. b) The bids submitted by a joint-venture or Consortium of two or more firms as partners shall comply with the following requirements: i) One of the partners responsible for performing a key component of the contract, shall be designated as a leader; this authorization shall be evidenced by submitting with the bid a Power of Attorney signed by legally authorized signatories of all the partners. ii) The leader shall be authorized to incur liabilities, and receive instruction for and on behalf of any and all partners of the joint-venture or consortium, and the entire execution of the contract shall be done with the leader,

    iii) All partners of the joint venture or consortium shall be liable jointly and severally for the execution of the project or contract,

    iv) A copy of the contract/agreement entered into by the joint venture or consortium partners shall be submitted with the bid,

    v) The responsibility of all members of the J/V or Consortium should be clearly indicated and these shall not be varied or modified without the prior approval of the employer, and the joint venture agreement /consortium should be registered.

    vi) In order for a joint venture or consortium to qualify, each of its partners or combination of partners must meet the minimum criteria set for the individual bidder. Failure to comply with this requirement will result in rejection of the joint venture or consortiums bid. The figures for each of the partners of a joint venture comprising of two or more persons shall be added together in proportion to their participation in the J/V or consortium, to determine the bidders compliance with the minimum criteria say,( work to be executed per year not less than Rs 3 crore if such criteria is set in RFP) . The lead partner should hold at least 51% of those minimum criteria failure to comply with which the bid shall stand rejected. vii) The percentage of partnership of the lead partner shall be highest among all the joint ventures partners. The lead partner shall be such a company only, who has purchased the bid document, viii) Bid security/EMD can be submitted either by the lead partner or proportionately by the joint venture /Consortium partners. However performance security BG shall have to be submitted by all the partners of joint venture/consortium on a basis proportionate to their participation,

    ix) The contract agreement shall be signed jointly by each joint venture/consortium partners.

    x) The lead member would be the System Integrator cum EPC contractor or

    manufacture of modules or Channel partner with valid accreditation of MNRE under JNNS scheme.

    c) In case the bidder is an Indian arm (subsidiary, authorized agent, branch office or affiliate) of a foreign principal, then the foreign principal shall have to fulfil each rejection criteria. If such foreign principal desires that the contract be entered into with the Indian arm, then a proper back to back continuing guarantee shall be provided by the foreign principal, clearly stating that in case of failure of any supply or performance of the Tender equipment, machinery, material or plant or completion of the work in all respects and as per the warranties/ guarantees that may have been given, then the foreign principal

    shall assume all obligations under the contract. Towards this purpose, it shall provide such comfort letter/guarantees as may be required by Owner. The guarantees shall cover inter alia the commitment of the foreign principal to complete the entire work (supply, land, erection commissioning and O&M) in all respects and in a timely fashion, being bound by all the obligations under the contract, an undertaking to provide all necessary technical and financial support to the Indian arm. The foreign principal would ensure completion of the contract in the event of any failure of Indian arm and also undertake not to withdraw from the contract till completion of the work.

    2.4 BID ACCEPTANCE CRITERIA

    2.4.1 The bid shall conform generally to the specifications and terms and conditions

    given in this bid document. Bids shall be rejected in case the services offered do not conform to required parameters stipulated in the technical specifications. Notwithstanding the general conformity of the bids to the stipulated specifications, the following mandatory requirements will have to be particularly met by the Bidders without which the same will be considered as non-responsive and rejected. All the documents related to BAC must be submitted along with the Techno-Commercial Bid.

    2.5 General

    i) The bidder must quote the prices in line with the formats provided in the document, failing which tender is liable for rejection. The rate/cost shall be entered in words as well as in figures. ii) Bids shall contain no erasures or overwriting except as necessary to correct the errors made in which case such corrections shall be initialled by person(s) signing the bid. Any bid not meeting this requirement shall be rejected. iii) Bids shall be submitted as per e- tender procedure. Bids received in physical form will not be accepted. iv) Bids received after bid closing date and time will be rejected.

    v) The bid documents/authorization issued to participate in the tender are not transferable.

    vi) Any bid containing false statement or false document will be rejected.

    vii) Bidder must accept and comply with the following clauses as given in the Tender Document in toto failing which offer will be rejected

    a) Performance Guarantee Clause b) Warranty Clause c) Force Majeure Clause d) Insurance Clause e) Arbitration Clause f) Acceptance of Jurisdiction and Applicable Law g) Liquidated damage cum penalty clause h) Integrity Pact viii) Any Bidder, who submits more than one Bid in respect of the Project, shall

    render the Bids submitted by such Bidder (individually or as a consortium) subject to rejection.

    ix) If the Bid is not signed, sealed and marked as stipulated in the Bid document or does not contain all the information as requested or in the formats specified in Bid, GRSE Ltd may reject the Bid as non-responsive

    x) Any Bid not accompanied by a Bid Security / EMD shall be rejected by GRSE Ltd as non responsive.

    xi) To determine the substantial compliance of the Bid, GRSE Ltd reserves the right to ask the bidder for clarification of clauses covered by the BRC/BEC. Such clarifications to ensure compliance with the BRC/BEC clauses must be received on or before the deadline given by GRSE Ltd or the bid will be rejected. However Bidders will not be allowed to change their prices on account of any such clarification.

    2.6 ELIGIBILITY CRITERIA

    2.6.1 MNRE approved Channel Partners/Module manufacturers shall be eligible to

    compete in this tender. To substantiate this, necessary documents, certificates shall have to be attached with the proposal.

    2.6.2 The tenderer should furnish the details of minimum two years experience of successful installation of grid connected PV projects.

    2.6.3 The bidder should have installed at least one Grid connected Solar PV Power Plant

    having capacity of not less than 50 kW which should have been commissioned during last three years including operation in India. (Pl attach copies of POs and satisfactory report from previous installations in support of thesame).

    2.6.4 The bidder should have a service setup in an around Kolkata. 2.6.5 The firm must have a minimum annual turnover of Rs 30.00 crore (cumulative)

    overlast three years exclusively in the business of solar PV alone.(Pl. attach copy of audited balance sheet for, 2010-11, 2011-12 and 2012-13)

    2.6.6 The firm must have adequate capacity to design, manufacture, test, supply, erect,

    and commission the power plant within the given time schedule.

    (Pl furnish a brief write-up, backed with adequate data, explaining the available capacity and experience (both technical and commercial) for the manufacture and supply of the required systems and equipment within the specified time of completion after meeting all their current commitments.)

    2.6.7The products/ systems/ devices quoted in tender should be as per MNRE

    specifications. (Pl. attach copies of recent test certificates from SEC/ other authorized Test Centres of MNRE, GOI as proof thereof)

    2.6.8 All above criteria should be strictly followed. Tenderer should quote only if he is

    eligible. 2.7 Supporting documentary evidences to be provided

    2.7.1 The Bidder shall furnish all relevant documentary evidences to establish their

    qualification as desired in Clause 2.6 above along with the bid.

    2.7.2 The Bidder shall furnish all relevant documentary evidences as mentioned below to establish his experience in Clause 2.6 above along with the bid to meet Technical Criteria. The certification by the bidder for their own Solar PV power plant will not be acceptable.

    a) Copy of Work Order/ Contract agreement and completion certificate. b) Performance Certificate from the user regarding successful operation of

    the Solar PV power plant Project for at least one (01) year. 2.8 Financial

    i) Average Annual Financial Turnover should be in accordance with Clause No. 2.6.5 above.

    ii) Net worth of the bidder must be positive as per audited financial statement immediately preceding the current financial year in which bid is submitted. Note: Following documents should be submitted along with the bid for the above: a) A certificate issued by a Chartered Accountant, certifying the Annual Turnover and nature of business, and

    b) Audited Balance sheet and Profit & Loss account.

    c)In case of a Company, certified copy of the Memorandum & Articles of Association.

    2.9 Mode Of Submission Of Bid

    The bids will be obtained in two separate envelops as referred to herein below:

    Part-I: This envelope shall contain technical parameters, EMD, commercial Terms and Conditions and un-priced bid (without any mention of price)including Pre-qualification documents interlaid containing an undertaking that the bid does not contain any amendment, modification or change of any type whatsoever with respect to the bid document.

    Part- II: This envelope shall contain only the priced BOQ only giving the unit price and amount against each item with grand total including Taxes & Duties at the end in figures and in words.

    These two separate sealed envelopes are to be put together in another sealed envelope. All the envelopes should be super scribed in bold letters with enquiry number, due date of submission and the contains therein and shall be sent directly to the AGM (ES), GRSE Ltd., 43/46 Garden Reach Road, Kolkata 700 024.

    2.10 BID EVALULATION METHODOLOGY

    Evaluation of both un-priced bids and priced bids shall be done separately. i) Techno-commercial evaluation of the un-priced bids shall be carried out first.

    This will be done on the basis of Bid Rejection Criteria, documents furnished by the bidder and completeness & conformity of the bids with respect to the instruction as mentioned in this tender document.

    ii) Price bids of techno-commercially acceptable bidders shall be opened.

    iii) Financial evaluation of the bids shall be carried out by with following considerations:

    a) Total contract price quoted by bidder (As given by Bidder in Price schedule).

    b) Total Operation charges for 5 years quoted by the bidder (As given by Bidder in Price schedule).

    c) Other charges such as Chief Electrical Inspector fees, any other statutory charges

    for setting up of solar power plant if any, quoted by the bidder. d) Net minimum guaranteed generation (NMGG) per annum. However, minimum

    guaranteed generation should be 1, 36,800 kWh per annum. Any bid quoted lower than the requisite generation criteria will not be considered for acceptance.

    e) Tariff will be applicable based on electricity bill as determined by electric supply

    authority (at present CESC Ltd.) season wise. f) Any other point which may have financial bearing on overall return of the project

    can also be considered in the evaluation.

    2.11 NET MINIMUM GUARANTEED GENERATION (NMGG) AND LIQUIDATED DAMAGES/COMPENSATION

    2.11.1 The bidder shall be required to quote the Net Minimum Guaranteed Generation

    (NMGG) for 25 years period. The Bidder shall give NMGG per annum after considering proposed configuration and all local conditions, solar insolation, wind speed and direction, air temperature & relative humidity, barometric pressure, rainfall, sunshine duration, grid availability and grid related all other factors and losses due to near shading, incidence angle modifier, irradiance level, temperature loss, array loss, Module quality loss, Module array mismatch loss, and various inverter losses.etc. To assess/verify feasibility of quoted NMGG, bidders are required to provide computation documents along with considered factors base on which NMGG has been computed.

    2.11.2 Bidders are expected to make their own study of solar profile and other related

    parameters of the area & make sound commercial judgment about power output i.e. Net Minimum guaranteed generation. The site informations and solar datas provided in this bid document is only for information purpose. No any claim or compensation shall be entertained on account of this information. It shall be the responsibility of the bidder to access the corresponding solar insolation values and related factors of solar plant along with expected grid availability. The bidder should access all related factors about the selected site for the project and then quote the NMGG for the proposed project.

    2.11.3 The agency shall be responsible for achieving NMGG. For any shortfall in the net

    minimum guaranteed generation corresponding to the offer, the compensation shall be recovered from the agencyon yearly basis. The contractor has to maintain the Solar Plant equipment/s including its repair, replacement etc, so as to give the agreed NMGG per year, for which GRSE Ltd shall pay the agreed Operation charges only and no other charge/cost is payable by GRSE Ltd.

    2.11.4 There will be no relaxation in NMGG beyond 5%. However, the bidder will be

    allowed to relocate the solar modules and install at different places at their own cost ensuring guaranteed net minimum generation. The entire cost including dismantling and re-erection, etc, will be borne by the bidder. To ensure NMGG, the bidder will be allowed to erect additional number of solar modules without extra cost to GRSE Ltd.

    2.11.5 In case of shortfall in quoted NMGG in a block period of two years, compensation

    will be recovered from the date of commissioning and after completing the particular block year. But the NMGG shall be worked out for every year. The compensation shall be paid by the contractor or shall be recovered from any payment due to contactors /B.G. The performance of 100 kWp Solar Power Project will be evaluated on two years block basis. The benefit of excess generation in any year of block shall be considered to compensate the shortfall in generation in other year of the block. In case there is shortfall in the block of two year the compensation as penalty shall be calculated on year to year basis and shall be charged based on average tariff (Rs. / kWh) per annum as decided by the Electricity Regulatory Commission from time to time.

    2.12 Integrity Pact: Integrity Pactis required to be submitted such that the ink-signed copy reaches GRSE before scheduled tender opening. Non-submission of Integrity Pact in GRSE format (refer Annexure-VII) shall lead to REJECTION of offer.

    2.13 No Tender Bid shall be considered without Earnest Money Deposit of ` 1.30 Lakhs

    (One lakh Thirty thousand only) which is to be submitted in the form of crossed Account Payee Bankers Cheque or Demand Draft payable at Kolkata. Bidder may also consider submission of EMD in the form of Bank Guarantee issued by any scheduled banks (other than Cooperative Banks) in favour of Garden Reach Shipbuilders & Engineers Limited, Kolkata. BG, if submitted, should be Valid for a period of 6 months from the date of Tender Bid Submission i.e. opening of Part 1 of the tender. The amount submitted towards EMD shall not carry any interest. Tender without Earnest Money Deposit strictly in the form and style as stated above may be rejected without further reference. EMD of unsuccessful bidders shall be

    returned/refunded on placement of order/LOI. EMD of successful bidder will be returned on submission of Security Deposit cum Performance Bank Guarantee.

    2.13.1 Earnest Money/ Bid Security may be forfeited if:-

    a) The bidder withdraws the bid after bid opening during the period of its validity.

    b) The bidder does not accept the correction of bid price. c) The successful bidder falls within the specified time limit to: (i) Sign the Agreement. (ii) Furnish the required performance security.

    213.2 (a)Only NSIC Single Point Registered firms for supplying above mentioned item may be exempted from submitting Tender Fee, EMD & Security Deposit against formal approach in techno-commercial bid along with a valid relevant NSIC Single Point Registration Certificate up to its monetary limit.

    (b) Following facilities / benefits will be given to Vendors registered with MSE (Micro & Small Enterprises):- (i) Issue of Tender sets free of cost.

    (ii) Exemption for payment of Earnest Money Deposit.

    (c) Vendors registered with MSE are eligible for the following benefits in accordance with the Public Procurement Policy for Micro & Small Enterprises, 2012.

    i) For 20% value of a tender, purchase preference to the tune of 15% to be accorded to all participating MSEs in that particular tender subject to their acceptance of lowest quoted price.

    ii) In case multiple bidders falling under the above category, purchase preference to be accorded in equal proportion within a limit of quantity allocated for this purpose as above.

    iii) In case any of such MSE is owned by SC/ST category entrepreneur, then that organization will be entitled for 4% out of 20% reserved for this purpose and of equal proportion of the balance 16%.

    iv) MSE will be entitled for free tender documents and exemption from submission of EMD.

    (d) Following confirmation in techno-commercial bid is requested from vendors registered with MSE along with documentary evidence as deemed appropriate:

    (i) Whether MSE registered? If YES then you have to submit scanned copy of Valid Registration Certificate & EMII Certificate failing which benefits cannot be extended to the firm.

    (ii) Whether MSE registered firm is owned by entrepreneur belonging to SC/ST category? If YES, then documentary evidence to be submitted, failing which, benefits as detailed in 3(iii) cannot be extended to the firm.

    2.13.3 Rate quoted must cover all items of incidents, transport, conveyance, taxes, octroi etc. for the completion of work. All rates shall be quoted on the tender schedule both in figures as well as in words. In case of any discrepancy found between the rate/amounts quoted in figures and words, the rate/amounts quoted in words will be considered for acceptance. Tenderer shall initial all correction and sign with date on each page of the tender. In case of any discrepancy the rate/total value written in words shall be accepted. If there is any conflict between the Tender Notice in English and those in any other language or languages, the English version shall prevail and be followed.

    2.13.4 The quotation shall be valid for acceptance for a period of 120 days from the date of

    submission. Tenderers are advised to inspect and examine the local & site conditions and its surroundings means of access to site as well as nature of work before submitting the tender. No extra charges/claims subsequent of any misunderstanding or otherwise shall be allowed.

    2.14 GUARANTEE, WARRANTY AND REMEDY OF DEFECTS:

    2.14.1 Contractor must warrant that they shall perform the work in a first class, workman-like, and professional manner and in accordance with the highest degree of quality, efficiency, and with the state of the art technology and in conformity with all specifications, standards and drawings set forth or referred to in the Technical- Scope of Work and with instructions and guidance which the GRSE Ltd may, from time to time, furnish to the Contractor.

    2.14.2 IfGRSE Ltd discover at any time during the tenure of the Contract or within the

    Performance Liability Period of the Contract that the work carried out by the contractor does not conform to and perform as per terms and conditions of the Contract, Contractor shall after receipt of notice from Company, promptly perform all corrective work required to make the services conform to the Warranty. Such corrective work shall be performed entirely at Contractor's own expenses. If such corrective work is not performed within a reasonable time, the Company, at its option, may have such remedial work carried out by others and charge the cost thereof to Contractor, which the Contractor must pay promptly. In case Contractor fails to perform remedial work, the performance security shall be forfeited.

    2.14.3 All Goods or Materials shall be supplied strictly in accordance with the

    specifications, drawings, data sheets, other attachments and conditions stated in the Contracts.

    2.14.4 The Contractor guarantees that the Goods or Materials supplied under the Contract are new, unused, of the most recent or current models and incorporate all recent improvements in design and materials unless provided otherwise in the Contract. The Contractor further warrants that the goods supplied under this Contract shall have no defect arising from design, materials or workmanship.

    2.14.5 No deviation from such specifications or alterations or of these conditions shall be

    made without agreement with the GRSE LTD in writing, which must be obtained before any work against the order is commenced. All materials supplied by the

    CONTRACTOR pursuant to the Contract (irrespective of whether engineering, design data or other information has been furnished, reviewed or approved by Company) are guaranteed to be of the best quality of their respective kinds, (unless otherwise specifically authorized in writing by Company) and shall be free from faulty design, workmanship and materials, and to be of sufficient size and capacity and of proper materials so as to fulfill in all respects operating conditions, if any, specified in the Contract.

    2.14.6 GRSE shall be at liberty to realizeand enforce payment of thePerformance Guarantee for non-fulfillmentand unsatisfactory performance of theContract without anynotice or reference tothe Contractor.

    2.14.7 GRSE Ltd may, at its option, remove such defective materials, at CONTRACTORS

    expense in which event CONTRACTOR shall, without cost to GRSE Ltd and as promptly as possible, furnish and install proper materials. Repaired or replacement materials shall be similarly guaranteed by the CONTRACTOR for a period of not less than five years from the date of replacement/ repair.

    2.14.8 In the event that the materials supplied do not meet the specifications and/ or not in

    accordance with the drawings data sheets or the terms of Contract and rectification is required in site, GRSE LTD shall notify the CONTRACTOR giving full details of differences. The CONTRACTOR shall attend the site within 3 (three) days of receipt of such notice to meet and agree with representatives of COMPANY, the action required to correct the deficiency. Should the CONTRACTOR fail to attend meeting at site within the time specified above, GRSE LTD shall immediately rectify the work/ materials and CONTRACTOR shall reimburse GRSE LTD all cost and expenses incurred in connection with such trouble or defect. In case the Contractor fails to perform remedial work, the Performance Bank Guarantee shall be invoked.

    2.15 INSURANCE: The contractor shall arrange insurance to cover all risks in respect of their personnel, materials and equipment belonging to the contractor or its subcontractor during the tenure of the contract.

    2.16 STATUTORY ACTS FOR DEPLOYMENT OF CONTRACTOR LABOUR 2.16.1 The contractor is required to pay all legal dues to the workmen engaged by him, as

    per the laws in force. The relevant acts which are to be complied with in this connection are contract labour (Regulation & Abolition) Act 1979, P. F. Act 1952, Bonus Act 1965, ESI Act 1948. WB House Rent Allowance Act 1974 & Gratuity Act 1972.

    2.16.2 The Contractor shall not make GRSE Ltd liable to reimburse the Contractor to the

    statutory increase in the wage rates of the contract labour appointed by the Contractor. Such statutory or any other increase in the wage rates of the contract labour shall be borne by the Contractor.

    2.16.3 The Contractor shall not engage labour below 18 (eighteen) years of age under any

    circumstances.

    2.17 TERMINATION: 2.17.1 TERMINATION ON COMMISSIONING OF THE PLANT & EXPIRY OF THE

    DURATION OF OPERATION: The Contract shall be deemed to have been completed on successful commissioning of the plant and completion of its Operation for 5 years thereafter.

    2.17.2 TERMINATION ON ACCOUNT OF FORCE MAJEURE:

    Either party shall have the right to terminate the Contract on account of Force Majeure.

    2.17.3 TERMINATION ON ACCOUNT OF INSOLVENCY:

    In the event that the Contractor at any time during the term of the Contract, becomes insolvent or makes a voluntary assignment of its assets for the benefit of creditors or is adjudged bankrupt, then GRSE Ltd shall, by a notice in writing have the right to terminate the Contract and all the Contractors rights and privileges hereunder, shall stand terminated forthwith.

    2.17.4 TERMINATION FOR UNSATISFACTORY PERFORMANCE:

    If GRSE Ltd considers that, the performance of the Contractor is unsatisfactory, or not up to the expected standard, GRSE Ltd shall notify the Contractor in writing and specify in details the cause of the dissatisfaction. The GRSE Ltd shall have the option to terminate the Contract by giving 15 days notice in writing to the Contractor, if Contractor fails to comply with the requisitions contained in the said written notice issued by the Company.

    2.17.5. TERMINATION FOR DEFAULT:

    GRSE Ltd may, without prejudice to any other remedy for breach of Contract, by written notice of default sent to the Contractor, terminate the Contract in whole or in part: a) If the Contractor fails to deliver any or all of the GOODS/SERVICES within the period(s) specified in the Contract; or b) If the Contractor fails to perform any of their obligations(s) under the Contract, and c) If the Contractor, in either of the above circumstances does not rectify their failure within a period of 30 (Thirty) days (or such longer period as GRSE Ltd may authorize in writing) after receipt of the default notice from the Company.

    2.17.6. TERMINATION DUE TO CHANGE OF OWNERSHIP & ASSIGNMENT: In case the Contractors rights and/or obligations under the Contract and/or the

    Contractors rights, title and interest to the equipment/material, are transferred or assigned without the Companys consent, GRSE Ltd may at its absolute discretion, terminate the Contract. The above clause (i.e. Clause No. 2.19) with all its sub-clauses shall be referred to as Termination Clause of this tender document.

    2.18 CONSEQUENCES OF TERMINATION: 2.18.1 In all cases of termination herein set forth, the obligation of the GRSE Ltd to pay for

    Services rendered / goods supplied as per the Contract shall be limited to the period up to the date of termination. Notwithstanding the termination of the Contract, the parties shall continue to be bound by the provisions of the Contract that reasonably require some action or forbearance after such termination.

    2.18.2 Upon termination of the Contract, Contractor shall return to GRSE Ltd all of

    Companys items, which are at the time in Contractors possession. 2.18.3 In the event GRSE LTD terminates the Contract in whole or in part, pursuant to sub-

    clause 2.18.5, GRSE LTD may procure, upon such terms and in such manner, as it deems appropriate, goods/services similar to those undelivered and the Contractor shall be liable to the GRSE LTD for any excess costs for such similar Goods/Services. However, the CONTRACTOR shall continue performance of the contract to the extent not terminated.

    2.18.4 Notwithstanding any provisions herein to the contrary, the Contract may be

    terminated at any time by GRSE Ltd on giving 15 (Fifteen) days written notice to the Contractor due to any other reason not covered under the above Sub-Clause from 2.18.1 to 2.18.3 and in the event of such termination GRSE Ltd shall not be liable to pay any cost or damage to the Contractor except for payment for Work done as per this Contract up to the date of termination.

    218.5 In the event of termination of contract, GRSE Ltd will issue Notice of termination of

    the contract with date or event after which the contract will be terminated. 2.19 FORCE MAJEURE: 2.19.1. In the event of either party being rendered unable by Force Majeure to perform any

    obligation under the Contract, the relative obligation of the party affected by such Force Majeure will stand suspended as provided herein. The term Force Majeure as employed herein shall mean act of God, strikes, lockouts or other industrial disturbances, acts of public enemy, wars whether declared or not, blockade, insurrections, riots, epidemic, landslides, lightning, earthquake, fire storms, floods, washouts, arrests and restraints of Government, civil disturbances, explosion, breakage or accident to machinery etc. and any other cause, whether of the kind herein enumerated or otherwise which are not within the control of the party claiming suspension, and which by exercise of due diligence such party is unable to prevent or overcome and which renders the performance of the Contract by the said party impossible.

    2.19.2. Upon occurrence of such cause and upon its termination, the party alleging that it

    has been rendered unable as aforesaid thereby, shall notify the other party in writing within Seventy Two (72) hours of the alleged beginning and ending thereof, giving full particulars and satisfactory evidence in support of its claim.

    2.19.3. Should `Force Majeure' condition as stated above occurs and should the same be

    notified within seventy two (72) hours after its occurrence, both the parties shall

    have no obligation. Either party will have the right to terminate the Contract if such `Force Majeure' condition continues beyond fifteen (15) days with prior written

    notice. Should either party decide not to terminate the Contract even under such condition, no payment would apply. Time for performance of the relative obligation suspended by the Force Majeure shall then stand extended by the period for which such cause lasts. The above clause (i.e. Clause No. 2.17) with all its sub-clauses shall be referred to as Force Majeure Clause of this tender document.

    2.20 ARBITRATION:

    (i) If at any time before, during or after the contract period, any unsettled claim, question, dispute or difference arises between the parties, upon or in relation to or in connection with or in any way touching or concerning this tender / agreement /supply order (retain whichever is applicable) the same shall bereferred to the Chairman & Managing director (CMD in short) or the Managing Director (MDin short); as the case may be of Garden Reach Shipbuilders & Engineers Ltd. (GRSE Ltd in short) for adjudication of the said disputes or differences as sole Arbitrator, in accordance with the provisions of the Arbitration and Conciliation Act, 1996.

    (ii) If the CMD or MD of GRSE Ltd so desires, may nominate/ appoint another officer of GRSE Ltd. or a person, whom he thinks fit and competent for adjudication of the disputes or differences; referred to him as the sole Arbitrator.

    (iii) Such Arbitration shall, in all respects, be conducted in accordance with the provisions of the Arbitration and conciliation Act, 1996 and the rules framed there under or any statutory modification or re-enactment thereof for the time being in force.

    (iv) The Award of the sole Arbitrator shall be final, conclusive and binding upon

    the parties.

    (v) In the event of the death or resignation for any reason whatsoever of the said sole Arbitrator, appointed by the said CMD or MD of GRSE Ltd, on an application form either of the parties in this behalf, shall act himself as the sole Arbitration or nominate / appoint, in place of outgoing Arbitration, another officer of GRSE Ltd. Or a person whom he thinks fit and competent to adjudicate the said disputes and differences in accordance with law.

    (vi) Also in the event of an arbitration award is set aside by a competent court on an application form either party and unless otherwise ordered by the said court, the CMD or MD of GRSE Ltd; on an application form either party, shall himself act as sole Arbitrator or nominate / appoint another officer of GRSE Ltd. or a person whom he thinks fit and competent to adjudication the disputes and differences in accordance with law.

    2.21 SUBCONTRACTING:

    2.21.1 Contractor shall not subcontract or assign, in whole or in part, its obligations to perform under this contract, except with Company's prior written consent. In the eventuality of sub-contracting of work, Owner/ Company will be informed in advance. However, the Contractors liability or obligations will not get altered / delegated to sub-Contractor. If any Sub-Contractor engaged upon the work at the site executes any work which in the opinion of the engineer in-charge is not in

    accordance with the contract documents, the Owner/ company may give written notice to the Contractor advising him to terminate such sub-contracts and the Contractor on the receipt of such notice shall terminate such contracts.

    2.22 POWER OF ENTRY

    2.22.1. In case the Contractor does not commence the work in the manner described in the contract documents at any time in the opinion of the Engineer in charge.

    i) Fails to carry on the works in conformity with contract document /schedule or

    ii) Substantially suspend work or the works for a continuous period of 14 days without permission from the engineer in charge, or

    iii) Fails to carry on and execute the works to the satisfaction of the Engineer-in- Charge, or

    iv) Commits or permit any other breach of any of the provisions of the contract on his part to be performed. or

    v) If the Contractor abandons the works, or

    vi) If the Contractor during the continuance of the contract becomes bankrupt.

    The Owner shall have the power to enter upon the works and take possession of the materials, temporary works, equipment, tools and stocks thereon, and to revoke the Contractor's order to complete the works by their agents, other Contractors or workmen.

    2.23 MISCELLANEOUS PROVISIONS:

    2.23.1 Contractor shall give notices and pay all fees at their own cost required to be given or paid by any National or State Statute, Ordinance, or other Law or any regulation, or bye-law of any local or other duly constituted authority as may be in force from time to time in India, in relation to the performance of the services and by the rules & regulations of all public bodies and companies whose property or rights are affected or may be affected in any way by the services.

    2.23.2 Contractor shall conform in all respects with the provisions of any Statute, Ordinance of Law as aforesaid and the regulations or bye-law of any local or other duly constituted authority which may be applicable to the services and with such rules and regulation, public bodies and Companies as aforesaid and shall keep GRSE Ltd indemnified against all penalties and liability of every kind for breach of any such Statute, Ordinance or Law, regulation or bye-law.

    2.23.3 During the tenure of the Contract, Contractor shall keep the site where the services are being performed reasonably free from all unnecessary obstruction and shall store or dispose of any equipment and surplus materials and clear away and remove from the site any wreckage, rubbish or temporary works no longer required. On the completion of the services, Contractor shall clear away and remove from the site any surplus materials; rubbish or temporary works of every kind and leave the whole of the site clean and in workmanlike condition to the satisfaction of the Company.

    2.23.4 Key personnel should not be changed during the tenure of the Contract except due to sickness/death/resignation of the personnel in which case the replaced person should have equal experience and qualification, which will be again subject to approval, by the Company.

    2.24 SECURITY DEPOSIT CUM PERFORMANCE BANK GUARANTEE (SPBG):

    2.24.1 Within 15 days of the date of purchase order, the Contractor shall furnish security

    deposit amounting 10% of order value except the Operation charges in the form of bank guarantee issued by any scheduled banks (other than Cooperative Banks) in favour of Garden Reach Shipbuilders & Engineers Ltd. towards successful execution of contract . This BG shall be refunded / returned on successful commissioning of the project and acceptance of the system by GRSE without any interest. The Security Deposit in the form of BG shall be submitted in the prescribed format. The said Security Deposit may only be released against submission of Performance Bank Guarantee of equivalent amount.

    2.24.2 The contractor shall submit Performance Bank Guarantee after successful execution of commissioning work amounting 10% of order value except the Operation charges as mentioned in Clause No.4.10 shall be payable to the GRSE Ltd as compensation for any loss resulting from Contractors failure to fulfil their obligations under the Contract without prejudice to any of the rights or remedies the GRSE Ltd may be entitled to as per terms & conditions of the Contract. The proceeds of the Performance Bank Guarantee shall also govern the successful performance of goods & services during the entire period of Warrantee/Guarantee.

    2.24.3 The performance Bank Guarantee, specified above, must be valid forfive years as

    mentioned in Clause No. 2.24.2. GRSE Ltd will discharge the same not later than 30 days after the expiry of Period of Liability.Such Bank Guarantee shall be furnished in the Proforma as per AnnexureIII. Alternatively the PBG may be submitted on yearly basis with the condition that renewed BG shall be submitted within 15 days prior to expiry of previous BG failing which the previous BG may be invoked

    2.24.4 In case of shortfall in quoted NMGG in a block period of two years, compensation

    will be recovered from the date of commissioning and after completing the particular block years. But the NMGG shall be worked out for every year. For a particular block period, compensation at the rate for sale of power to Discom for the block period shall be charged. The compensation shall be paid by the contractor or shall be recovered from any payment due to contactors performance Bank Guarantee for deficiency in generation.

    2.24.5 GRSE shall be at liberty to realize and enforce payment of the Performance

    Guarantee for non-fulfilment and unsatisfactory performance of the Contract without any notice or reference to the Contractor.

    2.24.6 The Bank Guarantee shall remain binding notwithstanding such variations,

    alterations or extensions of completion time. 2.24.7 The said Performance Guarantee deposit shall not in any way be construed as a

    limitation of the Contractor's responsibilities or liability pertaining to its obligations and/or guarantees under the contractor and shall be without prejudice and in

    addition to any other remedies available to GRSE in terms of the contract and/or the laws of the land.

    2.24.8 If the Contractor/Sub-contractor or their employees shall break, deface or destroy the property belonging to GRSE or others during the execution of the contract, the same shall be made good by the Contractor at his own expense and in default thereof. GRSE may cause the same to be made good by other agencies and recover expenses from the Contractor for which the certificate of GRSE shall be final.

    2.24.9 All Bank charges and all other charges in connection with bank guarantee shall be borne by the contractor.

    2.24.10 Bank Guarantee to be issued by any scheduled banks (other than Cooperative Banks).

    2.24.11 The SPBG shall not accrue any interest.

    2.25 PROCEDURE FOR SUBMISSION OF BANK GUARANTEE: 2.25.1 Bank Guarantee should be executed on the non-judicial stamp paper of Rs.50/-

    which should be obtained in the name of the executing Banker. In case a single stamp paper of Rs.50/- is not available, stamp paper of multiple denomination is acceptable provided serial no. of such stamp paper are consecutive and are purchased on the same date. Bank Guarantee should be executed strictly as per GRSEs Format. Any alteration in the writing is required to be authenticated by the signatory executing the Bank Guarantee under official seal. B.G. must be submitted in bankers sealed envelope directly to our Finance Dept.

    2.26 INVOKATION OF PERFORMANCE BANK GUARANTEE:

    2.26.1 In the event of the Contractor failing to honour any of the commitments entered into

    under the Contract and/or in respect of any amount due from the Contractor to the Company, GRSE Ltd. shall have an unconditional option under the guarantee to invoke their performance bank guarantee and clear the amount from Bank.

    2.27 LIQUIDATED DAMAGES / COMPENSATION FOR DELAY:

    2.27.1 Completion time is the essence of the Contract and the same shall be firm and

    binding. The Bidder shall complete all activities of the Project viz. design, preparation of detailed project report, engineering, manufacture, supply, storage, all civil works, and installation, erection, testing, commissioning, and interconnection with State grid of Solar Power plant within the scheduled completion period.If the contractor fails to complete the work within the stipulated time, the agency shall be liable to pay GRSE as penalty @ 1 % of the order value for every week of delay or part thereof, subject to a maximum of 10 % of the order value.

    2.27.2 Commissioning will be considered for the project as a whole when 100 kWp Solar power plant has been interconnected with LT bus and conjunction with the State Grid supply

    2.27.3 The Bidder shall indicate duration of all the activities in activity chart in conformity with the overall schedule of the completion of project. Bidder shall submit the activitychart in form of Bar Chart which shall be discussed and finalized and shall be a part of Contract.

    2.28 ASSOCIATION OF COMPANY'S PERSONNEL:

    2.28.1GRSE Ltd may depute one or more than one representative (s) / Engineer (s) to act

    on its behalf for overall co-ordination and operational management at location. The Companys representative will be vested with the authority to order any changes in the scope of work to the extent so authorized and notified by GRSE Ltd in writing. Companys representative shall liaise with the Contractor and monitor progress to ensure timely completion of the jobs. Companys representative shall also have the authority to oversee the execution of jobs by the Contractor and to ensure compliance of provisions of the Contract.

    2.28.2 The Companys representatives shall have free access to all the equipment of the

    Contractor during operations as well as idle time for the purpose of observing / inspecting the operations performed by the Contractor in order to judge whether, in the Companys opinion, the Contractor is complying with the provisions of the Contract.

    2.29 SAFETY

    2.29.1 Upon arrival of Plant and Equipment/Material at the Site, the Contractor shall

    assume custody thereof and remain responsible thereafter for safe custody until the whole plant is handed over.

    2.29.2 Adequate fire fighting equipment and extinguishing agents of sufficient capacity and quantity must always be available at site and kept ready for immediate use. Sufficient number of workmen must be fully trained in the use of such equipment and must be available for immediate intervention at all times.

    2.29.3 All inflammable materials and especially all inflammable liquids and gases must be stored at a sufficient large distance from the property under construction or erection and from any hot work.

    2.29.4 Welding, soldering or the use of an open flame in the vicinity of combustible material is only permitted if at least one workman suitably equipped with extinguishers and well trained in fire fighting is present.

    2.29.5 At the beginning of work, all fire-fighting facilities must be checked thoroughly.

    2.29.6 Explosives shall not be used at the site by the Contractor without the permission in writing of GRSE and only in the manner and to the extent to which they have prescribed. Where explosives are used by the Contractor, the same shall be transported to the site in explosive proof van and stored in a special magazine to be provided by and at the cost of the Contractor, who shall be liable for all damages loss or injury to any person or property and shall be responsible for complying with all statutory obligations in these respects. The contractor shall employ only licensed blasters.

    2.29.7 The contractor shall for the duration of the contract, maintain in good order and condition all such protective apparel and equipment (such as safety helmets, safety belts, gloves etc.) for all their workmen and staff engaged for contract work as may be required to be used by Law and by GRSE. The contractor shall ensure that such protective apparel/ equipment are worn and used by their workmen and staff without fail. In case GRSE notices any non-compliance thereto, GRSE will not only be entitled to make alternative arrangements for the same but recover cost and damages plus GRSEs own charges @ 20% or as deemed fit by the company, on his account.

    2.29.8 The contractor shall follow the safety instructions as mentioned in Annexure-VIII.

    2.30 PROTECTION OF PROPERTY AND EXISTING FACILITIES: 2.30.1.The Contractor shall perform each work in such a manner as will prevent damage to

    the Companys property and conform to and are consistent with, operational practices of shipbuilding industries. Any permanent damage /loss to the Companys assets due to actions undertaken by the Contractor in order to provide the services envisaged under this Contract shall have to be remedied by the Contractor, entirely at their own cost. This cost shall include and not be limited to actual replacement of such damaged assets or payment of actual replacement cost in relation thereto as may be incurred by the Company.

    2.30.2. The CONTRACTOR shall take sufficient care in moving their plants, equipments

    and materials from one place to another so that they do not cause any damage to any person or to the property of GRSE LTD or any third party including overhead and underground cables and in the event of any damage resulting to the property of GRSE LTD or of a third party during the movement of the aforesaid plant, equipment or materials, the cost of such damages including eventual loss of production, operation or services in any establishment as estimated by GRSE LTD or ascertained or demanded by the third party shall be borne by the CONTRACTOR.

    2.31 PERFORMANCE OF WORK: 2.31.1. The Contractor shall submit daily reports to EIC detailing progress of different

    operations as per the scope of the work. The Company, at its option may change the periodicity of such reports. In addition, they shall submit the complete job report (with all pertinent details to serve permanent record) within 15 (Fifteen) days from the date of completion of each individual job. The manner and the speed of execution and maintenance of the operations are to be conducted in a manner to the satisfaction of the Companys representative. Should the rate of progress of the operations or any part of them is at any time too slow in the opinion of the Companys representative; (to ensure completion of the operations within schedule) the Companys representative may so notify the Contractor in writing. The Contractor shall reply to the written notice giving details of the measures, which they proposes to take to expedite the operations. If no satisfactory reply to the Companys notice is received in seven days, GRSE Ltd shall be free to take necessary actions as deemed to be fit.

    2.32 PERMITS & CERTIFICATES: 2.32.1 The Contractor shall procure, at their expense, all necessary permits, certificates

    and licenses required by virtue of all applicable laws, regulations, ordinances and other rules in effect at the place where any of the works is to be performed, and Contractor further agrees to hold GRSE LTD harmless from liability or penalty which might be imposed by reason of any asserted or established violation of such laws, regulations, ordinances or other rules. GRSE LTD will provide necessary permits for Contractors personnel to undertake any work in India in connection with Contract.

    2.33 POLLUTION AND CONTAMINATION:

    arising out of or resulting from any of the Contractors services/operation unless such pollution or contamination is for reasons beyond the control of the Contractor.

    3 TECHNICAL SPECIFICATION:

    The successful bidder should be undertaken following job: -

    3.1 The scope of this specification shall cover the followings :

    (a) Preparation of Detailed Project Report (DPR) / Project Proposal in compliance with latest provisions of Jawaharlal Nehru National Solar Mission (JNNSM) of GoI, launched by Ministry of New & Renewable Energy (MNRE)for submitting project proposal to MNREtowards installation of100 kWp capacity Grid Interactive roof top SPV power plant at southern side roof top of Electrical Department to cater total load requirement of Planning Department, GRSE Ltd. 43/46 Garden Reach Road , Kolkata 700 024. Approval of DPRincluding sanction of Central Finance Assistance (CFA) from MNRE should also be arranged by the agency.

    (b) Design, engineering, manufacture, quality surveillance, testing at manufacturers works, packing, and supply ,erection testing and commissioning and performance testing of 100 kWp grid interactive roof top solar photovoltaic system (GIRTSPVS) with associated components for successful installation at the roof top of Electrical Department, GRSE Ltd. 43/46 Garden Reach Road , Kolkata 700 024.

    (c) Net metering of power with concerned CESC for grid connectivity shall be arranged by the agency.

    3.1.1 These systems shall be completed with PV modules, inverter, metering,

    junction boxes, AC, DC distribution boards and cables, communication interface, and any other equipment necessary for safe and efficient operation of the GIRTSPVS.

    3.1.2 The work shall also include interconnection of GIRTSPVS with the grid.

    3.1.3 The scope of supply shall also include comprehensive insurance, storage & in-transit transportation.

    3.1.4 The civil works for installation of complete system shall also be in scope of supplier.

    3.1.5 The scope of work shall also include operation and maintenance of the GIRTSPVS for twenty five years from the date of commissioning. However the prices for the same shall also be separately indicated in the bid.

    3.1.6 The scope of supply shall also include essential spares necessary for operation, routine maintenance and testing of equipment.

    3.1.7 It is not the intent of this specification to specify completely herein all the details of design and construction of equipment. However, the equipment offered shall conform in all respects to high standards of engineering, design and workmanship and be capable of performing in commercial operation up to Bidder's guarantee in a manner acceptable to the purchaser, who will interpret the meaning of drawings, specification and shall have the power to reject any work or materials, which in their judgment are not in full accordance therewith.

    3.1.8 It shall be responsibility of the Bidder to ensure that all the works as per scope of the specification are to be completed for safe and efficient working of the system.

    3.1.9 All the necessary co-ordination with regard to sub-contracted items shall be carried out by the Bidder. The purchaser/Engineer will communicate only with the Bidder for all matter pertaining to this contract.

    3.1.10 It shall be responsibility of the Bidder to obtain all necessary clearances from the competent authorities.

    3.1.11 The total price quoted for this contract shall be on lumpsum all-inclusive basis and shall cover all items and service necessary for successful completion of the contract. Even if all components of a system included in this specification are not explicitly identified and /or listed herein, these shall be supplied under this contract to ensure completion of the system and facilitate proper operation and easy maintenance of the plant. Changes in the quoted lump sum price would be permissible only in case of addition/deletion of one or more system/ equipment /service.

    3.1.12 The breakup of lump sum price shall also be given for clarity and any addition and deletion.

    3.1.13 Considering the reliability of the grid, no electrical storage batteries shall be required as excess electricity generated by the solar panels which are not required by the equipments/devices in the building premises shall be exported to grid.

    3.2 COMPLETENESS OF EQUIPMENT

    All the fittings and accessories that might not have been mentioned specifically in the specification but are necessary for successful commissioning of the project shall be deemed to be included in the specification and shall be supplied and furnished by the Contractor without any extra charge.

    3.3 CODES AND STANDARDS 3.3.1 All Equipment and accessories shall comply to requirement of standards

    published by Bureau of Indian Standards (BIS). In case no BIS codes exist the equipments shall meet the requirement of international standard including IEEE for design and installation of grid connected PV system. The list of standards adopted shall be indicated in the bid.

    3.3.2 The SPV Module must be provided with acceptable Test & Certified documents.

    3.3.3 The quality of supplied equipment shall meet the guidelines of following standards and codes listed below :

    3.6PV ARRAYS 3.6.1 The PV modules convert the light reaching on them into DC power. The amount of

    power produced by PV modules is roughly proportional to the intensity and the angle of the light reaching them. They are therefore required to be positioned to take maximum advantage of available sunlight within site constraints. Supplier will position the PV modules in such a manner that the maximum power is obtained with the sun's movements during the day.

    3.6.2 Supplier shall follow the latest engineering practice; ensure long-term compatibility requirements and continuity of equipment supply and the safety of the operating staff.

    3.6.3 The PV power project developers are required to optimize generation of electricity in terms of kWh generated per kWp of PV capacity installed vis--vis available solar radiation at the site (may be obtained through use of efficient electronics, lower cable losses, maximization of power transfer from PV modules to electronics and the grid, maximization of power generation by enhancing incident radiation by optional methods like seasonally changing tilt angles etc).

    3.6.4 The system shall be designed such that personnel without any background knowledge in Microprocessor-based technologies are able to operate the system. The operator interface shall be intuitive such that operating personnel shall be able to operate the system easily after having received some basic training.

    3.6.5 Raw materials(solar Cells) and technology employed in the moduleproduction processes shall have to be certified and a certificate giving detailsof major materials i.e. cells, Glass, back sheet, their makes and data sheetsto be submitted for the modules by the bidder.

    3.6.6 The SPV cells shall be manufactured using unique highly efficient diffusion process or any other technology in vogue so as to ensure uniform diffusion profiler to achieve close spread and higher efficiency for each cell.

    3.6.7 Stabilized net output of the Solar PV Array for the Solar Power System should not be less than the Nominal design level for the System under Standard Test Condition.

    3.6.8 The predicted electrical degradation of power generated not exceeding 20% of the minimum rated power over the 25 year period and not more than 10% after ten years period of the full rated original output (As per MNRE Standards).

    3.6.9 Photo electrical conversion efficiency of GTRTSPVS module shall not be less than 13%. The bidder shall indicate minimum module efficiency.

    3.6.10 Fill factor of the module shall not be less than 0.7.

    3.6.11 The bidder shall provide the sample solar PV module electrical characteristics including current-voltage (I-V) performance curves and temperature coefficients of power, voltage and current. However, the tabulated document with all the relevant data like voltage, current, power output for all the modules also to be provided.

    3.6.12 The PV modules shall be suitable for continuous outdoor use.

    3.6.13 The PV module shall be made of high quality laminated in ultra violet stabilized polymer material such as Ethyl Vinyl Accelerate (EVA), Tedler, toughend class. The size of single crystalline silicon PV cells shall be so chosen so as to maximize energy density and align with economies of scale.

    3.6.14 PV module shall be provided with frame of anodized channels for size and simplicity in installation offered as a single module or series parallel combination of modules. The PV module shall be provided with screen-less frame with solar cable and connector.

    3.6.15 The PV modules shall be equipped with by pass diode to minimize power drop caused by shade.

    3.6.16 The PV modules shall be made of light weight cells, resistant to abrasion, hail impact, rain, water and environmental pollution. The PV modules shall be provided with anti reflection coating and back surface field (BSF) structure to increase conversion efficiency.

    3.6.17 The PV module shall use lead wire with weatherproof connector for output terminal. The box shall have hinged, weather proof lid with captive screws and cable gland entry points or may be of sealed type and IP65 rated.
