59th Annual Meeting MinutesMarch 16, 2016Chairman Lemcke called the meeting to order at 6:00 p.m. in the Dr. Dale D. Gust Board and Conference Room of the credit union headquarters building at 2400 S. Isabella Rd., Mt. Pleasant, MI 48858.

I. Roll Call – There were 56 voting members in attendance (56 total). Chairman Lemcke declared a quorum and commenced with the meeting. Directors Present: Diane Benford, William Bluemer, Daniel Bragg, Robert Denslow, Sherrill Kennedy, William Lemcke, Charles McCollom, Mike Metro, Tina Powell and Associate Members Kevin Chamberlain and Amanda Schafer. Absent: Associate Member Tom Olver

II. Members reviewed the 2015 Annual Meeting Minutes, dated March 18, 2015.

Dale Gust moved to accept the 2015 Annual Meeting Minutes as presented. Linda Sears seconded. Motion carried unanimously.

III. Chairman Lemcke presented the Chairman’s Report and introduced the Board of Directors (Board) and the new Associate Members. He recognized Dr. Dale Gust and his 42 years of commitment he gave to Isabella Community Credit Union (ICCU). Mr. Lemcke talked about 2015 being a monumental year for ICCU with having reached 100 million in assets. He thanked the membership for the contribution they make toward ICCU’s growth by word of mouth. He stated that over 50% of new members are referrals from friends and relatives of current members. Mr. Lemcke mentioned that during the process of adding Associate Members to the makeup of the Board, the board wanted representation from all demographics and age groups. He explained the roll of the Associate Member, which is to step in to a Board position in case of vacancy. They also give opinions and participate in discussions; however, they do not have the ability to vote. Mr. Lemcke informed the membership that ICCU is doing well for many reasons and that we are not interested in becoming complacent. He informed the membership about the

Strategic Planning meeting that Board and Management attend to become bigger and better with a vision of where we want to be. Mr. Lemcke said we are going Onward and Upward. Mr. Lemcke wondered if ICCU’s name is too long, confining or cumbersome. He said that no matter what it is, “community” needs to be in it as it is important to ICCU’s philosophy and operation.

IV. Members reviewed the Credit Committee Report as included in the Annual Report.

Dale Gust moved to accept the 2015 Credit Committee Report as presented. Jamie Funnell seconded. Motion carried unanimously.

V. Treasurer Charles McCollom presented the Treasurer’s Report. Mr. McCollum highlighted key items on the Balance Sheet and Income & Expense Report included in the Annual Report.

Mr. McCollom stated that Loan Growth ended at 6.93%. The Loan to Savings ratio ended the year at 66.77%. Ideally, ICCU would like that to be between 80% and 85%.

Mr. McCollom reported that Total Savings Deposits increased 7.76%, which is a healthy rate of growth. Assets increased 7.37%, reaching the $100 million mark at the end of February 2015.

Interest Income increased 9.54%. Mr. McCollom stated that we are doing very well because we are making more loans.

Dividend/Interest Expense decreased a little again this year, from $265,551 to $264,835.

Provision for Loan Losses Expense increased 136% due to increasing loan growth. Mr. McCollom explained that the Provision for Loan Losses expense account is used to adjust the Allowance for loan Losses account on the asset side of ICCU’s balance sheet. The Allowance for Loan Losses is a reserve account set up for future loan losses.

Non-Interest increased again this year from $1,782,230 to $1,830,086.

Non-Interest (Operating) Expense increased by 3.40%. Mr. McCollom stated that generally, operating expenses are going to increase every year. This area includes employee compensation and benefits. He stated this increase includes an increase to the marketing budget in order to invest in ICCU’s future.

Net Income increased by 18.52%, which was the second largest year in ICCU’s history, the first being 2007 when ICCU sold the facility on Mission.

Mr. McCollom reported that ICCU’s Return on Assets (ROA) was at 0.54% and that we would like to reach 1.00%.

Mr. McCollom informed members present that ICCU is required by law to have an audit. The accounting firm of Cindrich, Mahalak & Co., P.C. performed the last audit as of December 31, 2015 and there were no significant findings.

Mr. McCollom stated that ICCU had a terrific year and that we are in a position to become stronger, that we are surviving, profiting, and growing. He thanked the staff and opened for questions. Mr. McCollom was asked approximately what ICCU lost in charged off loans in 2015. Mr. Anders answered that, while unsure of the exact amount, it was around $300,000, with about half of that coming back in recoveries.

Jenny Hoyle moved to accept the Treasurer’s Report as presented. William Bluemer seconded. Motion carried unanimously.

VI. President/CEO Jay Anders presented the President’s Report. Mr. Anders showed a PowerPoint to the membership of some new products that came out in 2015 and informed them of what each one was.

Money Desktop in It’sMe247 – This is an online money-management tool that is integrated into It’sMe247 Online Banking used for budgeting, Account Aggregation, Categorization and Expense Tracking. It offers mobile access and has security features to keep your information safe and it’s free.

Youth & Reloadable Prepaid Debit Cards – The cards offer direct deposit of paychecks, have no credit

checks, more control because the member spends only what they load, it can be used anywhere debit cards are accepted, it can be used online or over the phone, it can be used to get cash out of an ATM machine, you can receive text alerts to help members manage their money on the go, the card and the funds are easily replaced if lost or stolen and youth can learn good money management skills.

EMV “Chip” Credit Cards – the EMV “Chip” card are used to prevent card-present fraud and counterfeiting of cards and it also puts the liability on the weakest link in the process.

In-House Mortgage Loan Servicing – Mortgage payments are posted right here and there is no more middle man. Member can see the payment on their statement and it saves the ICCU membership money.

Square Merchant Services – Square is a free card reader that allows you to accept credit cards quickly and easily with your smartphone. It is great for small merchants, independent distributors and even yard sales. It offers more robust readers for fixed merchant processing.

FHA and VA Mortgage Loans – these help the member get into a home with low to no down payment. You can get a FHA mortgage with 96.5% financing (only 3.5% down) and a VA mortgage for 100% financing for Veterans or active duty military.

Apply Pay™ for VISA Credit Cards – Apple Pay™ is a mobile wallet for newer iPhones. In addition to convenience, it uses tokens so that the merchant does not have the card number, which is more secure in the event of a breach.

TruStage Insurance Program – ICCU partnered with CUNA Mutual Group to offer these insurances. They offer online Auto and Home, Health, and Life insurance products at discount rates for credit union members. There is a 24/7 Claims and Service department.

Lastly, Mr. Anders introduced Ms. Hoyle who went over a PowerPoint presentation of the exciting new products and services that are coming in 2016.

ICCUonline.com – New response design website was launched in January of 2016 and it is optimized for all devices sizes and styles.

It’sMe247 – Online banking is getting a face lift in February of 2016 this is customization is in preparation for our long-awaited mobile app.

ICCU Mobile App – This is expected in May or by the end of the 2nd quarter. It will work for Android and Apple phones. It will allow mobile banking, applying for loans, branch locations, and mobile check deposit.

Mobile Check Deposit – You will be able to deposit a check from anywhere, any time. Deposits will post 4 times per day, 7 days per week, 365 day a year. There will be tiered levels of acceptance, based on ICCU relationship and history and holds may still apply.

eSignatures – You will be able to sign agreements electronically anytime, from anywhere you can receive email. There will be ID Check verification (knowledge-based questions) to ensure we still know who we are doing business with (to protect our members). This is great for loan closings, and, in the future, signature cards and even new membership applications. It will allow eSign maintenance forms on demand from ICCU’s website (e.g. address change, etc.).

New, Improved Security-Enhanced Debit Card – ICCU will do a mass reissue sometime in 2016. Processor considerations and the volume of projects they are working on have caused some delays, but we expect these to be in members’ hands by the end of the year.

EMV Chip Debit – These new cards help prevent card-present fraud and counterfeiting of cards. They also put the liability on the weakest link in the process.

Innovative Voice Response (IVR) – There will be no more mailing of PINS, which makes it more secure. You can select the PIN you want right from the get-go and if you decide to change the PIN, you will not have to come into the office to do so.

CardNav – This mobile app will allow you to manage your card by remote control (your smartphone). ICCU is currently in the final state of vendor review to ensure we can offer securely. You can control when and where the card is used by limiting location, transaction type (e.g. online, ATM), merchant type (e.g. gas station, restaurant), and spending limit. You can turn the card and online shopping on and off. You can see your account information at a glance such as your available balance. You can also set near-real time alerts for transactions, low balance, etc.

Finally, Ms. Hoyle mentioned that Apply Pay™ will also be on the debit card side, not just the credit card side.

Ms. Hoyle opened for questions. She was asked if there was a “single use” credit card. Ms. Hoyle informed the member that the prepaid gift cards could be used for that purpose, but ICCU did not offer a credit card for single use at this time.

IX. Elections – Director Bill Bluemer conducted the election process. The Nominating Committee presented a slate of three candidates as noted on the ballot. The candidates were incumbents Robert Denslow, Mike Metro and Tina Powell. Mr. Bluemer invited any nominations from the floor and, as required, asked three times. Hearing none, Mr. Bluemer entertained a motion to close nominations and cast a unanimous ballot for the three candidates presented.

Charles McCollom moved to close nominations and cast a unanimous ballot for the three incumbent candidates. Gail Zeneberg seconded. Motion carried unanimously thereby electing Robert Denslow, Mike Metro and Tina Powell, each for a three-year term.

X. Adjournment – Chairman Lemcke entertained a motion to adjourn.

Dan Bragg moved to adjourn. Linda Sears seconded. Motion carried unanimously.

Chairman’s Report Each of the last three words in our name, taken collectively and individually, are paramount to the fulfillment of our vision and our success as your financial organization.

First, we are continually mindful of ways we can enrich and support our Community. We constantly strive to ensure that ICCU is involved in the community, promoting and contributing to its development. Whether it be through financial contributions, volunteerism by employees, planning and supporting special events or participation in civic organizations, we are community focused and making a positive impact. Please take a moment to look at some of our community involvement highlights later in this Annual Report.

Credit makes it possible for our members to have reliable transportation, own a home, pursue further education, pay for a vacation or special occasion, or purchase daily goods and services. Providing credit is the economic engine that powers our cooperative. It is essential to our viability and success. As a result, we persistently seek ways to increase loan growth while protecting your money by diligently managing loan risks.

Union speaks to the alliance that comes through ICCU’s structure as a cooperative. We are a not-for-profit financial cooperative, owned by our members. We exist for the benefit of the membership. We share a common bond: a union of members who seek financial comfort and success. We are ‘people helping people’ with the goal of improving the financial well-being of each member within the union.

So…what is the state of the union? As you look at the numbers on the upcoming pages and listen to the reports of the Treasurer and President Anders, it can definitely be said that your Community Credit Union is doing well. The state of the union is solid now. Our success thus far is due primarily to two specific groups of people: employees and members. ICCU

employees: management, those who work on the ‘front lines’ and those behind the scenes, are all dedicated to carrying out the Community Credit Union mission. We are fortunate to have passionate and skilled employees to attract, serve, and retain members. But, as stated before, ICCU exists for you, the members. It is your loyalty and participation in the cooperative that has keyed our success and will stimulate our future progress ‘onward and upward’. We cannot be content, nor rest on our laurels. We must look at how our past accomplishments can shape current efforts, turning them into future successes.

I’d like to add one more thing: In the spirit of the season (since my great grandmother, Minnie Murphy, came straight from Ireland), here is my wish to each and every one of you:

May love and laughter light your days, and warm your heart and home.

Lending Statistics for 2016In 2016, loans decreased $1,838,337 or -2.88 percent. ICCU’s loan-to-share ratio ended the year at 56.90 percent. As with any lending environment ICCU did experience loan losses and charged-off $255,198. With diligent collection efforts the Financial Recovery Department recovered $68,458 in previous losses throughout 2016.

The delinquency rate for ICCU as of December 31, 2016 was .88 percent. According to the National Credit Union Administration (NCUA), the peer average for delinquency was .92 percent, so we were well within the peer average.

President’s Message Welcome to the 60th annual membership meeting of Isabella Community Credit Union!

At risk of sounding like a broken record, I am happy to report to you that we had another good year! Nowadays, anytime \ you can end the year well in the black it’s a good year.

We are growing in both assets and gross income. Assets grew to $120,272,590 at year end, while gross income increased by $463,965. As our assets continue to grow, so will our ability to provide the services that our members value and desire.

During 2016, we increased dividend and interest rates slightly and kept loan rates low. We were pleased to provide our members with some of the best rates available in our area.

Here at ICCU, we are always looking for ways to improve our service to members. Late last year we completed our research and implemented a new service called eSignature. ESignature will give us the ability to remotely verify ID and obtain required member signatures for loans or other legal documents. This process is completed electronically and will make it easier for members to do business with ICCU at a time and place convenient for them – without a trip to the branch office.

In July, we introduced Mobile Check Deposit. Members really like this new service! With the ICCU Deposit mobile app, you can deposit a check into your account simply by using your smartphone to take a picture of both sides of your check and submit it to ICCU. How convenient is that?! Soon you will be able to access this time-saving feature together with traditional mobile banking options – all within the ICCU Mobile banking app, behind a single sign-on. The upgraded “ICCU Mobile 2.0” app is expected in April 2017.

Not everything we did to increase member service last year was electronic. We also installed a second drive-up ATM at our main office on Isabella Road.

The new machine is heavily used and is actually bringing in more foreign transaction fees. Foreign transactions are those made by non-members – the surcharges assessed for these transactions help pay for the operation of the machine.

Nominees for the Board of Directors As required by Isabella Community Credit Union (ICCU) bylaws, the Nominating Committee of the Board of Directors has submitted its list of nominees. The Nominating Committee’s proposed candidates are listed below, and on the ballot. Any other nominations must come from the floor.

Diane Benford, incumbentMrs. Diane Benford holds a Master’s Degree in Counseling from Central Michigan University. She was previously a school counselor and teacher in Beaverton Community and Mt. Pleasant Public Schools. She was also the Director of the Mt. Pleasant Area Technical Center. Throughout her career, Diane has served on many school and community committees. Mrs. Benford resides in Mt. Pleasant with her husband, Greg.

William Bluemer, incumbentMr. Bluemer retired from the Mt. Pleasant Police Department in February 2012, after 36 years of service. He has served on the Mt. Pleasant Police and Fire Pension Board for several years. Surviving his wife of 29 years, Cheryl, Bill has three children; Lindsey, Jeff, and Matt. Mr. Bluemer is a 40-year ICCU member and has served on the Board of Directors for over four years.

Kevin Chamberlain, incumbentKevin Chamberlain is a lifelong resident of Mt. Pleasant. He grew up on the Isabella Indian Reservation where he was a former Tribal Chief of the Saginaw Chippewa Indian Tribe (1997-1999). He has owned and operated Sweetgrass Productions, which has provided in-house Audio/Visual for the Soaring Eagle Casino & Resort for nearly eight years. He has served on several community committees over the past 25 years and is also a lifelong musician/performer in venues across the State of Michigan. He is also an avid fisherman and hunter. He has been married to his wife, Candy, for nearly 28 years. They have two adult daughters and are very proud grandparents of two little grandsons.

CardNav is a free mobile app that provides an extra layer of security on your debit card by letting you control your card even when a physical card is not needed, such as for online shopping. You can use the CardNav “remote

control” for your new debit card from your smartphone. Visit your app store to download. Here are some of the great features you can enjoy at your fingertips:

• Turn Your Card On/Off: In case your card is lost or stolen, you can make sure transactions won’t process.

• Location Controls: Allow card-present transactions based on the location of your phone or the region you are in. You can also block international transactions.

• Merchant Types: Allow or block transactions from certain types of merchants, such as gas stations, grocery stores, restaurants, and department store

• Transaction Types: Allow or block specific types of transactions including, turning it OFF for online, mail, or phone order transactions until you are ready to make them.

• Spending Limits: All transactions above the specified spending limit will be denied.

• Alerts: Receive alerts for all of your transactions or set up specific alert preferences, such as by selected location(s), merchant type(s), transaction type(s), and spending limit.

Isabella Community Credit Union Members’ Scholarship Fund The Isabella Community Credit Union (ICCU) Members’ Scholarship fund was established in 2010 to provide educational assistance to Isabella County high school seniors who wish to continue their education through an accredited college, university, or trade school. Currently, ICCU has over $61,000 in the fund and we have awarded eleven scholarships totaling $7,650. The funds are controlled and managed by the Mount Pleasant Area Community Foundation in Mt. Pleasant, Michigan. Members are welcome to contribute to the fund. Your gift will most likely qualify for a deduction on your federal taxes. Plus, your donation will live forever.

Chuck served on the Board of Directors for 26 years, from March 1990 through December 2016. He has served as board member, Vice President, and Treasurer. Chuck was a valued member of the board and served when times were good and when times were bad. We valued his

knowledge and commitments. ICCU would not have been so successful without his dedicated volunteerism and business wisdom. Chuck is married to Barbara. They plan to travel and see more of their grandchildren.
