It is with great pleasure that I extend a warm welcome to you to join me in the idyllic surrounds of the Novotel Barossa Valley Resort for the 2016 Barossa Convention.

This year we extend the invitation to our interstate members for this well-respected convention, previously known as the South Australian Convention – particularly those members with a predominantly SME practice. This event – now in its 49th year – has a rich history and tradition which makes it South Australia’s premier event for tax professionals.

This year’s convention will have an unashamedly Barossa theme – from the location and spectacular local Barossa cuisine through to the “Barossa – Be Consumed” gala dinner and on-site local produce market. The Barossa Valley is a fabulous destination, and with a great opportunity to stay up to date, maintain your tax technical knowledge and, importantly, earn valuable CPD hours, why not give this key Tax Institute event a try in 2016. If you’re heading our way from interstate (or indeed are local and wish to participate!), we’ve added a pre- and post-event program to entice you.

Now in its second year, the South Australian “Tour de Tax” bike ride will leave the Adelaide CBD mid-morning on the Thursday and take in some breathtaking vistas as the peloton makes it way to the convention venue, arriving in ample time for the commencement of the convention. You may prefer a round of golf pre-convention – the golf course at the Novotel Barossa Valley Resort is world class. We recommend that you extend your Barossa visit into the weekend. Details of all the pre- and post-activities can be found later in this brochure.

Mixing excellent tax technical sessions with great networking opportunities is what we do best in South Australia, and I would like to sincerely thank the 2016 Program Organising Committee for developing an impressive program. Kicking off the Thursday evening program will be our keynote speaker Simon Steward, QC, who will discuss some of the current challenges facing advisers arising from the interpretation of tax statutes. The Friday morning program picks up from the 2015 success of running a case study throughout each session, and the Friday afternoon concurrent group-based discussion sessions offer the opportunity to get “down and (tax) dirty” on trusts and carrying on a business. We round the technical program off with our ever-popular “Super Saturday” – and no, these sessions are not just for the super experts!

So don’t hesitate, book now and make the most of the advance and early bird registration offers, and ensure 2016 is the year you visit the Barossa.

� The use of extrinsic materials such as explanatory memorandums

� Conflicts within Acts and between Acts

� When the court can otherwise bend (or break!) the literal interpretation of tax statutes to fix perceived mistakes or anomalies.

� The ATO’s views on trust reimbursement arrangements

Our client wants to maximise profit which may mean manufacturing overseas and having a sales team finding new markets around the world. But in chasing the profit, are we being exposed to complicated tax and legal issues? What does all the focus on multinational tax avoidance mean for SMEs?

S6: Manufacture and Sales: The Tax IssuesThis session will provide an overview of tax issues relating to:

� Establishing manufacturing operations overseas, either by owning a factory or third-party contract manufacture

12.00pm–12.45pm S8: Locking in EmployeesIncentivising and retaining employees presents challenges for start-ups as well as more mature private enterprise. Employee equity arrangements are one way for cash-poor businesses to lock in employees and align the direction between board and staff. However, the taxation of these arrangements has historically left employee share schemes underutilised in the SME market.

Recent changes to the employee share scheme rules offer renewed flexibility for companies looking to offer employees some skin in the game.

This session will review:

� The new employee share scheme rules for start-ups and where the advantages lie � Structuring opportunities and traps for non-start up companies � Alternative structures “outside” of the employee share scheme rules.

In developing structures, considerable consideration is given to asset protection – whether it has been by, for example, holding the IP in a separate company or establishing separate companies for the overseas operations. Things don’t always go as planned. Will the asset protection still work? What needs to be considered in the daily operation of the business to ensure the asset protection is not compromised?

1.45pm–2.30pm S10: Vesting Trusts Deeds and Extending Vesting DatesWhile the process of liquidating or deregistering a company is clear, the termination of a trust is often less certain and relies on an understanding of trust law and the relevant trust deed. This session will consider the practical taxation and stamp duty issues arising on the vesting of trust estates, including:

� The process involved in voluntarily vesting a trust deed � Dealing with positions when the trust is about to vest, including the recent Rinehart dispute

� Can the vesting date be extended (possibly forever)? � What if the vesting date has already passed – is it too late to take remedial action?

� Loans made by companies in the course of liquidation � Forgiveness of loans � Existing Div 7A loans upon sale and maximising shareholder return � Strategies to assist with managing Div 7A loans.

Concurrent S12a: Ordinary Trust Dealings within Family Groups – Why Should I be Worried?Section 100A (ITAA36) is relevant to all clients who have a trust in their group with unpaid income distributions. Where s 100A applies, trust income is taxed at 49%. The ATO’s increasing interest in s 100A is alarming because its terms are broad, the ATO has an unlimited time period in which to apply it, the recent ATO guidance on s 100A has brought common scenarios into question, and the safe harbour for “ordinary family or commercial dealings” is not defined anywhere in the legislation. This case-study based session aims to clarify the operation of s 100A and define the goalposts regarding the “ordinary family or commercial dealings” safe harbour by reference to common scenarios now giving rise to concerns, including:

� Loans to individuals where company unpaid present entitlements (UPEs) exist � Loans to individuals on higher tax rates where UPEs to individuals on lower tax rates exist

� Forgiving UPEs for asset protection � Gifting back UPE payments to the trustee or other family members � Offsetting UPE payments against family expenditure.

9.00am–9.45am S13: Are your Superannuation Benefits Safe from Creditors and the ATO? There is a widespread belief that superannuation is protected from almost anything. This may be wrong. Knowing your super is protected is vital if there is to be a confident financial future. This session will take you on a tour of modern superannuation, focusing on bankruptcy issues and possible outcomes and solutions (if any!). From contribution to holding and investment through to entitlement, each step is vital to knowing that your superannuation may survive a challenge, including:

� Ways in which contributions may be attacked � Practical steps for those facing bankruptcy and how to deal with the bankrupt and disqualified member trustee

� Exposure to ATO and other creditor garnishees � Other relevant issues.

Concurrent S12b: Carrying on a BusinessA conclusion will rest on the identification of relevant criteria and their application to the facts of each matter. Case law has generally settled the criteria, although they are not necessarily a closed set. There also remain issues concerning the application of the criteria such as whether the criteria in imposing the subjective test of “purpose” of profit also impose an objective test of some “prospect” of profit and, if so, how the tests work together.

The weight to be given to each of the criteria will differ from case to case. Because the issue is largely facts based in any dispute, significant concern will need to be given to evidentiary issues, including proof of what is considered to amount to a business in relation to the activities of others in similar industries or pursuits.

PRESENTER PROFILESAn overview of our experts

Michael Butler, CTA, is the Partner in charge of Finlaysons’ Tax & Revenue Group and advises domestic and foreign clients on federal, international and state tax matters. He has a special interest in mining and property taxation, corporate restructurings, international tax issues, and estate and succession planning. Michael is the Visiting Lecturer in Tax at the University of Adelaide Law School, and is a regular contributor to The Tax Institute events. Michael is the immediate past Chair of The Tax Institute’s SA State Council.

Fiona Dillon, CTA, is an Assistant Commissioner in the ATO’s Tax Counsel Network. Her responsibilities include the ATO’s public advice and guidance and she is a standing member of the ATO’s Public Rulings Panel. She has extensive experience advising on technical issues in respect of trusts and Div 7A, both at the ATO and in private practice.

Melissa Fardone is an R&D Manager with EY in Adelaide, and has over seven years experience assisting companies with their R&D tax incentive claims both as a consultant and when working for the federal government. Her broader experience includes the development of R&D plans, business process efficiency and commercialisation strategies. Melissa has significant experience with completing commercial assessments of early-stage technologies to determine market pull, commercialisation barriers, pricing strategy and customer target strategy. This also includes assessing the IP position of early-stage technologies and planning and implementation of IP protection strategies.

George Hodson, CTA, is a Partner at Thomson Geer where he advises on a range of taxation, transactional, business structuring, succession planning and tax controversy matters. He acts for a range of private, public and government clients and works closely with businesses, high net worth families, not for profits, accountants and other professional advisers. He has extensive experience in taxation advisory as well as dispute resolution with federal and state revenue authorities. George presents at various industry events and has authored numerous articles for The Tax Institute and other industry publications. He has held a variety of professional committee roles and presently sits on the SA Technical Resource Committee with The Tax Institute.

Sam Howard, CTA, is a Partner with EY in Adelaide and has over 20 years experience in tax consulting, providing advice to a range of corporates and SME clients in Adelaide in areas such as transactions, restructuring and tax consolidation as well as general tax advisory services. Sam leads EY Adelaide’s Tax Reporting practice which involves providing best practice solutions to large corporates and multinationals around managing tax compliance reporting.

Alistair Hutson, CTA, is a Partner in the Corporate Tax Group of PwC in Adelaide. He provides taxation advice and support for corporate clients across areas such as mergers and acquisitions, tax due diligence, capital gains tax, cross-border transactions, international tax structuring, funding decisions and repatriation of profits. Alistair is a member of The Tax Institute’s SA State Council.

Francis Loh, CTA, joined Evans + Ayers as a Partner after spending many years in a Big 4 firm. He has over 20 years experience in consulting to businesses and high net worth individuals in the areas of tax structuring, estate planning, employment taxes and indirect tax. Francis is a Chartered Accountant and has a Master of Tax from the University of Melbourne. Francis is a member of The Tax Institute’s SA Tax Roundtable Committee.

Suzanne Mackenzie, CTA, is Partner and Practice Leader at DMAW Lawyers and has particular expertise in the financial services and superannuation industry having specialised in all aspects of superannuation law since she began practising over 25 years ago. She is the principal adviser to all South Australian large superannuation funds and her practice is involved in working with accountants, advisers and high net worth individuals involved in the self-managed superannuation industry, particularly in complex areas.

Peter Macks of Macks Advisory is a highly experienced adviser, having spent more than 30 years in the business reconstruction industry. In this time, he has been involved in some of the largest and most complex insolvency matters in South Australia and the Northern Territory. He has compiled numerous complex investigative accounting reports, successfully fulfilled many turnaround assignments and led notable formal workouts such as voluntary administrations, liquidations, receiverships and pre-lending reviews on behalf of both banks and borrowers.

Harry Patsias, CTA, is a Partner at Wallmans Lawyers providing specialist tax, superannuation and commercial advice. His areas of expertise include federal and state taxes, superannuation compliance, and commercial and trust law. Harry is experienced in managing and resolving contentious issues with federal and state taxation authorities, including pre-audit risk reviews and taxpayer representation during comprehensive reviews, audits, objections, mediation of taxation disputes and appeals.

Nicole Peterson, CTA, is a Partner at PKF Kennedy (formerly Kennedy & Co Chartered Accountants). Nicole has 15 years experience working in practice in taxation and business services, providing advice to a range of clients including ASX-listed companies and SME clients in Adelaide. She specialises in tax structuring, succession planning, Div 7A and small business CGT concessions. Nicole is a Chartered Accountant and a member of The Tax Institute SA Professional Development Committee.

Tim Sandow, CTA, is the Partner in Charge of Tax at KPMG in Adelaide and has 20 years experience providing tax advice to a variety of private and large public companies as well as individuals. Tim specialises in tax consolidation, tax dispute resolution, tax effect accounting, international tax, mergers and acquisitions, resource taxation and executive remuneration. Tim is the SA Chair of The Tax Institute’s State Council.

Josh Simons is an intellectual property and competition law specialist at Thomson Geer. His practice encompasses all aspects of the creation, acquisition, commercialisation, management, protection, and enforcement of intellectual property rights. He is widely recognised for his expertise in intellectual property commercialisation, including negotiation and implementation of complex multi-jurisdictional licensing arrangements. He also acts for clients in litigation to enforce intellectual property rights, including patents, designs, trademarks, copyright and confidential information, and in actions relating to allegations of passing off and misleading and deceptive conduct. In addition to his legal practice, Josh is the Office Leader of the Adelaide office of Thomson Geer.

Simon Steward, QC, FTI, is a Barrister at Aickin Chambers and specialises in revenue law. Simon took silk in 2009. He has appeared in numerous cases in the Federal Court and High Court, including the recently heard Chevron matter and the BHP Billiton Finance, Noza Holdings, SNF, Roche, WR Carpenter, Bluebottle, McNeil, Citylink and Sun Alliance cases. Simon is also a Senior Fellow in the Melbourne University Faculty of Law and is the immediate past President of the Tax Bar Association.

Bernie Walrut, CTA, currently practises as a Barrister at Murray Chambers, primarily undertaking advice work. In recent years, his practice has been predominantly major commercial transactions, infrastructure projects, trusts and taxation. He has practised in the area of taxation, particularly state taxation, since commencing practice. Bernie holds an LLB, a Master of Aquaculture, Information Technology, Taxation and Laws and a PhD from the University of British Columbia.

Eugene Wheelahan is a barrister with the Victorian Bar at Aickin Chambers and practises principally in the area of corporate income tax. He has appeared in a number of leading tax cases in the High Court and Federal Court. He advises on technical tax matters and assists clients in their dealings with the Commissioner during the audit and dispute resolution stages. Eugene has a Master of Tax from the University of Melbourne where he is a Senior Fellow of the Law Faculty, lecturing in the subjects Comparative Tax Avoidance and Tax Avoidance and Planning.

Thilini Wickramasuriya, CTA, is a Tax Counsel at The Tax Institute and is responsible for coordinating the technical activities of the Tax Policy and Advocacy Team. Thilini regularly engages with Treasury, the ATO, the Board of Taxation and the Inspector-General of Taxation. Prior to joining the Institute, Thilini practised as a solicitor, acting in significant tax disputes on behalf of both taxpayers and the Commissioner in the High Court, Federal Court and Administrative Appeals Tribunal. Prior to this, Thilini worked in a Big 4 accounting firm advising multinational clients on international tax issues. Thilini holds degrees in Law and Commerce from the University of New South Wales and a Master of Law degree from the University of Sydney.

Registration inclusionsFull convention registration includes participation in the full technical program, electronic access to all available materials via The Tax Institute CPD app, attendance at the Thursday and Friday evening dinners and all refreshments during convention hours. Registration fees do not include travel, accommodation or hotel incidentals.

Advance registrationAll registrations received and paid for on or before Friday 5 February 2016 will be entitled to the advance registration rate.

Early bird registration All registrations received and paid for in full by Friday 11 March 2016 will be entitled to the early bird rate.

Group discountsPurchase four registrations and receive the fifth free. All attendees must be from the same firm and all must register at the same time. This offer is only valid for registrations received before the close of the early bird offer and cannot be redeemed in conjunction with any other offer, promotional code or discount.

Mates rateIntroduce and register a colleague who has not previously attended the SA Convention and we will extend to you the special rate of $1,250 (normally $1,500 – a saving of $250!). This offer is only valid for registrations received before the close of the early bird offer, and both registrations must be received together (one registration must be a first-time attendee). Confirmation of registrationOn receipt of your completed registration form and payment you will be sent an email containing your confirmation letter and tax invoice.

The 2016 Barossa Convention appThe app will be accessible for delegates to download all available presenter materials and event information one week prior to the event. The app will contain session and presenter information, delegate list, sponsor offers and other relevant event information.

Delegate materials The delegate registration fee includes electronic access to all available materials via The Tax Institute CPD app. Access to materials will be in the week prior to the convention. Email notification will be sent to all registrants in the week prior to the convention.

For an additional fee of $100 you may opt to receive all available materials in hard copy format or for an additional $50 receive the materials on a USB. If you would like to purchase the folder or USB, please complete the relevant section on the registration form. Please purchase at the time of registration. Note that no materials will be available for purchase at the event.

CPD accreditation Attendance at the convention counts for 11 hours Continuing Professional Development Accreditation with The Tax Institute.

Delegate list A delegate list will be provided to assist with networking. If you do not wish to be included on this list, please indicate this on the registration form.

Business Alliance PartnersWe invite you to visit the exhibition area at the convention to discover how the various products and services can be of benefit. Dress codeBusiness casual attire is suitable for the duration of the conference program. For Friday’s “Barossa – Be Consumed” gala dinner, smart dinner attire is appropriate.

Wi-FiInternet access will be available for convention delegates using a dedicated access code, provided to delegates on registration. Wi-Fi is accessible in the function foyer and conference rooms from 2.00pm Thursday 5 May to 11.00am Saturday 7 May 2016.

Venue and accommodation Novotel Barossa Valley Resort 42 Pioneer Avenue, Rowland Flat Barossa Valley

The Novotel Barossa Valley Resort is located in the Barossa Valley district, set in a natural amphitheatre overlooking Jacob’s Creek. The guest rooms all feature private balconies and views of the Barossa Ranges. Both comfort and functionality are assured with iPod docking stations, connecting directly to 32-inch LCD TVs, pay TV channels, in-house movies, comfortable workstations, including ergonomic chairs and broadband access, a large chaise lounge to stretch out on and individually controlled airconditioning.

Accommodation has been reserved for delegates only at the Novotel Barossa Valley Resort. Favourable room rates have been negotiated and room rates are quoted on a per person per night basis (inclusive of GST) and include breakfast. These rates are only available through The Tax Institute and exclude hotel incidentals. These favourable room rates have been extended for those wishing to stay on for the weekend after the convention.

All accommodation bookings must be paid in full with registration. In line with the booking conditions at the Novotel Barossa Valley Resort, all accommodation nights booked will be non-refundable in the case of cancellation. All additional hotel incidentals remain the responsibility of delegates. Check-in time is from 2.00pm and check out by 11.00am.

Getting to the Novotel Barossa Valley ResortThe resort is located at 42 Pioneer Avenue, Rowland Flat Barossa Valley. It is located 85 kilometres (75 minutes drive) from Adelaide CBD and Adelaide Airport. The venue provides free on-site parking for guests.

Transportation and pre- and post-convention optional activities Bus transportation to the Novotel Barossa Valley Resort is available departing Adelaide Airport on Thursday 5 May 2016 at 1.00pm, with a second pick-up in the CBD. Return bus transportation to Adelaide Airport with a drop-off in the Adelaide CBD is available, departing the Novotel Barossa Valley Resort at 12.00pm on Saturday 7 May and again at 12.00pm on Sunday 8 May 2016. Transportation costs will apply with rates to be determined based on demand.

SA Tax Institute “Tour de Tax” Bike Ride (Thursday 5 May 2016) Participate in an organised 72-kilometre group bike ride from Adelaide (leaving Victoria Square at 11.30am) to the Novotel Barossa Valley Resort (Rowland Flat) via Gorge Road and a stop at Cudlee Creek (or join at the mid-way point for a shorter ride!). Arrival at the resort is timed for 3.30pm at the latest, well ahead of the 5.00pm convention start. Please indicate your interest on the registration form.

Accompanying person Barossa Valley Highlights Tour (Friday 6 May 2016 (10.00am–4.00pm)) Enjoy a Barossa Valley Highlights Tour with Tour Barossa, including a platter-style winery lunch. You will be chauffeured by an expert local driver and enjoy great wine, picturesque views and meet some interesting characters. Leave with memories that last a lifetime. A selection of wineries/sights visited may include: Seppeltsfield for a special “Barossa Highlights tasting”, Langmeil Wines, Chateau Tanunda, Peter Lehmann Wines, Maggie Beers, Mengler Hill, Grant Burge at Krondorf, Artisans, Kellermeister, Hemera Estate and Schild Estate, just to name a few. Depending on numbers this tour can be tailored to your requirements.

Post-convention Barossa Valley tours can be tailored to your requirements on Saturday 7 May and Sunday 8 May 2016. Friday afternoon optional social activities

Cycling tour – for the regular cyclist, this guided cycling tour will depart the Novotel and take you for a two-hour ride where you can enjoy the unique Barossa views and challenge yourself to its roads and hills. Ride parts of the Tour Down Under race route. Price is $60 per person. Bikes are available for hire at $30 per person.

Endota Spa – immerse yourself in down-to-earth pampering at the Novotel Barossa Valley Resort’s own Endota Spa. Offering unparalleled relaxation, indulge in a range of spa experiences for your body, face, soul and mind, just a stone’s throw away from your room. Bookings in advance on

Golf at the Tanunda Pines Clubhouse is just a two-minute stroll from the resort. This world-class golf course is a stunning 18-hole, par-72 course with 100-year-old gum trees lining fairways that undulate across the hilltops of the Barossa Ranges. your individual or group booking, with golf clubs and motorised golf carts available for hire. Bookings in advance are recommended to avoid any disappointment.

Barossa Market @ The Novotel – for those not wishing to miss the Friday afternoon concurrent technical session, this activity takes place from 4.45pm to 6.00pm. We have invited a selection of local Barossa businesses to show their wares.

Alteration and cancellation policy (including changing or transferring sessions)

The Tax Institute reserves the right to alter, amend or cancel all or any of the arrangements contained in the program. It is a condition of registration that an administration fee of 20% of the registration fee will be charged for cancellation by delegates. Cancellations must be received in writing by The Tax Institute at least five working days prior to the event. No refund will be given for cancellations received within five working days of the event; however, a replacement may be nominated. If the replacement is not a member, the non-member registration fee will apply. CPD hours will be allocated to the designated attendee. The Tax Institute cannot accept responsibility for delegates’ late transport arrivals or non-arrivals due to delays. All accommodation booked through The Tax Institute will be non-refundable in the case of cancellation. The Tax Institute reserves the right to charge a minimal administration fee on accommodation rates. The Tax Institute reserves the right to alter any part of the program at any time without notice.
