Overview

• California Assembly Bill 2833 was enacted in 2016 and became effective January 1,

2017 as California Government Code Section 7514.7 (the “Code”).

• The Code requires California public pension plans (“California Plans”) to obtain and

publicly disclose certain fee and expense data and information on an annual basis in

a public meeting.

• The law applies to any private fund that is an alternative investment vehicle whose

contract with a California Plan was entered into on or after January 1, 2017, or for

any existing contract as of December 31, 2016 for which an additional capital

commitment is made on or after January 1, 2017.

• For contracts entered into prior to January 1, 2017, California Plans are required to

use “reasonable efforts” to acquire the mandatory information.

• The intent of the legislation is to increase transparency of the fees public investors

are paying.

Code Section 7514.7 Disclosure Requirements

1. The fees and expenses that the California Plan pays directly to the alternative

investment vehicle, the fund manager, or related parties.

2. The California Plan’s pro rata share of fees and expenses not included in paragraph

(1) that are paid from the alternative investment vehicle to the fund manager or

related parties. The California Plan may independently calculate this information

based on information contractually required to be provided by the alternative

investment vehicle to the public investment fund. If the California Plan independently

calculates this information, then the alternative investment vehicle shall not be

required to provide the information identified in this paragraph.

3. The California Plan’s pro rata share of carried interest distributed to the fund

manager or related parties.

4. The California Plan’s pro rata share of aggregate fees and expenses paid by all of

the portfolio companies held within the alternative investment vehicle to the fund

manager or related parties.

5. Any additional information described in subdivision (b) of Section 6254.26 of the

Code.

Code Section 6254.26 Disclosure Requirements:

1. The name, address, and vintage year of each alternative investment vehicle.

2. The dollar amount of the commitment made to each alternative investment vehicle by

the California Plan since inception.

3. The dollar amount of cash contributions made by the California Plan to each

alternative investment vehicle since inception.

4. The dollar amount, on a fiscal year end basis, of cash distributions received by the

California Plan from each alternative investment vehicle.

5. The dollar amount, on a fiscal year-end basis, of cash distributions received by the

California Plan plus remaining value of partnership assets attributable to the

California Plan's investment in each alternative investment vehicle.

6. The net internal rate of return of each alternative investment vehicle since inception.

7. The investment multiple of each alternative investment vehicle since inception.

8. The dollar amount of the total management fees and costs paid on an annual fiscal

year-end basis, by the California Plan to each alternative investment vehicle.

9. The dollar amount of cash profit received by California Plans from each alternative

investment vehicle on a fiscal year-end basis.

for reasonableness, we make no representation as to the accuracy or completeness of the data

disclosed and contained in the ILPA Template or the disclosures in this presentation.

• The Institution of Limited Partners Association (ILPA) private fund reporting template v.1.1

was modified slightly (certain field descriptions and footnote disclosure instructions) to

capture the requirements of the Code (“ILPA Template”).

• Completion requirements of the ILPA Template are to be included as a side letter provision in

all private fund commitments beginning January 1, 2017.

• Annual data submission requirements will be as of each calendar year-end in order to

correspond with the annual GAAP audits of the underlying private funds.

• 2018 year-end ILPA Template submission was requested from existing private fund

managers on a reasonable efforts basis.

For 2018, the completed ILPA Template was received from 20 of 20 eligible real estate private fund

investment managers.

• The disclosed Net IRRs are provided by the private real estate fund managers; the gross

IRRs are estimated based on StepStone's own calculations.
