GP Strategies® offers a superior benefits package with various choices to fit the needs and life-styles of all employees. This Benefits Overview is intended as a general guide for benefits-eligible regular part-time employees scheduled to work an average of 24-39 hours per week. Insurance coverage generally begins on the first of the month following or coincident with the date of hire. Through our benefits plan, employee contributions for medical, dental, vision, Health Savings Accounts, and Flexible Spending Accounts are made on a pre-tax basis.

Medical Benefits

GP Strategies offers three medical plan options to new enrollees: the Gold HDHP, the Silver HDHP, and the Bronze HDHP. The plans offer open access to health care providers and specialty care physicians within a network without choosing a Primary Care Physician. These options are provided to ensure that coverage may be selected based on each employee’s individual preferences. Depending on the employee’s selection, benefits can include 90% hospital coverage, chiropractic/ acupuncture visits, and even infertility treatment.

Prescription coverage is included in medical coverage. The prescription benefits are administered by Optum Rx, a division of United Healthcare (UHC), one of the largest independent pharmacy benefit managers in the U.S. Employees may pay as little as $10 for Tier 1 prescription drugs at participating pharmacies or $20 through the mail order program for maintenance prescription drugs.

All employees and spouses enrolled in medical insurance through GP Strategies are eligible to participate in the Health Improvement & Prevention Program (HI&P). This comprehensive program addresses your overall wellness and endeavors to help improve your health. Participating employees may be eligible for reduced medical plan premiums.

Dental Benefits

GP Strategies offers a rich dental plan through Delta Dental for all employees and their dependents with no network requirements. However, costs are lower if one utilizes an in-network provider. This plan has a three-tiered level, with 100% coverage for Preventive and Diagnostic care, 80% for Basic Restorative Care, and 60% for Major Restorative Care. Orthodontia for Dependent Children (up to age 19) is also provided.

Vision Benefits

GP Strategies offers two vision care programs to employees and their dependents for various vision-related services and materials through the Vision Service Plan (VSP). Employees may use the VSP network to save on exams, frames, lenses, and contacts. VSP offers annual routine vision exams for a $10 co-payment and discounts for other vision services. In addition, VSP’s TruHearing Discount program is free for VSP members. With this program, members can save up

Health Savings Account

GP Strategies also offers employees an opportunity to contribute pre-tax dollars to a Health Savings Account (HSA). An HSA is a tax-advantaged trust or custodial account that may be elected in conjunction with a high deductible health plan (HDHP). GP Strategies will contribute $20.83 per pay period to an HSA for employees with individual Gold HDHP coverage or $41.66 per pay period to an HSA for employees with family, employee + child(ren), or employee + spouse Gold HDHP coverage. GP Strategies will contribute $16.66 per pay period to an HSA for employees with individual Silver HDHP coverage or $33.33 per pay period to an HSA for employees with family, employee + child(ren), or employee + spouse Silver HDHP coverage. In addition, in 2018 employees may contribute up to: $2,950 if they have individual Gold HDHP coverage; $5,900 if they have family, employee + child(ren), or employee + spouse Gold HDHP coverage; $3,050 if they have individual Silver HDHP coverage; or $6,100 if they have family, employee + child(ren), or employee + spouse Silver HDHP coverage. For employees enrolled in the Bronze HDHP, GP Strategies will not contribute to an HSA on the employee’s behalf; however, an employee may make their own HSA contributions up to the IRS maximum of $3,450 for an employee with individual coverage or $6,900 for employees with family, employee + child(ren), or employee + spouse coverage. Employees 55+ years of age may also elect catch-up contributions up to a maximum of $1,000 in 2018. Unused money in the HSA rolls over indefinitely year to year, and withdrawals are tax-free for qualified medical expenses.

Health Care Flexible Spending Account

Employees can contribute pre-tax dollars to an account to be used for reimbursement of eligible medical, vision, dental, and prescription drug expenses not covered by insurance, including deductibles and co-payments. The health care flexible spending account (FSA) reimbursement account limit is $2,650 per year.

Dependent Care Flexible Spending Account

Eligible expenses include daycare in or outside your home for a dependent child up to age 13 or dependent adult care (eldercare) so that you and your spouse may work or go to school full time. You may elect a maximum of $5,000 per year to contribute to a Dependent Care flexible spending account (FSA).

Employees have access to one of the largest attorney networks in the industry, with over 12,000 attorneys nationwide. The most often needed legal services are covered at 100%, meaning the employee and his/her dependents pay no attorney fees when they use the services. Additionally, there are no claim forms, deductibles, or co-pays. This benefit is only offered during the annual Open Enrollment period.

Life Assistance Program

We offer, at no cost to the employee, an outsourced Life Assistance Program (LAP). This program assists individuals and their families with a variety of issues such as relationship concerns, parental issues, conflicts at work, financial and legal concerns, substance abuse issues, and other behavioral health concerns. Cigna’s LAP referral service also assists individuals in finding childcare or eldercare.

Travel Insurance

Employees traveling for GP Strategies are covered by travel insurance with a benefit of up to a maximum of $250,000. The premium is paid in full by GP Strategies, and employees are automatically enrolled.

401(k) Plan – GP Retirement Savings Plan

To help secure the future of you and your family, we offer a 401(k) plan with a diverse choice of investment options. On the first of the month following employment, eligible employees may contribute up to the IRS maximum into a pre-tax 401(k) account or an after-tax Roth account. However, highly compensated employees (HCEs) are limited to a 10% combined pre-tax and Roth after-tax contributions each pay period. GP Strategies may, at its discretion, match your pre-tax contributions after one year of employment. Employer contributions vest at the rate of 20% for each year that an employee completes 1,000 hours of service. Employees 50+ years of age may also elect catch-up contributions.

Employer Stock

GP Strategies makes matching contributions to its 401(k) plan in the form of GP Strategies Corporation common stock, making our employees as a group one of the largest non-institutional holders of GP Strategies Corporation stock and giving them a vested interest in the success of the Company.

Paid Time Off

Each benefits-eligible regular part-time employee scheduled to work an average of 24-39 hours per week with more than 6 months of service is eligible for a pro-rated amount of Paid Time Off (PTO). Employees earn PTO days based on the following schedule:

· 6 months to <5 years of service–4.67 hrs/pay period

· 5 to <10 years of service–6.33 hrs/pay period

· 10 to <15 years of service–7.33 hrs/pay period

· 15 or more years of service–8.00 hrs/pay period

The number of PTO hours accrued is calculated by dividing the employee’s actual hours worked within a pay period by 86.67 hours (the average number of hours in a pay period) and then multiplying the result by the appropriate accrual rate above.

Holidays

GP Strategies observes eight paid holidays (eight hours per day) each year:

· New Years’ Day • Labor Day

· President’s Day • Thanksgiving Day

· Memorial Day • Thanksgiving Friday

· Independence Day • Christmas Day

Each benefits-eligible regular part-time employee scheduled to work an average of 24-39 hours per week with more than 6 months of service is eligible for a pro-rated amount of holiday pay. The pro-rated amount is calculated based on the employee’s regularly scheduled weekly hours.

Bereavement

Benefits- eligible regular part-time employees scheduled to work an average of 24-39 hours per week are eligible for a pro-rated number of hours of bereavement leave per instance for the death of an immediate family member. The pro-rated amount is calculated based on the employee’s regularly scheduled weekly hours. Immediate family members include the following: spouse, domestic partner, child, parent, grandparent, grandchild or sibling of the employee, or the employee’s spouse or domestic partner.

Flexible Work Environment

We understand that all employees need to balance their careers with their home lives. GP Strategies encourages that balance by offering flexible work schedules in the form of part-time hours and flexible office hours. In addition, all our offices offer additional flexibility in the form of business casual attire.

Aflac Voluntary Insurance Options

Voluntary benefits are offered through Aflac. Aflac can provide you and your family with coverage and security to help maintain your everyday life in case of illness or injury. Aflac is different from health insurance; it pays cash benefits directly to you to help with daily expenses when you’re sick or hurt. The following voluntary benefit options are available: Group Critical Illness, Group Accident, and a Group Hospital Indemnity plan.

LifeLock provides protection from identity theft that includes:

College Savings Plan

CollegeAmerica provides our employees with a new way to save for their family members’ higher education expenses through a taxadvantaged account invested in American Funds. This is offered through the Virginia College Savings Plan to all employees and lists many American Funds to choose from. Enrollment is available at any time of the year and you may establish an account for any U.S. citizen. This plan is available nationwide and allows tax-free earnings and withdrawals for qualified higher education expenses. The beneficiary of the account may attend any higher education school that is eligible to participate in a student financial program under Title IV of the Higher Education Act of 1965. Most community colleges, public and private colleges, universities, and vocation schools in the U.S. are eligible, as are some foreign institutions. Once the account is established, anyone can contribute to the account and contributions can be made by check, wire transfer, or an automated purchase plan.

Multiple Educational Discount Programs

GP Strategies employees are eligible to receive discounts on undergraduate and graduate courses through Ashford University, Boise State University, Capella University, Colorado Technical University, Excelsior College, Syracuse University, Trident University International, and the University of Dayton.

Multiple Employee Vehicle Discount Programs

GP Strategies employees benefit from our relationship with both General Motors (GM) and Chrysler through their supplier discount programs. For GM vehicles, employees are eligible to purchase/lease a new car, truck, sport utility vehicle, or minivan at GM employee price plus 4%. For Chrysler vehicles, our employees receive the discount of 1% below factory invoice when purchasing or leasing a new vehicle.
