LIMITED SOFTWARE WARRANTY AND LICENSE AGREEMENTThislimitedsoftwarewarrantyandlicenseagreement(this“Agreement”)maybeperiodicallyupdatedandthecurrentversionwillbepostedatwww.take2games.com/eula(the“Website”).Yourcontinueduseofthe SoftwareafterarevisedAgreementhasbeenpostedconstitutesyouracceptanceofits terms.THE“SOFTWARE”INCLUDESALLSOFTWAREINCLUDEDWITHTHISAGREEMENT,THEACCOMPANYINGMANUAL(S),PACKAGING,ANDOTHERWRITTENFILES,ELECTRONICORON-LINEMATERIALSORDOCUMENTATION,ANDANY ANDALLCOPIESOFSUCHSOFTWAREANDITSMATERIALS.THESOFTWAREISLICENSED,NOTSOLD.BYOPENING,DOWNLOADING,INSTALLING,COPYING,OR OTHERWISEUSINGTHESOFTWARE,ANDANYOTHERMATERIALSINCLUDEDWITHTHESOFTWARE,YOUAGREETOBEBOUNDBYTHETERMSOFTHISAGREEMENTWITHTHEUNITEDSTATESCOMPANYTAKE-TWOINTERACTIVESOFTWARE,INC.(“LICENSOR”),AS WELLASTHEPRIVACYPOLICYLOCATEDATwww.take2games.com/privacyANDTERMSOFSERVICELOCATEDATwww.take2games.com/legal.PLEASEREADTHISAGREEMENTCAREFULLY.IFYOUDO NOTAGREETOALLTHETERMSOFTHISAGREEMENT,YOUARE NOTPERMITTEDTOOPEN,DOWNLOAD,INSTALL,COPY,ORUSETHESOFTWARE.LICENSESubjecttothisAgreementanditstermsandconditions,Licensorherebygrantsyouanonexclusive,non-transferable,limited,andrevocablerightandlicensetouseonecopyoftheSoftwareforyourpersonal,non-commercialuseforgameplayona singleGamePlatform(e.g.computer,mobiledevice,orgamingconsole)unlessotherwiseexpresslyspecifiedintheSoftwaredocumentation.YourlicenserightsaresubjecttoyourcompliancewiththisAgreement.Thetermof yourlicenseunderthisAgreementshallcommenceonthedatethatyouinstallorotherwiseusetheSoftwareandendsontheearlierdateofeitheryourdisposaloftheSoftwareortheterminationofthis Agreement(seebelow).TheSoftwareislicensed,notsold,toyou,andyouherebyacknowledgethatnotitleor ownershipintheSoftwareisbeingtransferredorassignedandthisAgreementshouldnotbeconstruedasasaleof anyrightsintheSoftware.Licensorretainsallright,title,andinteresttotheSoftware,including,butnotlimitedto,allcopyrights,trademarks,tradesecrets,tradenames,proprietaryrights,patents,titles,computercodes,audiovisualeffects,themes,characters,characternames,stories,dialog,settings,artwork,soundseffects,musicalworks,andmoralrights.TheSoftwareisprotectedbyU.S.copyrightandtrademarklawandapplicablelawsandtreatiesthroughouttheworld.TheSoftwaremaynotbe copied,reproduced,ordistributedinanymannerormedium,in wholeorinpart,withoutpriorwrittenconsentfromLicensor.Anypersonscopying,reproducing,ordistributingallor anyportionoftheSoftwareinanymannerormedium,willbewillfullyviolatingthecopyrightlawsandmaybesubjecttocivilandcriminalpenaltiesintheU.S.or theirlocalcountry.BeadvisedthatU.S.copyrightviolationsaresubjecttostatutorypenaltiesof upto$150,000perviolation.TheSoftwarecontainscertainlicensedmaterialsandLicensor’slicensorsmayalsoprotecttheirrightsintheeventofanyviolationofthisAgreement.AllrightsnotexpresslygrantedunderthisAgreementarereservedbyLicensorand,as applicable,its licensors.LICENSE CONDITIONSYouagreenotto:commerciallyexploittheSoftware;distribute,lease,license,sell,rent,convertintoconvertiblecurrency,orotherwisetransferorassigntheSoftware,or anycopiesoftheSoftware,includingbutnotlimitedtoVirtualGoodsorVirtualCurrency(definedbelow)withouttheexpresspriorwrittenconsentof Licensoror asexpresslysetforthinthisAgreement;makea copyoftheSoftwareoranypartthereof(otherthanassetforthherein);makeacopyoftheSoftwareavailableonanetworkforuseor downloadbymultipleusers;exceptasotherwisespecificallyprovidedbytheSoftwareorthisAgreement,useor installtheSoftware(orpermitotherstodosame)ona network,foron-lineuse,oron morethanonecomputerorgamingunitatthesametime;copytheSoftwareontoaharddriveorotherstoragedeviceinordertobypasstherequirementtoruntheSoftwarefromtheincludedCD-ROMorDVD-ROM(thisprohibitiondoesnotapplytocopiesin wholeorinpartthatmaybe

madebytheSoftwareitselfduringinstallationinordertorunmoreefficiently);useorcopytheSoftwareatacomputergamingcenteroranyotherlocation-basedsite;provided,thatLicensormayofferyouaseparatelicenseagreementtomaketheSoftwareavailableforcommercialuse;reverseengineer,decompile,disassemble,display,perform,preparederivativeworksbasedon,orotherwisemodifytheSoftware,inwholeorin part;removeormodifyanyproprietarynotices,marks,or labelscontainedonorwithintheSoftware;restrictor inhibitanyotheruserfromusingandenjoyinganyonlinefeaturesof theSoftware;cheatorutilizeanyunauthorizedrobot,spider,orotherprograminconnectionwithanyonlinefeaturesoftheSoftware;violateanyterms,policies,licenses,or codeofconductforany onlinefeaturesoftheSoftware;ortransport,export,or re-export(directlyorindirectly)intoanycountryforbiddentoreceivetheSoftwarebyanyU.S.exportlawsorregulationsor U.S.econom-icsanctionsor otherwiseviolateanylawsorregulations,or thelawsofthecountryinwhichtheSoftwarewasobtained,whichmaybeamendedfromtimetotime.ACCESSTOSPECIALFEATURESAND/ORSERVICES,INCLUDINGDIGITALCOPIES:Softwaredownload,redemptionofa uniqueserialcode,registrationofthe Software,membershipina third-partyserviceand/ormembershipina Licensorservice(includingacceptanceofrelatedtermsandpolicies)mayberequiredtoactivatetheSoftware,accessdigitalcopiesofthe Software,oraccesscertainun-lockable,downloadable,online,or otherspecialcontent,services,and/orfunctions(collectively,“SpecialFeatures”).AccesstoSpecialFeaturesislimitedtoasingleUserAccount(asdefinedbelow)perserialcodeandaccesstoSpecialFeaturescannotbetransferred,sold,leased,licensed,rented,convertedintoconvertiblevirtualcurrency,orre-registeredbyanotheruserunlessotherwiseexpresslyspecified.Theprovisionsofthisparagraphsupersedeanyothertermin thisAgreement.TRANSFEROFPRE-RECORDEDCOPYLICENSE: Youmaytransfertheentirephysicalcopyofpre-recordedSoftwareandaccompanyingdocumentationonapermanentbasistoanotherpersonaslongasyou retainnocopies(includingarchivalorbackupcopies)oftheSoftware,accompanyingdocumentation,orany portionorcomponentoftheSoftwareoraccompanyingdocumentation,andtherecipientagreestothetermsof thisAgreement.Transferof thepre-recordedcopylicensemayrequireyoutotakespecificsteps,assetforthintheSoftwaredocumentation.Youmaynottransfer,sell,lease,license,rent,or convertintoconvertiblevirtualcurrencyanyVirtualCurrencyorVirtualGoodsexceptas expresslysetforthin thisAgreementorwithLicensor’spriorwrittenconsent.SpecialFeatures,includingcontentotherwiseunavailablewithoutasingle-useserialcode,arenottransferrabletoanotherpersonunderanycircumstances,andSpecialFeaturesmayceasefunctioningiftheoriginalinstallationcopyoftheSoftwareisdeletedorthepre-recordedcopyisunavailabletotheuser.TheSoftwareisintendedforprivateuseonly.NOTWITHSTANDINGTHEFOREGOING,YOUMAYNOTTRANSFERANY PRE-RELEASECOPIESOF THESOFTWARE. TECHNICALPROTECT IONS: TheSoftwaremayincludemeasurestocontrolaccesstotheSoftware,controlaccesstocertainfeaturesorcontent,preventunauthorizedcopies,or otherwiseattempttopreventanyonefromexceedingthelimitedrightsandlicensesgrantedunderthisAgreement.Suchmeasuresmayincludeincorporatinglicensemanagement,productactivation,andothersecuritytechnologyintheSoftwareandmonitoringusage,including,butnotlimitedto,time,date,access,orothercontrols,counters,serialnumbers,and/orothersecuritydevicesdesignedtopreventtheunauthorizedaccess,use,andcopyingof theSoftware,orany portionsor componentsthereof,includinganyviolationsof thisAgreement.Licensorreservestherighttomonitoruseof theSoftwareatany time.Youmaynotinterferewithsuchaccesscontrolmeasuresorattempttodisableorcircumventsuchsecurityfeatures,andifyou do,theSoftwaremaynotfunctionproperly.IftheSoftwarepermitsaccesstoSpecialFeatures,onlyonecopyof theSoftwaremayaccessthoseSpecialFeaturesatonetime.AdditionaltermsandregistrationmayberequiredtoaccessonlineservicesandtodownloadSoftwareupdatesandpatches.OnlySoftwaresubjecttoavalidlicensecanbeusedtoaccessonlineservices,includingdownloadingupdatesandpatches.Exceptasotherwiseprohibitedbyapplicablelaw,Licensormaylimit,suspend,orterminatethelicensegrantedhereunderandaccesstotheSoftware,including,butnotlimitedto,anyrelatedservicesandproducts,atany timewithoutnoticeforanyreasonwhatsoever.USERCREATEDCONTENT: TheSoftwaremayallowyoutocreatecontent,including,butnotlimitedto,agameplaymap,scenario,screenshot,cardesign,item,orvideoofyour gameplay.Inexchangeforuse oftheSoftware,andtotheextentthatyourcontributionsthroughuseoftheSoftwaregiverisetoanycopyrightinterest,youherebygrantLicensoranexclusive,perpetual,irrevocable,fullytransferable,andsub-licensableworldwiderightandlicensetouseyourcontributionsinanyway andforanypurposeinconnectionwiththeSoftwareandrelatedgoodsandservices,including,butnotlimitedto,therightsto reproduce,copy,adapt,modify,perform,display,publish,broadcast,transmit,orotherwisecommunicatetothe publicbyanymeanswhethernowknownorunknownanddistributeyourcontributionswithoutanyfurthernoticeor compensationtoyou ofanykindfor thewholedurationofprotectiongrantedtointellectualpropertyrightsbyapplicablelawsandinternationalconventions.Youherebywaiveandagreeneverto assertanymoralrightsofpaternity,publication,reputation,orattributionwithrespecttoLicensor’sandotherplayers’useandenjoymentofsuchassetsin connectionwiththeSoftwareandrelatedgoodsandservicesunderapplicablelaw.ThislicensegranttoLicensor,andtermsaboveregardinganyapplicablemoralrights,willsurviveanyterminationofthisAgreement.INTERNET CONNECTION: TheSoftwaremayrequireaninternetconnectiontoaccessinternet-basedfeatures,authenticatetheSoftware,orperformotherfunctions. USERACCOUNTS: InordertousetheSoftwareora softwarefeature,orfor certainfeaturesoftheSoftwaretooperateproperly,youmayberequiredtohaveandmaintainavalidandactiveuseraccountwithanonlineservice,suchasathird-partygamingplatformorsocialnetworkaccount(“Third-PartyAccount”),oranaccountwithLicensorora Licensoraffiliate,assetforthinthe Softwaredocumentation.If youdonotmaintainsuchaccounts,thencertainfeaturesoftheSoftwaremaynotoperateormayceasetofunctionproperly,eitherinwholeorinpart.TheSoftwaremayalsorequireyoutocreateaSoftware-specificuseraccountwithLicensoror aLicensoraffiliate(“UserAccount”)inorderto accesstheSoftwareanditsfunctionalityandfeatures.YourUserAccountlog-inmaybeassociatedwithaThird-PartyAccount.Youare responsibleforalluseandthesecurityofyourUser AccountsandanyThird-PartyAccountsthatyouuseto accessandusetheSoftware.VIRTUAL CURRENCY AND VIRTUAL GOODSIftheSoftwareallowsyouto purchaseand/orearnthoughplaya licensetouse VirtualCurrencyandVirtualGoods,thefollowingadditionaltermsandconditionsapply.VIRTUALCURRENCY&VIRTUALGOODS:TheSoftwaremayenableusersto(i) usefictionalvirtualcurrencyasa mediumofexchangeexclusivelywithintheSoftware(“VirtualCurrency”or“VC”)and(ii)gainaccessto(andcertainlimitedrightsto use)virtualgoodswithintheSoftware(“VirtualGoods”or“VG”).Regardlessofthe terminologyused,VCandVGrepresenta limitedlicenserightgovernedbythisAgreement.Subjecttothetermsof andcompliancewiththisAgreement,Licensorherebygrants

youthenonexclusive,non-transferable,non-sublicensable,limitedrightandlicensetouseVCandVGobtainedbyyoufor yourpersonalnon-commercialgameplayexclusivelywithintheSoftware.Exceptasotherwiseprohibitedbyapplicablelaw,VCandVGobtainedbyyou arelicensedtoyou, andyouherebyacknowledgethatnotitleor ownershipinor toVCandVGis beingtransferredorassignedhereunder.ThisAgreementshouldnotbeconstruedasa saleofanyrightsin VCandVG.VCandVGdo nothaveanequivalentvalueinrealcurrencyanddonotactasa substituteforrealcurrency.YouacknowledgeandagreethatLicensormayreviseortakeactionthatimpactstheperceivedvalueof orpurchasepriceforany VCand/orVGatanytimeexceptasprohibitedbyapplicablelaw.VCandVG donotincurfeesfornon-use;provided,however,thatthelicensegrantedhereundertoVCandVGwillterminateinaccordancewiththetermsandconditionsofthisAgreementandtheSoftwaredocumentation,whenLicensorceasesprovidingtheSoftware,orthisAgreementisotherwiseterminated.Licensor,initssolediscretion,reservestherighttochargefeesfor therighttoaccessoruseVC orVGand/ormaydistributeVCor VGwithorwithoutcharge.EARNING&PURCHASINGvirtualcurrencyandvirtualgoods: YoumayhavetheabilitytopurchaseVCortoearnVCfromLicensorforthecompletionofcertainactivitiesoraccomplishmentsintheSoftware.Forexample,LicensormayprovideVCorVGuponthecompletionofan in-gameactivity,suchasattaininganewlevel,completingatask,or creatingusercontent.Onceobtained,VCand/orVGwillbecreditedtoyour UserAccount.YoumaypurchaseVCandVGonlywithintheSoftware,orthrougha platform,participatingthird-partyonlinestore,applicationstore,orotherstoreauthorizedbyLicensor(allreferredtohereinas“SoftwareStore”).Purchaseanduseofin-gameitemsorcurrencythroughaSoftwareStorearesubjecttothe Soft-wareStore’sgoverningdocuments,includingbutnotlimitedto,theTermsofServiceandUserAgreement.ThisonlineservicehasbeensublicensedtoyoubytheSoftwareStore.GFLicensormayofferdiscountsorpromotionsonthepurchaseof VC,andsuchdiscountsandpromotionsmaybemodifiedordiscontinuedbyLicensorat anytimewithoutnoticetoyou.UponcompletinganauthorizedpurchaseofVCfroman ApplicationStore,theamountofpurchasedVCwillbecreditedtoyourUser Account.TheLicensorshallestablishamaximumamountyoumayspendtopurchaseVCpertransactionand/orperday,whichmayvarydependingontheassociatedSoftware.Licensor,initssolediscretion,mayimposeadditionallimitson theamountof VCyoumaypurchaseoruse,how youmayuseVC,andthemaximumbalanceofVCthatmay becreditedtoyourUserAccount.YouaresolelyresponsibleforallVCpurchasesmadethroughyourUserAccountregardlessof whetherornot authorizedbyyou.BALANCECALCULATION: YoucanaccessandviewyouravailableVCandVGin yourUserAccountwhenloggedintoyourUserAccount.Licensorreservestheright,initssolediscretion,to makeallcalculationsregardingtheavailableVCandVGinyourUserAccount.Licensorfurtherreservestheright,inits solediscretion,todeterminetheamountofandmannerinwhichVCiscreditedanddebitedfromyourUserAccountinconnectionwithyourpurchaseofVGorfor otherpurposes.WhileLicensorstrivestomakeallsuchcalculationsonaconsistentandreasonablebasis,youherebyacknowledgeandagreethatLicensor’sdeterminationoftheavailableVCandVGinyourUserAccountisfinal,unlessyoucanprovidedocumentationtoLicensorthatsuchcalculationwasorisintentionallyincorrect.USINGVIRTUALCURRENCYANDVIRTUALGOODS:Allpurchasedin-gameVirtualCurrencyand/orVirtualGoodsmaybe consumedorlostby playersin thecourseofgameplayaccordingtothegame’srulesapplicabletocurrencyandgoods,whichmayvarydependingontheassociatedSoftware.VCandVGmayonlybe usedwithintheSoftware,andLicensor,inits solediscretion,maylimituseof VCand/orVGtoasinglegame.TheauthorizedusesandpurposesofVCandVGmay changeatanytime.YouravailableVCand/orVGasshowninyourUser AccountwillbereducedeachtimeyouuseVCand/orVGwithintheSoftware.TheuseofanyVC and/orVGconstitutesademandagainstandwithdrawalfromyouravailableVCand/orVGin yourUserAccount.YoumusthavesufficientavailableVCand/orVGin yourUserAccountin ordertocompleteatransactionwithintheSoftware.VCand/orVGin yourUserAccountmaybe reducedwithoutnoticeupontheoccurrenceofcertaineventsrelatedtoyouruseof theSoftware:Forexample,youmayloseVCor VGuponthelossofa gameorthedeathofyourcharacter.Youareresponsibleforallusesof VCand/orVGmadethroughyourUserAccount,regardlessofwhetherornotauthorizedbyyou.YoumustnotifyLicensorimmediatelyupondiscoveringtheunauthorizeduseofanyVCand/orVGmadethroughyourUserAccountbysubmittingasupportrequestatwww.take2games.com/support.NON-REDEEMABLE: VCandVGmayonlyberedeemedforin-gamegoodsandservices.Youmay notsell,lease,license,orrentVC orVG,convertthemintoconvertibleVC.VCandVGmayonlyberedeemedforin-gamegoodsorservicesandarenotredeemableforanysumof moneyormonetaryvalueorothergoodsfromLicensororany otherpersonor entityatanytime,exceptasexpresslyprovidedhereinorotherwiserequiredbyapplicablelaw.VCandVGhavenocashvalue,andneitherLicensornoranyotherpersonorentityhasanyobligationtoexchangeyourVCor VGforanythingofvalue,including,butnotlimitedto,realcurrency.NOREFUND:AllpurchasesofVCandVG arefinalandundernocircumstanceswillsuchpurchasesberefundable,transferable,orexchangeable.Exceptasprohibitedbyapplicablelaw,Licensorhastheabsoluterighttomanage,regulate,control,modify,suspend,and/oreliminatesuchVCand/orVGas itseesfitin itssolediscretion,andLicensorshallhavenoliabilitytoyouoranyoneelseforthe exerciseof suchrights.NOTRANSFERS:Anytransferring,trading,selling,or exchangingofanyVCor
