    License Agreement

    0. DEFINITIONS

    The following terms shall have the following meanings:

    Licenser: Materialise

    Licensee: Holder of the license as specified in the order document issued by Materialise.

    Licensed Material: Media containing the software, the software itself, and the user documentation.

    Software: Computer programs in machine-readable form (object code) marketed under the name

    Mimics Innovation Suite (Research or Medical editions), Mimics Research, Mimics Medical, 3-matic

    Research and/or 3-matic Medical.

    Documentation: shall mean the technical publications prepared and delivered to Licensee by

    Licenser relating to the use of the Software, such as reference and tutorial manuals.

    Password: shall mean the password transferred from Licenser to Licensee allowing Licensee to use

    the Software.

    1. LICENSE TYPES , SOFTWARE EDITIONS, USE OF THE SOFTWARE

    Licenser does not intend the Research Editions of Mimics and 3-matic as a medical device. In line with

    standard international practice, the Licensed Material is hence not intended by Licenser for use in the

    diagnosis of disease or other conditions, or in the cure, mitigation, treatment, or prevention of

    disease, in man or other animals. Use of the Licensed Material as a medical device is expressly

    prohibited.

    Licenser offers medical devices marketed under the name Mimics Innovation Suite (Medical editions),

    Mimics Medical and/or 3-matic Medical for use in the diagnosis of disease or other conditions, or in

    the cure, mitigation, treatment, or prevention of disease, in man or other animals.

    END-USER SOFTWARE LICENSE AGREEMENT -

    MIMICS INNOVATION SUITE (RESEARCH AND MEDICAL EDITIONS)

    ATTENTION

    TO BE READ CAREFULLY BEFORE RENTING OR PURCHASING ANY MATERIALISE SOFTWARE

    This license agreement (the Agreement) is a legal agreement between you (either an

    individual or a legal entity) and Materialise for the software product identified hereafter, which

    includes computer software and electronic documentation (Software).

    Please read the following license agreement carefully before using the Software. By installing

    or otherwise using the Software you agree to be bound by the terms and conditions of this

    Agreement. If you do not accept the terms of this Agreement, you are not authorized to install

    or use the Software.

    1.a. Temporary Evaluation License

    If Licensee will use this software under an Evaluation License, Licenser grants to Licensee, who

    accepts, a non-exclusive, royalty-free, non-transferable license to use the evaluation version of the

    Software on a single machine in single-user mode. The purpose for which the Software may be

    used must be non-commercial and for trial and evaluation purposes only.

    The Licensee is explicitly forbidden from using the Software for any use other than as set out above,

    in particular to distribute the Software or to use the Software for rendering services to third parties.

    This license is granted for a period as agreed between the Parties. Licenser will provide one Password.

    This Agreement will take effect upon transfer of the Password from Licenser to Licensee, and will remain in force until expiration of the validity of the Password. The evaluation license can be

    terminated by Licenser at any time if Licensee fails to comply with the terms and conditions of this Agreement, or if Licenser has serious reason to believe that this is the case.

    When the license expires, the Licensee must stop using the Software and the Software will

    automatically become non-functional.

    If the Licensee fails to comply with the terms and conditions and in particular uses the Software not

    only for non-commercial and/or for trial and evaluation purposes, Licenser will be entitled to issue an

    invoice to the Licensee for an amount equal to a rental license fee, according to the customary retail

    price, increased with a penalty of 10%. Upon expiration of the validity of the Password, the Licensee

    must return all media and communication to Licenser and destroy all copies of the Software.

    1.b. Academic License for the Research Editions

    If Licensee will use this software under an Academic License, Licenser grants the Licensee, who

    accepts, a non-exclusive, personal and non-transferable, non-sublicensable and restricted right to use

    and operate the Research Editions of the Software, subject to the following conditions:

    The Licensee may use the Software for academic research purposes only and he is

    absolutely prohibited from using the Software for any other purpose.

    The Licensee is not allowed to permit, directly or indirectly, either himself or through a third

    party, the installation of the Software at another physical location than the one designated above

    (or in the order form for the Academic License). The Licensee is not allowed to reverse engineer, decompile or disassemble the Software.

    The Licensee may not use or reproduce the Software or any of the elements of the Software to

    produce one of his own products, or in a commercial context.

    Licenser, as the sole and exclusive owner of the Software, reserves the right at all times to

    modify the Software.

    The Licensee understands that any use of the Software, which is different than described above, is

    not allowed under this agreement and requires a different type of license.

    Licenser will provide a number of passwords, which shall be equal to the number of copies which will

    be installed under this Agreement.

    If training has been ordered, Licenser will provide a training program to the person, who will use the

    Software for academic research purposes only.

    The Licensee acknowledges that the license fee charged for the master academic license is

    advantageous compared to the standard list price of the Software.

    For every additional academic software license, ordered by the Licensee during the Term of this

    Agreement, and provided the Licensee is in full compliance with all conditions set out herein and has

    subscribed to and has paid the fee for a maintenance contract, Licenser may offer a certain additional

    discount on the standard list price.

    However, in consideration of the conditions under which this Academic License is granted, Licenser

    may request that:

    The Licensee makes available the Institutions facilities free of charge to Licenser to conduct

    trainings or workshops.

    The Licensee informs students of the interest of Licenser to provide assistance to students willing

    to publish articles in which reference is made to the use of Licensers Software. The Licensee will publish and/or present the result of the work, achieved by using the Software.

    In all such publications and presentations, the Licensee shall mention Materialise as the company

    that granted the right to use and operate the Software, and include in such reference Mimics Innovation Suite Research Edition. Mimics Research and/or 3-matic Research, with the

    appropriate trademark notices.
