We’re the best around . . .say our clients

TEMPLES has struck gold at the prestigious Estate & LettingAgent Awards.

In the face of stiff national competition, local family-ownedCheshire-based lettings group Temples, with offices inNantwich, Crewe, Chester and Northwich, scooped the tophonours. The firm received the gold award in the NationalSmall Lettings Chain category, for its excellent customerservice as voted for by their landlords during the course of2011 and 2012.

WelcomeWelcome to my first editorialsince taking over from JohnDunning and I must say it hasbeen an extremely busy periodfor the Chamber.

Firstly, I would like to take thisopportunity to congratulateCrewe Alexandra’s Chairmanand President of the ChamberJohn Bowler on his club’srecent success which resulted in

promotion to League one. For those of you who madethe trip to Wembley you will know what a greatoccasion it was and by reaching the playoffs itprovided the town with fantastic media coveragewhich put Crewe firmly in the spotlight.

Putting Crewe in the spotlight was firmly on the mindsof the All Change for Crewe Partnership Board whoattended the ‘Cheshire in Parliament Day’ recently inWestminster. The event showcased the majorstrengths and opportunities on offer in Cheshire andWarrington and sought to influence key decision-makers from across Parliament and Whitehall.

The All Change for Crewe strategy has ambitiousgrowth plans for Crewe that will require inwardinvestment both nationally and internationally and themore positive exposure the town receives the better. We all know the potential Crewe has for economicgrowth and prosperity but it will only be achieved ifwe all work together to make this happen and theprivate / public sector partnership Board has been setup to do exactly that.

Despite the national media continuing to promote thenegative effects of the current economic situationwhich is denting confidence, our latest quarterlyeconomic survey has revealed there are some positiveindications that businesses in South Cheshire areshowing signs of recovery. The recent Jobs fair whichwas organised by our MP Edward Timpson and theChamber, attracted over 40 local businesses that werepromoting job opportunities.

Many businesses enjoying growth are those takingadvantage of the exporting opportunities both insideand outside Europe. International trade has a vitalrole to play in achieving economic growth and jobcreation and the Chamber is working hard with UKTrade and Investment to assist more businesses to getstarted with exporting and for existing exporters toexpand their activities. With the right help andsupport I’m sure local businesses will fare better inEurope than the national football team did!

Finally, I hope you enjoy this edition of the 4FRONTmagazine which highlights good positive news storiesand activity. I encourage all Members to submitarticles for future editions and take advantage of theadvertising and marketing opportunities it offers.

I am pleased to see so many new Members and Iwelcome them to the Chamber. I encourage new andexisting Members to make the most of the Chamber bygetting involved in our events and activities. Please donot hesitate to contact a member of the Chamber teamas they are here to help you and your business.

Pay Attention Please - to legal small print!Crewe and Nantwich Business SolicitorAndrew Tyrer of Tyrer Law highlightssome common pitfalls for businesseswhich enter into important businesscontracts without taking legal advicebeforehand.

Here are his three top tips:

(1) Don’t over-rely on negotiationsbeing protected by the words“subject to contract”. In a recent case, the Supreme Courtruled that, although the parties never signed the formal writtenagreement, a contract had nevertheless come into effect by laterconduct. The Court commented that "the different decisions (inthe courts below) and the arguments in this court demonstratethe perils of beginning work without agreeing the precise basisupon which it is to be done”. The moral of the story to is to agreeterms first and to start work later.

(2) Don’t fudge issues by making do with woollylanguage simply to get the deal done quickly. One of themost common phrases in contracts is the term “reasonableendeavours”. Many business people frequently but wronglyconclude that it is so vague that it has no practical consequence.A 2011 reported case has brought it again to the fore. The caseconcerned a 10 year Contract with no “break” clause.

The case is of interest for two reasons. First, the cost of curingthe vague language was minimal. A few careful provisions couldhave avoided what turned out to be a costly Court case. Secondly, the most telling factor here is the fact that the Contract ought tohave included a right for the Supplier to terminate early to caterfor facts that were not foreseen when the Contract was made. This would have provided a parachute from a financiallydamaging contract.

(3) Do try to use clear language and say what you mean. This does not mean simply peppering the Contract with legaleseor trying to “get one over the other side” by being disingenuous. It simply means that both parties should strive to avoiduncertainty.

From Golden Gate Bridge in San Francisco to Sydney HarbourBridge in Australia, bridges around the world are recognised asiconic structures and feats of engineering know-how.

Most of them are made from concrete, metal, or a combination ofboth and all of them are exposed to the elements - spanning rivers, valleys, roads and railways.

To protect bridges from the effects of the weather, most are coatedwith a hi-tech epoxy system. This ensures a long working life. These

high performance systems are manufactured by combining epoxyresin and hardener, which react by hardening to form a toughcoating that prevents moisture from permeating the structure.

As well as producing the hardening agents and surfactants that areused to make the resins, Air Products also supplies liquid or gaseousnitrogen to assist in the manufacturing process by cooling orensuring an inert environment. Other gases, such as oxygen, aresometimes used to apply the coating, using an automatedpressurised spray system or a simple, hand-held spray gun.

Air Products has recently introduced a range of emissions-freehardeners, which are used to make coatings that are effective, long-lasting and kind to the environment.

Neil McFerran, epoxy additives Europe marketing manager at AirProducts, says: “When building bridges, the priority is to ensurethey are built to last. Our epoxy additives are produced to precisespecifications and are designed to perform to the highest standards.

“Of course our products are not just used to make bridges. They arealso used to protect marine vessels, road surfaces and heavy dutystorage tanks.”

REASEHEATHA-Team training scheme is blooming great

Local residents can look forward to asummer of flourishing flower beds thanksto an award-winning training scheme runby Cheshire East Council and delivered byReaseheath College.

Young people who may otherwise havefound it difficult to find work have beenoffered horticultural apprenticeships aspart of Cheshire East Council’sApprenticeship Scheme, the A-Team.

The budding gardeners spend most of theweek helping to keep the council’s publicparks and gardens in top condition. On oneday a week they attend Reaseheath College,in Nantwich, for skills development andtraining towards relevant, industryrecognised, qualifications. As well as offering the young people a vitalfirst step onto a career ladder, the initiative also directly benefits thelocal community by maintaining its public spaces.

Explained A-Team project leader Ben Whitter: “We are very excitedabout this scheme because it has a positive impact on everyone. Wehave developed a structured partnership with Reaseheath College andthe training provides sound practical work experience which benefitsboth the apprentices and local residents.

“Working together, we identified an age gap within the horticultureindustry. Older people were retiring and taking with them theirhands-on experience and knowledge of a traditional trade. Thanks toReaseheath’s expertise and flexible approach, we have been able to

develop a training programme which hasbeen instrumental in bringing youngpeople back into the horticulturalindustry.

“We recognise the importance of parks tothe local community and hope that, byinvesting in our young people, we canoffer an even better maintenance service.

“We’d also like to make local people moreaware of the many, and increasing, opportunities offered to young peoplethrough our apprenticeship programme.”

Reaseheath instructor David Black said:“These young people are a pleasure toteach. What’s great to see is the way they

want to do their job to the best of their ability, and their thirst for newknowledge.”

Reaseheath College trains seven horticultural apprentices, oneagricultural apprentice and one business administration apprenticefor Cheshire East’s A-Team.

The Insolvency Act covers directors who were in office at anytime in the twelve months prior to liquidation. Let’s call themMr White and Mr Black.

The Act says a prohibited name is the Old Company name, ora name ‘so close as to suggest an association’. It includestrading styles and abbreviations.

It’s a criminal offence if, in the five years after the liquidation, those individuals are involved with a new limited company orany other type of business using a prohibited name.

So Mr White and Mr Black can’t be involved in any business, with the same or similar name, for five years. If they areinvolved, and the New Company fails, then Mr White and MrBlack are personally liable for the debts of the New Companythat were incurred while they were involved.

If Mr Grey acts as director in place of Mr White and Mr Black, knowing that they are barred from acting as directors, then MrGrey will also be personally liable for the debts of the NewCompany that were incurred while he was following Mr Whiteand Mr Black’s instructions.

So the general rule is – you can’t act.

The good news is that there are exceptions.

The first exception is when the New Company buys thebusiness of the Old Company from the liquidator. Provided thedirector sends a notice to creditors and publishes it, he maythen act. You wouldn’t be able to use this route unless thebusiness is acquired from a liquidator.

The second exception is that if you didn’t apply to Court beforethe Old Company went in to liquidation, you’ve got seven daysafter the liquidation to apply to Court for permission to act asa director; and you can act for up to six weeks while the Courtthinks about the application.

The third exception is that you don’t need permission wherethe New Company – although it’s got a prohibited name – wasactively trading under that name for at least a year before theliquidation.

Restarting a business is a difficult and complicated task, withpitfalls for the unwary. The key to planning is to get earlyadvice. If cash flow and money worries are pressing, ask forhelp now. MGJL believes that there's a market for plain, straightforward advice on the solutions available to help youdeal with your creditors fairly and to rebuild your business freeof debt worries. Contact us for a free consultation – if we canhelp you to avoid formal insolvency, we will. If we cannot, wewill help to plan your next steps and help you to regain controlof your finances.

Where a company has gone in to liquidation, the trade namemay have some value to the directors, especially if they wishto carry on trading through a new business.

Take action to preventsummer sickiesEmployment law, health and safetyspecialists Citation are warninglocal companies to be on theirguard against a ‘summer of sickies.’

Boss Lindsay Hill, (pictured) said:“Some people think going off sickis an easy way to recover from anight of celebration, particularlyafter staying up late watchingsport. But evidence is needed thatthe illness isn’t genuine, andappropriate steps must be taken toensure employers don’t fall foul ofthe law. We recommend takingsteps to discourage staff fromthrowing sickies.

“For example, make sure the employee knows they have to speak toa line manager when calling in sick. This makes it much moredifficult for staff and one which tests the nerve as well as the actingskills of the most determined skiver. Insisting on a phone call tonotify of sick leave, rather than text or email, is another usefuldeterrent - and it never hurts morale to provide access to TVcoverage in the office at appropriate times.”

CTC Physiotherapy reduce council’ssickness absence costs by over£300,000New Birmingham Chamber member CTCPhysiotherapy is working with StaffordshireCounty Council to significantly reduce staffabsence levels through the introduction ofan innovative rapid access physiotherapypilot project.

The pilot is one of a number of new measures launched byStaffordshire County Council in February 2012 that have seen aneight percent drop in staff absence - and a resulting £300,000 costsaving - since they were introduced.

Ian Parry, cabinet member for finance and transformation, said: “Afit and healthy workforce is key for a well run council that offers valuefor money services to its residents. While some staff sickness isunavoidable in any organisation, this new approach has had a bigeffect. It’s about taking quick action to prevent staff from going offsick, or when they are absent, helping them get back to work as soonas possible.

“The result is more than 1,000 extra days worked a month by ourstaff, (providing the services that people in Staffordshire rely on,)equating to a saving of more than £100,000 a month.”

Rick Carter, Managing Director of CTC Physiotherapy explains whythe measures include a focus on physiotherapy.

“We are delighted to be working with Staffordshire County Councilin such a positive and proactive approach.”

“A recent report by the Office of National Statistics highlights that in2011 35million days were lost to musculoskeletal problems – whichtop the list of reasons for absence. Organisations can tackle thesestatistics head on in an extremely cost-effective manner by providingstaff with access to physiotherapy.”

A physiotherapy service is now in place for staff with conditions suchas pain and stiffness in joints, muscles, nerves and soft tissues. Itoffers rapid treatment to help staff return to work quickly.

Physiotherapy interventions consist of a telephone triage process, introduced for managers to use within 24 hours of an employee beingoff work. During the call the nature of the problem is established andadvice and appropriate exercises discussed about how to manageconditions. Hands-on physiotherapy is then arranged at a locationconvenient to the employee if necessary.

A proactive preventative service is also being piloted for staff in work, aimed at preventing absence.

Need a loan? The Chamber can help

During my time in the banking worldone of the regular comments madeconcerned the notion that you couldalways rely upon your bank managerto give you an umbrella when it wasn'training but as soon as it clouded overhe was nowhere to be found.

Well if ever there was a need for anumbrella it has been this summer andwith the banking world remainingturbulent, suffice to say that anumbrella from your banker would behard to find.

Having taken up a new position with the Chamber, I feel that Ican at last shake off the umbrella comments and approach mynew role with fresh vigour. My first job therefore has been toacquire a stack of umbrellas and on the assumption that thesummer will continue in its present format.

After that my aim is to spread this piece of good news - theChamber has funds available to assist local businesses.

Up to £10,000 can be provided for short term working capitalrequirements – usually repayable over a maximum 2 year period, with longer term projects covering requirements up to £25,000being funded over a period extending to 5 years. All that westipulate is that the Chamber is not the main funder for the projectcovered by the request, where we limit our support to a maximumof 50% of total costs.

Funding is designed to aid business projects which are likely tocreate jobs and assist in the regeneration of the local economy ofCrewe and Nantwich.

I look forward to calls from businesses who for once may be ableto get an umbrella from a banker when it is actually raining!

Chamber officials have congratulated Crewe Alexandra FC as it looksforward to a new football season in League One.

A fleet of coaches carrying more than 12,000 Crewe fans travelledto Wembley to see the Railwaymen complete a mission impossibleand leave their Cheltenham Town counterparts devastated.

The Alex were 18th when Steve Davis took the reins from DarioGradi and they managed to get into the play-offs on the final day ofthe season.

It means the jubilant Reds will return to the third tier of Englishfootball after a three-year absence.

Chamber acting chief executive Paul Colman said: “What a fantasticoccasion for all concerned. They made an heroic effort and pulled itout of the bag for the fans who made such a big effort to get toWembley and get behind their team.

“From a business perspective, it lifts the mood in Crewe and putsthe town on the map for all the rights reasons. We have a greatlocation for any business looking to invest in our area, a willing andskilled workforce and now a League One football team to boot.”

Alex fans, now delirious with delight, are counting the days to kickoff in August.

One of the wettest summers on record has forced organisers to pullthe plug on the Nantwich Show but the International Cheese Showwill still go ahead (see page 30).

Sadly it means the Chamber has also had to cancel the Pre-NantwichShow Business Reception staged on the showground the nightbefore.

In a statement, joint show secretaries, George and Adrian Lawrence, said: “It is with extreme regret that we have to advise you that dueto the exceptional heavy rain and impossible showgroundconditions, the decision has been made to cancel the AgriculturalShow, however, the Cheese Show (International Cheese Awards -Nantwich) will continue as scheduled. With no end in sight to theterrible weather there was really no alternative.”

Madeleine Abbey, Chamber executive for events and marketing, added: “It is regrettable that both the show and the pre showreception have become victims of the British weather but thebusiness reception, always a popular event, will be on ournetworking calendar for next year. In the meantime, the autumn andwinter months will offer many opportunities to network and makenew contacts in the business community.”

When we were firstawarded the accreditationback in late 2001, and for anumber of years since, wewere the only law firmbetween Chester and thePotteries to have it.

In a survey of all Citation customers, employers said that managingsickness was their biggest headache.

“There is obviously a national picture which reflects the difficult timeswe face but locally this sort of event inspires confidence and shows therest of the country that South Cheshire has great foundations forinvestment.”

Mr Timpson hailed the jobs expo as a huge success and added that itemphasised the many opportunities available in South Cheshire’svibrant economy.

He said: “I am thrilled to see my initial idea to help boost employmentand business confidence in Crewe & Nantwich become a reality. Withmore than 45 local businesses and around 2,000 job seekers attendingon the day, the success of the jobs fair went way beyond expectations.

“Although the vast majority of job seekers were from the local Creweand Nantwich area, we also saw people from as far afield as Stockport,Telford and North Wales, showing how the fair helped put Crewe onthe map as a place that is definitely open for business.”

He added: “I want to put on record my sincere thanks to all at CreweAlex for providing such a great venue, to the South Cheshire Chamberof Commerce for their full support of the event and to the Chronicle formaking sure as many people as possible knew about the fair.

“Finally I want to thank all the local businesses and job seekers whoembraced the fair and made the day so worthwhile.”
