The death of Prof. Jas. C. Watson, at Madison, Wis.,

Nov. 23,1880, aged 41, was announced by the Secretary.A communication entitled : On the Vertebrata of the

Wind River Eocene beds of Wyoming. By E. D. Cope,was read by title.

Dr. K?nig exhibited two specimens of silver ore from near

Ouray, in Colorado, of unusual interest as exhibiting the re-

duced native silver and also the asphalt (enclosed in cal-

cite)by

which it had been reduced.

The Treasurer's annual report was read and referred.

The Publication Committee reported verbally that theyhad approved the plates for Prof. Haldeman's Memoir.

The Committee on the communication x, y, z, for the

Magellanic Premium reported ; and on motion the followingresolutions were passed :

Resolved,firstly, t appearing thatthe communicationof x,y,

z, for theMagellanic premiumrelates to mechanical devices not immediatelyper-taining to Navigation, Astronomy, r Physics, it is not proper that thequestionof merit or worthinessof the invention,discovery,or improve-mentset forth hould be passed upon by this Society.

Resolved, econdly, That the Secretaries be authorizedand empoweredto allow thewithdrawal of this communicationby any person who, theymaybecome satisfied,has the right to withdraw the same, and that theSecretaries be directed to assure such personthattheSocietycommits tselfto no opinion in any way derogatory o the invention,discovery,or im-

provement,but simply findsthe same not to relate to the subjects pre-scribedby Magellan, or thoseupon which premiumsare to be awarded.

Pending nominations Nos. 909, 920 to 925, and new

nomination No. 926 was read.

The resolution offered by Dr. LeConte,at the last meeting,was then considered, and there being present the lawfulnumber of 3 members of the Board and Council, and 13

members of the Society necessary for a change in the By-Laws, after due public notice given, was unanimouslyadopted.

Resolved, That the concludingclause ofthefirst aragraphon page 17 oftheBy-Laws, i. e., all after heword premium in the5th ineofthatpage,be struckout, and the words '*forsuch purposes as may be authorizedbyits charter and laws be substituted herefor.

The other three resolutions recommended to the con-

sideration of the Society were on request again postponed toallow time for the members of the Society to become better

acquainted with their tenor.

1. Resolved,That themembers of the Society be invited to send to theSecretariesthe names of notable discoverers in any branch of science, orthe fineor useful arts,with the reasons forbestowal of medals for theirdiscoveries.

2. Resolved,That such namesand recommendations e placed forconsid-

erationin thehands of the President to report o the Society his verdict nfavorof one ormore of them f proper.3. Resolved, That, in case no veto is placed by the Society on such ver-

dict,there shall be a presentation fmedals to thepersonsrecommendedbythe Presidentat a timeand in a manner to be arranged by him.

And the meeting was adjourned.
