(UNEPC") a company duly organized and existing under the laws of the People's Republic of China, with a place of business at 40, Wenhua Street, Yinzhou District, Tieling City, Liaoning Province, P.R. China and CHINA NATIONAL ELECTRIC ENGINEERING CO. LTD ("CNEEC") a company duly organized and existing under the laws of the People's Republic of China, with a place of business at CNEEC Building, No 9, South Shouti Road, Haidian District, Tieling City, Beijing 1000048, P.R. China SMPC, GEEPF, NEPC and CNEEC are referred to herein individually as a "Party" and collectively as the "Parties". WHEREAS an agreement was entered into (hereinafter "the Agreement") as of the 07 th day of December, 2011, by and between SMPC and GEEPF for the sale of power generation equipment (two model PG 9171 E Gas Turbines, Generators and Associated Auxiliaries) for the Meghnaghat Power Plant, and WHEREAS Assignment Agreement A/723606/001 /2012 was entered into as of the 16 th day of February, 2012, by and between SMPC, NEPC, and CNEEC, under which SMPC as Assignor assigned to NEPC AND CNEEC collectively as Assignee all rights and obligations under the Agreement except payment obligations, and GEEPF acknowledged and does acknowledge such assignment WHEREAS the Parties wish to revise the technical data in the Agreement to take account of a change in the fuel proposed for the Meghnaghat Power Plant, from Heavy Fuel Oil (HFO) to High Speed Diesel (HSD) The Parties now agree on this present Addendum n 01to the Agreement as modified by the Assignment Agreement.

Recitals
1. This Addendum n01 is issued to revise the Technical part of the Agreement, Section3 "Performance Data", Paragraph 3.1 "Guaranteed Performance" as follows:
In the Technical part of the Contract, Section 3 "Performance Data", Tab 03a, relating toperformance with HFO, paragraph 3.1 "Guarantee Performance" (including 3.1.1) isdeleted and replaced with the new Section 3 attached hereto as Appendix 1.
It is agreed that in the event of the HSD liquid fuel not being in compliance with thelatest revision of the Seller's Liquid Fuel Specification GEI-41047 and with the designbasis of this proposal, Degradation Curves will apply.
2. The definition of EPC Contractor shall be amended as follows:

China (Postcode12000) along with China National Electric Engineering Co. Ltd of CNEEC Building, No 9,South Shouti Road, Haidian District, Tieling City, Beijing 100048, P.R. China
3. Except as stipulated in this Addendum n~ all the provisions of the Contract shallremain unchanged and in force and shall apply also to this Addendum n~.
4. In the event of any conflict between the contents of this Addendum n01 and thecontents of the Contract, the contents of this Addendum n~ shall prevail.
5. This Addendum n01shall become effective when signed by all Parties.

A. The liquid fuel is in compliance with Seller's Liquid Fuel Specification GEI-41047 last revision and with the design basis of this proposal.
B. Gas turbine is operating at steady state base load.C. Tests to demonstrate guaranteed performance shall be conducted in
accordance with the ASME Modified Performance Test Procedure asdefined in Seller's GEK-107551.
D. Gross performance is measured at the generator terminals and includesallowances for excitation power and the equipment shaft-driven by gasturbine normally in operation.
E. Guarantees are based on new and clean condition of the gas turbine. Newand clean condition is defined by the following:
The gas turbine has less than 650 fired hours for natural gas and/orHSD fuel.
The gas turbine has been subjected to an offline water/detergentwash within 25 hours of the performance test.
F. Performance tests shall be carried only for HSD.

G. Degradation curves on HSD shall be used as soon as the GT has beenswitched to HSD.
H. Performance curves such as ambient effects curves and generator losscurves will be provided after contract award. These curves along withcorrection factors such as fuel property corrections are to be used duringthe site performance test to correct performance readings back to the siteconditions at which the performance guarantees were provided.
I. Compressor air extraction from gas turbine = o.J. Guarantees are based on the calculated amount of diluent injection
shown in the above Design Basis table. The actual amount of diluentinjection as determined during the field compliance test may be different.which will have an effect on the output and heat rate.
