December 31, 2018 is awarded to you. Your offer is considered compliant and
responsive at a contract price equivalent to PESOS: FIVE HUNDRED EIGHTEEN
THOUSAND EIGHT HUNDRED (P518,800.00)
You are therefore required, within ten (10) calendar days from receipt of this
Notice of Award, to formally enter into a contract with us, and to submit the
Performance Bond Security in the form and the amount stipulated in the contract.
Failure to enter into said contract or provide Performance Security shall constitute
a sufficient ground for cancellation of this Award and forfeiture of your Bid
Security.

This CONTRACT made and entered into this' day of December 2017 at Quezon City, Philippines by and between:
The NATIONAL FOOD AUTHORITY, a government instrumentality exercising corporate powers in the performance of its governmental functions with principal office and place of business at PHILSUGIN Building North Avenue
Diliman, Quezon City, represented herein by its Administrator, JASON LAUREANO YAZAR AQUINO, hereinafter referred to as the "NFA".

WITNESSETH
WHEREAS, NFA invited interested contractors to submit offers for the maintenance services of all airconditioning units for NFA Central Office, NFA Motorpool, and Annex Building (L-Shaped) from January 1, 2018 to December 31, 2018;

›- ra WHEREAS, the SERVICE PROVIDER submitted on November 06, 2017 the required eligibility documents for the technical and financial components of its bid for the afore-mentioned Contract and participated in the bidding;
WHEREAS, the Service Provider offered for certain goods and ancillary services, viz, Provision of Preventive Maintenance Services of all airconditioning units and NFA has accepted a Bid by the Service Provider for the provision those services in the sum of PESOS: Five Hundred Eighteen Thousand Eight Hundred only (P 518,800.00) hereinafter called the Contract Price.
WHEREAS, the NFA Small Value Procurement Committee (NFA SVP) recommended to the Administrator the award of the aforementioned Contract to the Service Provider after conducting thorough preliminary examination, detailed bid evaluation and post-qualification of the Service Provider's eligibility 0. documents, bid documents and bid proposal in accordance with the Amended

GENERAL PROVISIONS
1. In this Agreement, words and expressions shall have the same meaning as respectively assigned to them in the Conditions of the Contract;
2. The following documents shall be deemed to form and be read and construed as part of this Agreement, viz:
The Offer/Tender form and the price schedule submitted by the Service Provider; The Schedule of Requirements; The Technical Specifications/TOR; The Notice of Award
3. In consideration of the payments to be made by NFA to the Service Provider as hereinafter mentioned, the Service Provider hereby covenants with NFA to provide the services and to remedy defects therein in conformity in all respects with the provisions of the Contract;
4. NFA hereby covenants to pay the Service Provider in consideration of the provision of the services, the Contract Price or such other sum as may become payable under the provisions of the contract at the time and in the manner prescribed by the Contract.

ARTICLE III RESPONSIBILITIES OF SERVICE PROVIDER
To complete Monthly Servicing Maintenance for the first two (2) weeks of first and second month of every quarter;
To complete Quarterly Servicing Maintenance before the end of third month of every quarter;
To provide estimates free of charge and to identify defective parts of air conditioning units for replacement/repair if any;
To act on service call within twenty-four (24) hours after receipt of complaint;
To require employees of Service Provider to wear their uniforms and IDs while inside NFA premises for proper identification; and
To submit service report to GSD immediately after completion of work due to service call.

2. To provide a space for the Service Provider's equipment, facilities, and working crew while they are performing their work assignment at NFA;
GSD to supervise and oversee the technicians of the Service Provider while performing their duties;
To inform the service provider any complaint on malfunction of airconditioning units;
GSD to prepare a Monthly and Quarterly maintenance servicing certification to serve as attachment to service provider's claim of payment for services rendered; and
6. GSD to render quarterly evaluation/assessment of service provider's performance;
ARTICLE V LIABILITY FOR THE DELAY / NON-DELIVERY
The Service Provider shall pay liquidated damages to NFA at the rate of one-tenth of one percent (0.1%) of the cost of delayed service per day of delay. NFA may deduct liquidated damages from payments due to the Contractor. Payment of liquidated damages shall not affect the Contractor. Once the cumulative amount of liquidated damages reaches ten percent (10%) of the amount of the Contract, NFA shall rescind this Contract, without prejudice to other courses of action and remedies open to it.
ARTICLE VI OTHER CONDITIONS

That in case of increase or decrease in the number of air-conditioning units to be serviced, there shall be a corresponding increase/decrease in the contract rate after a fifteen-day (15) prior notice to the service provider;
Defective parts/materials for replacement are subject for double checking and confirmation from GSD Office Maintenance Section;
NFA has the right to terminate the contract following guidelines of IRR 9184 under Appendix 4, Roman numeral III A, 1.a, 1.b and 1,c.
a. Outside of force majeure, the Service Provider/Contractor fails to deliver or perform any or all of the Goods within the period(s) specified in the contract, or
within any extension thereof granted by the Procuring Entity pursuant to a request made by the service provider prior to the delay, and such failure amounts to at least ten percent (10%) of the contract price;
As a result of force majeure, the Service Provider/Contractor is unable to deliver or perform any or all of the Goods/Services, amounting to at least ten percent (10%) of the contract price, for a period of not less than sixty (60) calendar days after receipt of the notice from the Procuring Entity stating that the circumstance of force majeure is deemed to have ceased; or
The Service Provider/Contractor fails to perform any other obligation under the Contract.
ARTICLE VII VENUE OF ACTION
Any dispute or disagreement of any kind whatsoever arising from any interpretation, implementation or violation of the terms and conditions of this Contract shall, as far as practicable, be settled amicably. In case the parties fail to amicable settle their differences and one of the parties is constrained to seek judicial redress to protect its rights and interest, such suit shall be filed and prosecuted exclusively in the proper court of competent jurisdiction in Quezon City, Philippinesonly.
ARTICLE VIII DURATION
This Contract shall be in full force and effect from January 1, 2018 and shall automatically expire December 31, 2018 without need of a notice.
