AMY WINBHOUSE INTERNATIONAL RIDER This Rider ("Rider") is attachedto and made a part of the contract (the "Contract") between CIIERRY WESTFIELD, LTD. ("Producer") fumishing the services of AMY WINEHOUSE ("Artist") and the purchaser of said services ("Purchaser") asdefinedon the face of the Contract in connection with Artist's performance(s) at the venue described therein (the "Venue" or the "Engagement"). To the extent this Rider conflicts with the terms and conditions contained in the Contract or in any other contract, thetermsandconditions contained in this Rider shall control. Producer andPurchaser hereby agree to the foliowing additional terms and conditions: 1. BILLING / ADVERTISING Unless otherwise stated to the contraryin the Contract, Artist shall receive LNTo sole headline billing in any and all press releases, advertisements and otherpublicity including, but not limited to, radio, television, ad mats, tickets, newspapers, programs, fliers, signs,lobby boardsand marquees. Producer shall have approvalover all advertising, promotions andsponsorship. 2. CANCELI-ATION Producer shall have the right, in its sole discretion, to cancel the Engagement without liability, by giving Purchaser nolice thereofat least thirty (30) days prior to the startof the Engagement. 3. FORCE MAJEURE If Artist's performance(s) hereunder is rendered impossible, hazardous or is otherwiseprevented or impaired due to sickness, inability to perform, accident, intemrption or failure of means of transportation, Act(s) of God, riots, strikes,labor difficulties, epidemics, earthquakes, any act or order of any public authority, and/or any other cause or event, similar or dissimilar, beyond Producer's control, then Producer's obligations with respect to the affected performance(s) shall be excused and Producer shall haveno liability to Purchaser in connection therewith. Provided Artist is ready,willing and able to perform, Purchaser shall remainliable to pay Producerthe full contract price plus any monies called for in the Contract regardless of the occurrence of any of the foregoing events. For purposes of this provision, the term "Artist" shallincludeArtist or any member thereof. 4. AMY WINBHOUSE INTERNATIONAL RIDER

This Rider ("Rider") is attached to and made a part of the contract (the "Contract") betweenCIIERRY WESTFIELD, LTD. ("Producer") fumishing the services of AMY WINEHOUSE("Artist") and the purchaser of said services ("Purchaser") as defined on the face of the Contract inconnection with Artist's performance(s) at the venue described therein (the "Venue" or the"Engagement"). To the extent this Rider conflicts with the terms and conditions contained in theContract or in any other contract, the terms and conditions contained in this Rider shall control.

Producer and Purchaser hereby agree to the foliowing additional terms and conditions:

1. BILLING / ADVERTISING

Unless otherwise stated to the contrary in the Contract, Artist shall receive LNTo sole headlinebilling in any and all press releases, advertisements and other publicity including, but not limited to,radio, television, ad mats, tickets, newspapers, programs, fliers, signs, lobby boards and marquees.Producer shall have approval over all advertising, promotions and sponsorship.

2. CANCELI-ATION

Producer shall have the right, in its sole discretion, to cancel the Engagement without liability, bygiving Purchaser nolice thereof at least thirty (30) days prior to the start of the Engagement.

3. FORCE MAJEURE

If Artist's performance(s) hereunder is rendered impossible, hazardous or is otherwise prevented orimpaired due to sickness, inability to perform, accident, intemrption or failure of means oftransportation, Act(s) of God, riots, strikes, labor difficulties, epidemics, earthquakes, any act ororder of any public authority, and/or any other cause or event, similar or dissimilar, beyondProducer's control, then Producer's obligations with respect to the affected performance(s) shall beexcused and Producer shall have no liability to Purchaser in connection therewith. Provided Artist isready, willing and able to perform, Purchaser shall remain liable to pay Producer the full contractprice plus any monies called for in the Contract regardless of the occurrence of any of the foregoingevents. For purposes of this provision, the term "Artist" shall include Artist or any member thereof.

4. INCLEMENT WEATHER

Producer's obligations hereunder shall be excused and Producer/Artist shall have no liability toPurchaser if Artist determines in good faith that their performance is (or is likely to be) renderedimpossible, hazardous or is otherwise prevented or impaired due to inclement weather. In such event(and notwithstanding anything to the contrary), Purchaser shall remain liable to Producer for the fullcontract price plus any percentage monies called for in the Contract.

5. STAGING

Purchaser shall provide and pay for an adequate stage suitable for its intended purpose. Withoutlimiting the generality of the foregoing, said stage shall be designed and constructed in order toaccommodate Artist's production requirements including those contained in the attaphed AtistProduction Rider (if any). ff the Engagement is to be performed outdoors, Purchaser shall provideand pay for adequate stage covering and grounding to protect all persons and equipment involved inthe production of the Engagement (including Artist and their crew) from inclement weather anddangerous conditions resulting therefrom. The foregoing shall apply to, without limitation, all stageareas, mixing consoles and wiring. Producer shall have the sole right to determine in good faithwhether such covering and grounding is adequate.

6. CREATTVE CONTROL

Producer shall have exclusive control over all creative elements of the Engagement including,without limitation, the creative elements of the following: sound, lights, choice of performers(including master of ceremonies and welcoming speakers) and their length of performance, stagesets, curtains, backdrops, song selection, rnanner of performance, and any music, film or videotapeplayed to patrons at any time during the Engagement including prior to performance and duringintermission (if any).

7. ANCILLARY RIGITTS

a. RECORDING

Purchaser agrees that Artist's performance hereunder, including any part thereof, shall not bebroadcast, photographed, recorded, filmed, taped or otherwise reproduced in any form, by anymethod, for any purpose, without Artist's and Producer's prior written consent.

b. MERCTIANDISING

Producer, or its designee, shall have the sole and exclusive right, without obligation to any party, tosell and distribute merchandise of any kind at the Engagement. Unless otherwise agreed to inwriting, Producer shall retain 1,007o of the gross receipts resulting from the sale of said merchandise.Purchaser shall provide, at its sole cost, well lit, secure, prime locations for merchandising.

8. SETTLEI\4ENT

Producer shall have the right to enter the box-office at any time (before, during and after theperformance) to examine and make extracts from the box-office records of Purchaser relating to thegross receipts of the Engagement. Purchaser shall provide Producer with a written box-officestatement (certified and signed by Purchaser) within one (1) hour following the Engagement.

9. COMPLIMENTARY TICKETS

Unless otherwise agreed to in writing, Artist and Purchaser shall each have the right to receive notmore than twenty five (25) complimentary rickets for each show.

10. INDEMNIFICATION

Purchaser agrees to indemnify and hold harmless Producer and Artist and each of their respectiveemployees, agents and contractors from and against any claims, costs (including, without limitation,reasonabld attorneys' fees and court costs), expenses, damages, liabilities, losses and/or judgmentsarising out of, or in connection with, any claim, demand or action made by any party if such are (orare alleged to be) a direct or indirect consequence of: (i) the Engagement or (ii) any breach or allegedbreach of any warranty, representation, agreement or covenant made by Purchaser herein.

II. TA)GS

Purchaser shall pay, at its sole cost, all taxes, fees, dues, levies and the like relating to theEngagement and the sums payable to Producer shall be free of same. The foregoing shall not applyto any Federal or State income taxes imposed by law on Producer or Artist for Engagementsperformed within the United States (unless otherwise stated on the face of the Contract) but shallapply to all other forms of taxes including, without limitation, any business occupations tax or anyvalue added tax ("VAT").

12. CHOICE OF LAW AND FORUM

This Rider and Contract shall be deemed made and entered into in the State of California and shallbe govemed by the laws of such State applicable to contracts entered into and wholly to beperformed therein. The State or Federal courts located in Los Angeles County, California shall haveexclusive jurisdiction over any disputes arising hereunder and the parties hereto agree to submit tothe jurisdiction of these courts.

13. INTERNATIONALTRAVEL

If the Engagement is. to be performed outside the continental limits of the United States, Purchaseragrees to procure, at its sole expense, the necessary visas, work permits, customs clearances and anyother documents of any nature whatsoever necessary or usually obtained to enable Artist, entourageand their equipment to enter and leave the country of the Engagement and for Artist and Artist'sperformers to render their services hereunder. Purchaser shall cause the foregoing to be provided toProducer (or to such location as directed by Producer in writing) in a timely manner. To the extentPurchaser requests any information or documents from Artist or Producer in connection therewith,such request shall be in writing and shall be made in a timely manner.

14. INSTIRANCE

Purchaser shall provide, at its sole cost, Commercial General Liability insurance covering anyclaims, liabilities or losses directly or indirectly resulting from injuries to any person (includingbodily and personal injury) and from any property damage and./or loss in connection with theEngagement. Such insurance shall be in the amount required by the Venue, but shall not be less thanOne Million U.S. Dollars ($1,000,000) aggregare per occr.urence and One Million U.S. Dollars($1,000,000) per event, placed with an insurance carrier acceptable to Producer. Said insurance shallbe in full force and effect at all times Producer, Artist or any of their respective employees, agents or

contractors (or any of their respective equipment) is or are at the Venue. Producer, Anist and each oftheir respective agents and employees shall be listed as additional insureds in connection with theforegoing insurance policies.

Purchaser shall also provide, at its sole cost, a policy of Worker's Compensation insurance coveringall of Purchaser's employees, subject to the requirements of the applicable state or foreign law.

Producer's failure to request, review or comment on such certificates shall not affect Producer's rightsor Purchaser's obligations hereunder.

15. SECURITY

Purchaser is solely responsible for providing security in connection with the Engagement.Accordingly, Purchaser shall provide and pay for adequate security for the protection of all personsand property in connection with the Engagement including, without limitation, Producer, Artist (andeach of their respective agents, employees, conhactors and quipment) and patrons. The foregoing isin addition to any other security requirements of Producer contained in the attached Artist ProductionRider (if any).

16. LICENSES / PERMITS

Purchaser shall secure, at its sole cost, all licenses, permits, certificates, leases, authorizations and thelike required or requested by any union, guild, governmental authority, performing rights society,Venue owner or any other third party in connection with (i) the Engagement and (ii) Artist's /Producer's exercise of any rights granted herein. Purchaser agrees to fulfill, or cause to be fulfilled,all terms, conditions, covenants, rules and/or regulations of such parties in connection therewith aswell as pay all levies, dues and fees applicable thereto. Upon request, Purchaser shall provideProducer with evidence of the foregoing; provided that Producer's failure to request or review sameshall not be deemed a waiver of Purchaser's obligations or Producer's rights hereunder.

17. GENERAL REQLIIREI\4ENTS / PRODUCTION RIDER

Except as otherwise agreed to by the parties in writing or as otherwise stated in the attached ArtistProduction Rider (if any), Purchaser shall provide, at its sole cost, all elements of the production asrequired by Artist including, without limitation, catering, dressing rooms, internal groundtransportation, sound, lights and backline equipment.

If the Anist Production Rider is attached hereto, then said Artist Production Rider shall be made apart hereof and Purchaser agrees to fulfill or cause to be fulfilled, at its sole cost, all terms andconditi ons contained therein.

18, ADDITIONAL REPRESENIATIONS AND WARRANTIES

Purchaser represents and warrants that: (i) it has the right and authority to enter into this Rider andContract and to fully perform its obligations contained herein; (ii) it has the right to grant the rightsgranted herein and that Artist's / Producer's exercise of any such rights does not and will not infringeupon or impair the rights or interests of any third party; (iii) all goods, equipment and other materials

provided by Purchaser (or at its request or direction) shall be safe, fully operational, and will notcause injury or damage to any person or property; and (iv) that all persons provided by Purchaser(including, its agents, employees and contractors) shall be adequately trained and capable ofperforming their required duties and that such persons shall, at all times, act in a safe manner,without causing injury or damage to any person or property. The undersigned warrant and representthat they are authorized to execute this Rider and Contract on behalf of the respective Parties.

19. RETURN OF CONTRACT

Purchaser agrees to sign and return this Rider and Contract to Producer's agent, William MorrisAgency, LLC, within ten (10) days from the date of the Contract; otherwise Producer shall have theright to cancel the Engagement upon notice thereof without liability. Producer's failure to exerciseits right cancel the Engagement upon the completion of said ten (10) day period shall not be deemeda waiver of Producer's right to cancel the Engagement at any time thereafter.

20. MODIFICATION / ASSIGNMENT / MISC.

This Rider and Contract is the sole and complete agreement between the parties with respect to theEngagement and supersedes all prior and contemporaneous agreements regarding the subject matterhereof. This Rider and Contract (or any part thereof) may not be changed, modified or waivedexcept by a signed, written agreement of the parties.

21. NOTICES / CONSENTS

All notices, consents, approvals and the like given in connection with this Rider and Contract shallnot be effective unless contained in a writing, signed by the party giving same.

22. PARAGRAPH HEADINGS

Paragraph headings are used herein for convenience only and shall not be used to interpret this Rider.

Hospitality RiderParking:Parking is required for 1 Tour Bus with a Trailer - Power for the bus is essential. Pleasearrange parking as close to the load in as possible. Please forward full instructions anddirections.

Crew:We require a minimum of 2 competent, and sober local crew for load in/qut. If your load isdifficult, (e.9. sbairs) please increase this as necessary. .

Risers:We require one suibble drum riser (2x8'x4)

Security:Please ensure you have sufficient security personnel in your venue.A security briefing with the Tour Manager will take place before the show.

Barrier:For the safety of the audience and band, a welFconstructed banier must run across the fulllength ofthe stage.

Dressing Room:We require at least Three (3) lockable dressing room for the sole use of AMY WINEHOUSEtouring party. It sfrould be warm and well lit, with seating for 15 people. Access to aprivate toilet and shower from load in with TOWELS. Access to and from the outsidewithout going through the crowd is very important. Security must be on this door to checkpasses.

Production Office:Please provide us with a production office for full use of the tour manager that has access tophone, fax and Internet. The band and crew need to be able to make contact with the worldin order to have the tour function smoothly. (BROADBAND OR WIRELESS PLEASE - 4Ls0SMTP SERVER NAMES FOR OUT GOING MAIL)

PassesThe promoter or venue must supply passes for the support band and crew, unless otherwisestated. Please no stictqy wristbands.

MerchandisePlease provide a safe clean area for our Merch, please advise on charges or commissionsbefore the showday.

Towels

We require access to 40 TOWEIS. Please have 20 fresh towels in the production office fromLoad in.

Please note that any contract with this rider unattached, unsigned or altered in any way,without prior negotiation and written consent from "The Artist", shall make the contractnull and void and shall be deemed reason for immediate cancellation of the contract.

1. BILLING / ADVERTISING

a. In all advertising relating to the engagement(s) *The Aftist" shall receive onehundred percent sole headline billing. When appearing as part of a festival lineup, billing in all adveftising should be agreed with "The Artist'prior to release.

b. When supplied with artwor( or logo, "The Plomoter will use this in alladveftising, without exception.

c. "The Promoter" shall present copies of all advertising to "The Aftist's'representative on the day of engagement.

d. All advertising, without exception shall have the approval of "The Altist"e. The name or image of "The Artist" shall not be used, or associated with any

product, service or sponsor.f. No-one shall commit "The Attist" to any interuiews, personal appearances, or

any other type of promotion without the prior written consent of *The Artist"

2. THEPERFORMANCE

a. "The Artist" will close the show at each performance, unless billing statesdifferently."The Artist" shall peform for approximately sixty to seventy five minutes, andshall be permitted to perform for a greater time without inteference from "ThePromoter"

"The Promoter" accepts sole responsibility for any overtime charges or financialpenalties, which may result from \he Aftist" performing their full contractedstage show.

b. \he Aftist" shall have sole and exclusive control over the nature, presentation,production and content of their show.

c, "The Artist" shall have sole, exclusive control over the rigging operation,staging and use of all sound and lighting equipment from the time of stage call,through the show and on to the conclusion of the load out.

g. "The Attisf' reserves the right to restrict, re-site or remove any form ofadvertising, should it be considered to detract from, or impair \he Aftistt"conceft presentation.

. h. Any sound level restrictions must be relayed to "The Altist" within 30 days ofthe engagement.

i. After "The Artist's" equipment has been set up, these shall not be moved ortampered with in any way by anyone other than "The Altist's" own road crew.

j. "The Aftist" shatl have complete control over any and all programmed music.

, . k. Doors must not be opened to the public without complete agreement with "The

Artist's' tour ma na gement.

, ; 3. SUPPORTACTS

a. No other act may appear on the same program without "The Altist's" priorwritten consent.

b. "The Aftist" reseryes the right to determine the length and nature of the otheract(s) performance.

a. "The Aftist" must be paid in the manner prescribed in the contract. Nodeductions from the fee may be made for any reason.

. b. "The Artist" reseles the right to be paid their whole fee, prior to theengagement.

c. 'The Artist'is a company registered in Delaware for contractual purposds, TheFederal ID # is 20-84t2266.

d. When state tax reductions are made, we must retain a receipt, and be sure that' it is clearly made out to lHyke Inc. c/o Richman Business Management, 600C

lake Street, Ramsey, NJ 07446., e. On returning this contract, "The Promoter" will attach a ticket manifest, sefting

forth the number of tickeb available in each price category, the capacity and thesubsequent potential gross and net after taxes.

In the event of any tickets being sold over the stated capacity, without theexpress perrnission of \he Atist", 100% of this extra revenue will be paiddirectly to "The Artist".

f. On returning this contract, "The Promoter" shall furnish "The Altist" with anestimated breakdown of the production costs relating to the peformance. A finaland complete copy of all production costs, accompanied by all relevant originalreceipts, invoices, rental agreements, sponsorship agreements and relatedmaterials which prove the cosb of the engagement, shall be supplied to "TheArtist's'tour manager on the day of the engagement.oThe Aftist" reserues the right to disregard any costs which are not properlyverified or have not been cleared as a valid cost via "The Artist's" agent. If thetotal of the final and complete breakdown of the production cost is less than that

' specified in the estimated breakdown of said costs as returned with the contract,then the break even "split point" will be adjusted accordingly. "The Promoter"will not make "The Artist" in any way liable for any increase in the productioncosts

g. In the event that "The Aftist's" fee includes a percentage paymen! "ThePromoter" will pay \he Atist" their percentage for every ticket sold. Anycounterfeit tickets will be the responsibility of "The Promoter" and will notaffect the calculation of the show Gross, Nett or any percentage calculation.

h. "The Altist's" tour manager, or other representative, shall have completeunrestricted access to the box office and door at all times, and will have the rightto examine and make copies of all relevant box office records.

i. "The Promoter" shall furnish "The Artist's' tour manager with a writtenbreakdown of all advance sales, all ticket stubs and unsold tickets, prior to sellingany tickets at the door.

"The Artist's" tour manager before completion of "The Aftist's' performance,and shall be accompanied by a final box office statement, all ticket stubs, unsoldtickets and a statement of expenses, ceftified and signed by "The Promoter"

In the event of any discrepancies, Yhe Promoter" is liable for payment to

k. All payments to "The Aftist" shall remain net and free from all taxeswhatsoever

l. Any percentage monies due to "The Aftist" shall be paid in cash, in localcurrency

5. TICKETS

a. "The Promoter" must collect all drop stubs (tickets) at the door on entry of theaudience. "The Promoter" will also retain all ticket stubs and unsold tickets forninety days following "The Artist's" performance.

b. No tickets shall be sold for seats located to the sides or to the rear of the stage,or where the audience view of the stage is impaired in any way, without prior

' written consent from "The Artist".

However, the ticket manifest must be indicative of every seat in the house,regardless of whether some seats are "Obstructed View". If written permission tosell such seats, "OBSTRUCTED VIEW" must be clearly marked on the face ofeach ofthese tickets

c. All tickets are to be sold at the agreed price categories on the face of thiscontract.

d. No discrimination, due to race, religion, sex, country of origin, or age, shall bepermitted, or authorized by "The Promoter" in connection with sale of ticketsor admission to the engagement.

e. "The Promoter" shall provide "The Artist" with fifty: (50) complimentarytickets for regional shows and one hundred: (100) for all New York and Los' Angeles showsNo complimentary tickets are to be given to the media, all promotional ticket

' buys must be done through the relevant ISLAND/UNMRSAL promotionaldepartment.Any other complimentary ticket lists, will only be permitted after clearance by"The Aftisfs" tour manager. The unused portion of all complimentary tickets,should be placed on sale to the general public, one hour. prior to doors, but onlyafter inspection by Yhe Aftist3" tour manager. In seated venues, no comptickets may be taken from the front twenty rows,

d. "The Promoter/' must make every reasonable effort to prevent the sale ofi unauthorized merchandise identified with \he Artist" within the venue or its

e. "The Promoter" must not have any financial interest, right or gains in

d. It is agreed and understood that no responsibility for public liability rests with, "The Artist". Nor will"The Aftist" be held responsible for any death, accident

or: injury, howsoever caused, incurred by "The Promote/' or any of theiremployees during the currenry of this contract.

e. "The Promoter" accepts sole responsibility for any damage to the venue; itsequipment or furnishings, unless caused directly by \he Artist" or a member ofthe touring staff

f. "The Promoter" is responsible for any damage to, or loss of, "The Altist's"equipment, vehicles, luggage, propefi and personnel during the currency of thiscontract, due to "The Promoter", their employees or security's negligence.Yhe Promoter" will make all necessary compensation payments on the sameday.

8. SECURITY / PASSES

a. "The Plomoter" shall guarantee proper security at all times, to ensure thesafety of "The Altist', their personnel, equipmen! personal possessions and

. vehicles, from the time of arrival until the finish of load out.

b. In the event of "The Artist" pedorming two or more consecutive nights at thesame venue, "The Ptomoter" shall provide adequate security to be presentwith the equipment from directly after the completion of the performance untilthe arrival of "The Artist's" road crew the following day.

c. One member of security to be present in the backstage area from "The Artist'sarrival at the venue, until "The Artist'so depafture from the premises oncompletion of the peformance. Said security person to be under the sole andexclusive direction of "The Artist's" tour manager.

d. One security officer to be present within "The Aftist's" parking area from timeof load -in until completion of load out.

e. Security personnel must be placed as follows ; at each entrance point to thebacKtage area, one on either wing and entrance point to the stage, the soundand lighting positions in front of house, the merchandising stands and allentrances and exits to and from the venue at least thirty minutes prior to doorsopening.

f. A minimum of six security staff to be placed in the barricade from fifteen minutesprior to the commencement of the peformance until fifteen minutes after thecompletion of the pefformance.

g. All security personnel in the backstage and stage area shall be under theexclusive direction of "The Artist's" tour or production managers, only withtheir express consent will security intervention in these areas be permitted.

h. All security personnel must be identifiable by T-shirts, jackets or passes and willnot be allowed to carry any weapons or drink alcohol during the show day.

9. PARKING

a. "The Promoter" shall provide ample parking space for 3 40-foot coaches and 2tractor-trailers. Parking to be in close proximity to the stage door and have directaccess from 06:00 am until two hours after the performance has ended. Where

c. Vehictes must be allowed to unload and load at the venue any time, and beallowed to re-park at the venue at least one hour prior to the completion of the

a. "The Artist's" road crew shall have complete access to the venue and itsfacilities from 10:00 am (Load In) on the day of the peformance. In the event ofdifferent access time being required, \he Aftist's" tour manager will advise"The Promote/' in advance.

b. "The Promoter" shall provide one fully qualified electrician, familiar with thevenues electrical system, to assist "The Artist's" road crew in connecting anddisconnecting all electrical supplies. Electrician to be on site and available from10:00 am (Load In)

c. "The Promoter" shall provide from 10:00 am until after the completion of loadin, a minimum of 12 stagehands to assist "The Artist's" road crew with settingup the show and again from 30 minutes prior to shows completion. 4 stagehandswill remain after load in to assist with support act changeover etc...

d. 2 qualified riggers, who will be required to position points and fly any necessaryequipment and return 30 minutes from shows completion to assist with removing

. the show from the building

e. Where flying points are not available "The Promoter" agrees to supply aground support system to "The Artist's" specifications.

f. "The Promoter" agrees to provide extra stagehands in the event of a long anddlfficult load in. (i.e.) load in involving extra long distance to stage, stairs, andtift.)

.g. These stage personnel will at all times, be under the direction of "The Aftist's"tour or production Manager.

h. Unless directed otherwise by "The Artist's" tour or production managers, eightmembers of the sbge crew will be released after the show is set up and readyfor doors opening and will not be required to return until 30 minutes prior to thecompletion of the peformance.

i. "The Promoter agrees to. furnish at his/her own expense, his personalrepresentativg who will have full authority to make any decisions pertaining tothe engagement and contract. This representative will be fluent in English andwill be in possession of all documents peftaining to the peformance andcontract. He will be on site at the venue 30 minutes before load in and will notleave until the completion of load and only after having cleared this with "TheAftist's' tour management.

j. In the event of the engagement covered, taking place in a non-English speakingcountry, "The Promoter" must ensure that an English-speaking representativeis available to "The Artist" on a twenty-four hour basis.

k. "The Promoter" agrees to arrange for a local doctor to be available to visiteither at "The Artist's" hotel or at the venue from the morning of theengagement until the production has completely departed the city of theengagement.

non-smoking runner with a 15 passenger van, who has excellent local knowledgeand will be exclusively available to "The Artist's" tour manager from 10:00 am

. until dismissed, Vehicle must be new, clean and smoke free and be able to carry15 passengers comfortably.

A catering assistant and runner to work exclusively with the catering staff fromload-in until released by catering manager.

11. STAGE / MIXING PLATFORMS

a. "The Promoter" agrees to provide a stage of solid construction, minimum sizeto be 40'wide x 36'deep by 5'high. This area must be level and free from allobstruction.

In addition, two PA wings should be supplied, one on either side of the stage,each wing to be a minimum of 8'wide x 4' deep x 2' high. Each wing must beable to support 700k9 per square meter.

Should it not be possible to meet the above requirements, '"The Promoter"must provide "The Aftist" with details of what is available for prior writtenapproval.

b. \he Promoter" agrees to make provision for an area in the main auditorium(stalls) for Yhe Aftist's" sound and lighting consoles. This area must not beunder a balcony and must be easily accessible. Where space allows, "ThePromoter" agrees to provide two platforms for this purpose, each platform tobe 8'wide x 6'deep x 1'high. Platforms to be set up approximately 75'from thefront center of the stage,

The final decision with regard to the positioning of these consoles lies solely with. "The Atist's" production manager.

c. Stage and mix position should be property barricaded to ensure public andperformer safety.

12. POWER REOUIREMENTS

a The following separate power supplies are required:

required, to meet the above specifications. The generator must never be leftunattended. "The Promoter" assumes full responsibility for ensuring that thegenerator is manned has ample fuel and is maintained to run it through theperiod of the engagement.

e. \he Promoter" must advise "The Artisf in advance if any ELCB / RCCB arefitted across any of the power supplies.

f. Yhe Promoter" must arrange for clearance for these circuits to be removed orby-passed. If no by-pass is allowed or possible, a generator may have to beprovided by "The Promoter" as an alternative source of power.

g. Should a fault in the power supply be the cause of personal injury or damage to\he Artisfs" equipment, "The Promoter" shall be solely responsible for ;1. The repair or replacement costs of any equipment and any expenses

involved in the hire and transportation of replacement equipment.

2. Re-imbursing \he Artist" for one days production costs, hotels, wagesand any travel expenses incurred by "The Aftist" ih fulfilling their part ofthe contract in the event that "The Artist" was unable to fulfill theengagement concerned.

3. Should any of \he Aftist's" other contracted engagements have to becancelled, continuing to bear the cost of "The Artist's" production, hotel,wages and travel expenses until production is fully operational again,

SOUNDCHECK

a. "The Artist" will require a sound check of approximately ninety minutesduration, prior to this "The Artisfs" road crew will require a minimum of ninetyminutes for testing of the sound system. Under normal conditions the testing ofthe sound system will begin at 14:30 hrs and the sound check will be over by17:30 hrs.

b, During testing of equipment and "The Aftist's" sound check, there shall be norestriction or limitation of the sound volume.

c. During these checks, no unauthorized person may enter the venue. Nounauthorized personnel may sit in and watch "The Artist's" sound check.Only "The Artist's" personnel will be permitted in or around the stage area.

These rooms should be bacKtage with no public access or view, access to stageshould not involve contact with the audience. a. No portion of "The Aftist's" performance may be recorded or filmed for anyreason whatsoever without the express permission of "The Artist". "ThePromoter" agrees that he/she will prevent any such recording from being madeand shall reserue the right to confiscate tapes, film, microphones, tape recordersand cameras.

b. "The Promoter" accepts liability for any and all recording and "The Artist'shall have the right of legal redress against "The Promoter" should recordings,identifiable from this engagement, be broadcast or commercially exploited in anyform.

c. No photography shall be allowed before,' during or after "The Artist's"peformance, without the express permission of "The Artist's" tour manager.

d. Where authorized by Yhe Artist's'tour manager, photographers to be issuedwith photo passes, photography will be limited to the first three songs in the pitflash may NOT be used. Ph-otographers will not be allowed on the stage or in thebackstage area, and must stay 6' left and right of "The Artist' during the periodthey are permitted to shoot.

e. Confiscated recordings and related material will be handed over to "TheAftist's'tour manager.

f . "The Promoter" guarantees that one copy of the attached photo release formwill be filled in and signed by all photographers individually, and prior to beinggiven any credentials.

16. PECULIARITIES

a. \he Promoter" agrees to inform \he Artist" at least thifi days prior to showdate of any mandatory union breaK, rigging limits, curfews, building codes orany unique regulations or peculiarities.

b. Where possible \he Promoter" must arrange for permission to waive the useof fire and safety curtains for this engagement.

c. "The Artist" will be using strobe lights and theatrical smoke effects, wherenecessary, "The Promoter" must arrange for permission from local authoritiesto use these effects

d. In the event of any restriction on fuel use, including, but not limited to a ban onSunday driving, or any other restrictions on traveling in or driving into thiscountry, state, or city of engagemenL it will be the sole responsibility of "ThePromoter" to arrange, obtain, provide and pay for all necessary permits,licenses and authorizations peftaining to said travel.

e. In the event of the engagement being the sole engagement in the city, state orcountry concerned, it is the sole responsibility of I'The Promote/' to arrange,obtain, provide and pay for all necessary permits, union dues, licenses,authorizations and visas peftaining to \he Aftist", their equipment andpgrsonnel entering, being, traveling, working and performing in the city, state orcbuntry of engagement.

"The Promoter" shall obtain, at no cost to "The Artist", all licenses, ceftificates,permits and authorizations or other approval required to be obtained from anyguild, union, public authority, PRS or other entity having jurisdiction over or withrespect to the engagement and shall comply and fulfill all conditions, terms andcovenants set forth therein.

CATERING

a. "The Promotef will provide, at no cost to \he Artist", catering to YheAttist's" specifi cations.

EOUIPMENT

a. In the event that \he Promoter" is providing sound, monitor, lighting and/orbackline systems, these systems must be to "The Artist's" EEACTspecifications, as directed in the attached equipment rider. All equipmentprovided, to be for.the sole use of "The Artist", and to be delivered, set up andtested, where applicable, before the arrival of Yhe Artist's" road crew.

TRANSPORT

a. On arrival at your local airport, we will require 2 x 15 passenger vans, 1 xluggage van and 1 x executive limousine to transport band and crew to eithervenue or hotel. We will require this transportation though the duration of ourstay with you up until our departure.

VENUE / MAP / SCHEDUTE / PRODUCTIONa. Immediately after receiving this rider, "The Promoter" agrees to forward the

following information to "The Artist"1. A sketch of the venue, showing all relevant details, including, but not

limited to, equipment entrancg Artist entrance, parking, backstage area,power supply and stage area.

2. Local town maps showing, location and access routes to the venue andhotel (Where applicable).

3. An accurate show schedule, listing all times, supporting artists andcurfews.

4. Six pages re: "Production Information" as attached to this rider, f!f1[!completed.

CONTRACT SIGNATURE

a. The signatories to this contract guarantee that they are of the legal age to enterinto this agreement and that they are empowered to sign on behalf of theparties to this agreement.

lf *The Aftist's" peiformance(s) hereunder is rendered impossible, hazardous or isotherwise prevented or impaired due to sicknes, inability to peform, accident,interruption or failure,of means of transportation, act(s) of God, riots, strikes, labordifficulties, epidemics, earthquakes, any act or order of any public authority, andlorany other cause or event, similar or dissimilar, beyond "The Artist's" control, then"The Artist's" obligations with respect to the affected performance(s) shall beexcused and "The Artist" shall have no liability to "The Promoter" in connectiontherewith. Provided "The Aftist" is ready, willing and able to perform, *The

Promoter" shall remain liable to pay "The Artist" the full contract price plus anymonies called for in the Contract regardless of the occurrence of any of the foregoingevents.

"The Aftist's" obligations hereunder shall be excused and "The Aftist" shall have noliability to "The Promoter" if "The Altist" determines in good faith that theirperformance is (or is likely to be) rendered impossible, hazardous or is otherwiseprevented or impaired due to inclement weather. In such event (and notwithstandinganything to the contrary), "The Promoter" shall remain liable to *The Aftist" for thefull contract price plus any percentage monies called for in the Contract.

CANCELIATION

\he Promoter" agrees that at "The Artist's" sole discretion, "The Aftist" maypostpone and/or cancel the engagement covered by this contract, without incurringany liability andlor further obligation, by giving "The Promoter" notice in writing,no later than 30 days prior to the scheduled date of engagement.

BREACH OF CONTRACT

"The Promoter" agrees and understands that it is his sole responsibility to provideand pay for all the provisions stated in this rider. Failure to comply with .any saidprovisions, unless specifically agreed in writing by "The Artist', may result incancellation of the engagement herein contracted.

The cancellation will in no way relieve "The Promoter" of his financial obligationsto "The Aftist'. "The Promote/'will be responsible for payment to "The Artist"in full, of the guaranteed fee and any potential percentage amounts due. \heArtist" shall be entitled to retain any monies already received, in addition to allother rights and remedies "The Aftist" may have.
