The Official Committee of Unsecured Creditors appointed in these chapter 11 cases (the
“Committee”), hereby applies (the “Application”) to this Court for entry of an order authorizing
and approving the employment and retention of Wilmer Cutler Pickering Hale and Dorr LLP
(“WilmerHale”), as counsel for the Committee, nunc pro tunc to December 20, 2011, pursuant to
sections 328, 504 and 1103 of Title 11 of the United States Code, 11 U.S.C. §§ 101-1532 (the
“Bankruptcy Code”) and Rules 2014, 2016 and 5002 of the Federal Rules of Bankruptcy

Procedure (the “Bankruptcy Rules”). In support hereof, the Committee relies upon the Verified
Statement of Andrew N. Goldman of Wilmer Cutler Pickering Hale and Dorr LLP Pursuant to
Section 329 of the Bankruptcy Code and Bankruptcy Rules 2014 and 2016, attached hereto as
Exhibit A and incorporated herein by reference (the “Goldman Statement”), dated January 6,
2012. In further support hereof, the Committee respectfully represents as follows:
BACKGROUND
1. On December 5, 2011, Getty Petroleum Marketing, Inc. and its three subsidiaries
that are debtors and debtors in possession in these proceedings (collectively, the “Debtors”)
commenced with this Court voluntary cases under chapter 11 of the Bankruptcy Code. The
Debtors are continuing in possession of their property and are operating their businesses, as
debtors in possession, pursuant to sections 1107 and 1108 of the Bankruptcy Code.
2. On December 20, 2011, the Office of the United States Trustee appointed the
Committee, which consists of the following three members: (1) CITGO Petroleum Corporation;
(2) Nino’s Auto Repair; and (3) Bionel Clearfield, LLC. The Committee has selected Alfred T.
Guiliano, Chapter 7 Trustee of Bionel Clearfield, LLC, as its chair and, at a scheduled meeting at
which a majority of members of the Committee were present, has now selected WilmerHale as
its counsel.
3. The Court has jurisdiction over this matter pursuant to 28 U.S.C. §§ 157 and
1334. Venue is proper pursuant to 28 U.S.C. §§ 1408 and 1409. This is a core proceeding
pursuant to 28 U.S.C. § 157(b)(2).
4. The statutory predicates for the relief sought herein are sections 328, 504 and
1103 of the Bankruptcy Code and Bankruptcy Rules 2014, 2016 and 5002.

RELIEF REQUESTED AND REASONS THEREFOR
5. Pursuant to sections 1103(a) and 328(a) of the Bankruptcy Code, the Committee
seeks to employ and retain WilmerHale as its counsel, effective as of December 20, 2011.
THE RETENTION OF WILMERHALE
6. The Committee respectfully submits that WilmerHale is qualified to represent it in
these cases in a cost-efficient and timely manner. Subject to the control and further order of this
Court, the professional services that WilmerHale will render to the Committee include, but shall
not be limited to the following:
(a) advising the Committee with respect to its rights, duties and powers in these chapter 11 cases;
(b) assisting and advising the Committee in its consultations with the Debtors relative to the administration of these chapter 11 cases;
(c) assisting the Committee in analyzing the claims of the Debtors’ creditors and the Debtors’ capital structure, and in negotiating with holders of claims and equity interests;
(d) assisting the Committee in its investigation of the acts, conduct, assets, liabilities and financial condition of the Debtors and of the operation of the Debtors’ businesses;
(e) assisting the Committee in its analysis of, and negotiations with, the Debtors or any third party concerning matters related to, among other things, the assumption or rejection of certain leases of non-residential real property and executory contracts, asset dispositions, financing of other transactions and the terms of one or more plans of reorganization for the Debtors and accompanying disclosure statements and related plan documents;
(f) assisting the Committee in its analysis of any claims that the Debtor may have against third parties, including any fraudulent conveyance or preference claims, and, to the extent appropriate, representing the Committee’s interest in any negotiations or litigation relating to these claims;
(g) assisting and advising the Committee as to its communications to the general creditor body regarding significant matters in these chapter 11 cases;
(h) representing the Committee at all hearings and other proceedings;

(i) appearing, as appropriate, before this Court, the Appellate Courts, and the United States Trustee, and protecting the interests of the Committee before those courts and before the United States Trustee;
(j) reviewing and analyzing all motions, applications, orders, statements of operations and schedules filed with the Court and advising the Committee as to their propriety, and to the extent deemed appropriate by the Committee’s support, join or object thereto;
(k) advising and assisting the Committee with respect to any legislative or governmental activities;
(l) assisting the Committee in preparing pleadings and applications as may be necessary in furtherance of the Committee’s interests and objectives;
(m) investigating and analyzing any claims against the Debtors’ non-debtor affiliates;
(n) preparing, on behalf of the Committee, any pleadings, including without limitation, motions, memoranda, complaints, adversary complaints, objections or comments in connection with any of the foregoing;
(o) performing such other legal services as may be required or are otherwise deemed to be in the interests of the Committee in accordance with the Committee’s powers and duties as set forth in the Bankruptcy Code, Bankruptcy Rules or other applicable law.
7. Notwithstanding the foregoing, in the event that the Committee seeks—and is
granted— standing to pursue fraudulent conveyance or transfer claims, pursuant to sections 548
and/or 544 of the Bankruptcy Code, against LUKOIL Americas Corporation and/or Lukoil North
America LLC (collectively, the “Fraudulent Conveyance Claims”), then the Committee may
seek to retain Pepper Hamilton LLP to pursue the Fraudulent Conveyance Claims. In such event
the Committee will file appropriate pleadings with this Court seeking the retention of such
counsel and shall ensure that the work of such counsel does not unnecessarily duplicate the
efforts of WilmerHale as general counsel to the Committee.
8. WilmerHale intends to work closely with the Debtors’ representatives and the
other professionals retained by the Committee to ensure that there is no unnecessary duplication
of services performed or charged to the Debtors’ estates.

9. The Committee selected WilmerHale based upon, among other things,
WilmerHale’s considerable national experience and knowledge in the field of creditors’ rights
and business reorganizations under chapter 11 of the Bankruptcy Code, as well as in other areas
of law related to these chapter 11 cases. The Committee believes that WilmerHale is well
qualified to represent it in these chapter 11 cases and requests that the Court approve such
retention nunc pro tunc to December 20, 2011.
10. The Committee requests that all fees and related costs and expenses incurred by
the Committee on account of services rendered by WilmerHale in these cases be paid as
administrative expenses of the Debtors’ estates pursuant to sections 328(a), 330(a), 331, 503(b),
507(a)(1) and 1103(a) of the Bankruptcy Code. Subject to this Court’s approval, WilmerHale
will charge for its legal services on an hourly basis in accordance with its ordinary and
customary hourly rates in effect on the date such services are rendered, subject to sections
328(a), 1103(a) and 330 of the Bankruptcy Code. The standard hourly rates of the attorneys and
paraprofessionals presently designated to represent the Committee generally range from $675 to
$1,250 for partners; $675 to $835 for most counsel; $395 to $695 for associates; and $195 to
$455 for most categories of litigation support, research and other paraprofessionals.1 The hourly
rates set forth above are subject to periodic adjustments in order to reflect economic and other
conditions. The Committee submits that such rates are reasonable and should be approved by
the Court, subject to a determination of the amounts to be paid to WilmerHale upon application
for allowance. WilmerHale will maintain detailed records of actual and necessary costs and
expenses incurred in connection with the legal services described above. WilmerHale will make
appropriate applications to this Court for compensation and reimbursement of out-of-pocket

expenses in accordance with the provisions of the Bankruptcy Code, the Bankruptcy Rules, the
Local Rules for the United States Bankruptcy Court for the Southern District of New York (the
Local Rules) and all applicable orders or procedures fixed by this Court in these cases.
WilmerHale reserves its right to file an application for an allowance of an enhanced fee award at
the end of this proceeding, subject to the discretion of the Committee.
11. The WilmerHale attorneys who will be most active in these cases will be Andrew
N. Goldman, Mike Bongiorno, Dennis Jenkins, Lisa Ewart, and Lipi Shah. Mr. Goldman, Mr.
Bongiorno, and Ms. Shah are members in good standing of the New York Bar. Mr. Goldman
and Mr. Bongiorno are also admitted to practice in the United States District Court for the
Southern District of New York. On December 22, 2012, this Court entered Orders granting Mr.
Jenkins’s and Ms. Ewart’s motions to appear pro hac vice in this case. It may be necessary
during the course of these cases for other WilmerHale attorneys and professionals to provide
services to the Committee.
12. Neither WilmerHale nor any of its partners and associates, insofar as the
Committee has been able to ascertain, represents any interest adverse to the Debtors, their estates
or their creditors in the matters upon which WilmerHale is to be engaged. As set forth in the
Goldman Statement, WilmerHale is a disinterested person, as the Committee understands this
term is defined, pursuant to sections 101(14) and 101(31), as modified by section 1103(b), of the
Bankruptcy Code.
13. The Committee believes that WilmerHale’s attorneys have no connection with the
Debtors and their creditors, except as otherwise set forth in the Goldman Statement. However,
WilmerHale is a large firm with a national and international practice, and may represent, or may
have represented, certain of the Debtors’ creditors, equity holders, related parties or other parties

in interest in matters unrelated to these cases, as set forth in greater detail in the Goldman
Statement.
14. Because of the extensive legal services that may be necessary in these chapter 11
cases, and the fact that the full nature and extent of such services are not known at this time, the
Committee believes that the employment of WilmerHale to provide the services described above
is appropriate and in the best interests of the Debtors’ estates and their creditors.
15. Since the Committee retained the services of WilmerHale on December 20, 2011,
and WilmerHale immediately began to provide necessary services to the Committee at the
Committee’s direction, the Committee requests that the Court enter an order authorizing
WilmerHale’s retention nunc pro tunc to December 20, 2011.
16. No prior application for the relief requested herein has been made by the
Committee to this or any other court.
RESERVATION OF RIGHTS
17. The Committee hereby reserves the right to retain additional professionals as
necessary in these cases, subject to Court approval.
WAIVER OF MEMORANDUM OF LAW
18. Because the relevant facts and law to the relief requested in this Application are
detailed herein, the Committee respectfully requests that the Court waive the requirement that the
Committee file a separate memorandum of law in support of the Application. The Committee
reserves the right to file a brief in reply to any objection to this Application.
NOTICE
19. No trustee or examiner has been appointed in the Debtors’ chapter 11 cases.
Notice of this Motion has been provided to counsel for the Debtors, the United States Trustee’s
Office, Kurtzman Carson Consultants, LLC, and upon all counsel of record using the Court’s

CM/ECF system. In light of the nature of the relief requested, the Committee submits that no
further notice is necessary.
WHEREFORE, the Committee respectfully requests the entry of an order (i) authorizing
and approving the retention and employment by the Committee of the law firm of WilmerHale,
pursuant to 11 U.S.C. §328(a), as its attorneys, with compensation and reimbursement of
expenses to be paid as an administrative expense in such amounts as may be allowed by this
Court pursuant to sections 330, 503(b) and 507(a)(1) of the Bankruptcy Code; and (ii) granting
such other and further relief as this Court deems just and proper.

Tunc to December 20, 2011 (“Application”)1; and upon the consideration of the Verified
Statement of Andrew N. Goldman of WilmerHale Pursuant to Section 329 of the Bankruptcy
Code and Bankruptcy Rules 2014 and 2016 (the “Goldman Statement”); and the Court being
satisfied, based on the representations made in the Goldman Statement and Application, that the
partners, counsel, associates and attorneys of WilmerHale who will be engaged in these cases
represent no interest adverse to the Debtors’ estates with respect to the matters upon which they
are to be engaged and that they are disinterested persons as that term is defined under Section
101(14) of the Bankruptcy Code; and it appearing that no other or further notice is required; and
it appearing that this Court has jurisdiction to consider the motion in accordance with 28 U.S.C.

ORDERED, that notwithstanding the Interim Compensation Order, the first Monthly Fee
Statement of WilmerHale shall cover the period from December 20, 2011 to January 31, 2012
and shall be filed on or before February 20, 2011; and it is further
ORDERED, that ten (10) business days’ notice must be provided by WilmerHale to the
Debtors, the United States Trustee, and to the Committee prior to any change in WilmerHale’s
hourly rates, and such notice must be filed with the Court. The United States Trustee retains all
rights to object to any rate increase on all grounds including, but not limited to, the
reasonableness standard provided for in Section 330 of the Bankruptcy Code, and the Court

Chapter 11 cases (the “Committee”) for an order pursuant to sections 328 and 1103 of Title 11,
United States Code (the “Bankruptcy Code”), and Rule 2014(a) of the Federal Rules of
Bankruptcy Procedure (the “Bankruptcy Rules”), authorizing and approving the employment and
retention of WilmerHale as counsel for the Committee (the “Application”) in the bankruptcy
cases of Getty Petroleum Marketing, Inc., Gasway Inc., Getty Terminals Corp., and PT Petro
Corp. (collectively, the “Debtors”), nunc pro tunc to December 20, 2011. This statement shall
also constitute WilmerHale’s disclosure of compensation required by Bankruptcy Rule 2016(b)
and section 329 of the Bankruptcy Code. I am authorized to make this statement on
WilmerHale’s behalf and, unless otherwise stated, I have personal knowledge of the facts set
forth herein. Certain disclosures herein relate to matters within the knowledge of other attorneys
at WilmerHale and are based on information provided by them. I will supplement this statement
if additional information becomes available concerning any relationship between WilmerHale
and the Debtors or, as appropriate, other parties in interest.

3. WilmerHale is an international law firm with offices in New York, New York;

and Palo Alto, California. WilmerHale also has offices in London and Oxford, England; Berlin
and Frankfurt Germany; Brussels, Belgium; and Beijing, China. WilmerHale has extensive
expertise and experience in the fields of debtors’ and creditors’ rights and business
reorganizations under Chapter 11 of the Bankruptcy Code, in addition to areas of the law that

typically arise in the context of a case under Chapter 11. In particular, WilmerHale has
substantial experience in the representation of creditors’ committees in Chapter 11 cases.
4. WilmerHale believes that it has assembled a highly qualified team of attorneys to
represent the Committee during the Debtors’ Chapter 11 proceedings. I am a partner in, and
global Vice-Chair of, the firm’s Bankruptcy and Financial Restructuring Practice Group and will
coordinate the firm’s representation of the Committee. I have over 19 years of experience in
Chapter 11 reorganizations, asset sales, liquidations, and related matters.
Services to be Rendered
5. The Committee has requested, and WilmerHale has agreed to provide, among other
things, the following services:
a. advising the Committee with respect to its rights, duties and powers in these chapter 11 cases;

o. performing such other legal services as may be required or are otherwise deemed to be in the interests of the Committee in accordance with the Committee’s powers and duties as set forth in the Bankruptcy Code, Bankruptcy Rules or other applicable law.
6. Notwithstanding the foregoing, in the event that the Committee seeks—and is
granted— standing to pursue fraudulent conveyance or transfer claims, pursuant to sections 548
and/or 544 of the Bankruptcy Code, against LUKOIL Americas Corporation and/or Lukoil North
America LLC (collectively, the “Fraudulent Conveyance Claims”), then the Committee may
seek to retain Pepper Hamilton LLP to pursue the Fraudulent Conveyance Claims. In such event
the Committee will file appropriate pleadings with this Court seeking the retention of such
counsel and shall ensure that the work of such counsel does not unnecessarily duplicate the
efforts of WilmerHale as general counsel to the Committee.

7. WilmerHale intends to work closely with the Debtors’ representatives and the other
professionals retained by the Committee to ensure that there is no unnecessary duplication of
services performed or charged to the Debtors’ estates.
8. Subject to this Court’s approval of the Application, WilmerHale is willing to serve as
the Committee’s counsel and to perform the above-described services.
WilmerHale Is Not Precluded From Representing The Committee
9. To the best of my knowledge and information, neither I nor WilmerHale is an insider
of the Debtors. Except as set forth below, neither I nor WilmerHale holds directly any claim,
debt or equity security of the Debtors.
10. To the best of my knowledge, WilmerHale is not and has not been an investment
banker for any outstanding security of the Debtors.
11. To the best of my knowledge, WilmerHale has not been, within two years of the date
of the filing of the Debtors’ petitions, a director, officer, or employee of the Debtors as specified
in subparagraph (B) of 11 U.S.C. § 101(14).
12. To the best of my knowledge, WilmerHale does not have any interest materially
adverse to the interests of the Debtors’ estates, or of any class of creditors or equity security
holders, by reason of any direct or indirect relationship to, connection with, or interest in, the
Debtors or for any other reason, as specified in subparagraph (C) of 11 U.S.C. § 101(14).
13. WilmerHale does not currently represent the Debtors, or to the best of my knowledge,
any of their related parties, partners, or subsidiaries, and WilmerHale will not undertake the
representation of the Debtors or any of their affiliates, partners or subsidiaries during this
engagement. Moreover, except as otherwise set forth herein, WilmerHale will not undertake the

representation of any party other than the Committee in connection with the Debtors’ Chapter 11
proceedings.
14. To the best of my knowledge, WilmerHale neither holds nor represents, in these
Chapter 11 cases, any interest materially adverse to the Committee, the Debtors, their creditors
or other parties in interest, or such parties’ respective attorneys and professionals. Based upon
information available to me, I believe that WilmerHale is a “disinterested person” within the
meaning of the Bankruptcy Code.
WilmerHale’s Disclosure Procedures
15. In preparing this statement, I implemented procedures developed by WilmerHale to
ensure compliance with the requirements of the Bankruptcy Code and the Bankruptcy Rules
regarding WilmerHale’s disclosure obligations (the “WilmerHale Disclosure Procedures”). The
statements and disclosures contained herein are based on the results of the WilmerHale
Disclosure Procedures. Pursuant to the WilmerHale Disclosure Procedures, I caused to be
performed, the following actions to identify the parties relevant to this statement and to ascertain
WilmerHale’s connections to such parties:
16. I caused to be submitted to WilmerHale’s computer conflict database, which is
comprised of the names of the entities for which any attorney time charges have been billed (the
“Client Database”), the names set forth in the schedule attached hereto as Exhibit A (the
“Potential Parties in Interest”), which names were provided by counsel to the Debtors. The
various categories of Potential Parties in Interest reviewed by WilmerHale include: (i) Debtors
and Current Entities Affiliated with the Debtors; (ii) Current Directors and Officers; (iii) Banks;
(iv) Contract Counterparties; (v) Equity Holders; (vi) Insurers; (vii) Litigation Parties; (viii)
Professional Services Providers; (ix) Vendors; (x) United States Trustee, Judges and Court

Committee Members); (xiv) Secured Creditors; and (xv) a catchall “Other” Potential Parties in
Interest category. Some names provided to WilmerHale were incomplete or abbreviated.
WilmerHale has used its best efforts to determine the actual entity referred to, but as ambiguities
are clarified, I will supplement this statement appropriately.
17. WilmerHale next compared each of the Potential Parties in Interest to the names that
WilmerHale has compiled in the Client Database. The Client Database includes the name of
each current and former client, the names of the parties who are or were adverse to such current
and former clients, and the names of the WilmerHale personnel who are or were responsible for
current or former matters for such clients. The Client Database does not generally keep track of
all parties who are or were related to or affiliated with a current or former client or adverse party,
unless such current or former client expressly requested that WilmerHale consider such
relationships in our conflict clearance process. WilmerHale did not compare the List of Potential
Parties to clients that were retired as clients of WilmerHale on or prior to, or have had no billings
since, December 5, 2006.
18. Any Potential Parties in Interest who were identified as current or former clients in
the Client Database were identified (the “Client Match List”) together with the names of the
respective WilmerHale personnel responsible for current or former matters for the entities on
such Client Match List. Additionally, the Client Database was searched to identify any clients
who are currently adverse to any members of the Committee or any General Creditors (the
“Adverse Client List”).

19. An attorney then reviewed the Client Match List and the Adverse Client List and
deleted obvious name coincidences. The remaining client connections were compiled for
purposes of this declaration.
20. On January 3 and 4, 2012, WilmerHale emailed all WilmerHale attorneys responsible
for the current or former matters on the Client Match List and/or contacted attorneys responsible
for matters on the Adverse Client List, inquiring as to whether such attorneys were aware of any
connections between such current or former matters and the Debtors. WilmerHale asked
attorneys to respond with any connections by close of business on January 5, 2012.
21. In addition to the foregoing, on January 3, 2011, WilmerHale emailed all WilmerHale
attorneys an inquiry memorandum that listed the majority of the entities identified as Potential
Parties in Interest, including (i) Debtors and Current Entities Affiliated with the Debtors; (ii)
Current Directors and Officers; (iii) Banks; (iv) Contract Counterparties; (v) Equity Holders; (vi)
Litigation Parties; (vi) Professional Services Providers; (viii) Vendors; (ix) United States
Trustee, Judges and Court Contacts for the Southern District of New York (and Key Staff
Members); (x) General Creditors (this list includes Committee Members); and (xi) Secured
Creditors. The memorandum inquired as to all matters that could constitute “connections” with
such entities or individuals within the meaning of Rule 2014 of the Bankruptcy Rules.
WilmerHale asked all attorneys to respond with any connections by close of business on January
5, 2012.
Representation of Potential Parties in Interest
22. Set forth in Exhibit B1 is a listing of those Potential Parties in Interest and/or
certain affiliates and subsidiaries of such parties that WilmerHale (i) either represents in matters

represented in matters wholly unrelated to the Debtors’ Chapter 11 cases. In connection with the
services to be rendered to the Committee, WilmerHale will not commence a cause of action
against any Current Client with respect to the Debtors’ Chapter 11 cases, unless WilmerHale
receives a waiver from the Current Client and the Committee allowing WilmerHale to
commence such an action. To the extent any actions are commenced by or against any Current
Client in connection with these Chapter 11 cases, and waiver letters are not obtained permitting
WilmerHale to participate in such action, the Committee will use separate conflicts counsel to
represent its interests.
23. WilmerHale has in the past served as counsel to various parties in other Chapter 11
cases in which certain members of the Committee or other Potential Parties in Interest in these
cases may have been, or currently are, involved. In addition, certain professionals retained and
proposed to be retained by the Debtors, the Committee, or other Potential Parties in Interest in
these cases are involved in other cases in which WilmerHale serves as counsel to various other
Clients.
Connections With Parties Representing 1% or More of WilmerHale’s Revenues for 2009, and 2010 and 2011
24. At the inception of each engagement for which a declaration is required pursuant to
Federal Rule of Bankruptcy Procedure 2014, WilmerHale reviews the information relating to the
parties involved in a bankruptcy case to determine whether any such party, together with its
known related entities, were clients of WilmerHale and as a result made payments to
WilmerHale for services rendered in the calendar year prior to the date of review that in the
aggregate for each such party exceeds 1% of WilmerHale’s total revenues for such calendar year.

26. WilmerHale’s revenues for services rendered on behalf of JPMorgan Chase & Co.,

annual revenues in each calendar year 2009, 2010, and 2011.
Connection with the Debtors
27. To the best of my knowledge and information based upon responses received to the
information requests made in connection with the WilmerHale Disclosure Procedures,
WilmerHale has not represented, does not currently represent, and will not in the future represent
any of the Debtors in connection with the matters for which WilmerHale is to be retained in

28. WilmerHale has represented a client who is adverse to Bionol Clearfield LLC in a
matter that is wholly unrelated to these Chapter 11 cases. No attorney has billed time on this

clients who are adverse to Citgo Petroleum Corp. in matters that are wholly unrelated to these

City Electric Co.; Citibank, N.A.; City of New Bedford; Commonwealth of Massachusetts;
Exxon Mobil Oil Corporation; Flint Hills Resources, LP; JPMorgan Chase & Co.; National Grid;
Pitney Bowes; Posternak Blankstein & Lund; Staples Contract & Commercial, Inc.; Verizon

Interest. A family member of Bruce Berman (a partner) is employed by ADP. The son of Bruce
Rabinovitz (a partner) is employed by Akin Gump Strauss Hauer & Feld LLP. A family member
of Mary Rose Scozzafava (a partner) is a former employee of Grainger. The father of Danielle
Spinelli (a partner) is Acting General Manager of the Providence Water Supply Board. The
sister of Kathryn Bennett (a senior associate) is employed by Citigroup. John Demeter (a senior
associate) and his family, through a family owned limited liability corporation, lease certain
property to Cintas Corporation. John Polley (an associate) is a former employee of the
Commonwealth of Massachusetts. Mitchel Appelbaum (a partner) works on matters for Bank of
America, N.A. wholly unrelated to these Chapter 11 cases pursuant to a secondment agreement.
The wife of Jonathan Roses (an associate) is employed by Bank of America/Merrill Lynch. A
family member of Stephanie Singer (an associate) is an owner of a Getty franchise. The mother
of Keith Spence (an associate) is employed by the Commonwealth of Massachusetts. Joshua
Ferrentino (an associate) formerly worked for Carl Ferrentino, an attorney who may have
represented one or more of the Debtors in matters wholly unrelated to these Chapter 11 cases.
Julie Choe (a staff attorney) is a former employee of Raymond James & Associates Inc. Brooks
Constantine (a staff attorney) is a former employee of Ajilon Professional Staffing.
34. Partners and employees of WilmerHale may hold investments directly or indirectly in
public companies that are Potential Parties in Interest. To the best of my knowledge and

information based upon responses received to the information requests made in connection with
the WilmerHale Disclosure Procedures, no partner of WilmerHale owns a direct equity interest
in any of the Debtors.
35. Certain WilmerHale attorneys hold interests in certain passive investment vehicles
(such as mutual funds or other similar funds), which in turn hold or may hold equity interests or
other securities of the Debtors or other Potential Parties in Interest. It is possible that a
professionally managed retirement plan on behalf of WilmerHale’s attorneys, or a 401(k)-type
plan, may hold equity interests or other securities of the Debtors or other Potential Parties in
Interest. If further information respecting holdings becomes known, WilmerHale will file a
supplemental statement in these cases.
36. Certain WilmerHale attorneys maintain bank accounts with and/or obtained
mortgages from Potential Parties in Interest that are financial institutions.
37. Certain WilmerHale attorneys hold credit cards issued by Potential Parties in Interest
that are financial institutions.
38. Certain WilmerHale attorneys hold insurance policies issued by Potential Parties in
Interest that issue such policies.
39. WilmerHale, which has over 1,000 attorneys, has a large and diversified legal
practice that encompasses the representation of many financial institutions and commercial
corporations, some of which may be claimants in the Debtors’ Chapter 11 cases or otherwise
have an interest in such cases. In addition, as part of its practice, WilmerHale appears in cases,
proceedings and transactions involving many different attorneys and accountants, some of whom
may represent claimants or other parties in interest in the Debtors’ Chapter 11 cases. Given the
size of WilmerHale’s practice, it is virtually impossible to conceive of a major Chapter 11 case

in which at least some of WilmerHale’s current or former clients, or their attorneys and
accountants, would not have business relationships with or hold claims against the Debtors.
However, in my experience, and in that of my partners representing debtors, creditors, and
trustees in Chapter 11, the fact that some current or former clients of WilmerHale, or their
attorneys and accountants, and in particular, the current and former clients of WilmerHale and
their attorneys and accountants described above, may hold claims against a debtor will not
impair WilmerHale’s ability to represent the Committee in these Chapter 11 cases.
40. WilmerHale may, from time to time, refer matters to certain of the Debtors’
Professionals and the professionals representing other parties in interest. Furthermore, certain of
the Debtors’ Professionals and the professionals representing other parties in interest may have
referred matters to WilmerHale. In my experience, occasional referrals to or from other
professional firms would in no way impair WilmerHale’s ability to represent its client in any
particular matter.
41. WilmerHale may have represented in the past and/or may currently represent or in the
future represent entities (other than parties in the attached exhibits) not currently known to
WilmerHale in matters wholly unrelated to the Debtors’ Chapter 11 cases who may be parties in
interest in these cases. To the extent that WilmerHale discovers any such information or needs
to update the information disclosed herein, WilmerHale will disclose such information by filing a
supplemental declaration pursuant to Bankruptcy Rule 2014.
42. None of WilmerHale’s representations of creditors or other parties in interest who are
involved in these Chapter 11 cases comprises a material component of WilmerHale’s practice,
nor does WilmerHale currently represent such parties on any issue relating to these Chapter 11
cases. To the best of my knowledge, the standard articulated by courts of the Second Circuit

regarding the appointment of counsel by a creditors’ committee has been met by WilmerHale in
these cases. One bankruptcy court explains that counsel to a creditors’ committee, which owes a
fiduciary duty both to the committee and to the individual creditors that the committee
represents, may not represent any other entity that has an interest that is adverse to the individual
creditors’ interests in the Chapter 11 case. In re Mesta Machine Comp., 67 B.R. 151 (Bankr.
W.D. Pa. 1986). For the reasons stated herein, to the best of my knowledge, WilmerHale
represents no interests adverse to the interests of the Debtors’ individual creditors or the
Committee in these Chapter 11 cases and, therefore, is capable of fulfilling its fiduciary duty.
WilmerHale is Disinterested
43. I am, and each member of WilmerHale is, a “disinterested person” as that term is
defined in section 101(14) of the Bankruptcy Code. Specifically, I do not believe that the
connections between WilmerHale and the entities identified in this statement will in any way
impair WilmerHale’s ability to represent loyally and zealously the interests of the Debtors’
estates in connection with these Chapter 11 cases.
WilmerHale’s Rates and Billing Practices
44. WilmerHale will apply for compensation for professional services rendered in
connection with its representation of the Committee in these Chapter 11 cases and for
reimbursement of expenses incurred in connection therewith in accordance with the provisions of
the Bankruptcy Code, the Bankruptcy Rules, the United States Trustee Guidelines for Reviewing
Applications for Compensation and Reimbursement of Expenses Filed Under 11 U.S.C § 330
(the “Guidelines”), the Local Rules of Bankruptcy and Procedure of the United States
Bankruptcy Court for the Southern District of New York (the “Local Rules”), and orders of this
Court.

45. Subject to approval of this Court and in compliance with applicable provisions of the
Bankruptcy Code, the Bankruptcy Rules, the Guidelines, the Local Rules, and orders of this
Court, WilmerHale will seek compensation for its professional services on an hourly basis, plus
reimbursement of actual, necessary expenses and other charges incurred by the firm. The
standard hourly rates of the attorneys and paraprofessionals presently designated to represent the
Committee generally range from $675 to $1,250 for partners; $675 to $835 for most counsel;
$395 to $695 for associates; and $195 to $455 for most categories of litigation support, research
and other paraprofessionals.2 The hourly rates set forth above are subject to periodic adjustments
in order to reflect economic and other conditions.
46. No promises have been received by WilmerHale or any partner, counsel or associate
thereof as to payment or compensation in connection with these cases other than in accordance
with the provisions of the Bankruptcy Code and the Bankruptcy Rules. WilmerHale has no
agreement with any other entity to share with such entity any compensation received by
WilmerHale. I have neither shared nor agreed to share, with any person other than partners,
counsel or associates of WilmerHale, any compensation or reimbursements to be received by
WilmerHale in connection with its services rendered in these cases.
Supplemental Disclosures
47. WilmerHale will continue to monitor its relationships with the creditors and other
parties in interest in the Debtors’ Chapter 11 cases. I shall amend this statement following my
learning that (A) any of the representations within are incorrect or (B) there is any change of
circumstances relating thereto.
48. I have reviewed the provisions of Local Rules 2014-1 and 2016-1.
