Introduction

These Bylaws and Rules and Regulations refer to the Akhal-Teke Association of America,

Corporate Bylaws of the Akhal-Teke Association of America

Article I - NAME

The name of this corporation shall be “THE AKHAL-TEKE ASSOCIATION OF AMERICA” henceforth called the Association.

Article II - PURPOSE

The goals and purpose of this Association shall be: 2.1 To establish, maintain and operate a non-profit Association comprised of owners, breeders, and

friends of the Akhal-Teke for the preservation, perpetuation, and promotion of the Akhal-Teke, and to provide educational activities regarding the Akhal-Teke in North America.

2.1A Strengthen the unity of owners and people interested in the stewardship of the Akhal-Teke.

2.1B Maintain a Registry of the population of Akhal-Tekes in North America. The Registry shall consist of three divisions: a. The Akhal-Teke Purebred Registry for horses that qualify for entry in the Purebred section of

the Russian General Studbook. b. The Akhal-Teke Sport Horse Registry for horses of fifty percent (50%) or better Akhal-Teke

blood. c. The Akhal-Teke Recognition Registry for horses of less than fifty percent (50%) Akhal-Teke

blood.

2.1C Strengthen the historical knowledge about Akhal-Tekes by compiling and providing information concerning the heritage, historical background, and traditional use of the Akhal-Teke breed.

2.1D Provide suggested guidelines for perpetuation of the Akhal-Teke to protect the original classic type of the Akhal-Teke.

2.1E Increase knowledge and skills necessary for breeding the Akhal-Teke by providing educational information concerning the Akhal-Teke and the potentially valuable genetic resources they carry.

2.1F Help to maintain the highest quality of the rare Akhal-Teke breed, while maintaining genetic variability within the breed.

2.1G Promote the use of Akhal-Teke horses in all appropriate performance disciplines in order to encourage maintenance of athletic qualities inherent in the Akhal-Teke breed.

2.1H Collaborate with organizations promoting the preservation of rare breeds and protecting agricultural biodiversity.

2.1I Formulate educational programs and provide promotional material and other activities pertaining to the breeding, raising, and showing of the Akhal-Teke horse.

Article III – MEMBERSHIP

3.1 Membership in the Association shall be open to any person owning an Akhal-Teke horse, or any person having an interest or enthusiasm for the Akhal-Teke breed, upon payment of the appropriate dues. 3.1A This Association shall have the following categories of memberships:

Category I: Active Membership. Open to the owner(s) or lessees of any horse(s) registered with the ATAA. Active members shall be entitled to vote after six (6) month’s membership and shall receive the Association newsletter. Active membership includes the following types of memberships: Charter, Lifetime, Individual, Family, and Ranch/Breeding Farm.

Category II: Associate Membership. This category of membership is open to anyone interested in the Akhal-Teke(s) but not entitled to vote. Association members will receive the Association newsletter. Association membership includes the following types of memberships: Friends, Juniors, and International.

Category III: Inactive Status. A member shall be places in the inactive status category by a majority vote of the Board of Directors. This member shall no longer share the privileges of the Active or Associate member. This action will be based upon one of the following:

1. By a written request of the member. 2. Any member that has not participated in any way for a period of three (3) consecutive

years shall be considered for the inactive membership status. The Board of Directors shall send a certified, return receipt requested, letter to the last known address. If the ATAA, Inc. MO does not receive any response within 60 days, then the Board will review this particular situation.

3. A member that is under disciplinary action as described under Section 3.4 Discipline of Members.

3.2 This Association shall have the following categories of membership: Category 1: Active Membership. Open to the owners of any horse registered with the ATAA. Active members will be entitled to vote after six (6) months membership, will receive the Association newsletter, and includes the following types of membership: 3.2A Charter Members. Charter members shall consist of active and associate members, who

joined the Association and paid the appropriate dues during the 1999 calendar year.

3.2B Lifetime Members. Lifetime members shall consist of individual members who elect to pay a one-time fee, which shall be ten times the amount of the yearly individual membership fee. As of September 2005, the Lifetime Membership will no longer be available.

3.2C Individual Members. An Individual member shall consist of a natural person who pays the annual dues prescribed for Individual Members. An individual member shall be entitled to one vote, and is eligible to hold office or serve on committees of the Association. Individual members are eligible for all Association functions and shall receive all Association informational mailings.

3.2D Family Members. Family members shall consist of families who pay the annual dues prescribed for Family members. Adult family members shall be eligible to hold office, serve on committees of the Association, and are eligible for all Association functions. Family members shall receive one copy of all Association informational mailings. Voting rights shall be limited to two (2) adult votes per family. Families shall be described as individuals living within the same household.

3.2E Ranch/Breeding Farm Membership: The Ranch/Breeding farm membership shall consist of a Ranch/Breeding farm that pays the annual dues prescribed for Ranch/Breeding Farm membership. The Ranch/Breeding Farm representatives shall be described as up to two (2) individuals designated in writing by the Ranch/Breeding Farm at the time the membership dues are paid. These individual representatives shall be entitled to vote and shall be eligible to hold office or serve on Committees of the Association. The Ranch/Breeding Farm membership individuals are eligible for all Association functions and shall receive one (1) copy of all Association informational mailings. Should the individual leave their Ranch/Breeding Farm employment, they shall retain the privileges of individual membership if they pay the Individual Membership fee within one (1) month of leaving the Ranch/Breeding Farm. Replacement Ranch/Breeding farm individuals shall not be entitled to vote until six (6) months after their name(s) have been submitted in writing to the ATAA, Inc. MO.

3.2F Friends Members. Friends membership shall consist of an individual who would like to receive the Association newsletter and informational mailings, but will not be entitled to vote.

3.2G Junior Members. Junior membership shall consist of individuals eighteen (18) years of age and under, and not a member of a family membership, who wish to be a member without voting rights.

3.2H International Membership. An International membership shall consist of an individual person (not Canadian or Mexican citizenship) who pays the annual dues prescribed for International Members. An International member shall NOT be entitled to vote, nor be eligible to hold office or serve on committees of the Akhal-Teke Association of American. An International member shall be eligible for all Association functions and shall receive all Association informational mailings.

3.3 Annual Dues.

3.3A The Board of Directors shall determine the annual dues for each classification of membership. 3.3B In all cases, except Lifetime Members, annual membership dues shall be due and payable on

January 1 of each year.

3.3C The annual membership dues shall include the time frame beginning January 1 of each year, through December 31 of each year.

3.3D The annual membership dues must be paid by March 31 of each year (or six (6) months prior to the Annual Membership meeting) to be eligible to vote at the Annual Membership Meeting of that year.

3.3E Members from previous years will not be entitled to any membership privileges if payment is not received by March 31 of the current year. Upon payment, a member from the previous year(s) shall be considered to be in good standing, and the membership privileges restored, except for the voting eligibility for the current year.

3.3F Lifetime members paid a one-time fee set at ten times the annual fee for Individual members. As of September 2005, the lifetime membership will no longer be available.

3.3G Ten (10) year Membership discount plan. If a member would like to purchase a ten (10) year membership, the member shall receive a ten percent (10%) discount for prepayment. This prepayment is non-refundable.

3.4 Discipline of Members. The Board of Directors shall be responsible for the discipline of the members. Disciplinary action of a member may be taken for:

3.4A Violation of any of the Association’s Bylaws.

3.4B Violation of the Association’s Regulations. 1. This includes, but is not limited to, failure to pay dues, fees, unauthorized financial

expenditures, or to fulfill financial obligations to the Association.

3.4C Loss of good standing in the Association. Conduct, which is in the opinion of the Board of Directors, improper and/or prejudicial to the welfare, reputation or best interest of the Association.

3.4D Deliberate deception with regard to any matter in which the Association has interest, including alteration of any document, or presentation of any false information to the Association or to other persons, which may affect the integrity of the Association.

3.4E A formal written complaint must be received by the Board of Directors regarding alleged improprieties of a member that would require disciplinary action by the Board of Directors. Supporting documentation must accompany the original written complaint.

3.5 Disciplinary Procedure. The Board of Directors may, after due consideration on an issue and by a two-thirds (2/3) vote of the entire Board of Directors, exercise the right of suspension and/or expulsion of any member from the membership of the Association. 3.5A The Board of Directors shall serve a written notice of charges to the member by U.S. Postal

Certified Mail, Return Receipt Requested.

3.5B The member shall be allowed thirty (30) days from the date of delivery or attempted delivery to respond in writing to the notice of charges. The member may submit to the Board of Directors a written statement regarding such charges, and include any facts or documents to be considered by the Board of Directors.

3.5C The Board of Directors may request additional information for consideration before rendering a decision.

3.5D If no response is received within thirty (30) days, the Board of Directors, by a two-thirds (2/3) vote of the entire Board of Directors, may exercise the right of suspension and/or expulsion of the member from the membership of the Association.

3.5E If the member has submitted a written response within thirty (30) days, the Board of Directors, after due consideration of the information presented and by a two-thirds (2/3) vote of the entire Board of Directors, may exercise the right of suspension and/or expulsion of the member from the membership of the Association.

3.6F Suspended members can be reinstated by a 2/3 vote of the entire Board of Directors, when the cause of action is reversed and they return to good standing.

Article IV - MANAGEMENT

4.1 General Powers. The management of the property, affairs, and business of the Association shall be vested in the Board of Directors of the Association, and, except as otherwise expressly provided by law, the Articles of Incorporation, or these Bylaws, all of the powers of the Corporation shall be vested in such Board.

4.2 Number of Directors. The number of Directors constituting the Board of Directors shall be seven (7). The Board of Directors shall consist of a President, a Vice-President, a Secretary, a Treasurer, and three (3) Directors at Large.

4.3 Duties of the President. The President, whose term shall be for two (2) years and may serve two (2) consecutive terms, shall be the chief executive officer of the Corporation. He/she shall be primarily responsible for the implementation of policies, procedures and direction of the business and operations of the Corporation and its divisions, if any, subject only to the ultimate authority of the Board of Directors. Except as otherwise provided in these Bylaws or in the resolutions establishing such committees, the President shall appoint all committees and be ex officio member of all Committees of the Board. He/she shall preside at all corporate meetings. He/she shall sign all documents along with the Secretary-Treasurer. The President may sign and execute in the name of the Corporation, deeds, mortgages, bonds, contracts or other instruments; the exception being cases where the signing and the execution thereof shall be expressly delegated by the Board of Directors or by these Bylaws to some other officer or agent of the Corporation or shall be required by law otherwise to be signed or executed. The President may call any special meeting of the Association or the Board of Directors. In addition, the President shall perform all duties incident to the office of the President and such other duties as from time to time may be assigned to him/her by the Board of Directors.

4.4 Duties of the Vice-President. The Vice President, whose term of office shall be for two (2) years, shall assume the duties of the President in the absence or inability to act of the President, or at his/her request. He/she shall have such other duties, respectively, as may be specifically delegated to him/her by the President or the Board of Directors.

4.5 Duties of the Treasurer. 4.5A The Treasurer’s term of office shall be for two (2) years. 4.5B The Treasurer shall have charge of and be responsible for all funds, securities, receipts,

and disbursements of the Corporation, and shall deposit all monies and securities of the Corporation in such banks and depositories as shall be designated by the Board of Directors.

4.5C The Treasurer shall sign all checks for payment of expenses authorized by the President or the Board of Directors.

4.5D The Treasurer shall report to the Board of Directors the financial standing of the Association whenever requested to do so, and publish the financial statement quarterly to the Board of Directors and make a full report to the Membership each fiscal year.

4.5E ATAA finances will be published on the ATAA website at least quarterly and a full report will

be available for any member to view at the yearly Conference.

4.5F The Treasurer shall keep a revised list of paid memberships. 4.5G The Treasurer shall have such other duties as may be delegated to him/her by the President or

the Board of Directors.

4.6 Duties of the Secretary. The Secretary, whose term of office shall be for two (2) years and may serve two consecutive terms, shall act as secretary of all meetings of the Board of Directors and at the annual meeting of the membership of this Association. When requested, he/she shall also act as secretary of the meetings of the Committees of the Board. The Secretary shall keep and preserve the minutes of all such meetings in permanent books. The Secretary shall see that all required notices given by the Association are duly given and served. He/she shall have custody of the seal of the Corporation, if any. The Secretary shall affix the seal or cause it to be affixed to all membership and/or registration certificates of the Association. And he/she shall affix to all other documents the execution of which on behalf of the Corporation under its corporate seal is duly authorized in accordance with law or the provisions of these Bylaws. The Secretary shall have custody of all deeds, leases, contracts and other important Association documents. He/she shall have charge of the Bylaws and Procedures books, and other papers of the Association relating to its organization and management as an Association. The Secretary shall see that all reports, statements and other documents required by law (except tax returns, which shall be the Treasurer’ responsibility,) are properly filed. He/she shall in general perform all the duties incident to the office of Secretary and such other duties as from time to time may be assigned to him/her by the President or the Board of Directors.

4.7 Directors at Large. There shall be three (3) Directors at Large. Directors at Large shall hold their offices for a term of one (1) year, and may serve three (3) consecutive terms. The Directors at Large shall be responsible for receiving recommendations for short- and long-term plans from the membership of the Association and persons interested in Akhal-Tekes. The Directors at Large shall review each recommendation and present their findings and recommendations to the Board of Directors. After approval/rejection of the recommendation by the Board of Directors, the Directors at Large shall provide a formal presentation of the recommendations at each annual meeting of the membership. The Directors at Large shall have such other duties as may be delegated to him/her by the President or the Board of Directors.

4.8 Elections and Removal of Individuals Serving on the Board of Directors: Quorum.

4.8A Election of Board of Directors. An election shall be held at each Annual meeting by the Active membership of the Association for the purpose of electing individuals to succeed those Directors whose terms have expired and to fill any vacancies then existing.

4.8B Each member of the Board of Directors shall be elected by the Active membership for a term of three (3) years, and shall hold their status as a member of the Board of Directors until their successors are elected.

4.8C Two (2) members shall be elected each year, and a third (3rd) member shall be elected every three (3) years. This will provide for an overlap and guarantee continuity and greater consistency on the Board of Directors. Exception: the initial election in 1999 will provide for three (3) members to be elected for three (3) years, two (2) members to be elected for two (2) years, and two (2) members to be elected for one (1) year.

4.8D A slate of proposed Directors shall be included either in the Association newsletter published prior to the annual meeting of the Association membership, and/or mailed to the membership fifteen (15) days prior to the date of the annual meeting of the Association membership.

4.8E In order for the Board of Directors to be elected by the complete Active membership, or the Active membership desiring to vote, Active members unable to attend the annual meeting may send a sealed ballot to the Chair of the Election Committee. These ballots shall be opened and counted during the election process at the annual membership meeting.

4.8F Any vacancies occurring on the Board of Directors may be filled by the affirmative vote of the majority of the remaining Directors, though less than a Quorum of the Board, and the term of office of any Director so elected shall expire on the date fixed for the expiration of the term of office of the Director to which such Director was so elected.

4.8G The officers of the Association shall be selected annually (or as needed to fill term of office) by and from the members of the Board of Directors.

4.8H Removal of a Director or Officer. A Director or Officer may be removed from office provided all the following items are met:

4.8Ha A meeting of the Board of Directors is called expressly for that purpose by a majority of disinterested Directors.

4.8Hb Board of Directors must have cause to remove a Director or an officer of the Board of Directors.

4.8Hc. Any Board member consistently absent from voting for three (3) consecutive voting issues

over not less than 45 days, unless just cause, including but not limited to illness or travel,

may be removed from office and replaced by the Board of Directors under 4.8F.

4.8I Quorum. A majority of the number of Directors elected and serving at the time of a Board of Directors’ meeting shall constitute a quorum for the transaction of business. The act of a majority of Directors present at a Board of Directors’ meeting at which a quorum is present shall be the act of the Board of Directors. Less than a quorum may adjourn any meeting.

4.9 Compensation. By resolution of the Board, Directors may be allowed a fee and expenses for attendance at all meetings, but nothing herein shall preclude Directors from serving the Corporation in other capacities and receiving compensation for such other services.

4.10 Meeting of Board of Directors. An Annual meeting of the Board of Directors shall be held during the week of the annual membership meeting. Other meetings of the Board of Directors shall be held at places within or without the state of incorporation and at times fixed by resolution of the Board, or upon call of the President, or by call of the majority of the Directors. The Secretary of office performing the Secretary’s duties shall give not less than thirty (30) days notice of all meetings of the Board of Directors; provided that notice need not be given of the annual membership meeting or of

regular meetings held at times and places fixed by resolution of the Board. Organizational business

conducted by the Board of Directors may be done by U.S. Mail, fax, email, telephone (with documentation),

in person, or other methods appropriate to the individual receiving current Association business information.

The Board members voting on these issues need to respond within 15 days, unless just cause, including but not

limited to illness or travel. Secretary will call any Board member if they haven’t responded within 14 days.

Article V - COMMITTEES

5.1. The Board of Directors, in a resolution adopted by a majority of the number of Directors fixed by these Bylaws, may elect an Executive Committee, which shall consist of not less than two (2) Directors, including the President. When the Board of Directors is not in session, the Executive Committee shall have all powers vested in the Board of Directors by law, by the Articles of Incorporation, or by these Bylaws; provided that the Executive Committee shall not have power to approve an amendment to the Articles of Incorporation or a plan of merger or consolidation, or to take any action prohibited by express resolution of the Board of Directors. The Executive Committee shall report at the next regular or special meeting of the Board of Directors all actions that the Executive Committee may have taken on behalf of the Board since the last regular or special meeting of the Board of Directors.

5.2 Nominating and Election Committee. A Nominating and Election Committee, to consist of three (3) Active Members in good standing, shall be named by the President at a sufficient time preceding the annual meeting, beginning with the 1999 annual meeting, to nominate Active Members for the Board of Directors as herein above provided, and it shall be the duty of this committee to present such nominations to the following annual meeting of the Members. The Committee shall accept other nominations made from the floor, provided that the Active Member nominated has been asked if he/she would be willing to serve if elected.

5.3 Other Committees. The Board of Directors, by resolution duly adopted, may establish such other standing or special committees of the Board, as it may deem advisable; and the members, terms and authority of such committees shall be as set forth in the resolutions establishing the same.

5.4 Committee Meetings. Regular and special meetings of any Committee may be called and held subject to the same requirements with respect to time, place and notice as are specified in the Bylaws for regular and special meetings of the Board of Directors.

5.5 Quorum and Manner of Acting. A majority of the members of any committee serving at the time of any meeting thereof shall constitute a quorum for the transaction of business at such meeting. The action of a majority of those members present at a Committee meeting at which a quorum is present shall constitute the act of the Committee.

5.6 Term of Office. Members of any Committee shall be elected as above provided and shall hold office until their successors are elected by the Board of Directors or until the Board of Directors dissolves such Committee.

5.7 Resignation and Removal. Any member of a Committee may resign at any time by giving written notice of his/her intention to do so to the President or Secretary of the Association, or he/she may be removed, with just cause, at any time by such vote of the Board of Directors as would suffice for his election.

5.8 Vacancies. The Board of Directors may fill any vacancy occurring in a Committee from any cause whatsoever.

Article VI - FISCAL YEAR

6.1 Fiscal year. The fiscal year and operation of the Association shall be from January 1 to December 31 of each year.

Article VII - MISCELLANEOUS PROVISIONS

7.1 Checks, Notes, and Drafts. Checks, notes, drafts, and other orders for the payment of money shall be signed by such persons as the Board of Directors from time to time may authorize, however, the signature of any such person may be a facsimile.

7.2 Any requests for payment must be presented, or advised of, to the Treasurer within forty-five (45) days following the date of expenditure.

Article VIII - AMENDMENT of BYLAWS

8.1 Active members assembled at an annual membership meeting. All proposed Bylaw amendments must be mailed to the membership fifteen (15) days prior to the date of such meeting and written in the form on which they are to be acted.

Article IX - DISSOLUTION

9.1 Association Dissolution. In the event that it becomes necessary for the Association to dissolve itself, the Board of Directors will organize that procedure so that all assets of the corporation will be contributed to a properly constituted tax-exempt equine and/or breed organization.

Article X - PARLIAMENTARY AUTHORITY

10.1 The rules contained in Robert’s Rules of Order shall govern meetings of this Association in all cases to which they are applicable and in which they are not inconsistent with the Bylaws of this Association.

Section I - Registration Classifications

1.1 There are three (3) categories for registration: A. Horses that qualify for registration in the

Pure Bred section of the Russian General Studbook. B. Horses that are 50% or better of Akhal-

Teke blood. C. Horses that are less than 50% Akhal-Teke blood.

1.1A Akhal-Teke Pure Bred. A horse that qualifies for entry in the Pure Bred section of the Russian General Studbook, will be eligible for registration in the Akhal-Teke Association of America’s Registry provided the following qualifications are met: Purebred Foal registration by original owner 1. Sire and dam parentage traced to VNIIK, or traced through ATAA registry to VNIIK

2. Complete application on file with the ATAA Registry. 3. Breeders Certificate. Section 2 of the horse registration form completed and

signed; or an alternately signed breeders certificate approved by the ATAA Registry Staff.

4. Signature. 4.1 Signature required for DNA testing. 4.2 Veterinary signature required for blood testing.

5. DNA testing. 5.1 DNA testing is required to register a horse. 5.2 DNA testing report must be on file for sire and dam.

6. Blood type report may be requested if the owner desires. 7. A blood type report will be required at owner’s expense, only if:

7.1 DNA report(s) cannot be obtained for parent(s). 7.2 DNA data is not sufficient to confirm parentage.

8. Five (5) close up 4” x 6” photographs on file with ATAA Registry.

9. Proof of ownership if foal has not been owned since birth; a copy of the bill of sale or a signed ATAA transfer of ownership form.

10. In addition to the requirements # 2-9 listed above for domestic’s horses with one or both parents that are not registered with ATAA, the owner must provide a copy of a legible international passport proving the horse is registered with VNIIK.

Domestic horses registered with the Russian General Studbook and then applying for registration with ATAA must have a signed/dated Breeders Certificate and signed/dated Blood/DNA test along with the registration application.

if they are not available, the horse must be DNAd to qualify. The ATAA will provide

DNA forms with the registration fee.

equal 50% or better.

2. Complete application on file with the ATAA Sport Horse Registry.

3. In order to meet the fifty percent (50%) blood requirement some offspring may have to

have both sire and dam registered with ATAA Sport Horse Registry.

4. Breeders Certificate. Section 2 of the horse registration form completed and

signed; or an alternately signed breeders certificate approved by the ATAA

Registry Staff.

5. Signature.

5.1 Signature required for DNA testing.

5.2 Veterinary signature required for blood testing.

6. DNA testing.

6.1 DNA testing is required to register a horse.

6.2 DNA testing report must be on file for the Akhal–Teke parentage(s). DNA is

not required on non-Teke parent.

Section II - Application for Registration

2.1 An application for registering a horse with the Akhal-Teke Association of America

shall include the following:

2.1A Registration application form with all information requested.

2.1B Five (5) 4”X 6” close up view, clear high quality photographs, of the horse

standing without saddle or rider showing:

1. Left side showing all four (4) legs

2. Right side showing all four (4) legs

3. Front (straight on of head and front feet)

4. Rear (hindquarters with feet)

5. Straight on close up of Head (face).

6. Additional photos showing distinguishing markings (i.e. belly spots, under lip area,

brands, significant scars, etc.)

Cloudy, fuzzy, dark shadows, low-density pictures will not be accepted.

2.1C DNA report as specified in Section 1.1A.

2.1D Blood test report as specified in Section 1.1A.

2.1E Appropriate fee(s) paid as specified in Section 7.1B.

2.1F Verification of ownership; i.e. a copy of the bill of sale or a copy of ATAA’s, Transfer of Ownership papers if not owned since birth.

2.1G All three (3) to four (4) year old or older horses already registered in categories 1.1A and

1.1B must have a new photograph submitted showing a side view in summer coat, to

update records and/or correct color.

2.1H Registration applications must be signed and dated by the applicant/owner.

2.2 Names

2.2A Names of horses registered in the records of the ATAA’s Registry will be

limited to twenty (20) characters, including spaces. No punctuation, diacritical

markings, nicknames/barn names, or more than three sections allowed.

2.2B Any name, which is an alphabetical duplicate of a name already in the Akhal-Teke

Association of America’s Registry, is not allowed. Imported horses will

be reviewed.

2.2C Any name using the suffix Sr. or Jr. is not allowed.

2.2D The registered name of a horse may not be changed.

2.3 Hardship Registration Application.

Each situation shall be considered by the Board of Directors. Determination of hardship

must be approved by a majority of the Board of Directors.

2.3A New Owner of an Unregistered Horse.

The decision of an individual breeder not to register the offspring of their horses

should not remain a burden to the new owner provided:

2.3A-1 The new owner submits an completed application for registration within

one year of purchasing said horse.

2.3A-2 Photographs. Same requirements as in Section 2.1B.

2.3A-3 DNA report. Same requirements as in Section 2.1C.

2.3A-4. Blood test report. Same requirements as in Section 2.1D.

2.3A-5. Appropriate Fee. See Section VII – Horse Registration Fees, 7.1Da.

2.3A-6. Verification of Ownership: Same requirement as in Section 2.1F.

2.3B Lack of Breeder’s Certificate.

When all other requirements of a Registration application have been met by the

applicant, but the Breeder has not completed the Breeder’s Certificate section,

and his/her signature is missing, a Registration Certificate may be issued IF the

following criteria are met:

2.3B-1 Applicant must supply written documentation that repeated attempts to

obtain a Breeder’s Certificate, over a significant period of time (at least 60 days),

have failed.

2.3B-2 Applicant must confirm via legal documentation that terms of the Breeding,

or Stallion Service Agreement, have been met. The following items, to be placed

in the horse’s permanent file, must be supplied:

2.3B-2.a Copy of Breeding Agreement.

2.3B-2.b Verification of payment to Breeder.

2.3B-2.c Any additional documentation regarding the Breeding.

2.3B-3 If the above conditions are met, ATAA will also attempt to

contact the breeder to obtain a Breeders Certificate and allow 60 days for a

response. IF no response is received, then ATAA will proceed to

step 2.3B-4.

2.3B-4 Certificate Information. When the individual case is approved by a

majority vote of the Board of Directors, the Breeder’s name will be printed

in the breeder’s certificate section, initialed and dated by the Registrar and

President.

Section III - Other Registration Eligibility/Qualification Issues.

3.1 Artificial Insemination. Foals conceived by artificial insemination may be registered.

3.2 Embryo Transfer. Foals resulting from embryo transfers may be registered if the following

rules are adhered to:

3.2A The recorded owner/lessee of the donor mare shall provide an affidavit, signed by the

veterinarian performing the transfer, attesting to the identity of the donor and surrogate

mare as well as the date of transfer.

3.2B No more than five (5) full sibling foals in five (5) calendar years from the same donor

name will be eligible for registration.

3.3 Registration of Imported Horses: a copy of the International Association registration

papers with the Association’s seal and appropriate signature(s); and a copy of the International

Association’s blood type record(s) for dam and sire; Also, a completed ATAA application form for

registration, the required (5) five pictures, DNA report and/or blood type report on file, copy

of the bill of sale, payment of fees.

3.4 An embryo imported in utero into and born in the United States or Canada may be

registered if the following requirements are met; the dam of the horse is registered with

ATAA; the sire is registered or qualifies for registration in the Pure Bred section

of the Russian General Studbook; a verifiable international Breeder’s Certificate and a letter

signed by the stallion owner stating the sire’s name, breed, registration number and date of

service is submitted; or a copy of the sire’s blood type record and/or results of DNA report

or sample of the sire’s hair follicle submitted for DNA testing, fees to be paid by private

agreement between the applicant and stallion owner.

3.5 Registration of Leased Sire/Dam’s Offspring.

3.5A Lease Agreement. A legible copy of the written lease agreement shall be provided to

the ATAA Registry, signed by both of the owners and lessee at the time of the

agreement.

3.5B Frozen Semen. If the lessee is allowed to collect semen, a copy of the written

agreement between owner and lessee to included information regarding:

a. Who is the owner of the semen.

b. Who is the owner of the offspring.

c. Number of straws collected.

d. Name of Dam(s) receiving Artificial Insemination, and year insemination.

e. Name and number of foals produced.

3.5C Disputes.

Should a dispute occur between owner and lessee, the Board of Directors will look at

all of the written documentation provided to determine if ATAA registration

qualification requirements have been sufficiently met to register the offspring. The

burden of proof is the direct responsibility of the owner and/or the lessee.

Section IV – Reports

4.1 Transfer of Ownership. All transfers of ownership of an Akhal-Teke shall be recorded with

the Akhal-Teke Association of America when the ATAA Registrar(s) receives a

signed transfer form, brand inspection papers, an estate or legally signed bill of sale. The

form needs to be signed by all parties involved with the sale/transfer; or when a currently

recorded record is changed from farm name, individual name, or between family members

i.e. spouse(s), children, or parent(s). The transfer application shall include the following:

4.1A For any offspring (progeny) to be registered, all transfers of ownership of the sire and

dam must be completed and recorded with the Akhal-Teke Association of America

Registry.

4.1B One full body photo of horse.

4.1C Appropriate fee is paid as specified in Section 7.1B.

4.1D Return of the original issued and signed ATAA Certificate of Registration.

4.2. Annual Stallion Reports. Reports are required to be filed by December 31st of the

breeding year starting with the 2001 breeding season for Akhal-Teke stallion.

4.2 Annual Breeders Certificate Record(s). An annual report of all breeding certificates and

dates issued to be filed during the year of birth. Reports to be filed by the stallion owner(s).

Section V – Akhal-Teke Association of America Not Liable

The Akhal-Teke Association of America, its Directors, officers, governing members

and employees shall use diligence in securing true information in connection with the

registration of any and all horses registered by it, but neither the Akhal-Teke Association of

America or its officers, Directors, governing members and/or employees shall be

answerable in damages for the issuance of any certificates of registration made with inaccurate

information supplied by the applicant/owner; nor answerable in damages for verification of

information researched or supplied.

Section VI – Membership Fees, Effective April 1, 1998

The Treasurer of the Akhal-Teke Association of America, as directed by the Board of

Directors, will collect the monies for the following fees. The date the money is received at the

headquarters office shall be considered the legal date of payment.

6.1 Membership Dues.

6.1A Charter Membership. Category 1 - Active Membership (Reference Bylaws Article

3.2A.) The fee shall be the regular fee of Lifetime, Individual, or Family memberships

to be paid prior to December 31, 1998.

6.1B Lifetime Membership. Category 1 - Active Membership. (Reference Bylaws Article

3.2B.) The fee shall be ten (10) times the yearly individual membership fee. This fee

to be paid one year only. As of September 2005, the lifetime membership will no

longer be available.

6.1C Individual Membership. Category 1 - Active Membership. (Reference Bylaws Article

3.2C.) The yearly fee shall be forty-eight dollars ($48.00).

6.1D Family Membership. Category 1 - Active Membership. (Reference Bylaws Article

3.2D.) The yearly fee shall be eighty dollars ($80.00).

6.1E Ranch/Breeding Farm Membership. Category I – Active membership. (Reference

Bylaws Article 3.2E.) The fee shall be eighty dollars ($80.00) per year.

6.1F Friends Membership. Category II - Associate Membership. (Reference Bylaws Article

3.2F.) The fee shall be twenty-five dollars ($25.00) per year.

6.1G Junior Membership. Category II - Associate Membership. (Reference Bylaws Article

3.2G.) The fee shall be twenty-five dollars ($25.00) per year

6.1H International Membership. Category II – Associate Membership. (Reference Bylaws

Article 3.2H.) The fee shall be forty-eight dollars ($48.00). No voting privileges, not

eligible to hold office or serve on committees. In compensation for lack of voting

privileges and office eligibility, no charge for postage fees, newsletters to be sent via email.

Article 3.2H.) The fee shall be four hundred thirty-two dollars ($432.00), paid in

advance for a 10-year time period, which entitles them to a 10% discount.

Section VII –Horse Registration Fees, Effective April 1, 1998

The Treasurer of the Akhal-Teke Association of America, as directed by the Board of

Directors, will collect the monies for the following fees.

7.1 Horse Registration Fees: Effective April 1, 1998. (Reference Bylaws Article 2.1B and

Procedures Section 1.)

7.1B Horse Registration fees (non refundable fee includes DNA testing):

Effective January 1, 2013. $40

7.1E DNA Kits.

a. DNA kits are included in the Horse Registration fees.

b. For a horse that has been registered with ATAA prior to 2006, an

individual may purchase open DNA kit to help verify the parentage of the offspring.

c. Fee $40.00 fee payable to ATAA.

7.2 Upon receipt of the appropriate payment of the registration application fee and a registration

application form, the ATAA secretary will mail or email a DNA testing kit.

7.3 Blood kits.

a. Blood kits can only be sold for an individual horse(s) already registered with ATAA: i f, an application for registration is pending and the registration fees have been paid.

b. Kits must be submitted to the University of Kentucky within one year from

purchase date.

Section VIII – Management Duties

The duties of the following administrative positions, with the exception of the Secretary duties,

shall be under the direction of the Board of Directors and may vary from time to time. The

individuals filling these positions shall be appointed and approved by the Board of Directors.

8.1 The Registration Staff positions will consist of the following positions.

8.1A The Registration Secretary’s: the registration secretary shall collect all the information

necessary to process a registration application and then forward to the Registrar all the

original information. This includes the completed registration application; Breeders

Certificate information; DNA and/or Blood reports; copy of International passport, if

needed; correct number of photographs; verify correct fee payment(s); any additional

information provided by owner and maintain a second copy of all information at the

Association office.

8.1B The Purebred Registrar(s): duties shall be to maintain all of the original records for

registration of Category I in the ATAA Registry: shall be responsible for

properly categorizing all original records received for the registration of horses: shall

be to enter information into the computer database: shall assign the registration number

in consecutive order, based upon the order in which the application was received at the

Registry; shall issue a signed certification of registration; shall oversee the completion

of individual horse records; i.e., completed application form(s), DNA test, blood typing,

fees, and the five (5) photos before issuing a certificate of registration; and shall, within

reasonable research, trace and record the ancestral records of all Category I Akhal-Teke

parents. The Registrar shall at the end of his/her term of employment turn over all

original records/correspondences to the ATAA headquarters office and/or the

new Registry staff. The Registrar(s) shall NOT be responsible for inaccurate information

sent in to the Registry by owner(s)/applicant regarding; i.e., sex, color, drawings or

description(s) of markings, parental ancestry, veterinary data, or any other pertinent data

submitted by owner/applicant. It is understood that it is the owner/applicant’s

responsibility to send in to the Registration staff all pertinent information necessary

for registration of their horse(s).

8.1C The Sport Horse and Certificate of Recognition Registrar(s): duties shall be to maintain

all records for registration of Sport Horses and horses of less than 50% Akhal-Teke

blood in the ATAA Registry: shall be responsible for properly categorizing

all original records received for the registration of horses: shall be to enter information

into the computer database: shall assign the registration number in consecutive order,

based upon the order in which the application was received at the Registry; shall issue

a signed certification of registration or recognition; shall oversee the completion of

individual horse records; i.e., completed application form(s), DNA test, blood typing,

fees, and the five (5) photos before issuing a certificate of registration or recognition;

and shall, within reason, research, trace and record the ancestral records of all Category

owner/applicant; shall not be responsible for tracing ancestral records of non Akhal-

Teke parent(s). It is understood that it is the owner/applicant’s responsibility to send

in to the Registration staff all pertinent information necessary for registration of their

horse(s).

8.2 Administrative Assistant: duties shall be to assist and coordinate with the ATAA

President, Secretary, or any other appointed officers correspondence, records and other duties

as requested by the Board of Directors.

8.3 Editor of Newsletter: duties shall be to collect association and membership information to

be organized, edited, printed and mailed out to the membership. The ATAA

newsletter shall be published four (4) times yearly.

8.4 Web Site Coordinator: duties shall be to design and/or oversee the website’s layout; maintain,

update and/or oversee the website as requested on a regular basis.

8.5 Annual Membership Meeting and Conference Host(s): duties shall be to organize the annual

fall membership meeting and conference.

8.5A The ATAA Board of Directors with be responsible for organizing and

conducting the annual membership business meeting and conference.

8.5A-a. Finding a suitable location.

8.5A-b. Appointing an ATAA member as host(s) for various portions of the conference.

8.5A-c. Create budget guidelines for the conference.

8.5B The ATAA Treasurer, or a person appointed, shall be responsible for the

collection and disbursement of all funding.

8.5B-a. An individual may not obligate the ATAA for any expenses unless

prior Board of Director approval has been obtained.

8.5B-b. Any monetary balance left over from this event shall be placed into the general

ATAA fund.

8.5C Accommodations host.

This individual will be responsible for:

8.5C-a. Making arrangements at a local hotel/motel for suitable accommodations for

attendees.

8.5D Banquet and food host.

This individual will be responsible for:

8.5D-a. Locating a suitable catering service or restaurant for the annual banquet.

8.5D-b. Arranging any snacks or luncheons that may be required.

8.5D-c. Board of Directors approval must be obtained prior to obligating ATAA

8.5E Speaker(s) host.

This individual will be responsible for:

8.5E-a. Contacting the speaker(s) for availability.

8.5E-b. Determining the cost of speakers.

8.5E-c. Coordinating the needs of the Speaker(s) if required:

8.5E-c1. Travel.

8.5E-c2. Accommodations.

8.5E-d Board of Directors approval must be obtained prior to obligating ATAA

financially.

8.5F Publicity host.

This individual will be responsible for:

8.5F-a. Designing a brochure of information.

8.5F-b. Printing and distribution of all conference information, including return

reservation forms, accommodations information, etc.

8.5F-c. Board of Directors approval must be obtained prior to obligating ATAA

financially.

8.5G Akhal-Teke display or show host(s).

This individual will be responsible for:

8.5G-a. Finding a location for the Akhal-Teke exhibit, show, or grading event.

8.5G-b. Arrange for any required boarding of the Akhal-Teke(s) attending.

8.5G-c. Obtaining and distribute information regarding the necessary health papers,

testing, and restrictions of the state for displaying a horse.

8.5G-d. All activities at the display or show shall be approved by the Board of Directors.

A private Akhal-Teke activity shall not be allowed one week prior to, during, or

one week after, the ATAA annual meeting and conference event.

8.5H Special Invitations.

Any special invitations to International guests or Akhal-Teke breeder(s) shall be

coordinated with the ATAA President. Formal international protocol must be

followed. Any expenses must be approved by the Board of Directors.

8.5I Participation. Akhal-Teke events, not available for participations by all ATAA

membership, shall not be considered an ATAA sponsored event.

8.5J Members in good standing. Individuals that do not comply with full membership

requirements, shall not be considered members in good standing. A member must be

in good standing to participate in ATAA events, otherwise additional

nonrefundable fees with be required to participate.

8.6 Committee Chairpersons: All committee Chairpersons shall be responsible for submitting a

budget proposal for their committee by December 31st of each year. The chairperson

shall report to the President the projected goals of the committee, and shall obtain

permission prior to making any commitments or obligations on behalf of the ATAA , financial or otherwise. All contracts shall be signed by the appropriate officers of

the Board of Directors as specified in the Bylaws.

Section IX - Expenses

The Treasurer of the Akhal-Teke Association of America, as directed by the Board of

Directors, shall reimburse the monies as budgeted and approved for payment for the following

categories of items:

9.1 Incorporation Expense. (Annual budget: $50.00)

Instructions for Submitting an Invoice to the Treasurer

10.1 An invoice(s) submit to the ATTA for collection must be presented:

(A) On a company or personal letterhead and officially signed.

(B) Made out to ATAA, not to an individual.

(C) A hard copy, sent by the US Post Service, to the ATAA Secretary.

(D) Any requests for payments must be presented, or advised of in writing, to the

Treasurer within forty-five (45) days following the date of the expenditure.

10.2 To submit an invoice(s) to the Treasurer for payment. Prepare and present a legible

memo itemizing each line item(s) as a summary of the bill(s) being presented for payment

and have all the respective receipts attached in order as listed. If more than one line item

show a sub-total for each group and then a final total.

For example bundle all expenses for:

(A) Newsletter - total expenses

(B) Directory – total expenses

(C) Rules, Regulations and Bylaws – total expenses

(D) Registration - total expenses

(E) General Office - total expenses

Section X - Power of Amendment

Any rule or regulation promulgated hereunder may be repealed, modified, altered, or

amended or any new rule may be legally adopted at any regular or special meeting of the

Board of Directors by a majority vote of the members of the Board of Directors. Notice of

any changes shall be published in the Akhal-Teke newsletter.
