This letter follows a conversation with Mr. Thomas Akras regarding the transfer of the Class BD-7 License that was approved by the Board in a hearing held February 15, 2018. This matter comes before the Board on referral from the Zoning Administrator for Baltimore City on Justin Williams’s (“Petitioner” or “Appellant”) application to use a portion of the premises as a tavern with accessory indoor recreation.
BACKGROUND
This property is located in an 1-2 Zoning District and is improved by a two-story mixed- use building with current authorized use as a brewery and non-accessory offices.
Appellant filed this appeal to the Board on November 6, 2017, and appeared for a public hearing on December 5, 2017. No one appeared in opposition. Board staff and the Planning Department prepared memoranda evaluating the appeal. Following deliberations the Board voted to approve this appeal with conditions by unanimous vote.
DISCUSSION
Appellant proposes to use a portion of the premises as a tavern with accessory indoor recreation (accessory, indoor, competitive, supervised ax throwing). Under ZC §11-101 and Table 11-301, Taverns are listed as a conditional use in the 1-2 District requiring Board of Municipal and Zoning Appeals approval subject to the applicable conditional use standards, bulk, yard, and parking requirements of the Zoning Code of the City of Baltimore. The Board may approve conditional uses pursuant to the standards and conditions provided under ZC §§5405 and 5-406. •
Under ZC §l-302(c), “Accessory use” means a use that is: (1) customarily incidental and subordinate to the principal use of the lot or principal structure served; and (2) except in a planned unit development, located on the same lot as the principal use or principal structure served. Further, under ZC §14-312, “recreation facilities” indoor or outdoor must be designed so that the location of entrances and exits, exterior lighting, noise levels, service areas, and parking and loading facilities will minimize traffic congestion, pedestrian hazards, and adverse impacts on adjacent properties.
Under ZC §16-101 and Table 16-406, one off-street parking space is required per 1,000 sq.ft, of indoor seating area for a tavern. The proposed 10,703 square foot tavern would therefore require eleven off-street motor vehicle parking spaces. Also under ZC §16-101 and Table 16-406, one off-street parking space is required per 2,000 square feet of gross floor area for recreation:

indoors. The proposed 10,703 square foot recreation area would therefore require five off-street motor vehicl e parking spaces.
Conditional Use Tavern (with Accessory Indoor Recreation)
Appellant proposes to use a portion of the premises as a tavern with accessory indoor recreation (accessory, indoor, competitive, supervised ax throwing). The Board may approve conditional uses pursuant to the standards and conditions provided under ZC §§5-405 and 5-406.
Under ZC §5-406, neither the Board of Municipal and Zoning Appeals may approve a conditional use unless, after public notice and hearing and on consideration of the standards required by this subtitle, it finds that: (1) the establishment, location, construction, maintenance, or operation of the conditional use would not be detrimental to or endanger the public health, safety, or welfare; (2) the use would not be precluded by any other law, including an applicable Urban Renewal Plan; (3) the authorization would not be contrary to the public interest; and (4) the authorization would be in harmony with the purpose and intent of this Code. As a further guide to its decision on the facts of each case under ZC §5-406(b), the Board of Municipal and Zoning Appeals must consider the following, where appropriate: (1) the nature of the proposed site, including its size and shape and the proposed size, shape, and arrangement of structures; (2) the resulting traffic patterns and adequacy of proposed off-street parking and loading; (3) the nature of the surrounding area and the extent to which the proposed use might impair its present and future deveiopment; (4) the proximity of dwellings, churches, schools, public structures, and other places of public gathering; (5) accessibility of the premises for emergency vehicles; (6) accessibility of light and air to the premises and to the property in the vicinity, (7) the type and location of adequate utilities, access roads, drainage, and other necessary facilities that have been or will be provided; (8) the preservation of cultural and historic landmarks and structures; (9) the character of the neighborhood; (10) the provisions of the City’s Comprehensive Master Plan; (11) the provisions of any applicable Urban Renewal Plan; (12) all applicable standards and requirements of this Code; (13) the intent and purpose of this Code; and (14) any other matters considered to be in the interest of the general welfare. The Board reviewed the file and evidence submitted in support of this application and after a complete and comprehensive review of all the evidence before it the Board finds by competent evidence that the establishment, location, construction, maintenance, and operation of the proposed tavern with accessory indoor recreation would not be detrimental to or endanger the public health, safety, or welfare; the proposed use is not precluded by any other law, including an applicable Urban Renewal Plan; this authorization is not contrary to the public interest; and this authorization and proposed use are in harmony with the purpose and intent of this Code. In consideration of these standards including those criteria listed under ZC §5-406(b), and on review of the file, testimony, and evidence submitted in support of this conditional use application, the Board finds by competent evidence that Appellant’s request meets the requirements of Article 32, the Zoning Code of the City of Baltimore.
Under ZC §5-405, before approving any conditional use, the Board of Municipal and Zoning Appeals or the City Council, as the case may be, may impose on the establishment, location, construction, maintenance, or operation of the conditional use any condition, restriction, or limitation that it considers necessary for the protection of the public interest. Any condition imposed under this subsection must be reasonably related and roughly proportional to the expected impact of the conditional use. Failure to comply with any condition, restriction, or
limitation imposed under this subtitle: (1) constitutes a violation of this Code; and (2) in addition to any other civil or criminal remedy or enforcement procedure is grounds for modification, suspension, or revocation of the conditional use. The Board imposes the conditions listed below to mitigate any inherent adverse impacts on the surrounding neighborhood.
Pursuant to ZC §1-302(c), the Board finds by competent evidence that accessory, indoor, competitive, supervised ax throwing is: (1) customarily incidental and subordinate to the principal use [tavern] of the lot or principal structure served; and (2) the accessory use is located on the same lot as the principal use or principal structure served. Further, the Board finds the plans sufficient to comply with ZC §14-312 such that the “recreation facilities” indoor or outdoor are designed so that the location of entrances and exits, exterior lighting, noise levels, service areas, and parking and loading facilities will minimize traffic congestion, pedestrian hazards, and adverse impacts on adjacent properties.

Variance(s): Off-Street Parking
Under ZC 5-305(a), the Board must evaluate the request for a variance based on the evidence presented at a public hearing in accordance with ZC §5-308. Under ZC §5-308, in order to grant a variance, the Board must find that because of the particular physical surroundings, shape, or topographical conditions of the specific structure or land involved, an unnecessary hardship or practical difficulty, as distinguished fi-om a mere inconvenience, would result if the strict letter of the applicable requirement were carried out. This is a uniquely shaped lot bounded by a railroad easement right-of-way which in improved by a large industrial warehouse structure that occupies nearly the entire lot. As the proposed use and development is for adaptive reuse of an existing structure, the provision of additional on-site off-street parking spaces would prove a hardship and the Board finds by competent evidence that because of the particular physical surroundings, shape, and topographical conditions of the existing land and structure involved, a strict application of the Zoning Code would result in an unnecessary hardship or practical difficulty if the applicable bulk regulations for off-street parking were carried out. Because of these conditions. Appellant meets this threshold requirement for obtaining a variance.
To grant a variance under ZC §5-308(b), the Board must also find that; (1) the conditions on which the application is based are unique to the property for which the variance is sought and are not generally applicable to other property within the same zoning classification; (2) the unnecessary hardship or practical difficulty is caused by this article and has not been created by the intentional action or inaction of any person who has a present interest in the property; (3) the purpose of the variance is not based exclusively on a desire to increase the value or income potential of the property; (4) the variance will not: (i) be injurious to the use and enjoyment of other property in the immediate vicinity; or (ii) substantially diminish and impair property values in the neighborhood; (5) the variance is in harmony with the purpose and intent of this Code; (6) the variance is not precluded by and will not adversely affect: (i) any Urban Renewal Plan; or (ii) the City’s Comprehensive Master Plan; (iii) any Historical and Architectural Preservation District; and (7) the variance will not otherwise: (i) be detrimental to or endanger the public health, safety, or welfare; or (ii) be in any way contrary to the public interest.
The conditions on which this application is based are unique to this property because of the existing railroad easement right-of-way and near complete lot coverage and the unnecessary hardship or practical difficulty caused by a strict application of the Zoning Code has not been created by the intentional action or inaction of any person who has a present interest in the

The purpose of the requested variance is not based exclusively on a desire to increase the value or income potential of the property as no such evidence was adduced at the hearing or can be inferred from the plans. The Board finds by competent evidence that the variance proposed will not be injurious to the use and enjoyment of other property in the inunediate vicinity or will substantially diminish and impair property values in the neighborhood. The variance requested will be in harmony with the purpose and intent of this Code, is not precluded by and will not adversely affect any Urban Renewal Plan, the City’s Comprehensive Master Plan, or any Historical and Architectural Preservation District. Lastly, the variance requested will not otherwise be detrimental to or endanger the public health, safety, or welfare, or be in any way contrary to the public interest.

CONTRACT OF SALE
THIS CONTRACT OF SALE (this “Contract”) is made this day of
d , 2017, by and between CATHERINE STERLING LLC a Maryland limited
liability company, (“Seller”) and URBAN AXES BALTIMORE LLC (“Buyer”).
WHEREAS, Seller is the owner of a 7-day Class BD-7 Beer, Wine and Liquor License (the
“Liquor License”) issued for use at 1515-17 E. Clement Street, Baltimore, Maryland 21230 (the
“Premises”), and is desirous of selling the same; and
WHEREAS, Buyer wishes to purchase the Liquor License for its use at 1 North Haven
Street, Baltimore, Maryland 21224 (the “New Premises”).
WITNESSETH, that in consideration of the mutual covenants and agreements herein and
the consideration set forth to be paid as herein more particularly set forth and subject to all of the
terms and conditions, the parties hereby agree as follows;
1. (a) Seller hereby bargains, assigns, transfers and sells unto Buyer the Liquor
License issued for the Premises. Said Liquor License is being purchased free and clear from all
liabilities and encumbrances, except for the fees for the license year applicable at the date of
Settlement (as defined in Section 3, below), which shall be pro-rated to the date of Settlement. All
prior license years’ fees shall be the responsibility of Seller and Buyer shall not be responsible for
any outstanding taxes on said Liquor License including any Tangible Personal Property Taxes and
Sales Taxes. If any taxes are due, they shall be the responsibility of Seller.
(b) Buyer shall be responsible for the payment of all costs associated with the
transfer of the Liquor License to Buyer, including, without limitation, the transfer application fee,
the fee for the criminal background check, any inspection fee, the license transfer fee, the trader’s
license fees, and non-pro-rated B.A.T.F. fees.
2. The Purchase Price for the Liquor License shall be Fifty-Five Thousand and
No/100 Dollars ($55,000.00), which shall be paid as follows:
a. Five Thousand and No/100 Dollars ($5,000.00) shall be deposited at the signing of
this Contract into an escrow account held by Stephen Fogleman, Esq. and shall be
paid to the Seller at Settlement (the “Deposit”).
b. The remaining balance of Fifty Thousand and No/100 Dollars ($5,000.00) shall be
paid by Buyer at Settlement.
3. Settlement shall oecur within ten (10) days after the expiration of the 3 0-day appeal
period following the approval of the transfer of the Liquor License at a hearing before the Board
of Liquor License Commissioners for Baltimore City (the “Liquor Board”).
4. Buyer shall submit an application with the Liquor Board for the transfer of the
Liquor License to Buyer for its use at the New Premises on or before February 6, 2018.
5. Seller shall execute and deliver such other instruments of conveyance and transfer
and take such other actions that may be legally required by Buyer to transfer and assign the Liquor
License to Buyer, including delivery to Buyer of a Bill of Sale, a Transfer Authorization, and an
Affidavit of Compliance as required by the Liquor Board, or any governmental or other approvals
which are required and have not been obtained as of the date of Settlement.
6. Seller represents, warrants and covenants that it is the sole, absolute, and
unconditional owner of the Liquor License and that the Liquor License will be transferred free and
clear of any liens or encumbrances and there will be no judgments, liens, actions, or other
proceedings pending against said Liquor License and that all Sales Tax and Tangible Personal
Property Tax which shall be attributable to said Liquor License shall be paid prior to the actual
transfer of the Liquor License. Seller shall indemnify, defend, reimburse, and hold and save Buyer
harmless from and against any and all loss, cost, damage, injury or expense arising out of or in any
way related to claims or actions against Buyer resulting from a breach by Seller of the foregoing
covenant. The indemnification provision contained in this Section shall survive the termination of
this Contract and/or Settlement.
7. Seller represents and warrants that it has not received notice of, and, to Seller’s
knowledge, there are no existing violations of any state, county or municipal laws, ordinances,
orders, codes, regulations or requirements affecting the Liquor License. Seller further represents
and warrants that the Liquor License is valid and in good standing with the Liquor Board and can
be legally transferred from the Premises to the New Premises, subject to the approval of the Liquor
Board.
8. The parties hereto acknowledge and agree that there is no inventory being
transferred pursuant to this Contract.
9. This Contract is contingent upon the approval of the transfer of the Liquor License
at a hearing of the Liquor Board. If the transfer is not approved by April 26, 2018, either Seller or
Buyer shall have the option to terminate this Contract, in which case the Deposit shall be refunded
to Buyer.
10. The parties each warrant and represent that there is no obligation or liability for the
payment of any brokerage commission relating to the sale of the Liquor License. Any such party
who has incurred any such obligation will defend and hold harmless the other party from the
obligation.
11. Seller shall cooperate in good faith in order to effectuate the transfer of the Liquor
License and to keep the Liquor License in good standing.
12. If Seller shall fail to perform its covenants or agreements required to be performed
at or before the Settlement Date or on the event of a breach or failure of Seller’s representations,
warranties or covenants as required herein discovered or occurring following the Settlement Date,
Buyer may terminate this Contract and thereupon receive a refund of the Deposit and pursue any
legal or equitable remedies to which Buyer may be entitled on account of the foregoing, including,
without limitation, specific performance and recovery of Buyer’s actual costs, expenses and any
damages (excluding consequential damages) incurred in coimection with this Contract and/or such
default by Seller.
13. Each party shall be responsible for the payment of its respective counsel fees and
expenses incurred as a result of this Contract. In the event of any litigation between the parties
with respect to this Contract, including any action for specific performance that may be brought
by Buyer as provided above, the prevailing party shall be entitled to recover reasonable attorney’s
fees and expenses.
14. This Contract may be executed in counterparts, each of which shall constitute an
original and all collectively shall constitute but one instrument. Delivery of this Contract may be
accomplished by electronic facsimile reproduction (“FAX”) or via electronic mail via .PDF
(“PDF”!; if FAX or PDF delivery is utilized, the electronic version shall have the same force and
effect as the original and shall be binding on the parties hereto.
15. The provisions of this Contract shall be governed by the laws of the State of
Maryland, without regard to the conflicts of laws provisions thereof.
