The statutory and legal predicates for the relief requested herein are 11 U.S.C. §§503 and 507. 3. On September 22, 2004, the Claimants filed a lawsuit in the Circuit Court of Jefferson County, Alabama, Bessemer Division (hereinafter the “Court”) styled JoAnn Waid, et al. v. Seneca North American Coal, LLC, et al, Case Number CV 04-1234 (hereinafter the “Lawsuit”). The Lawsuit asserted claims by the Claimants that the Claimants’ real and personal property were damaged by the Debtors’ causing airborne contaminants or particulates including, but not limited to, dust or coal dust, to be released into the air and eventually onto Claimants’ real and personal properties surrounding the Coal Preparation Plant located on the Debtors’ property. The airborne contaminants or particulates, including, but not limited to, dust or coal dust, originated from the Debtors’ mining operations and the Concord Coal Preparation Plant (hereinafter the “Plant”), located at 1500 Concord Mine Road, Hueytown, Jefferson County, Alabama, as a result of the Debtors’ business operations. 4. COME NOW, JoAnn Waid, Lennis L. Waid and other Waid Claimants under that certain Settlement Agreement entered into between Seneca North American Coal, LLC, f/k/a Cliffs North American Coal, LLC, and Oak Grove Resources, LLC, Debtors in the above-styled consolidated Bankruptcy Cases (hereinafter the “Debtors”), and as grounds therefore submits the following: 1. This Court has jurisdiction over this Application pursuant to 28 U.S.C. §§ 157 and 1334. This is a core proceeding under 28 U.S.C. §157(b)(2)(A), (B) and (O). 2. The statutory and legal predicates for the relief requested herein are 11 U.S.C. §§503 and 507. 3. On September 22, 2004, the Claimants filed a lawsuit in the Circuit Court of

Jefferson County, Alabama, Bessemer Division (hereinafter the “Court”) styled JoAnn Waid, et al.

v. Seneca North American Coal, LLC, et al, Case Number CV 04-1234 (hereinafter the “Lawsuit”).

The Lawsuit asserted claims by the Claimants that the Claimants’ real and personal property were

damaged by the Debtors’ causing airborne contaminants or particulates including, but not limited

to, dust or coal dust, to be released into the air and eventually onto Claimants’ real and personal

properties surrounding the Coal Preparation Plant located on the Debtors’ property. The

airborne contaminants or particulates, including, but not limited to, dust or coal dust, originated

from the Debtors’ mining operations and the Concord Coal Preparation Plant (hereinafter the

“Plant”), located at 1500 Concord Mine Road, Hueytown, Jefferson County, Alabama, as a result

of the Debtors’ business operations.

4. In order to avoid the costs and uncertainties of litigation, and so that mining

operations could continue, and the Plant could continue to be used in those operations, the

Debtors and the Claimants entered into that certain Settlement Agreement (hereinafter the

“Settlement Agreement”). On April 12, 2017, the Circuit Court of Jefferson County, Alabama,

entered an Amended Final Order Approving the Settlement Agreement. A true and correct copy

of the Order approving the Settlement Agreement and the Settlement Agreement are attached

hereto as Exhibits A and B, respectively.

5. Pursuant to the Order and Settlement Agreement, the Debtors were required to

make payments totaling $4,250,000.00 to the Claimants’ Attorney, with the final payment being

due in 2019. The Revocable Easements granted the Debtors permanent, perpetual and non-

exclusive Easements running with the land, allowing the Debtors to release airborne

contaminants or particulates, including, but not limited to, dust or coal dust, into the air and onto

the real and personal property of the Claimants.

6. However, the Easements are conditioned upon the payment of the Settlement

Funds and a default in the payment of the Settlement Funds nullifies and makes void the grant

of the Easements after notice and opportunity to cure is given to the Debtors. The payments,

totaling $4,250,000.00 were to be paid to the Claimants over the period from December 31, 2016,

and ending on or before December 31, 2019. The payments were due either in a yearly lump

sum payment or a monthly payment based on coal production at the Plant. Two (2) lump sum

payments in the amount of $500,000.00 each were due on December 31, 2016 and March 1,

2017. Thereafter, beginning on January 31, 2017, the Debtors were required to make monthly

payments based on coal production (hereinafter the “Coal Production Payments”). The Coal

Production Payments are to equal 50¢ per ton for every ton of coal sold from the Plant in that

month, until the total amount of the monthly payments equaled $1,000,000.00 in 2017. The

Debtors were not required to pay more than $1,000,000.00 in 2017. If the Coal Production

Payments did not total $1,000,000.00 for the year 2017, the Debtors were required to make a

lump sum payment of the amount necessary to bring the total amount of payments to

$1,000,000.00 for the year 2017. Thereafter, the Debtors were required to make a lump sum

payment in the amount of $500,000.00 on or before March 1, 2018. In addition, beginning

January 31, 2018, the Debtors were required to make Coal Production Payments of 50¢ per ton

for every ton of coal sold from the Plant each month until the total amount equaled $750,000.00.

Once again, the Debtors were required to pay no more than $750,000.00 from Coal Production

Payments, but if the total amount from Coal Production Payments did not equal $750,000.00,

then the Debtors were required to make a lump sum payment in an amount necessary to bring

the total amount of Coal Production Payments to $750,000.00 for the year 2018. The Debtors

are then required to make an additional payment on or before March 1, 2019, of $500,000.00

and final Coal Production Payments of 50¢ per ton for every ton of coal sold from the Plant until

the amount of $500,000.00 is paid in the year 2019. Once again, if the total amount from Coal

Production Payments does not equal $500,000.00, then the Debtors are required to make a lump

sum payment in an amount necessary to bring the total amount of Coal Production Payments to

$500,000.00 for the year 2019.

7. The Claimants were represented in the Lawsuit and settlement negotiations by

James C. King, Esq., Justin L. Jones, Esq., David C. Skinner, Esq., and Edward McFarland Johnson,

Esq. The settlement payments were to be made to David C. Skinner, Esq., who then distributes

the monies to the Claimants and also the attorneys for the payment of their fees and expenses.

8. The Amended Final Order approving the Settlement Agreement entered on April

12, 2017, provides as follows with regard to any default by the Debtors:

D. Default on Payments. Per the Parties’ settlement, if the Defendants do not

timely make a payment or fail to make a payment pursuant to the terms of the

Settlement Agreement, then, after reasonable notice and an opportunity to cure,

if the default by the Defendants has occurred and is continuing, then the Waid

Plaintiffs or Counsel for Wald Plaintiffs on behalf of all of the Waid Plaintiffs shall

have the unilateral right to file an affidavit with the Office of the Judge of Probate

of Jefferson County, Bessemer Division certifying that the Defendants’ default has

occurred and is continuing, in which event, all of the provisions of the Easements

for the Waid Plaintiffs shall cease and terminate, be null and void, and be of no

further force or effect. Default specifically includes, but is not limited to, the

failure of the Defendants to pay the total payments of the Waid Settlement Fund

as set out in the Settlement Agreement. The Parties agree that if the Easements

are declared or determined to be null and void and be of no further force or effect

because of a default by the Defendants, that part shall be excluded from the

Settlement Agreement, but the validity of the remaining parts, terms, or

provisions shall not be affected thereby and the said Easements shall be deemed

not to be a part of the Settlement Agreement.

Exhibit A at 5. Therefore, even after revocation of the Easements, the Claimants still have a right

to be paid under the Settlement Agreement and the Court’s Order.

9. After the Circuit Court entered the Order attached hereto as Exhibit A, the

Claimants began signing the Easements to be recorded in the Probate Court of Jefferson County,

Alabama. Soon after the Jefferson County Circuit entered the Order attached hereto as Exhibit

A, the individual Claimants began granting to Seneca North American Coal, LLC, and Oak Grove

Resources, LLC, the revocable Easements, which were then recorded in the Jefferson County

Probate Court. The filed Easements contain the following language:

Notwithstanding anything provided herein to the contrary, this Easement and the

Release granted to the Grantees pursuant to Paragraphs 1 and 2 above shall

automatically cease and terminate, be deemed null and void, and be of no further

force and effect if a default by the Grantees occurs, as defined in the Settlement

Agreement, following any applicable notices and the expiration of any applicable

time to cure. At such time, if at all, that the default by the Grantees has occurred

and is continuing, then the Grantor shall have the unilateral right to file an affidavit

with the Office of the Judge of Probate of Jefferson County, Bessemer Division

certifying that the Grantees default has occurred and is continuing. In which

event, all of the provisions of this Easement and Release above shall cease and

terminate, be null and void, and be of no further force or effect. Default

specifically includes, but is not limited to, the failure of the Grantees to pay the

Grantor the total payments as set out in the Settlement Agreement.

Exhibit B. A true and correct copy of the list of the Easements that were filed and the recording

information for them is attached hereto as Exhibit C.

10. The Claimants’ right to revoke the Easement is in the nature of a “lien” because it

is a “…charge against or interest in property to secure payment of a debt or performance of an

obligation.” 11 U.S.C. §101(37). Neither in the Disclosure Statement, nor in the Plan do the

Debtors discuss this lien or how it will be treated.

11. The Settlement Agreement has been agreed to by the Debtors, a Court Order

specifically approving the Settlement Agreement, its terms and conditions, has been entered by

the Court with the agreement of the Debtors, and the subject Easements giving notice that they

are revocable upon default in failing to make the Settlement Payments have been filed with the

Probate Court.

12. The Debtors paid all amounts due pursuant to the Settlement Agreement in 2016

and 2017. In 2018 the total amount of $1,250,000.00 was to be paid. As of the filing of this

Motion, $320,659.03 of the amount due in 2018 has not been paid. That amount was due and

payable through the Coal Production Payments on a monthly basis on or before December 31,

2018. The total amount still owed under the Agreement is $1,320,059.03. The Debtors are in

default.

13. The Debtors continue to mine at the subject property and use the coal preparation

plant, and, therefore, the Easements are being used.

14. The Debtors have failed to cure their default and have also failed to assume or

reject the Settlement Agreement, which is an Executory Contract, with the Claimants.

15. On January 14, 2019, the Debtors filed their Notice to Contract Parties to

Potentially Assumed and Assigned Executory Contracts or Unexpired Leases [Doc. 547]. The

Debtors failed to list the Waid Claimants Settlement Agreement as a Contract to be assumed or

assigned in the Notice.

16. The Debtors continue to benefit from the Easement by mining coal, preparing coal and using the Easement post-petition, without paying the amounts due pursuant to the Settlement Agreement. The Debtors have failed to account to Claimants for coal tonnage mined and prepared at the subject property. 17. At the very least, the Waid Claimants are entitled to coal production payments equal to fifty cents per ton for every ton of coal sold from the Concord Coal Preparation Plant during any month. 18. Based upon a review of the Debtors’ Plan and Disclosure Statement, it appears that the Debtors will assume, assign or reject the Executory Contract with the Claimants as of the Plan Effective Date. 19. Given that the Plan does not provide for the Waid Settlement Agreement Claims, it is assumed that the Debtors plan to reject the Waid Settlement Agreement. 20. The post-petition damages and the amounts that will have accrued post-petition will total at least $820,659.03, by March 1, 2019. The total amount may be more.

21. In addition, the Waid Claimants are entitled to fifty cents per ton of coal processed at the Concord Coal Preparation Plant for each month in the year 2019, not exceeding $500,000.00.

22. Therefore, the total Administrative Expense Claim to which the Waid Claimants

are entitled may be as much as $1,320,059.03. 23. The Waid Claimants also move this Court for the entry of an Order requiring the

Debtors to provide an accounting to the Waid Claimants for all coal processed at the Concord Coal Preparation Plant from the date of the filing of the Debtors’ bankruptcy petitions through the later of the date the Settlement Agreement is rejected, or the date the Easement is revoked.

WHEREFORE, PREMISES CONSIDERED, the Waid Claimants request this Court enter an Order (a) allowing their Administrative Expense Claim in an amount up to $1,320,059.03 for the use of the Easement; (b) directing the Debtors to make immediate payment of such amount to the Waid Claimants’ Attorney in satisfaction of the Administrative Expense Claim; (c) requiring the Debtors to provide an accounting for all coal processed at the Concord Coal Preparation Plant from the date of the filing of the Debtors’ bankruptcy petitions through the later of the date the Settlement Agreement is rejected, or the date the Easement is revoked; and (d) providing the Waid Claimants all other just and proper relief in satisfaction of the Administrative Expense Claim, and to which they are entitled.
