1. defined Terms: “Event” collectively means the event or events, referred to within the OHCE Exhibitor Prospectus and related documentation, presented by the National Association of RV Parks and Campgrounds (known as “Organizer”). Event will be held at Rio All-Suites Hotel and Casino, referred to as “Facility”. “Exhibitor” means the company or person that applied to exhibit and agreed to enter into this contract upon acceptance by Organizer in the manner stated below.

2. contract acceptance: This contract becomes binding and effective only when it has been signed by Exhibitor and payment for booth space has been received by Organizer. Organizer may refuse acceptance of any contract for any or no reason. Notwithstanding anything herein to the contrary, Organizer may cancel this contract at any time without liability.

3. indemnification and Limitation of Liability: Neither Organizer nor Facility shall be held liable for, and they are hereby released for any damage, loss, harm or injury to the person or property of the Exhibitor resulting from any cause. The Exhibitor shall indemnify, defend and protect Organizer and Facility, and hold Organizer, it’s agents and Facility harmless from any and all claims, demands, suits, liability damages, loss costs, attorney’s fees and expenses of any kind or nature which might result from or arise from any action or failure to act on the part of the Exhibitor. It is the responsibility of the Exhibitor to maintain proper insurance coverage for its property and liability. Exhibitor must also provide to Organizer a certificate of insurance evidencing $1 million of general liability insurance, or if self-insured, an affidavit to that effect and show National Association of RV Parks and Campgrounds as an additional insured no later than 30 days prior to exhibiting.

4. assignment of space: Exhibitor contracts will not be processed or space assigned without the required payments and signatures. Organizer, in its sole discretion, determines whether a prospective exhibitor is eligible to participate in the Event. Exhibit space shall be assigned by Organizer in its sole discretion for the Event. That assignment does not imply that similar space will be assigned for future Events. Organizer shall be the final authority in assigning space. Organizer reserves the right to change the floor plan or to move an Exhibitor to another booth location prior to or during the Event for any reason. Organizer reserves the right to restrict or remove any exhibit that Organizer, in its sole discretion, believes is objectionable or inappropriate.

5. cancellation by exhibitor: Should the Exhibitor desire to cancel this contract, Exhibitor must do so in writing to arvc, 9085 E. Mineral Circle, Suite 200, Centennial, CO 80112, no later than October 1, 2014 to receive a full refund, less cancellation fee of $100. No refunds will be given for cancellations made after October 1, 2014.

6. booths: All booths, as shown on the floor plan, are 10'x10', 10'x20', or 20'x50' (Park Model). To maintain uniformity and prevent visual obstructions along adjoining booths, display must not be higher than 8' at the back of the booth and 3' along the dividers and aisles. Curved display backdrops, walls, partitions and/or decorations may be erected but are not permitted to obstruct adjacent booth’s line of sight from the aisle or Exhibitor’s booth center line. No walls, partitions, decorations or other obstructions may be erected which may interfere with the view of any other exhibitor. The back three feet of rented space may be occupied from the floor up to eight feet in height; the front seven feet of the rented space may be occupied from the floor up to 36" only. Prior approval may be provided for any special requests if consensus is reached with neighboring booths.

7. exhibit space Occupancy: Organizer has specified the hours and dates for installing, occupying and dismantling exhibits as outlined separately in the Event Exhibitor Kit. If Exhibitor fails to begin installing its display in its assigned space 24 hours prior to Event opening or leaves its space unattended at any time during the Event, Organizer shall have the right to take possession of the space, terminate this contract and no refund will be due to Exhibitor, even if Organizer resells the space. All exhibits must be open for business at all times during the Event. If Exhibitor, through circumstances beyond control, is delayed in arrival or set-up, it must notify the appropriate Organizer contact immediately.

8. event set-up, removal and hours: Information on Event set-up, installation, removal and hours will be provided to you separately in the Event Exhibitor Kit. Note: (a) Only Exhibitor will be permitted in its booth 2 hours prior to published “Event Open Times.” (b) Exhibitor must leave its booth no later than 60 minutes after official closing time. (c) Exhibits must remain open in accordance with the schedule published prior to the Event or as amended by Organizer. NO BREAKDOWN or DISMANTLING OF EXHIBITS will be permitted before the Event officially closes down. If Exhibitor infringes this rule, it will be assessed a fee of $500. Exhibitors that leave excessive literature and/or display materials in their booth space or surrounding area at the end of the published move-out time will be deemed guilty of “Material Abandonment” and will be invoiced for labor to remove materials and disposal charges.

9. use of space: All demonstrations or other sales activities must be confined to the limits of the exhibit booth. “Suitcasing” and “Outboarding” are strictly prohibited. Exhibitor is prohibited, without express advanced written approval from Organizer, from displaying products/services and/or other advertising material in areas outside its booth space such as, but not limited to: parking lots, lobbies, lounges, corridors, restrooms. Exhibitor is prohibited from soliciting business in the aisles or other public spaces or in another company’s booth. Exhibitor is also prohibited from conducting marketing or sales events in order to capitalize on the presence of buyers attending the original show without prior written approval from Organizer. Exhibitors participating in any of these behaviors will be asked to return their badges and leave the show floor immediately.

10. union rules: Teamsters Union Local 631 has jurisdiction at Facility for erection, touch-up, dismantling and repair of exhibits. If erection of booth/display cannot be accomplished by one person without the use of hand tools, union labor will be required. Exhibitor can provide personnel to assist union installer on a one-to-one basis. Union labor does not cover placement of Exhibitor products on display, opening of cartons containing Exhibitor products nor the performance, testing, maintenance or repairs of said products.

11. material/Freight handling Jurisdiction: The Teamsters have jurisdiction over all unloading and reloading of materials. The union also has jurisdiction over the operation of all material handling equipment — this includes all dollies and hand trucks. It also has the jurisdiction of the unloading, uncrating, unskidding, leveling, painting and assembly of machinery and equipment as well as the reverse process. An exhibitor may “hand carry” material provided they do not use any material handling equipment to assist them. When exhibitors choose to hand carry material, they may not be permitted access to the loading dock/freight door areas. Items must be carried by hand, by one person.

12. security: Neither Organizer nor Facility shall be in any way liable or responsible for any loss or disappearances, of any object, item, good or materials of any kind, from Exhibitor’s booth or from Facility. Organizer and Facility provide certain security services as a convenience to Exhibitor’s but responsibility for security and safety of an Exhibitor’s area, product, and property rests solely with the Exhibitor.

13. Fire and safety Laws and rules: All federal, state and city laws must be strictly observed. All materials used for display of any kind must be flame proofed. This includes all materials used in specially constructed exhibits such as fabric or other materials. The use of crepe paper and any decorative paper of any type are prohibited and will not be permitted. Displays must meet all the required fire regulations. Displays that do not pass inspection will be ordered closed until fire hazards are corrected or removed. All booth equipment (i.e., tables, chairs, displays, etc.) must not protrude into aisles under any circumstance. Exhibitor may be prohibited from exhibiting for infringing these rules.

14. Observance of Laws: Exhibitor shall abide by and observe all federal, state, and local laws, codes, ordinances, rules and regulations, and all rules and regulations of the Exhibit Facility (including any union labor work rules). Without limiting the foregoing, Exhibitor shall construct its exhibits to comply with the American with Disabilities Act. Exhibitors using music or motion picture videos in exhibits must be licensed by the appropriate authorities.

15. incorporation of rules and regulations: Any and all matters pertaining to Event and not specifically covered by the terms and conditions of this contract shall be subject to determination by Organizer in its sole discretion. Organizer may adopt rules or regulations from time-to-time governing such matters and may amend or revoke them at any time, with or without notice to Exhibitor. Any rules and regulations are an integral part of this contract and are incorporated herein by reference. Exhibitor shall observe and abide by additional regulations made by Organizer as soon as these additional rules or regulations are communicated to Exhibitor.

16. acceptance of Terms and conditions: Execution of this contract by Exhibitor indicates acceptance of the above terms and conditions of this contract as well as those outlined in the Event Exhibitor Kit (provided under separate cover).

CONTRaCT TERmS & CONDiTiONS

Sponsorships

1. Signing this agreement indicates a firm commitment (non-cancelable) of the contracted sponsorship in accordance with the corresponding fees. A faxed, signed agreement is considered binding.

2. In addition to definitions and covenants shown above, Sponsor is defined as Exhibitor which purchases advertising and booth package from Organizer, and is entitled to all benefits outlined in Sponsorship package.

3. All Sponsor advertising must comply with Organizer’s advertising standards and policies.

4. Sponsor acknowledges and agrees that Organizer may terminate the agreement at any time for any reason in its sole discretion. Should Sponsor or Organizer terminate this agreement, no refund will be issued.

5. Sponsor agrees that on account of omissions or errors in such sponsorship or advertising Organizer is not liable and no claims or disputes will be made against Organizer.

6. Reproduction quality of photographs or artwork provided cannot be guaranteed.
