Lincoln – Temporary Portables Agreement: David Zeitlin, Senior Project Manager, Hill International provided the following change order agreement for portables at Lincoln for the board to approve.

LINCOLN ELEMENTARY SCHOOL MODERNIZATION AND ADDITION

CHANGE ORDER NO. 1 AUGUST 25, 2015

SITUATION Change Order No. 1 is attached for your review. The change order includes four (4) changes to the construction contract for the Lincoln Elementary School Modernization and Addition project. All four (4) changes are additive costs changes. Two (2) Construction Change Directives (CCDs) are due to design coordination issues:

• CCD 103 revises the main sanitary sewer line connection. • CCD 104 demolishes the existing trash compactor enclosure. One (1) CCD are for owner requested changes: • CCD 109 increases the Negotiated Support Services fee for the additional rental cost of a temporary library trailer and two temporary classrooms. One (1) CCD is for unforeseen conditions • CCD 108 removes an old piece of buried concrete slab discovered during excavation and which is in the way of the new construction.

The cost of the changes from Change Order No. 1 is within the budget established for this project. The total for change orders to date is 0.47% of the construction contract amount.

The Board of Directors approves Change Order No. 1 to Lydig Construction, Inc. for the Lincoln Elementary School Modernization and Addition Project in the amount of $91,995.00 increasing the contract amount to $19,537,401.00. After answering the board’s questions, Mr. Zeitlin asked for approval.

1) Apple Bowl Use Agreement: Jim Beeson, Athletic Director, presented the newApple Bowl Use Agreement to the board for approval. After a discussion on the fees,they are slightly lower than our cohorts, it was decided to go ahead and approve theagreement and reevaluate at a later date, one year, to see if it seems equitable incomparison with other districts. The agreement can be changed at that point.

Wenatchee’s Apple BowlRules of Use Agreement

The Wenatchee School District requires all users of the Apple Bowl to read and sign off on the Apple Bowl Rules of Use. All coaches and administrators are responsible for reviewing the rules with their assistant coaches, team training and support staff and all team members. Failure to follow the rules could result in a school being fined a minimum of $250 and/or losing the privileges of participating in future events at the Apple Bowl.

Sunflower Seeds & Peanuts Sunflower seeds and peanuts are not allowed in the stadium, on the field, on the sidelines or in the locker rooms. The sale of these two items is also prohibited in the concessions area at the field. Failure to follow this rule will result in a minimum fine of $250 to clean the field.

Gum Gum is not allowed on the field, on the sidelines or in the locker rooms. It is also an item that will not be sold in the concessions area at the field. Gum creates it’s own special issues to deal with on the turf.

Drinks Water is the only beverage that is allowed on the field. Juices, sports drinks, soda or coffee are not allowed anywhere on the field. Gatorade and Powerade are sports drinks and are not allowed.

Vehicles The only vehicles that are allowed on the field are WHS maintenance vehicles and sports med carts that have turf tires on them.

Spectators The only people allowed on the field are coaches, school administration and team personnel. Fans and parents can meet team members anywhere outside of the fenced in playing surface.

Spikes No metal spikes of any type are allowed on the field. Plastic molded and replaceable cleats are fine.

Tobacco and Alcohol Products No tobacco or alcohol products of any type are allowed on school district property. Please note that chewing tobacco is included in this policy. Any one found in possession of either of these two items will be asked to leave the grounds.

Mr. Beeson pointed out to the board that the Head’s Up Program is going really well and he will keep the board updated on its progress with upcoming reports on the program through email.

2) KWCC-LP Broadcast for Athletic Events Agreement: Jim Beeson, Athletic Director introduced Kelly Hart and Dan Kuntz of KWCC-LP who were in attendance to answer any questions the Board may have.

HIGH SCHOOL SPORTS BROADCAST AGREEMENT This High School Sports Broadcast Agreement (the “Agreement”) is entered into this 25th day of August, 2015, by and between KWCC-LP, a Washington corporation, (“KWCC-LP”) and the Wenatchee School District No. 246 (the “District”), a municipal corporation.

RECITALS WHEREAS, KWCC-LP desires to broadcast Wenatchee High School varsity football home games (hereinafter referred to as “athletic event”). WHEREAS, the District agrees to allow KWCC-LP to broadcast each athletic event. WHEREAS, by this Agreement the parties intend to establish the terms and conditions associated with the broadcast rights pertaining to the broadcast of each athletic event. Now, Therefore, in consideration of the mutual promises set forth herein and other valuable non-monetary consideration, the parties hereto agree as follows:

AGREEMENT 1.Broadcast License. The District grants to KWCC-LP, during the term of thisAgreement, a limited license, for the purpose of broadcasting on television and the internet (collectively referred to as “broadcast”), the District’s athletic events. The broadcast of athletic events shall exclusively occur on a KWCC-LP “Designated Channel(s)”, as described on Exhibit “A”, which is attached hereto and incorporated by reference. Audio for the broadcast is provided to KWCC-LP on a simulcast basis from Icicle Broadcasting, Inc. (“IBC”) and KWCC-LP must separately negotiate with IBC for an audio license or right. The District is not responsible for providing any audio broadcast, nor does this Agreement allow KWCC-LP any audio licenses or rights. The broadcast license granted under this Agreement is subject to all of the other terms and conditions of this Agreement, including the following:

a.KWCC-LP agrees that it shall timely broadcast on the Designated Channeleach athletic event stated herein, unless otherwise expressly agreed by the parties, on a live or immediate basis. KWCC-LP shall be able to rebroadcast an athletic event. For any rebroadcast of an athletic event, KWCC-LP shall comply with all duties, obligations, and requirements as stated in this Agreement for the original broadcast of the athletic event. b. KWCC-LP shall make accurate and professional accounts of each athletic event. KWCC-LP shall use good judgment in providing an objective, fair, and professional presentation of each athletic event it broadcasts. c. Unless the District notifies KWCC-LP otherwise, KWCC-LP is granted a limited license to use Wenatchee High School logos and trademarks for use of program promotion associated with broadcasting each athletic event. d. The District hereby reserves all other rights and interests in and to the broadcast of each athletic event not expressly licensed to KWCC-LP by the District. e. KWCC-LP will retain full control of the broadcast content of each athletic event and is responsible for supplying staff and equipment necessary to broadcast each athletic event. KWCC-LP shall also be responsible for any and all expenses incidental to or associated with the broadcast of each athletic event governed by this Agreement. f. KWCC-LP retains exclusivity of broadcasting regular season home athletic events. For purposes of this Agreement the “regular season” is defined as the first game against an opponent of a different school or district, for each athletic event described herein that counts toward the Columbia Big Nine League standings, through the last game prior to any post-season play for purposes of competing for a tournament or a championship, and “home” is defined as those athletic events occurring within the District.

2. WIAA Rules. KWCC-LP shall comply with the Columbia Basin Big Nine League Bylaws and the Washington Interscholastic Activities Association Rules and Regulations for the broadcasting and advertisement of any athletic event. 3. Broadcast Advertisement. Advertisements during television broadcasts shall be separate from any audio broadcast advertisement that may be provided by an entity not a party to this Agreement, including but not limited to IBC. KWCC-LP shall comply with the Columbia Basin Big Nine League Bylaws, and any guidelines stated therein, and the Washington Interscholastic Activities Association Rules and Regulations for any advertisements played immediately preceding, during or immediately after the broadcasting of any athletic event. KWCC-LP shall retain ownership of KWCC-LP produced programming connected with its broadcast of each athletic event, which may include advertising within the scope of the program with all advertising revenue sold by KWCC-LP employees and agents. Advertisements for alcohol, tobacco, drugs of any kind, gambling of any kind, or advocacy for any political parties or candidates are prohibited, with the exception of candidates for federal office. There shall be no announcements or advertisements contrary to the mission and goals of the District and the Wenatchee High School, as determined by the District in its sole discretion. 4. Promotions. KWCC-LP shall broadcast a minimum of ten (10) announcements promoting the broadcast of athletic event. Such announcements shall be broadcast the week preceding the day of the athletic event in an effort to publicize the athletic event to the public. The District shall receive a minimum of four (4) thirty-second avails (i.e. commercials) during each broadcast of an athletic event for the purpose of promoting the District and its programs. The District may, in its sole discretion, enlist the services of a third party to produce the avails herein permitted; however, the District shall be responsible for all costs associated therewith. The District further agrees to permit KWCC-LP to broadcast two (2) thirty-second avails for the Wenatchee Panther Booster Club during the broadcast of each athletic event. All avails and promotions broadcasted hereunder shall comply with the Washington Interscholastic Activities Association Rules and Regulations and the Columbia Basin Big Nine League Bylaws. 5. Media Passes. No media pass or badge shall be required by KWCC-LP for the purpose of broadcasting an athletic event. KWCC-LP, however, is limited to the admittance of a maximum of five employees or agents to each athletic event for purposes of broadcasting the athletic event. KWCC-LP, its employees, and agents shall not have access to the locker rooms of the players participation in any athletic event. KWCC-LP employees or agents who are involved in broadcasting the athletic event shall not be required to pay to attend the event when the athletic event is located within the District and in particular at Wenatchee High School. 6. Release. KWCC-LP releases and holds harmless the District, its representatives, servants, and employees, of and from all loss, cost, expense, and liability whatsoever which may be imposed on them or any of them by reason of any present or future violation or alleged violation of any federal, state or local laws, ordinances, statutes, or regulations, associated with KWCC-LP programming related to or connected with the broadcast of each athletic event (“Release”). This Release survives termination of this Agreement. 7. Compensation and Fees. The District and KWCC-LP have agreed that there shall be no monetary compensation for the broadcast rights as herein stated. However, the District and KWCC-LP mutually acknowledge that each party benefits from the relationship created under this Agreement. 8. Term. This Agreement will terminate at the end of the regular season for Wenatchee High School varsity football for the 2015/16 school year. The agreement shall be effective on the date set forth on page one of this Agreement. Either party may terminate this Agreement, without cause, by providing thirty (30) days written notice to the other party. 9. Notices. Any notice required by this Agreement shall be in writing and may be mailed or personally delivered. If mailed, such notices shall be sent postage prepaid, certified or registered mail, return receipt requested, and the date marked on the return receipt by the United States Postal Service shall be deemed to be the date on which the party received the notice. KWCC-LP 10. Modification. This Agreement sets forth all of the terms of the Agreement reached between the parties hereto. There are no other agreements that effect or modify this Agreement. Any modifications to this Agreement shall be in writing and signed by the parties. 11. Governing Law. This Agreement shall be governed by, construed, and enforced in accordance with the laws of the State of Washington. If any action is filed in a court of law in connection with this Agreement, venue shall be in Chelan County, Washington. 12. Severability. If any provision of this Agreement is determined to be invalid under any applicable statute or rule of law, it is to that extent to be deemed omitted and the balance of the Agreement shall remain enforceable. 13. Authority to Sign. The undersigned represent and warrant that they are authorized to enter into this Agreement on behalf of the parties. 14. Recitals. The recitals are incorporated into this Agreement by reference and shall be part of this Agreement.

3) Poplar Tree Removal: Greg Thompson, Director of M&O presented the request by

a community member and neighbor to WSD for removal of old poplar trees on the property line between their property and WSD property off Red Apple Rd. Mr. Thompson provided pictures.

The poplars are blocking Mrs. Gordon’s elderly father’s view of the mountains from their house. Mrs. Gordon is willing to remove the trees herself. It’s not clear who owns the trees, they are on both sides of the fence. The fence will be damaged if they are removed. They are bothersome trees and have shooters that plant themselves everywhere. They will need to be

removed eventually when the high school is remodeled and tennis courts moved. Mrs. Gordon’s letter:

4) Policy Updates: Executive Director of Student Services, Mark Helm, asked the board for approval of the following policies for 2nd reading.

Mr. Helm noted the only change was to Policy and Procedure 3205 with the insertion of the following paragraph: When deemed necessary by the superintendent or designee an ad hoc committee composed of representatives of certificated and classified staff, volunteers, students and parents will review the use and efficacy of this policy and procedure.

MOTION MADE: Jennifer Talbot made the motion to approve the policy updates to Policy 3205, 3207 & 3210 as presented by Executive Director of Student Services, Mark Helm.

DISCUSSION: None SECONDED: By Robert Sealby PASSED UNANIMOUSLY

Mr. Helm reported to the board that we are checking the air quality everyday and not allowing any students to practice if the air quality index does not fall into an acceptable safe level. This includes sports teams and band marching practice, otherwise they are wearing masks while outdoors. The board thanked Mr. Helm for being on top of that issue.

Laura R. Jaecks reminded everyone of the Early Learning Event at Snowy Owl Theater on September 24th at 6 pm.

Deputy Superintendent Jon DeJong gave an updated report on the Leadership Advance. Everything went very smoothly after two days at Sleeping Lady Resort and one day at the district office. The principals & directors were engaged with a lot of participation and dialog. Next is Opening Day tomorrow at WHS. Mr. DeJong thanked and also asked the board to thank all the support services people for all the work it took to make the opening happen, it’s been a tremendous amount of work on everyone’s part and everyone has been scrambling to make it all fall into place.

Board President Dr. Newman read the following statement.

CLOSED SESSION: The school board will now recess into a Closed Meeting for a period of 90 minutes to discuss:

Collective bargaining sessions with employee organizations, including contract negotiations, and discussions relating to the interpretation or application of a labor agreement, or when the board is planning or adopting the strategy or position to be taken during the course of collective bargaining, professional negotiations, or mediation proceedings, or reviewing the proposals made in the negotiations or proceedings while in progress.

Pursuant to District Policy No. 1410 and RCW 42.30.140, this discussion is exempt from the Open Public Meetings Act and will closed to the public. The school board is not expected to take final action following the Closed Meeting. Legal counsel will be present.

Board President Walter Newman adjourned the meeting at 6:57 p.m. to go into the closed session. Dr. Newman reopened the closed session at 8:27 pm and added 45 minutes to the closed session and reconvened into the closed session. Dr. Newman reopened the closed session at 9:12 pm and adjourned the meeting. No action was taken.
