CarrieractsasPurchaser’sagent.Productsshallbeshippedassoonaspractical,orasrequestedbyPurchaserafterorderacceptancebySeller.However,deliverydatesshallnotbeoftheessence,butshallberegardedasSeller’sbestapproximationofsuchdeliverydates.SellermayarrangefreightattherequestofandonbehalfofPurchaser.Ifapplicable,freightwillbechargedaccordingtotheSeller’sfreightpolicyineffectattimeofshipment.SuchpolicywillbeprovidedtoPurchaserviaitspreferredcommunicationmethodandisalsoavailableinSeller’spricebookoruponrequest.Alltaxes,tariffs,dutiesorsimilarchargespaidbySellerimposedorleviedbyanygovernmentalauthorityinconnectionwiththepurchase,shipment,importorexportofProductspurchasedorinconnectionwiththeprocuringofmaterialsusedthereinmayatSeller’ssoleoptionbeaddedtothepriceofProductssoaf-fected.AdditionalshippingchargesforProductspaidbySellersuchasdestination,storage, labor and redelivery and special or extra expenses for handling air freight, busorothershipmentsmayalso,atSeller’ssoleoption,beaddedtothepriceofsuchProducts.
PaymentPaymentforallProductsshallbenetcashdueandpayableinU.S.dollarswithinthirty(30)daysfollowingreceiptbyPurchaserofshippingdocumentsforsuchProductsbycheckorbanktransfertoabankaccounttobedesignatedbySeller.Ifaccountsarepaidwithinten(10)daysfollowingreceiptbyPurchaserofthecorrespondingshippingdocuments,Purchasershallbeenentitledtoaonepercent(1%)discountfromthepriceofProductsonly.If,inSeller’ssoleopinion,thefinancialconditionofthePurchasersowarrants,Sellermayrequireadvancepaymentsorsatisfactorysecurity.IntheeventthatthePurchaserfailstomakesuchadvancepaymentsorfurnishsuchsecurityuponSeller’srequest,deliveryofProductsmaybesuspendedwithoutfurtherSellerobligation.Sellermay,atSeller’ssoleoption,requirepaymentbymeansofanirrevocableletterofcreditopenedandconfirmedbyabankorbanksacceptable to Seller and upon terms and conditions acceptable to Seller.
Limited WarrantySellerwarrants toPurchaser thatProductswillsubstantiallyconform inquantityandqualitytoPurchaser’sorder,asacceptedbySeller,provided,however,that(1)ProductsareinspectedbyPurchaseruponarrivalatplaceofdestinationandanyandall nonconformities are noted on the bill of lading and all other delivery documents andareattestedto inwritingbycarrier’srepresentative(2)PurchaserfurnishesSellerwithwrittennoticeofsuchnon-conformitieswithinfifteen(15)daysfollowingarrivalofnon-conformingProductsattheplaceofdestination,(3)PurchaserholdsnonconformingProductsforSeller’sinspection(4)non-conformitiesoccurredpriortodeliverybySellerofProductsF.O.B.placeofshipment,and(5)Purchaserdoesnotalter,repair,useorattempttoalterorrepairanynon-conformingProducts.ThislimitedwarrantyisSeller’sonlyandexclusiveexpresswarrantytoPurchaser.Sellerdisclaimsanyandall impliedwarranties includingwithout limitationany impliedwarrantyofmerchantabilityorfitnessforaparticularpurpose.Purchaser’ssoleand
exclusive remedy against Seller shall be the replacement F.O.B. its plant or site, at Seller’soption,ofanyProductswhichdonotconformtoSeller’slimitedwarrantyhereunder.Nootherremedy(including,withoutlimitation,incidentalorconsequen-tialdamagesforlostprofits,lostsales,injurytopersonsorpropertyoranyotherincidentalorconsequentialloss)shallbeavailabletoPurchaser.PurchaseragreestoincludeinallcontractsbetweenPurchaserandsubsequentownersorusersofProducts,andtobringtotheattentionofallPurchaser’scustomersofProducts,thefollowingwarrantydisclaimer:ChicagoMetallicCorporationdisclaimsanyandallwarrantiesexpressedorimplied,including,withoutlimitation,anyimpliedwarrantyofmerchantabilityorfitnessforaparticularpurpose.PurchasershallbeexcludedonbehalfofSellerallremediesfordamageorinjurytoProductspersonsorproperty.IntheeventthatPurchaserfailstocomplywiththeforegoingobligations,Purchasershall indemnify Seller for any liability resulting from such non-compliance and shall otherwiseholdSellerharmless.
ReturnsInordertoreturnanyProductstoSeller,Purchasermustfirstobtainpriorauthorizationforproductseligibleforreturn,andreceiveaReturnGoodsAuthorizationnumberfromSeller’shomeoffice.Allauthorizedreturnsaresubjecttoa20%restockingcharge.SellerwillonlyissuecreditforServiceLevel“0”materialreceivedatthedesignated company facility with the Return Goods Authorization appearing onthe material, and after being inspected and determined by Seller to be in resalable condition.Purchaserissolelyresponsibleforarrangingandprepayingforallreturnfreight.Sellerwillnotberesponsibleforanydamageintransitonmaterialreturnedatcustomer’srequest,andwillnotfilefreightclaimsonsuchdamagedmaterial.When these termsaremet,sellerwill issueappropriatematerialcredit less therestockingcharge.
Default, Termination and Suspension of DeliverySellerreservestheright,amongotherremedies,eithertocancelPurchaser’sorderorsuspendfurtherdeliveriesofProductsthereunderintheeventthat(1)Purchaserfails topay foranyoneshipmentofProductswhenpayment forsuchshipmentbecomesdue;(2)PurchaserfailstomakeanyadvancepaymentsorsatisfactorysecuritydemandedbySellerpursuanttoparagraphtwoofPAYMENTSsectionabove;or(3)PurchaserfailsorrefusestoacceptanydeliveryofProductsorderedfromSeller.DeliveryofProductsmaybesuspendedinwholeorinpartincaseofanyeventbeyondSeller’scontrol,including,butnotlimitedto,explosion,fire,shortageoffuel,powerorrawmaterialsfloodstrikelockout,injunction,riot,insurrection,war,nationalemergency,governmentact,oractofGod.
MiscellaneousNofailureordelayonthepartofSellerinexercisinganyright,powerorprivilegehereundershalloperateasawaiverthereoforofanyotherright,powerorprivilegehereundernorshallanysingleorpartialexerciseofanysuchrightpowerorprivilegeprecludeanyotherright,powerorprivilege.TherightsorremediesofSellerhereunderarecumulativeandnotexclusiveofanyrightsorremedieswhichitmayotherwisehave.Thepartiesheretomaycorrectstenographicandclericalerrorswithout li-ability.PurchasermaynotassigntheorderwithouttheexpresswrittenconsentofSeller. All notices to be given hereunder by either party to the other party shall be dispatchedbycertifiedorregisteredmailreturnreceiptrequestedaddressedtothelastknownpostofficeaddressofsuchotherparty.Anysuchnoticeshallbedeemedreceivedwithinfive(5)daysfollowinganysuchdispatchifmailedfromwithintheUnited States of America and ten (10) days if mailed from outside the United States of America. Either party may change its address by notice to the other party. These ConditionsshallbegovernedbyandinterpretedinaccordancewiththelawsoftheState of Illinois, United States of America, and all disputes hereunder that cannot be amicably resolved by the parties thereto must be settled in a court of competent jurisdictionwithintheStateofIllinois,UnitedStatesofAmerica.Theprovisionsofthese Conditions shall be severable one from the other so that should any provision beheldlegallyunenforceablebyacourtofcompetentjurisdiction,theremainingprovisions shall remain in effect.
