Mead Member Subject: Point of Order By way of this written point of order I am questioning the validity of Mr. Matthew Rector to chair and or participate in any meeting of the GFT. Until such time there is an investigation conducted and a ruling made with respect to the issues discussed below. I have not addressed Mr. Rector as the President of the GFT, as the manner in which the Constitution of the GFT was changed to allow for him to be Elected President and the subsequent failure of the Executive Council to review the possible improprieties of the Special General Membership Meeting held December 27,2007. The basis for the Point of Order follows: 1. There are no minutes of an Executive Council Meeting being held at which a vote was taken to authorize the Special General Membership Meeting per Article VIII Meetings, D. (see attached Agenda from Web Site). 2. The manner in which GFT members were notified of the Special General Membership Meeting and the number of members notified is highly questionable. There is documented evidence that the members that were notified were called by a person not known to work for the GFT, and were limited to primarily one work site. 3. One member is shown and counted twice for the purpose of quorum and one person has reported that they were off island at the time of the meeting, while another person whose name appears as attending has also been confirmed as not being present. 4. Regardless that the only item on the agenda was the Amendments and regardless that the regularly schedule General Membership Meeting of November 30, 2007 only had 20 members present, the fact remains that the proper procedure was not followed in calling for a Special General Membership Meeting, nor was there any true attempt to notify as many members as possible to attend. 5. As a paid "Employee" of the GFT, and has having been established as the President of the GFT through what can be proven an invalid change to the Constitution which allowed then for what has become an invalid election , Mr. Rector may not sit as the Chair of the Executive Councilor any Executive Session of the Executive Councilor General Membership Meeting. As those meetings have the possibility of dealing with him as an employee. I

6. Duty of Care - Every member of the Executive Committee has aresponsibility of "duty of care" for the office they hold and theresponsibility associated with that office. Including all that they vote,approve and recommend, as well as all actions of the Executive Counciland President. As such it is incumbent upon all the members of theExecutive Council to be concerned with any violation of the Constitutionor with any perceived inconsistency with the application of theConstitution and By-Laws of the GFT, as each member ofthe Executivecouncil may be held personally accountable and liable for all actions andinactions of the Council.

Therefore I ask each member of the Executive Council by way of this Point of order toenforce the request to have Mr. Rector remove himself from the Chair of the ExecutiveCouncil and any participation in any and all activities of the Guam Federation of Teachersuntil such time an investigation is conducted by the AFT and a determination is made.
