9 Amount of Earnest Money Deposit (Bid Security)

Note: 1. The bidders (small scale units) who are registered with National Small Scale Industries Corporation

under Single Point Registration scheme are exempted from the cost of tender form and earnest money Deposit subject to the following:

A proof regarding current registration with NSIC valid on the date of opening of tender will have to be attached along with the bid.

The enlistment certificate issued by NSIC will not be permanent and should be renewed within two years of its presentation.

Affidavit will be given by the contractor in which he will submit the details of cost of tender form and EMD Cost for which he has availed NSIC exemption by participation in all tenders from the date of issue of certificate.

2. The contractor shall obtain / provide at his own cost all easements, permits and licenses necessary

to do the work. No extra charges will be paid to the contractors for pursuance of easements,

permits etc. It shall be the responsibility of the bidder to quote the rates for execution of the work

keeping in view such aspects.

3. Since the work is of top priority and to be carried out in stipulated time, only contractors having sufficient resources to complete the work in time need to participate.

4. Successful bidder may be asked to carry out additional 25% of the estimated work at any site under the jurisdiction of the PGMM, STR, Hyderabad at the approved rates with mutual consent.

SECTION - II

SCOPE OF WORK WITH BRIEF DETAILS OF REQUIREMENT OF WORKS

(A) Scope of the Work :- NATURE, SCOPE & APPROXIMATE QUANTUM OF WORK : This tender involves the work of excavation of trenches and laying/ re-arranging

DWDC/PLB/GI/RCC pipes, concreting of OFC pipes, pulling/ blowing of optical fibre cable for OFC maintenance, permanent restoration of temporarily erected overhead cables, digging of joint pits, fixing of RCC chambers & closing , fixing route/joint indicators and other associated works.

Normally these works arise because of the various activities like road expansions, Water /Drainage works etc. under taken by the Various State / Central Governmental agencies like NHAI / STATE HIGH WAYS, Municipalities/ Panchayaths etc . Hence the Quantity of works to be executed are not of continuous nature either in length /quantity or in time, but random in nature and varies from time to time.

Approximate quantity/ requirement of works to be executed against each of the Maintenance Division coming under PGMM STR, Hyderabad AREA (along with the EMD amount to be deposited ) are furnished in the Annexure-II of the tender document.

The quantum of work mentioned may vary depending upon the actual conditions prevailing while executing the works. Division wise quantum is sum total of small sections in different OFC routes coming under that division.

The quantum of work given in the NIT and Nature, Scope and Specification of work is only approximate. The BSNL, at the time of award of work under the contract, reserves the right to increase or decrease the work by 50% of the approximate quantum of work as specified in the tender notice/document, without any change in the rates or other terms and conditions of the tender.

Tenderer(s)/bidder(s) cannot claim any compensation or hike in rates due to increase or decrease in quantum of work.

The quantum of work will be spread over the entire validity period of the tender, i.e. one year and the extension period of the tender if granted by the competent authority.

SECTION - III

General Instructions to Bidders and General TERMS AND CONDITIONS OF THE CONTRACT.

1.0 . DEFINITIONS: The Contract : Means the documents forming the Tender and acceptance thereof

and the formal agreement executed between the Bharat Sanchar Nigam Limited and the Contractor

together with the documents referred to therein including the conditions of contract.

The specifications designs drawings and instructions issued from time to time by the Engineer-in-

charge and all these documents taken together shall be deemed to form one contract and shall be

complimentary to one another.

1.1. In the contract, the following expressions shall unless where the context otherwise required

have the meaning hereby respectively assigned to them.

a) Work or Job:- The expression work or Job shall unless there be some thing either in the subject or context repugnant to such construction be construed and taken to mean the other works by or by virtue of the contract to be executed whether temporary or permanent and whether original, altered, substituted or additional.

b) The Contractor:- Mean the individual undertaking the works and shall include the legal personnel, representative or such individual or individual permitted.

c) The BSNL means BSNL or its representatives. d) The ENGINEER-IN-CHARGE means the Junior Telecom Officer / Sub-Divisional

Engineer/Divisional Engineer who shall supervise and shall be in-charge of the work at any time or who shall sign the contract on behalf of the BSNL.

2.0 The Tenderer must read carefully all the terms, conditions and specifications before filling up the Tender Schedule and his Quotation. Tenderers are requested to get well versed with the Tender conditions/ guidelines written hereunder. Those Tenderers who cannot read English may get it translated at their own risk, in a language known to them and understand the conditions. Any clarification required can be had from the Divisional Engineer concerned, in whose division the Tender is called, who is the authorized representative of the “BSNL”, or the Sub Divisional Engineers or any other officer/ official working with him, who may be authorized by him to supervise and oversee the work on his behalf.

2.1 The tenderer before submitting the tender should ensure that the work to be carried out was

clearly understood by him by collecting all types of details from the concerned competent

authority.

3.0 Eligibility of the Bidders:- The Invitation of bids is open to all as per their eligibility

mentioned below.

a) The bidders/Contractors are required to be registered for ServiceTax/GST with Service Tax

department under the category of erection, installation and commissioning OF Cable routes. b) contractors having experience of minimum of 5 Kilometers of laying of Optical Fibre Cable by trenching and/or HDD in BSNL / PSU / Govt. Dept. in the past five years.

4.0 Bid Security or EMD :- The bidder is required to submit the necessary Bid security or EMD

either in the form of Crossed Demand Draft drawn from scheduled National Banks in favour of

Accounts Officer (C & C) O/o Principal General Manager Maintenance Southern Telecom Region

Hyderabad or a bank Guarantee for the sums as mentioned in the Annexure-II(A). Bidder is

required to submit a separate DD for each of the Division, in case if he wants to participate in

more than One Maintenance Division.

5.0 Documents to be submitted along with tender document:-

a) The completed tender document, duly signed in each and every page of the document. b) The requisite EMD as per clause 4.0 above. c) Work experience certificate (For a minimum 5 KM of OFC trenching. pipe laying and cable

pulling/blowing). d) Self Attested Copy of Service Tax/GST Registration certificate Issued by Service Tax

Department of both AP & Telangana states as indicated at 3.0(a). e) Original “Power of attorney” in case person other than the tenderer has signed the bid

document. f) Self Attested copy of Partnership Deed or proprietorship deed or articles / Memorandum of

Association as the case may be, Latest annual account statement. g) Self Attested copies of PAN Number, along with Income Tax Returns filed for the last 3

Years. h) Affidavit on non-participation of the close relatives should be submitted by the tenderer.

The near relatives for this purpose is defined as :

a. Members of Hindu undivided family. b. They are husband and wife, the one is related to another in the manner as father,

mother, son, daughter–in-law, son-in -law, brother- in- law, brother, brothers’ wife, sister- in- law.

i) Affidavit from the Tenderer stating that /Firm is not black-listed. In case of a firm , the affidavit should be submitted by all the partners of the firm.

6.0 Mode of Quoting: (a) The schedule of rates (SOR) is given separately at Section-IX of Financial Bid. (b) The tenderer/ bidder may quote for one division or more than one division or for all the

divisions. (c) The prospective tenderers shall quote only the percentage above, below or at par with

the schedule of rates separately for each division. (d) The percentage should be quoted only in the prescribed format - “Tender Quotation

Form” given Section-IX of Tender document separately for each division.

(e) The rates (in percentage) should be inclusive of transportation of labour, tools and materials; local taxes like octroi etc; boarding arrangements of labour; cost towards tools and tents; sharpening of tools etc.

(f) The percentage should be written both in figures and in words. In case of any discrepancy, the percentage quoted in words will have precedence over the percentage quoted in figures.

(g) All Alterations, erasures or overwriting in rates (percentage) should be duly authenticated to by the Tenderer’s signature.

7.0 Submission of Bid:

7.1 :- The bidder can apply / quote for one division or more than one division or for all the divisions separately in the tender quotation form specified for each division under financial bid.

7.2 a)Tenders shall be submitted in the prescribed forms placed in sealed covers superscribed as Tenders for Execution of Various Minor / Misc Optical Fiber Cable Route Maintenance Works. The full name and address of the bidder shall be written on the bottom left hand side corner of the sealed cover. The address given merely as post office number shall not be entertained. b) The tender should be submitted in TWO Envelope system consisting of Technical and Financial Bids. The said two envelopes must be wax sealed and placed in another sealed cover superscribed as Tenders for Execution of Various Minor / Misc Optical Fiber Cable Route Maintenance Works. The Technical Bid Envelope superscribed as ‘Technical Bid’ should contain the EMD, cost of the tender if downloaded from str.bsnl.co.in in the form of Demand Draft and documents as called for in Clause NO 5 of Section III and the envelope of the Financial bid be superscribed as ’Financial Bid’ should contain the percentage of the rate Quoted as detailed in Clause No 6 of Section III.

c) The financial Bids of the technically qualified bidders will only be opened. The time, date and venue for opening of the Financial Bid will be intimated after the completion of the Technical Evaluation.

d)The Bidders can drop their sealed tender documents in the tender box provided at the Office of Divisional Engineer (Engg), % Principal General Manager Maintenance, STR, 9th floor, 9-5-25, BSNL Bhavan, Hill Fort road, Adarsh Nagar, HYDERABAD-63. e) The envelope containing tender shall be sealed with sealing wax or adhesive tapes, properly

fixed on the envelope. Closing the envelope merely by gum will not be treated as sealed cover. Tenders received in envelopes not sealed will not be opened or considered. Tenders received in unsealed envelops will be opened only when the Tenderer makes a request for return of any Demand Draft/Bank's Pay order enclosed as EMD. In such cases, only the Demand Draft/Bank's Pay order will be returned and the “BSNL” will retain the rest of the document.

f) Tender if sent by post, must be in double covering and may be posted to Office of the

The tenders received after due date and time may be summarily rejected and BSNL will not be responsible for any postal delay in transit. It is desirable to seal the inner envelope also and super scribe as stipulated in the above Clauses, contained in this Section of the Tender Document.

g) BSNL reserves the right to postpone the date of opening of tender or to cancel the tender notice without giving any reasons. Any request from Tenderers to postpone or to change the date of opening of the tender due to any reason whatsoever shall not be considered. h)BSNL is not bound to accept the lowest tender and reserves the right to reject any or all tenders without assigning any reasons whatsoever. i) Tenders will be accepted and Contracts will be finalized only with those of the Tenderers, who, in the opinion of the competent authority, are having the capacity and resources to provide the service/execute the work assigned in the prescribed time as per the terms, conditions and specification of the Tender Document. j) The Tenderers or his authorized signatory by holding “Power of Attorney”, shall certify and affix his signature on each and every page of the tender document, and return it along with his tender offer, as a token of his acceptance of each condition specified on each page of the Tender Document. If the tender is not duly signed, or is deficient or is incomplete in any of the requisite matters or particulars or formalities, it will be rejected summarily. k) Any attempt for negotiation direct or indirect on the part of the Tenderer with the authority to whom he has submitted the tender or the authority who is competent finally to accept it after he has submitted his tender or endeavors to secure interest for actual or prospective tender or to influence by any means the acceptance of the particular tender will render the tender liable to be excluded from consideration. The competent authority may take necessary action to BLACK-LIST THE TENDERER. l) The Tenderers will be bound by all terms, conditions and specifications detailed in this Tender Document. The Tenderers shall not have any right to modify the conditions or specifications contained in the Tender Document at any occasions. Any tender submitted with conditions other than those specified in the tender document will be summarily rejected. m) Any tenderer, who likes to deliver the tender in person shall deposit the tender in the box kept at Office of the Divisional Engineer (Engg), % Principal General Manager Maintenance, STR, 9th floor, 9-5-25, BSNL Bhavan, Hill Fort road, Adarsh Nagar, HYDERABAD-63. n) The tender box will be sealed immediately after the specified time as per the timings of the office clock for receipt of tender. Any tender presented in person by any Tenderer or his

representative after the tender box is sealed will not be received either by Divisional Engineer or by any of the staff with him. Any attempt to forcibly deposit the tender after the sealing of the tender box will attract action as per the law. o)Tenders received either by post or Courier service or in person after the specified time will be

rejected. .

8.0 Bid opening:-

BSNL shall open bids in the presence of bidders or their authorized representative who wish to be present at the time of opening of bids on due date. The bidder shall submit authorization letter to this effect before they are allowed to participate in bid opening (Format is given in section VIII). Bids submitted at Office of the Divisional Engineer (Engg), % Principal General Manager Maintenance, STR, 9th floor, 9-5-25, BSNL Bhavan, Hill Fort road, Adarsh Nagar, HYDERABAD-63 will be opened by the Tender opening committee(TOC) constituted for that purpose at the same time and day as mentioned in the tender document. The bids received after bid opening will be summarily rejected. 9.0 Annulment of Award

Failure of the bidder for complying with the tender conditions shall be sufficient ground for

the annulment of the award and forfeiture of the bid security in which event BSNL may award to

any other bidder at the discretion of BSNL or call for new bids.

10.0 Period of validity of bids :-

The bid shall remain valid for a period of 180 days after the date of opening of bids. A bidder accepting the request of BSNL for an extension of the period of bid validity, in exceptional circumstance, will not be permitted to modify his bid.

11.0 Evaluation

11.1 The evaluation of technical bids will be done based on the submission of the documents called as part of technical bid viz. EMD, cost of the tender if downloaded from str.bsnl.co.in in the form of Demand Draft and documents as called for in Clause No. 5 of Section III by the tenderer. Any technical bid short in any if the documents called for as part of technical bid will be summarily rejected. 11.2 The financial Bids of the technically qualified bidders will only be opened. The time, date and venue for opening of the Financial Bid will be intimated after the completion of the Technical Evaluation.

11.3 BSNL shall evaluate the bids to determine whether they are complete, whether any computational errors have been made and whether documents have been properly signed and whether bids are generally in order. 11.4 If there is a discrepancy between words and figures the amount in words shall prevail prior to detailed evaluation, BSNL will determine the substantial responsiveness of each bid to the bid document. A substantially responsive bid is one, which confirms to all the terms and conditions of bid documents without material deviation. A bid determined as substantially non-responsive will be rejected by BSNL.

11.5 BSNL shall evaluate in detail and compare the substantially responsive bids and comparison of bids shall be on the price of service offered inclusive of all levies and charges as indicated in the price schedule in section IX of the bid document.

11.6 Evaluation Method: Evaluation will be done for each maintenance division separately and finalized for each division. Lowest based on financial bid. L1, L2 …..is financial rating of bidders in ascending order. L1 is the lowest bidder.

11.7 For Allocation of Works in the Division to the Contractors, BSNL has got the discretion to reallocate the work taking into account the logistics and administrative convenience. Percentage of work to be allotted to L1, L2, L3 etc. may vary depending on the Number of contracts awarded. Performance of the Contractor will be monitored during the execution of the works and accordingly further works will be awarded. The equal allotment of work within the area will be maintained, if the performance of the contractors is good and consistent during the contract period. The allocation of contractors to area will be reviewed during the period of contract. 11.8 In case rates quoted by two or more contractors are the same, the criteria for selection

and ranking depend on the quantum of experience based on the documents submitted along

with the bid. The contractor with more experience will be given preference. BSNL reserves the

option to induct additional contractors at a later date (during the currency of the contract

period) from the qualified bidders, in case of contingencies like poor performance of the

approved contractors. All the successful tenderers are required to submit the agreement duly

signed on every page and in addition signed by two witnesses with address before taking up the

works.

12.0 Award of Contract

12.1. In case the bidder Quotes for more than one Maintenance Division, awarding the work to the successful bidders will be restricted to a maximum of 3 Divisions. However BSNL reserves the right to award the work in any number of divisions to the successful bidders at the lowest accepted rates if qualified bidders are not available. Since this tender is a combined tender for divisions in STR AP and Telangana areas, in the event a particular tenderer bids for several divisions, even though he emerges as the lowest bidder he shall not be awarded more than 3(three) divisions. divisions is at the discretion of BSNL which is final and binding on the tenderer. Further if a tenderer emerges as the L1 in more than three divisions and if he is awarded three divisions, the rest of the divisions in which he emerged as L1 shall be awarded to L2 or others in seriatum at the rate quoted by the L1 and the rate shall be binding on the awardee. In such an event L2 or others do not agree for the rate quoted by L1 the contract shall be awarded to other bidder(s) in seriatim and the same rule shall be applicable to all of the bidders. In the event no tenderer is agreeable for L1 rates, then the contract for such divisions also shall be awarded to the L1 if the competent authority so decides.

12.2. BSNL shall consider placement of letter of intent to those bidders whose offers have been

found technically, commercially and financially acceptable. The bidder shall within 10 days of issue of letter of intent, give his acceptance along with performance security in conformity with section VIII of the bid document.

12.3 Right to vary quantities

BSNL reserves the right to increase or decrease the quantum of work specified in the schedule of requirement AT ANY TIME without any change in the accepted rates and other terms and conditions.

13.0 Validity of the Tender :-Tender will be valid for a period of one year from the date of award. However, BSNL reserves the right to extend tender validity for a period of one more year on the same approved rates and terms and conditions.

In case of extension of validity period of the tender, the validity of Bank Guarantee submitted by the approved contractor(s) will have to be suitably extended for the sufficient period of time.

14.0 Signing of Contract

a) Signing of Agreement shall constitute the award of contract on the bidder.

b) Upon the successful bidder furnishing the performance Security, BSNL shall discharge its bid security. c) Signing of the Agreement will be done individually by the respective Divisional Engineer Transmission Maintenance,(the end users who actually maintain the OF Cable Routes) with the successful bidder on non-judicial stamp paper of Rs 100/- (Rupees one hundred only). The cost of the stamp paper is to be borne by the contractor in the prescribed form to the effect that the contractor and the Divisional Engineer are bound by the terms and conditions in the agreement which in turn will be the same as that in the tender document.

15.0 Performance Security or Security Deposit :- The successful Tenderer should pay a security deposit of 10% of tendered value, of that division/ DIVISIONS FOR WHICH the bidder is awarded with the work, either in the form of a DD, drawn in favour of Accounts Officer (C & C)O/O PGMM,STR, Hyderabad or in the Form of the Bank Guarantee.

Section- IV

Special Commercial Conditions of the Contract

1. Application

Submission of bid against this offer shall bind the bidder for the acceptance of all the conditions specified herein or in NIT unless otherwise agreed by BSNL.

2. Performance Security

2.1 The successful Tenderer should pay a security deposit of 10% of tendered value, of that division/ DIVISIONS FOR WHICH the bidder is awarded with the work, either in the form of a DD, drawn in favour of Accounts Officer (C & C, )O/O PGMM,STR, Hyderabad or in the Form of the Bank Guarantee.

2.2 Security Deposit /Performance Security will be discharged after completion of contractor’s performance obligations under the contract.

2.3 If the contractor fails or neglects any of his obligations under the contract it shall be lawful for

BSNL to forfeit either whole or any part of performance security furnished by the bidder as compensation for any loss resulting from such failure.

2.4 REFUND OF SECURITY DEPOSIT :-

No interest will be payable on the Earnest Money Deposit or Security Deposit or amount payable to the contractor under contract. Refund of Security Deposit is subject to the full and final settlement of the final bill for the works contracted/executed under the contract. EMD of tenderers except that of L1,L2,L3 will be returned within thirty days of opening the tender. EMD of other unsuccessful tenderers will be returned within a month after finalization of the tender. EMD of the successful tenderer will be returned within a month after submission of the security deposit.

3. WORK EXECUTION TIME LIMIT

3.1 The time period as stipulated in the contract or letter of intent or Work order issued by the Concerned Divisional Engineer Maintenance shall be deemed to be essence of the contract.

3.2 Time limit for completion of the work will be as decided and intimated by the Concerned Divisional Engineer and as intimated by him in the Work Order.

4. PAYMENT TERMS ;-

4.1 Pre- receipted bills in quadruplicate in the name of the concerned Divisional Engineer should be submitted as and when the work is completed as per the work order.

4.2 The bills will be paid through RTGS by the concerned accounts officer for the amount

passed on the bills for payment.

4.3 The final settlement of the bills as refund/adjustment/appropriation or any amount retained

from the running bills of the contractor shall be made fully after the Divisional Engineer is

satisfied that all the service agreement obligations have been fully met and no amount remains

due for recovery from the contractor on any account. Unless there are specified reasons, all

accounts are expected to be settled within a period of six months from the date of completion of

the work in all respects.

4.4 Bills will be paid after deduction of Income Tax at the prevailing rates. No manpower or conveyance will be provided by the Department for execution of the said contract. The Contractor has to make his own arrangements for completing the work.

5. TERMINATION OF CONTRACT

5.1 In case of any default by the Service Provider/ contractor and in any of the terms & conditions (whether General or Special), BSNL may without prejudice to any other right/remedy which shall have accrued or shall accrue thereafter, terminate the contract, in whole or in part, by giving 2 clear working days notice in writing to the Service Provider/contractor.

5.2 All instructions, notices and communications etc. under the contract given in writing and if sent to the last known place of business, shall be deemed to be served on the date, even in ordinary course of post, these would have been delivered to the Service Provider/contractor.

5.3 Notwithstanding anything contained herein, BSNL also reserves the right to terminate the contract at any time or stage during the period of contract, by giving two days notice in writing without assigning any reason and without incurring any financial liability whatsoever to the Service Provider/contractor.

6.0 TERMINATION FOR INSOLVENCY: BSNL may also by giving written notice and without compensation to the contractor

terminate the contract if the contractor becomes unwilling, bankrupt or otherwise insolvent without affecting its right of action or remedy as service taker.

7.0 PENALTY FOR CUTTING / DAMAGING THE EXISTING CABLES OF BSNL OR PRIVATE TELECOM OPERATORS / AGENCIES OTHER THAN BSNL

During excavation of trench utmost care is to be taken by the contractor, so that the existing underground cables are not damaged or cut. In case any damage / cut is done to existing cables, a penalty as per the schedule given below will be charged from the contractor, and the amount will be deducted from the dues payable to the contractor.

Besides above penalty, the contractor shall carry out such repairs for restoration of the damaged cable free of charge. The cost of jointing kit shall also be borne by the contractor. If contractor fails to repair the damage, the cost of repairs [including cost of labour + Jointing kit] shall be recovered from the contractor.

8.0 FORCE MAJEURE

If any time, during the continuance of this contract, the performance in whole or in part by either party of any obligation under this contract is prevented or delayed by reason of any war, or hostility, acts of the public enemy, civil commotion, sabotage, fires, floods explosions, epidemics, quarantine restrictions, strikes, lockouts or act of God (Hereinafter referred to as events) provided notice of happenings, of any such eventuality is given by either party to the other within 21 days from the date of occurrence thereof, neither party small by reason of such events be entitled to terminate this contract nor shall either party have any claim for damages against the other in respect of such on performance or delay in performance under the contract shall be resumed as soon as practicable after such an event may come to an end or cease to exist, and the decision of BSNL as to whether the supplies have been so resumed or not shall be final and conclusive, provided further that if the performance in whole or part of any obligation under this contract is prevented or delayed by reason of any such event for a period exceeding 60 days either party may, at his option terminate the contract.

9.0 ARBITRATION

9.1 In the event of any question, dispute or difference arising under the agreement or in connection there with (Except as to matter the decision to which is specifically provided under this agreement), the same shall be referred to sole arbitration of the CGMM, STR, Chennai. In case his designation is changed or his office is abolished then in such case to the sole arbitration of the officer for the time being entrusted whether in addition to the function of the CGMM, STR, Chennai or by whatever designation such officer may be called (hereinafter referred to as the said officer) and the said officer is unable or unwilling to act as such, than to the sole arbitration of some other person appointed by the CGMM or the said officer. The agreement to appoint an arbitrator will be in accordance with the Arbitration and Conciliation Act, 1996.

9.2 The arbitrator may from time to time with the consent of both the parties enlarge the time

frame for making and publishing the award. Subject to aforesaid arbitration and conciliation Act, 1996 and the rules made there under, any modification thereof for the time being in force shall be deemed to apply to the arbitration proceeding under this clause.

9.3 The venue of the arbitration proceeding shall be Office of CGMM, STR, Chennai or such other place as the arbitrator may decide.

SECTION --V

SCOPE AND SPECIFICATIONS OF VARIOUS OFC ROUTE MAINTENANCE WORKS:

MAINTENANCE OF OFC ROUTES:- The work mainly involves permanent U/G restoration of temporarily erected overhead OF Cables on OH alignment etc. While removing of Optical Fibre Cable faults, the OF cables were temporarily erected on OH alignment etc. in the section where OF cable faults had occurred. The work involves excavation of trenches in all strata including tarmac and lying OF cables underground as per the normal procedure for laying OF cables underground through PLB pipes etc. The work also involves excavation of trenches for attending new OF cable faults and backfilling of trenches after removing OF cable faults. The excavation might be at new places or also might be through the previously excavated and presently back-filled OFC trenches.

SPECIFICATION OF WORK

In the following paragraphs, detailed specification of works to be carried out, viz. Excavation and

back-filling of trenches, laying PLB/RCC/GI /DWC pipes, concreting for protection, excavation and back

filling of old/new joint pits, fixing of Joint/route indicators etc. has been given. Also the precautions and

procedures to be followed, standards/norms prescribed, A/T & measurement schedules etc. have been

described hereunder. Though the specification/standards/procedures have been cleared elaborately,

actual works are to be carried out and successfully completed as per the instructions issued by the

concerned field officers and under the supervision of Divisional engineer, in charge of the work.

(1) HANDLING OF UNDERGROUND SERVICES:

Work involves care and protection to all existing underground services whoever may be the owner. Contractor shall be responsible if services are damaged. If any claim is made by concerned person, authority or Department, same will be attended to by Contractor at his own cost as per original specification of services thus damaged.

(2) ISSUE OF MATERIAL SUPPLIED BY BSNL:

BSNL will supply ---

PLB Pipes, End caps.

i) OF cable, Rubber bush, PLB pipes. ii) RCC Full round/ Half round pipes [NP-II Class] iii GI Pipes [65mm & 50mm dia] [B-Class] iv DWC Pipe.

The Contractor will be responsible to check quantity and quality of material at the time of issue and acknowledge the same under clear dated receipt. Thereafter he will be responsible for material including its quality and accountability. The material should be handled and transported and stored in proper manner, to ensure that its quality and functionality are not affected.

(3) LOCATION AND ALIGNMENT OF TRENCH:

a) Approved Index Route Diagram will be issued by Divisional Engineer in charge of work.

b) Depth of trench will be 165cms along all roads viz. National Highways, State Highways, Z.P roads,

City/Village limits.

c) All 32mm HDPE/PLB Pipes will have additional protection by full round 100mm RCC/DWC pipe at road crossings, at all rail/railway crossings, built-up area, city limits, dry nullah or river beds.

d) Over bridges or culverts and at entry point of local cable duct system and slopes beyond culverts and bridges till normal depth is reached, GI/DWC pipes will be embedded in a MS wire mesh with RCC concrete (1:2:4) of size 200mm width and 200mm depth.

e) Pipe laid in a particular stretch of trench, depth of trench and its alignment must be got approved by Site Engineer viz. D.E. (TM) / SDE/JTO.

f) The depth of trench from the top of surface shall not be less than 165cms unless otherwise permitted.

g) Width of the trench at bottom shall be 45Cms, sufficient to lay requisite number of PLB pipes/GI pipes/RCC pipes/DWC pipes.

h) In case of trench in slopes, uneven ground, inclined portion, lower edge shall be treated as top surface of land for depth measurement.

i) In typical locations such as uneven ground, hilly areas and any other places, due to any reason whatsoever it can be ordered to excavate beyond standard depth of 165cms to keep the trench bed as smooth as possible

j) Near culverts, both ends of culvert shall be excavated more than 165cms in depth to keep gradient less than 15 degrees to horizontal.

k) If excavation is not possible to minimum depth of 165cms full facts should be brought to the notice of D.E.(TM) in writing giving details of locations and reasons for not excavating that particular portion. Approval can be granted by competent authority in writing in genuine circumstances only. Decision of competent authority shall be final and binding on the Contractor.

(4) TRENCHING:

Trenching shall be kept ahead of laying pipe. Due care will be exercised by contractor, that soil from trenching intended to be used for back filling is not mixed with loose debris.

While trenching contractor will not cause damage to any underground installation belonging to BSNL or any other agency. Any damage caused shall be made good by Contractor at his own cost, expenses and risk, in addition to the penalty for cutting / damaging the old cables as specified in clause No. 7 of section –IV.

Contractor shall provide sufficient width at the trenches in places where it is likely to cave in, due to soil condition. A minimum clearance of 15cms shall be kept and maintained above and below any underground existing installation.

In order to prevent damage to PLB/HDPE pipes over a period of time due to growth in bushes, tree roots etc. Contractor shall cut them if encountered in path of alignment, without any extra charge.

In large burrow pits, excavation depth shall not be less than 165cms and both sides of burrow pit shall be excavated more than 165cms in depth for maintaining the gradient of bed less than 15 degrees.

If above is not possible, alignment of trench shall be changed to avoid burrow pit completely.

Trench alignment shall be in ROW of concerned roads unless written permission from concerned authority is given to Site Engineer.

(5) TRENCHING NEAR CULVERTS/BRIDGES AND CAUSEWAYS:

Both ends of culverts/bridges shall be excavated more than 165cms in depth and must ensure that the gradient is not less than 15 degrees. The GI Pipe laid on the bridge with concreting should be extended beyond culvert/bridge till normal depth is reached.

(6) LOCATION AND ALIGNMENT OF TRENCH IN CITY:

a) In city areas, the trench will normally follow the footpath of road except when it may come to edge of carriage way. When cutting across road, specific advance permission from authorities responsible for maintenance of that road may be taken.

b) While carrying out the work of execution of trenches in city areas, wherever the PCC/concrete construction of any private /public property has to be cut, the same shall be reinstated, recouped by the contractor. The charges for such reinstatement of PCC/RCC work will be as per the per cubic meter approved rate for PCC/RCC work.

c) Alignment of trench will be decided by a responsible Officer not below the rank of SDE/JTO. While marking the alignment only center line will be marked and Contractor shall remove all bushes, undergrowth, stumps, rocks and other obstacles to facilitate marking center line without extra charges.

(7) METHOD OF EXCAVATION:

In city limits and built-up areas, narrow roads, the Contractor shall resort to manual labour only to prevent damage to any underground or surface installations belonging to BSNL, other public utility services or private parties.

a. Along Highways and wide cross country road Contractor can resort to mechanical means taking due care not to damage any existing u/g or surface level installations.

b. Contractor should resort to horizontal boring so that PLB/DWC Pipe with collar can be pushed through it at road crosses, on National highway, State highway and main road in major cities having high traffic and Railway level crossings.

(8) LINE UP:

Trench line up should be such that PLB pipe(s) can be laid in straight line except at location where it is necessary to take a bend due to change in alignment or gradient in trench subject to restrictions.

(9) ACCEPTANCE TESTING:-

When trenches are excavated at specified depth, properly dressed and leveled, joint measurement of trench will be taken by the contractor and Field Officer and then will be offered to the A/T Officer.

(a) In case of all works, the BSNL A/T schedule will be followed by the A/T Officer. The A/T Officer will take the measurement in presence of the contractor and hand over a copy of A/T sheet to

him at the site itself. The A/T officer will certify on the A/T sheet that the measurements recorded are as per the actual measurements taken.

(b) After acceptance of trench, measurements shall be recorded in measurement book with dated signature. Any overwriting in MB is forbidden. For correction, if any, original entry shall be rounded off in RED and attested by the Field Officer with dated signature.

(c) Besides A/T by officers of STSR, BSNL, the A/T shall also be carried out by T&D Circle if necessary, by taking trial pits, for which laborers will be arranged and provided by the contractor.

(d) The contractor will have to replace/modify, at his cost, any work which is rejected by A/T Officer or not carried out as per the BSNL standards. Decision of the DE (TM) shall be final in this regard.

(10) MEASUREMENT OF DEPTH:-

Measurement of depth will be taken and noted for each 10M span of length from the starting point of the trench. The minimum depth in the span of 10M long trench will be applied for that whole span of 10 M. The A/T Sheet and MB book should show the strata-wise depth of trenches as follows:

1-10 M - Depth (in cms) Strata

11-20 M - Depth (in cms) Strata

21-30 M - Depth (in cms) Strata

31-40 M - Depth (in cms) Strata and so on..

The depth measurement will be rounded off to the nearest multiple of 5 cms.

RATE OF PAYMENT FOR EXCAVATION:- In case depth excavated is more than the depth prescribed, nothing extra shall be paid. For depths less than the standard depth i.e. 165 cms, proportionate rates for the actual depth is applicable.

(11) BACK FILLING AND DRESSING OF THE TRENCH:

a) After the pipe is properly laid and jointed in trench at specified depth and nylon rope has been pulled through and accepted by BSNL Officer, the back filling should follow closely. While back filling it should be confirmed that firm support is given to PLB pipe or RCC pipe or DWC pipe below and above to avoid deformation or bending. Back filling should be evenly centered above to prevent putting overload to pipe. No debris is allowed in back filling material.

b) When backfill material contains hard clods, rock fragments as any other hard material which may cause injury to PLB pipe and where rock has to be excavated from trench in whole or part with such excavated rock or material, the trench should be initially filled with sieved loose earth on dimensions less than 10mm above top of pipe(to be screened through suitable mesh if required) for 75mm and earth free stone pebbles for 300mm after proper ramming and thereafter only backfilling shall be completed and finished with excavated material. THIS SHALL BE MAINTAINED TO WASH OUT SETTLEMENT BELOW ORIGINAL LEVEL OF GROUND.

c) When trench is dug through public and private streets, driveways and roads, the backfill shall be thoroughly rammed and tamped to prevent sinking. Such backfilling should be done immediately after pipe laying to prevent hindrance to public and traffic and to avoid accidents. d) If due to Contractor's negligence or delay the Local Road Authorities backfill the trench on their own, due to keeping trenches open for abnormal duration or insufficient compacting by Contractor etc. causing hazardous conditions to road users, the re-excavation will be at Contractor's risk and cost.

(12)LAYING OF DWC/PLB PIPES /RCC/GI PIPES:

a) DWC/PLB pipes / RCC / GI pipes shall be laid only in approved trench ensuring that HDPE/PLB pipe is not subjected to any damage or strain.

b)Water present in trench, at the time of laying pipe will be pumped out to prevent ingress of mud or water in pipe before lowering

c) At main road crosses on National highways, State highways, busy and congested roads in large cities, two or extra RCC/DWC pipes shall be laid as per instructions of site engineer. In cross country roads where depth of trench is less than 1.2M, PLB pipe should be laid in suitable mechanical protection of 60/75mm DWC pipes. No protection however need be provided, if cable depth is more than 1.2M. In built up area, PLB pipe shall be laid through 60/75mm dia DWC pipe, irrespective of depth of the trench.

The reasons for not trenching at the stipulated depth are required to be recorded by Divisional Engineer in charge of the work with full justification and approved by competent authority.

d) In Nallahs which are dry for nine months in a year, the PLB pipe shall be laid within RCC/DWC pipe at minimum depth of 165cms. The RCC/DWC pipe shall be extended beyond bed of nallah by 2M on either side. The detail instruction in this case will be issued by the Divisional Engineer, In charge of the work.

e) Following Constructional Practices are applicable in General:

(i) When GI pipes are used rubber bushes will be used on both ends of GI pipe to protect damage to HDPE/PLB pipes.

(ii) When RCC/DWC pipes are used, both ends must be sealed to prevent entry of rodents.

(iii) On road cross HDPE/PLB pipes shall be laid at depth 165cms encased in DWC pipes which shall extend 3M on either side of road.

(iv) On railway bridges and crossings the HDPE/PLB pipes shall be encased in 100 mm RCC/DWC pipes as prescribed by Railway Authorities.

(13) G.I. PIPES AND DWC PIPES ON BRIDGES & CULVERTS:

a) OF Cable should be protected and taken through 32mm PLB pipe embedded in 75 mm Medium Duty GI/DWC Pipe laid within carriage width of culvert near the parapet wall. Exact method on particular situation should be as per approval obtained from concerned authorities. Various possible methods are :

b) Culverts without earth cushion or less cushion: Here wheel guard rebuild enclosing 75mm GI/DWC

pipe with concrete. Pipe along embankment/ slopes up to normal route and depth shall be encased in MS Wire mesh with lean cement concrete of size 250mm wide and 250mm height.

c) If wheel guard is of RCC and where the breaking is not permitted a 200mm x 200mm concrete chamber should be constructed on wheel guard(Kerb) to enclose GI/DWC pipe.

d) When on bridges/culverts earth cushioning between 30cm to 60cm deep is available the GI/DWC pipe will be buried in earth cushioning and brick chamber 250mm x 250mm is constructed to enclose the pipe.

e) If neither of above methods is possible a GI/DWC pipe of 75mm dia should be clamped at a maximum of 2 M interval to outside face of parapet wall. After insertion of PLB pipe inside GI/DWC, one end of GI/DWC pipe should be sealed with cement.

f) Whenever footpath is available on bridge, the 75 mm GI/DWC pipe encasing 32mm PLB pipe through which OF Cable is to be pulled may be laid under footpath after removing the slab. The space around GI/DWC pipe should be restored back to their original position.

(14) JOINTING AND LAYING OF PLB PIPES:

a) Prior to aligning the pipe for jointing inside of each length of pipe and coupling should be thoroughly inspected and cleared off all dirt and any obstruction which may clog the pipe.

b) Any water present at the time of laying and jointing the pipes should be pumped out.

c) The pipe shall be jointed for a continuous stretch of 200m and 6mm nylon rope pulled through it and kept tied at end of rope by suitable weights. Both ends of pipe should then be sealed securely by end caps.

d) The next pipeline shall be laid leaving a gap of 2M. These gaps should be suitably closed after OF Cable is pulled through, with suitable PLB pipes encased in 100mm dia semi circular RCC pipes of Class NP-II at top and bottom with internal gap filled with fine sand and joints and ends cemented.

e) The gap of 2M may also be kept at every bend with angle more than 30 degrees.

f) Pipes shall be jointed as far as possible on safe ground and then lowered in trench carefully and further jointed in trench if required.

g) During handling/stacking/laying of pipe this should not be subjected to any strain.

(15) SPECIFICATIONS FOR CONCRETING :

a) The nominal dimension of concreting is of 200mm x 200mm section. However depending on the actual situation, this cross section may be varied to ensure uniformity with any existing

structure/base on which the PLB/GI/DWC pipe are placed, as demanded by the road authorities. The work should be carried out at the rates applicable for nominal cross section.

b) The concreting surface should be thoroughly cleaned and leveled before concreting. Necessary wire mesh of adequate size shall be provided as reinforcement for the concrete.

c) At both the ends of the Bridges/Culverts, where the GI/DWC pipes slope down and get buried,

the concreting should be carried out to ensure that no portion of the GI/DWC pipe is exposed and further down as required by the site in charge to protect the pipe from any possible damage externally caused.

d) Any damages caused to the existing structure such as foot-path or base of the Parapet or Kerb wall on which GI/DWC pipes are placed should be repaired and original condition restored to the satisfaction of Road Authorities.

e) Where white wash/colour wash exists on the ridges/Culverts, the same should also be carried out

on the concreted portion to ensure uniformity.

f) Cement concrete mixture used should be of 1:2:4 composition i.e. 1 Cement, 2 Coarse Sand, 4 Graded Coarse stone aggregate of 20mm nominal size.

g) Smooth finishing of exposed surface should be done with a mixture of 1:3 i.e. 1 Cement,

Fine Sand.

h) Portions where cement concreting have been done shall be cured with sufficient amount of water for reasonable time to harden the surface.

i) Since, concreting works is site dependent, it may not be possible to carry out as per the above specification. Under such circumstances the concreting work will be done as per the instructions by field officer/Divisional Engineer, Trans maintenance, in charge of that work.

(16) JOINT CHAMBER:

16.1 The joint chamber is provided at every joint normally at a distance of 2 Kms to keep the O.F.C joint well protected and also to keep extra length of cable which may be required in the event of faults at a later date. 16.2 Pre cast RCC chamber

For existing pre cast RCC chamber, first a pit of size 2m x 2m x 1.8m depth is required to be dug. Pre cast RCC chamber consists of three parts [i] round base plate in two half of 140cm dia and 5cm thickness [ii] full round RCC joint chamber with dia of 120 cm and height of 100cm and thickness of 5cm [iii] round top cover will be in two halves with dia of 140cm and thickness of 5cm having one handle for each half in centre and work 'BSNL OFC' engraved on it. After, fixing pre cast RCC joint chamber, the joint chamber is filled with clean sand before closing. Lastly, back filling of joint chamber pit with excavated soil is carried out.

(17) ROUTE/JOINT INDICATOR : The route/joint indicators are co-located with each manhole/joint chamber. In addition route indicators are also to be placed where route changes direction like road crossings etc. The route indicators are painted yellow and the same are placed at 2ft. away from the center of the trench towards jungle side. The joint indicators are placed at OFC joints and placed 1ft. away from wall of the joint chamber facing jungle side and are painted red. The engraved word 'BSNL OFC' should be painted in white, on route as well as joint indicators. Numbering of route indicators/joint indicators should also be done in white paint. The numbering scheme for route indicators will be joint No/Route indicator No. for the joint. For example, 2/6 marking on a route indicator means 6th route indicator after 2nd joint. Additional joints on account of faults at a later date should be given number of preceding joint with suffix A, B, C, D. For example, sign writing 2A on a joint indicator means, additional joint between joint No.2 and 3. The numbering of existing route/joint indicator should not be disturbed on account of additional joints. Enamel paints of reputed brands should be used for paintings and sign writing of route as well as joint indicators.

(18) FIXING OF ROUTE INDICATOR:

Pit shall be dug 1M towards jungle side at every manhole and jointing chamber for fixing of route/joint indicator. In addition, route indicators are also required to be placed where O.F cable changes directions like road crossings etc.

The pits for fixing the indicator shall be dug for a size of 60 cms. x 60 cms. and 75 cms. [Depth]. The indicator shall be secured in upright position by ramming with stone and murrum up to a depth of 60 cms. and concreting in the ratio of 1:2:4[1: cement, 2: coarse sand, 4: stone aggregate 20mm nominal size] for the remaining portion of 15 cms. Necessary curing shall be carried out for the concreted structure with sufficient amount of water for reasonable time to harden the structure.

The route and joint indicator shall be painted with primer before painting with oil paint. The material used should bear ISI mark. The size of each written letter should be at least 3.5 cms. The colours for painting and sign writing of joint/route indicators should be as per the instructions by concerned filed Officer.

(19) WORK SPECIFICATIONS FOR SHIFTING OF O F CABLE PIPE LINE ALONG WITH CABLE:-

1. Excavating old trench up to a maximum depth of 1.65 Mtrs. in which O F cable has been laid on the

road embankment making the cable pipe line free, if required by breaking the protective concrete structure provided for O F cable pipe line and making the O F cable pipe line totally free for shifting. Excavating new trench up to 1.65 Mtrs. Depth through the stream bed and other places for relaying of O F cable pipe lines along with cable, made free as mentioned in (1). The charges for the trenching work will be as per the formula in Work Specification for concreting and trenching and rates will be applicable as per Tender Schedule.

2. Shifting of the O F cable pipeline along with the cable without causing any damage to the cable to

new trench. 3. Jungle cutting or clearing any other obstructions that may be required while shifting the OF cable

pipeline along with cable from old trench to the new trench.

4. Concreting of O F pipe line with 1:2:4 concrete 25Cms thick and 25Cms wide, wherever required as per rate shown at work Specification I for protection work Refilling both old and new trenches properly and Replanting Route Indicators.

5. Taking all safety measures while excavating the above work including traffic control. 6. Transportation of men and material has to be carried out by the contractor himself.

7. While shifting the existing OF cable with pipe line etc any unforeseen practical difficulties if encountered which involves additional work and labours prior approval should be taken from DE concerned and after his explicit approval for additional expenditures, then only work should be taken up and completed.

(20) WORK SPECIFICATION FOR OVERHEAD ALIGNMENT

4.1. Erection of Post, fixing one bracket to each pole tying GI Wire with sufficient tension pole to pole, Hanging of O F Cable in GI wire so that at no point cable is under tension.

4.2. Overhead alignment may require on ground using poles and GI wire or Building to building with power line crossing using insulated steel wire. Necessary materials will be supplied by the department.

SECTION---VI

Special Conditions for Executing OF Cable Route Maintenance Works.

1.0 NOTIFICATION:-

The contractor shall give in writing to the proper person or authority with a copy to the Divisional Engineer such a notification as may be mandatory or necessary in connection with Commencement, suspension, resumption, performance and or completion of contractual work. 2.0 No diagrams, details and/or any other relevant document any way related with the existing and/or

over head pipelines, telecom cables, electric cables and/or other structures will be provided by BSNL to the contractor( Except L1 Diagrams of STR, which show approximate location of STR Cables ). The contractor shall be solely responsible for locating through approved non-destructive means and ensuring the safety of all existing underground pipelines, electrical cables and/or other structures.

3.0 During the work no damage should be caused to other underground utilities as electrical cables, telephone cables, water pipes etc. In case of any damage the contractor shall be solely responsible to pay the compensation to the concerned parties.

4.0 In every case in which by virtue of the provisions of the Workmen’s Compensation Act, 1923

“BSNL” is obliged to pay compensation to a workman, employed directly or indirectly by the Contractor

for executing the work, “BSNL” will recover the amount of the compensation so paid from the

Contractor, and without prejudice to the rights of the BSNL under the Act, “BSNL” shall be at liberty to

recover such amount or any part thereof by deducting it from the Security Deposit or from any sum due

by “BSNL” to the Contractor whether under this contract or otherwise. “BSNL” shall not, normally,

implead itself in such cases made against it under the said Act. However, to up-hold the interest of the

“BSNL”, if it is required to do so, the Contractor shall provide to the “BSNL” full security for all costs for

which “BSNL” might become liable in consequence of contesting such claim.

5.0 The Contractor shall be responsible for the safe custody of all materials supplied to him by the BSNL. The contractor shall satisfy himself regularly the quality and quantity of the material supplied to him and he will be responsible for any subsequent deterioration and discrepancy (inclusive of theft) in the quality/quantity of the material.

6.0 TAXES AND DUTIES :- The Contractor shall pay all rates, levies, fees, royalties, taxes and duties payable or arising out of or in connection with and or incidental to the contract or any of the obligations of the parties in terms of the contract documents and or in respect of the works or operations. The Tenderer should include the service tax/GST if any in the rate quoted. Service tax/GST should not be deducted from the Employees minimum wages. Income Tax as per prevailing rules of the amount for which the bills have been passed will be deducted as tax at source, under relevant Govt. rules. However, if any new legislation comes into effect for deduction of tax at source at any other rate, deduction will be made at that rate. Necessary Income

tax deduction certificate will be issued by the Accounts Officer detailing the amount so deducted as Tax at source at the time of payment of each bill.

7.0 GUARANTEES

In addition to any and all other guarantees and warranty mentioned in the contract document, the registered Contractor should guarantee that the entire work will be done in a satisfactory manner and free from any defects in the workmanship and finish and in conformity in all respects with specifications and directions. The registered Contractor also undertakes to repair or replace as the case may be at his own cost and risk any part of work which may be damaged or that may develop any defects due to bad workmanship or otherwise due to fault of the registered Contractor within a period of one month after the written final acceptance of the works by The Bharath Sanchar Nigam Limited (BSNL). .

8.0 METHOD AND MANNER OF PERFORMANCE

The registered Contractor shall be independent one and shall be in complete charge of the men / material engaged in performance of the works to be performed hereunder and shall perform the works in accordance with his own methods and at his own risk, subject to compliance with the tender documents. The registered Contractor shall throughout the stipulated period of the agreement execute the works in the best and most substantial workman like manner and strictly in accordance with the contract documents or such other additional particulars, instructions and drawings as may be found requisite to be given during carrying out the works, enforce good order amongst his employees, shall not employ on the works any unfit person or any person not capable or not properly qualified to perform the works assigned to him. The registered Contractor shall also not employ in respect of the works or discontinue to employ in respect of the works, any employee that the Divisional Engineer / SITE Engineer may for any reason object to.

9.0 INSURANCE:

Without limiting any of his other obligations or liabilities, the registered Contractor shall, at his

own expense take and keep comprehensive insurance including third party risk for the plant, machinery

materials etc., brought to the site and for all the works during the execution. The registered Contractor

shall arrange for workmen’s Compensation Insurance as required by Law and undertake to indemnify

and keep indemnified The Bharath Sanchar Nigam Limited (BSNL) from against all manner of claims and

demands and losses and damages and cost (including between Attorney and Client) and charges and

expenses that may be in regard to the same or that the Bharath Sanchar Nigam Limited (BSNL). may

suffer or incur with respect to and / or incidental to the same. The registered Contractor shall have to

furnish originals/attested copies as required by the Divisional Engineer of the policies of the Insurance

taken within 15 days of being called upon to do so together with all premium receipts and other papers

related thereto which the Divisional Engineer may require.

10.0 SUB-LETTING:

The Registered Contractor shall not assign, sub-let, or subject the whole or any part of the Works covered by the Service Agreement or any benefit thereof without the prior written approval of the Divisional Engineer. Copies of all agreements entered into with any permitted sub-let including rates for

items of work sublet shall be furnished to obtain in writing, prior approval of the Divisional Engineer on this behalf before the sub-agent or the agent or the assignees as the case may be, allowed to do any work under the service agreement.

The Divisional Engineer reserves the right to refuse or permit any person or organization sub-agent to participate in the works covered by the Service Agreement. The assignment of sub-letting of any such work, if permitted by the Divisional Engineer, shall not relieve the Registered Contractor of any of his liabilities and responsibilities hereunder, the intention being that not-with-standing any assignment or sub-letting the Registered Contractor shall be and remain and primarily and principally liable to Bharath Sanchar Nigam Limited (BSNL) in terms hereof and for the due fulfilment of the agreed works, any assignee or sub-agent being regarded merely as the Main Registered Contractor.

Such assignee and sub-agent shall be covered by the service agreement document and shall perform the works which he takes up in accordance with the approval of the competent authority. Bharath Sanchar Nigam Limited (BSNL) will have the same privileges and rights with respect to the inspection of the work of the assignees or the sub-Contractor as are provided for under the service agreement documents governing the works of the Registered Contractor. An assignee or sub-Contractor shall provide insurance of the same type and limit as required from the Registered Contractor.

The Registered Contractor shall indemnify and save harmless the Bharath Sanchar Nigam Limited (BSNL) from/and against all actions, suits, proceedings, losses, costs, damages, charges, claims and demands whatsoever, either in law or in equity and all costs (inclusive between Attorney and client) and charges and expenses that the Bharath Sanchar Nigam Limited (BSNL) may sustain, suffer or incur arising from/or out of the incidental [in connection with any act(s) or commissions] to the Registered Contractor, his agents, employees, assignees or sub-agent. The provision shall also apply to the sub-agent or assignee, as the case may be.

11.0 REPRESENTATIVE OF THE DEPARTMENT:

Bharat Sanchar Nigam Limited (BSNL) shall be represented by the Divisional Engineer who will be

in-charge of the works. Bharat Sanchar Nigam Limited (BSNL) representative in work-site shall be the

Engineer-in-charge or such other representative as the Divisional Engineer may from time to time

designate in writing. The Engineer-in-charge and/or his assistant or nominee shall inspect the work and

materials of the Contractor. Notice given in writing by the awardee/awardee’s representative to the

engineer-in-charge or the Divisional Engineer shall be deemed to be notice given to Bharat Sanchar

Nigam Limited (BSNL). Notice given in writing by the Engineer-in-charge or the Divisional Engineer shall

be deemed to be the notice given by Bharat Sanchar Nigam Limited ( BSNL ) to the awardee/his

Contractor. The Engineer-in-charge and such other representatives as the Divisional Engineer may

designate in writing shall be deemed to be authorized to represent Bharat Sanchar Nigam Limited (BSNL)

in respect of the work or any designated section of the work and any decision, agreement or instructions

in writing by Bharat Sanchar Nigam Limited ( BSNL ) representatives, as aforesaid, which is within his

powers, shall be binding on the Contractor.

12.0. REPRESENTATIVE OF THE EXECUTING CONTRACTOR/ AWARDEE:

The Awardee/Executing Contractor shall furnish to Bharat Sanchar Nigam Limited (BSNL ) the scheme

of his intended organization for the contracted work, naming his Superintendent. The Contractor shall

have on such site a superintendent being authorized to represent the Contractor on his designated

section work, to whom Bharat Sanchar Nigam Limited (BSNL) representative can make known decisions,

authorizations and interpretations. The awardee shall, within 10 days after the execution of the

agreement, notify Bharat Sanchar Nigam Limited (BSNL) the name(s) and address (es) of the

Superintendent along with the specimen signatures in terms of the site allocations. Any change in the

name and address of any superintendent notified as aforesaid shall be promptly intimated in writing to

Bharat Sanchar Nigam Limited (BSNL). The notices given in writing to the Superintendents shall be

deemed to be notices given to the awardee / Contractor. The Contractor shall also have a Manager, fully

authorized to represent him on matters involving more than one section of work notification in respect of

whom shall likewise be given to Bharat Sanchar Nigam Limited (BSNL) and who shall likewise be the

Contractor’s representative in terms aforesaid.

13.0 INTERPRETATION OF THE SERVICE AGREEMENT DOCUMENTS:

The Divisional Engineer and the agencies shall, as far as possible, in mutual consultation, try and decide upon the meaning and intent of the service agreement before submitting the tender document. In case of disagreement, the dispute will be referred to the sole arbitrator as provided in the service agreement. It shall be the Contractor’s responsibility to thoroughly familiarize all of his supervisory personnel with the contents of all the service agreement documents.

14.0 CHANGES AND EXTRA WORK:

a)“Change” as used herein means a substitution for, or omission of any work or other requirements within the General scope of the work, the performance of/or compliance with, which is contemplated by the Agreement documents.

b)“Extra Work” as used herein means any work or compliance with any requirements, other than a change which is not, expressly or impliedly contemplated by the agreement documents, and which is necessary to be performed for the proper completion of the awarded work. For the purpose of clarifications, it is declared that any work or operation which shall be necessarily incidental to the proper performance of any item of work or part thereof shall be deemed to have been by implication provided for in the relevant item of work or part thereof and shall now constitute extra work. The Awardee Contractor shall not undertake or make any change or do any work under this Service agreement unless he has received written instructions from Engineer-in-charge to do so.

15.0. RESPONSIBILITY:

The Awardee Contractor shall be responsible for all material furnished or supplied by the BSNL while in his custody whether or not installed in the work and return the same on expiry of the contract

period.

16. 0 INSPECTION AND TESTING:

The Divisional Engineer or his representative or any of his superior officers shall have free access to the site, at all times, for inspection. The Awardee Contractor shall render all possible assistance to the representative of the BSNL and provide facilities for the purpose.

17.0 EASEMENT, PERMITS, LICENCES AND OTHER FACILITIES:

a) The approved bidder shall obtain way leave permission (right of way) from the concerned road

authorities, including permission for working from police/ District authorities. This will include the

works of preparing the requisition for permission along with the necessary drawings as required by

the highway authorities, get the same duly signed by the Divisional Engineer in charge of the work,

and submit the same to the road authorities. They shall peruse the case on a continuous basis and

get the permission in the shortest time. The rate quoted for trenching shall also include the charges

for undertaking the work to get permission. No separate rates will be applicable for getting

permission.

b) The contractors should take up the work immediately, not later than seven days where ever no permission is required.

c ) The contractor shall get the permission within 30 days of Letter of Intent (LOI). This intimation may also be conveyed telephonically in order to reduce delay. The contractor shall forthwith start the process of survey, preparation and submission of application on behalf of BSNL along with relevant drawings to the concerned authority, co-ordination for getting permission.

d) In case the contractor fails to obtain the permission within the specified time of 30 days, from the date of intimation of the acceptance of Tender (LOI), a penalty of Rs. 20,000/- will be imposed and deducted from the amounts due to the contractor, as time is the essence of the contract. e)In cases the permission cannot be obtained within 30 days, due to reasons beyond the contractor’s ability, the time frame can be further relaxed by 15 days by Competent authority, if the reasons are found to be genuine, without imposing of penalty. f) The permission should be obtained in the most cost effective method for BSNL. The contractors should peruse to get the least restoration charges, and get the lowest BT cutting charges. g) The restoration charges shall be payable to the highways authorities directly by BSNL on obtaining the estimate along with written permission; provided

a) the rates are as per standard rates of the respective agency; b) the stretch of BT/ Berm are not more than the actuals. c) width payable shall be for ≤ 60 cm only. Where the widths being charged by the respective agency

is higher the approval of competent authority shall be taken. h) The Contractor shall be fully responsible for handling and obtaining all necessary easements, permits and licenses, for moving all construction equipment, tools supplied materials and men across Railways and Highways, across public or private road as well as premises of any public utility within the right of user and for bearing all costs that may be incurred in respect of the same.

i ) The contractor is to confine his operation to the provided construction “Right of User” unless it has made other arrangement with the particular property owners and/or tenants such other arrangements shall be entirely at the responsibility of the contractor as to cost and arrangement as also breach and claim and shall be entitled with a copy to the Divisional Engineer.

j) The contractor will not be entitled to extra compensation for hardship and increase in cost by the cable

trench being routed adjacent to or across other pipeline, Highways, Railways, telephones or poser poles

and wires or guy wires, embankments, cliffs, streams or other obstacles which may physically or otherwise

in any manner, restrict or limit the use of the construction “Right of User”. Some construction and such

contingency shall be deemed to have been providing for in the rates.

K ) At location where the OF Cable trench is routed across or along railways or roads the contractor shall without extra cost provide and maintain such detours and road controls as are required by the railways or BSNL or local agencies having jurisdiction.

18.0 PROTECTION OF LIFE AND PROPERTY AND EXISTING FACILITIES:

The Contractor is fully responsible for taking all possible safety precautions during preparation for and actual performance of works. The Contractor should protect all life and property from damage or loss resulting from his operations and shall minimize the disturbance and inconvenience to the public.

The Contractor shall be solely responsible for locating through approved non destructive means and ensuring the safety or all existing underground pipelines, electrical cables and or other structures in the field of operations.

The Contractor shall be solely liable for all expenses for and in respect of repairs and / or damages occasioned by injury of /or damage to such underground and above structures or other properties and undertake to indemnify and keep indemnified Bharat Sanchar Nigam Limited ( BSNL ) from and against all actions , cause of actions, damages claims and demands what-so-ever, either in Law or in equity and all losses and damages and costs (inclusive between attorney and client) charges and expenses in connection there with and /or incidental thereto. The Contractor shall take all responsibility and risks in crossing other pipe lines and cables and shall be responsible for protecting all such existing pipelines, poles, electric lines, sewers, cables or other facilities from damage by the Contractor’s operations in connection with the work. Any damage incurred shall be promptly repaired by the Contractor without cost to Bharat Sanchar Nigam Limited (BSNL).

19.0 .INDEMNITIES:

19.1 The Contractor shall at all times hold the BSNL harmless and indemnify from against all actions suits, proceedings, works, cost, damages, charges, claims and demands of every nature and description brought or procured against Bharat Sanchar Nigam Limited ( BSNL ), its officers and employees forthwith upon demand and without protest or demur to pass to Bharat Sanchar Nigam Limited ( BSNL ) any and all losses and damages and costs (inclusive between Attorney and Client) and all cost incurred in endorsing this or any other indemnity or security which Bharat Sanchar Nigam Limited ( BSNL ) may now or at any time have relative to the work or the Contractor’s obligations or in protecting or endorsing its right in any suit or other legal proceedings, charges and expenses and liabilities resulting from or incidental or in connection with the injury or disablement to or death of any person(s), including employees of the Contractor or damage to properties resulting from or arising out of or incidental to the operations caused by the agreed works.

19.2 In addition the Contractor shall reimburse to Bharat Sanchar Nigam Limited (BSNL) or pay to Bharat Sanchar Nigam Limited (BSNL) forthwith, on demand, without protest or demur all costs, charges and expenses and losses and demands and actions which may be brought against Bharat Sanchar Nigam

Limited ( BSNL ) arising out of or incidental to or in connection with the operation covered by the Service agreement.

19.3 The Contractor, shall, at his own cost, at Bharat Sanchar Nigam Limited (BSNL) request, defend any suit or other proceedings asserting claim covered by this indemnity but shall not settle, compound or compromise such suit or other findings without consulting Bharat Sanchar Nigam Limited ( BSNL ).

20. 0 COMPLIANCE WITH LAWS AND REGULATIONS:

During the performance of the works the Contractor shall at his own cost and initiative fully comply with all applicable laws of the land and with any and all applicable By-laws, Rules, Regulations and orders and any other provisions having the force of law made or promulgated or deemed to be made or promulgated by any Government, Government-Contractor or Department Municipal Board Government or other regulatory or Authorized body of persons and shall provide all certificates of compliance therewith as may be required by such applicable Law, By-Laws, Rules, Regulations orders and/or provisions. The Contractor shall assume full responsibility for the payment of all contributions and pay roll taxes as to its employees, servants or agents engaged in the performance of the work specified in the service agreement. If the Contractor shall require any assignee or sub-agent to whom any portion of the work to be performed hereunder may be assigned, sub-leased or sub-let to comply with the provisions of the clause and in this connection the Contractor agrees as to undertake to save and hold Bharat Sanchar Nigam Limited ( BSNL ) harmless and indemnified from and against any/ all penalties, actions ,suits, and losses and damages, claims and demands and costs (inclusive between Attorney and client) charges and expenses whatsoever arising out or occasioned , indirectly or directly, by failure of the Contractor or any assignee or sub-Contractor to make full and proper compliance with the said by-laws, rules requisitions, laws and order and provisions and aforesaid.

Subject to the provisions of the Contract Labour(Abolition and Regulation Act , 1970 ) the Contractor shall not commence actual work unless he produces the receipt from the concerned licensing authority that he has applied for license from the prescribed licensing authority which may be produced within the period of 15 days of commencing of the work.

21.0. OPTIONAL TERMINATION BY BSNL( OTHER THAN DUE TO DEFAULT OF AWARDEE)

21.1. The BSNL may at any time, at its option, cancel and terminate this service agreement by written notice to the Contractor in which event, the Contractor shall be entitled to payment for the works done up to the time of such cancellation and a reasonable compensation in accordance with the agreed price for the additional expenses already incurred for balance of work, exclusive of purchases and / or hire of material, machinery and other equipment for use in / or in respect of the work.

21.2 In the event of termination of the service agreement, the Contractor shall forthwith clear the site of all the materials, machinery and equipments and hand over possession of the work /operation concerned to Bharat Sanchar Nigam Limited ( BSNL ) or as Bharat Sanchar Nigam Limited ( BSNL ) may direct.

21.3. The BSNL may at its options ,cancel or omit the execution of one or more items of work under this service agreement and any part of such item(s) without any compensation what-so-ever to the awardee Contractor.

22 .0 WORKMEN’S COMPENSATION

In every case in which by virtue of the provision or section 12, sub -section (I) of the Workmen’s Compensation Act, 1923if BSNL is obliged to pay compensation to a workman employed by the Registered Contractor in execution of the works, Bharat Sanchar Nigam Limited ( BSNL ) will recover from the registered Contractor the amount of the compensation so paid and without prejudice in the right of the BSNL under section 12 , sub-section (ii) of the said Act Bharat Sanchar Nigam Limited ( BSNL ) shall be at the liberty to recover such amount or any part thereof by deducting it from the Security Deposit or from any sum due by Bharat Sanchar Nigam Limited ( BSNL )to the Contractor whether under this contract or otherwise. BSNL shall not be bound to contest any claim made against it under section 12 sub- section (I) of the said Act except on the written request of the Contractor and upon his giving to Bharat Sanchar Nigam Limited ( BSNL ) full security for all costs for which Bharat Sanchar Nigam Limited ( BSNL )might become liable in consequence of contesting such claim.

23.0. LABOUR WELFARE

In every case in which by virtue of the provisions of the Contract Labour (Regulation and Abolition) Act 1970 and of the Contract labour (Regulation and Abolition) Central rules 1971 BSNL is obliged to pay any amount of the wages to a workman employed by the Contractor in execution of the works or to incur any expenditure in providing welfare and health amenities required to be provided under the above said act and rules, under clause 19 to 19 J and 20 of PWD-8, or under the CPWD Contractor’s Labour regulations or, under the rules framed by the Govt. from time to time for the protection of health and sanitary arrangements for the workers employed by the CPWD agencies BSNL will recover from the agencies the amount of wages so paid or the amount of expenditure so incurred and without prejudice to the rights of the BSNL under section 20, sub-section (ii) and section 21, sub-section (4) OF THE Contract Labour (Regulation and Abolition) Act 1970, BSNL shall be at liberty to recover such amount or any part thereof by deducting it from the security deposit or from any sum due by BSNL to the Contractor whether under this agreement or otherwise BSNL shall not bound to contest any claim made against it under section 2, sub-section (I) and section 21, sub-section (4) of the said Act. Except on the written request of the Contractor and upon his giving to the BSNL full security for all cost for which BSNL might become liable in contesting such claim.

The Contractor shall obtain a valid license for engagement of contract labour under the Contract Labour (R &A) Act 1970 and the Contract Labour (R &A) Central rules 1971 before the commencement of the work and continue to have a valid license until the completion of work. Any failure to fulfill this requirement shall attract the penal provisions of the service agreement arising out of the resultant non-execution of the work.

No labour below the age of eighteen years shall be employed on the work and an explicit certificate to that effect shall be provided.

24.0. FAIR WAGES:

a. The Contractor shall pay to the Labourer if employed by him either directly or through sub-Contractor, wages not less than the fair wages as defined in CPWD. Contractor’s labour regulations or as per the provisions of the Contract labour (R & A) Act 1970 and the Contract Labour (R & A) Central Rules, 1971, wherever applicable.

b. The Contractor shall not withstanding the provisions of any service agreement to the contrary, cause to be paid fair wage to labour indirectly engaged on the work, including any labour engaged by his sub-

Contractor in connection with the said work, as if the labour had been employed by him. c. In respect of all labour directly or indirectly employed in the works for performance of the Contractor’s

part of this agreement, the Contractor shall comply with or cause to be complied with the CPWD Contractors Laborer Regulations made by Govt. from time to time in regard to payment of wages, wage period, deduction from wages, recovery of wages not paid and deceptions unauthorizedly made, maintenance of wage books, or wage slips, publication of scale of wages and other terms of employment, inspection and submission of periodical returns and such full other matters of the like nature or as per the provisions of the Contract Labour (R & A) Central rules 1971 wherever applicable.

d. The Divisional Engineer or his sub-ordinate officers concerned shall have the right to deduct from the money due to the Contractor any sum required or estimated to be required for making good the loss suffered by a workers or workers by reasons of fulfillment of the conditions of the service agreement for the benefit if the workers, non payment of wages or deductions made from his or their wages which are justified by their terms of the service agreement or non-observance of the Regulations.

e. The Contractor shall comply with the provisions of Payment of Wages Act 1936, Minimum Wages Act 1948, Employees Liability Act 1938, Workmen’s Compensation Act 1923, Industrial Disputes Act 1947, Maternity Benefits Act 1961 and Contractor’s labour (Regulation & Abolition) Act 1970 or the modification thereof or any other laws relating thereto and the rules made there under from time to time.

f. The Contractor shall indemnify BSNL against payments to be made under and for the observance the laws aforesaid and the CPWD Contractor’s Labour Regulations without prejudice to his right to claim to indemnify from his sub-Contractor.

g. The Regulations aforesaid shall be deemed to be part of the service agreement and any breach thereof shall be deemed to be a breach of the service agreement.

25. 0 Payment of Minimum Rates of wages.

25.1. Where in respect of any scheduled employment a notification under section –5 is in force, the Employer shall pay every employee engaged in a scheduled employment under him wages at rate not less than minimum rates of wages fixed by such notification for that class of employees in that Employment without any deductions except as may be authorized with in such time. And subject to such conditions as may be prescribed.

25.2 The rates of wages payable to the work man by the contractors shall not be less than the rates Prescribed under Minimum Wages Act 1948 (11 of 1948) for such employment where applicable and where the rates have been fixed by agreement settlement or award, not less than the rates so fixed.

25.3 Wages shall be paid without any deduction of any kind except those specified by the Central Govt., by General or special order in this behalf permissible under the Payment of Wages Act 1936 ( 4 of 1936) . at the rates prescribed for the place of the service provided.

25.4 The rates of wages payable and classification of cities into areas should be fixed in accordance with the Govt. of India / Ministry of labour notified rates or the modifications thereof or any other laws relating there to and the rules made there under from time to time.

25.5 The contractor shall fix wage period in respect of which wages shall be payable 26.0 OTHER LABOUR WELFARE MEASURES

(1) The Awardee Contractor shall implement the labour welfare enunciated in clause 19C, 19D, 19E, 19H, 19L of the conditions in the PWD – 8.

(2) The Contractor shall also follow the safety method stated in the CPWD Safety Code.

(3) The Contractor shall comply with all the provisions of the Minimum Wages Act 1948. Contract Labour (R & A) Act and rules framed and other laborer laws affecting labour that may be brought into force from time to time.

(4) The awarded work shall not be assigned or sub-let without written approval of the Engineer-in-charge and if the Contractor shall assign or sub-let his awarded work, or so to do, or become insolvent or commence any proceedings or make any composition with his credits attempt so to do or if any bribe, gratuity, gift, perquisite, reward or advantage pecuniary or otherwise shall either directly or indirectly be given, promised or offered by the Contractor or any of his servants or agent to any public officer or person in the employ of Govt / BSNL. in any way directly or indirectly interested in the agreement, the Engineer-in-charge on behalf of BSNL, shall have power to adopt any of the courses as he may deem best suited in the interest of the BSNL.

(5) All sums payable by way of compensation under any of these conditions shall be considered as reasonable compensation to be applied to the use of BSNL without reference to the actual loss or damage sustained and whether or not any damages have been sustained.

(6). Employers share of EPF should not be deducted from the employees minimum wages

27.0. PARTNERSHIP FIRMS

27.1 Where the awardee Contractor is a partnership firm, the previous approval in writing of the Engineer-in-charge shall be obtained before any change is made in the constitution of the firm. Where the Contractor is an individual or a Hindu Undivided Family business concern , such approval as aforesaid shall likewise be obtained before the Contractor enters into any partnership agreement where under the partnership firm would have the right to carry out the work hereby undertaken by the Contractor.

27.2 All works to be executed under the agreement shall be executed under the direction and subject to the approval in all respects of the Engineer-in-charge who shall be entitled to direct at what point or points and in what manner they are to be commenced and from time to time carried on.

27.3 Whenever any claim, against the Contractor for the payment of sum or money arising out of or under the agreement BSNL shall be entitled to recover such sum by appropriation in part or in whole , the security deposit of the Contractor and to sell to the Govt. promissory notes etc., forming the whole or part of such security. In the event of security being insufficient or if no security has been taken from the Contractor, then the balance or the total sum recoverable as the case may be , shall be deducted from any sum then due or which at any time thereafter may become due to the Contractor under this or any other agreement with BSNL Should this sum be not sufficient to cover the full amount recoverable , the regd. Contractor shall pay to the BSNL on demand the balance remaining due.

We agree that the rates quoted as above are inclusive of all taxes, Except the Service Tax/GST. The rates are inclusive of Income Tax, Work Tax, Sales Tax, CST, VAT payable to the Central & State Govts. And also the local taxes like Octroi etc.

1. If our Bid is accepted, we shall submit the securities as per the conditions mentioned in the contract.

2. We agree to abide by this bid for a period of 180 days from the date of opening of tender quotation and it shall remain binding upon us and may be accepted at any time before the expiry of that period.
