This means that board members will be allowed to participate in board meetings during this time of pandemic remotely (via teleconference). On March 17, 2020 Governor Newsom issued Executive Order N-29-20, which among other things, specifically withdraws and supersedes Executive Order N-25-20. Under the new order, the requirement to make a physical location available for the public has been eliminated. A Charter School can comply with public attendance and comment requirements holding a meeting via "teleconferencing" and allowing members of the public to observe and comment either telephonically, or otherwise electronically. The Charter School is doing its part to help in the efforts to reduce the spread of COVID-19 by encouraging members of the public to watch/listen to the Board of Director meeting live online. If members of the public would like to contact the Board of Directors about this upcoming agenda, please send an email to [email protected]. These comments will be shared with the board members prior to the board meeting. If you wish for your written comment to be read aloud, please indicate this specifically in your communication. We hope that you will visit these meetings often and your participation assures us of continuing community interest in our School. Administrative Review Preparation, Professional Development & General School Nutrition Consulting Services

Scope of Work

Problem On March 13, 2020 state-wide school closures were announced, immediately altering the landscape of the school nutrition industry. Following the school closures, emergency meal service programs were implemented to address hunger and food insecurity while school is out, and in accordance with Governor Newsom’s mandate for schools to continue providing meals to families. The entire meal service program is uncharted territory, requiring child nutrition directors to build systems on the fly, and adapt to a new reality in the absence of clear state and federal guidelines. The nature of the COVID-19 outbreak means that staff health and safety are of great concern during the emergency meal service operations. This has also resulted in many staff being excluded from the workplace due to underlying health risks but being paid while they are at home. Staff who are able to attend work must avoid gathering in large groups and practice social distancing. All of these COVID-19 related issues present a unique opportunity to engage staff in an e-Learning program that will help assist them in their daily tasks (for those working in person) and continue to foster the professional development of staff who are working from home. Over the past several years, USDA has instituted a new set of regulations, nutritional meal patterns, and fiscal accountability standards for school nutrition programs. USDA now requires professional standards for school nutrition professionals at all levels. These training and hiring professional standards have one goal: to help ensure the success of school nutrition staff. Training must be job-specific and intended to help employees perform their duties well. As an increasing amount of oversight has been placed on school nutrition programs nationwide the USDA Administrative Review (AR) process was instituted. The complexity of the various rules, regulations, and training standards has significantly increased the administrative burden on Child Nutrition Departments and School Administrators. The COVID-19 outbreak and corresponding emergency meal services present numerous challenges to school nutrition departments. Regulations are changing daily as policy guidance, health and safety rules, and the nature of the epidemic evolve. All program staff, including those at work and those working from home stand to benefit from a coordinated effort to provide training and technical assistance to them during the school closures. Overall there is an increased need for assistance the school nutrition department which may be addressed through the scope of work herein. Solution LunchAssist was formed in 2016 with a simple mission: to provide inspiration, support and guidance to school nutrition professionals so they can focus on what matters most. LunchAssist was founded on the notion that School Nutrition Professionals need more support - in all areas of operation. And that support should be simple, easy, and inspiring. Today, LunchAssist helps School Nutrition Professionals around the country navigate complex regulations and empowers them to return their primary focus on the reason they started working in the field to begin with – to feed children well. During the COVID-19 outbreak, LunchAssist has shifted its focus to providing emergency training and technical assistance to programs responding to the disaster. Our organization has been on the pulse of updated state and federal nutrition policies, employee health and safety regulations, and strategies to mitigate risk and overcome obstacles faced by child nutrition programs. The LunchAssist Community in an e-Learning platform has been designed specifically for child nutrition professionals in response to the COVID-19 outbreak. The platform is easy to navigate, full of stimulating and inspiring content, and updated regularly to address the latest trends in child nutrition training needs. Our training

resources are created with our core values in mind, translated into Spanish, and meet all of the guidelines set form in the USDA Professional Standards. Trainings are being developed weekly to address current trends, issues, and to engage staff during this crisis. Though the platform is optimized for the online user, training may be obtained in many ways: in person, online, through paper worksheets, webinars, and more. This provides a much-needed solution to meet training needs online in lieu of group meetings during SY 20-21. Utilizing the professional expertise of a former Child Nutrition Director and Registered Dietitian, the school will be provided with the necessary technical assistance to ensure a successful Administrative Review. This includes orientation to the review process, assistance with the OAT, and preparation for the On-site Review. All documents and reports will be examined and revised as necessary to ensure that only complete, compliant and concise information is provided to the California Dept. of Education. We will assist the school in making modifications to menus, policies, procedures, and practices as needed, making these corrections prior to the initiation of the review. Organization tools and timelines will ensure the process is completed according to schedule. We will also provide staff training and guidance to ensure the sites are comfortable with everything that is expected of them during the review. This solution will alleviate much of the burden and disruption caused by the USDA Administrative Review, increase operational efficiencies, and provide peace of mind to staff. Risk of corrective action, including fiscal action, will be minimized. And a partnership will be formed between our team and your school staff in order to enhance your overall program and the meal service provided to your students. All documents and reports will be examined and revised as necessary to ensure that only complete, compliant and concise information is provided to the California Department of Education for the SY 2020 Administrative Review. When modifications to policies, procedures or practices are needed, we will assist in making these corrections and setting up a plan so that future practices are compliant. Organization tools and timelines will ensure all processes are completed according to appropriate schedules. If technical assistance is needed, we will support the school in setting in place the appropriate interventions to reach compliance. The aim is to correct items before the CDE review in order to present only compliant documents to the auditor. When corrective action is unavoidable, we will seek to institute changes before the auditor’s directives and show evidence of improvement as early as possible. A partnership will be formed between our team and your staff in order to enhance your overall program, support the evolving types of meal services provided to your community, and strengthen you team. Our goal is to form a lasting partnership that greatly benefits the students, staff, and administration and helps you focus on what matters most. Scope of Work to be Provided

1. Serve as School’s Administrative Review (AR) liaison and expert.

• Provide an orientation to the AR procedures and an overview of what to expect.

• Provide organizational tools and timelines for meeting AR deadlines.

• Provide technical assistance with questions and problems.

• Ensure documents are proofread and corrected before submitting to the state.

• Ensure on-site documents are well organized for the On-site Review.

• Ensure staff is prepared for what to expect throughout each stage of the AR.

• Minimize the risk of corrective and fiscal actions to the lowest level possible.

• Provide assistance in completing any Corrective Actions through the end of the audit.

2. Assist the Child Nutrition team in understanding, completing and submitting the Off-site Assessment Tool (OAT).

• Provide a detailed orientation to and assistance completing the OAT.

• Guide the collection and completion of necessary reports, policies and worksheets. • Review all documents and provide guidance for revisions as needed.

• Guide the creation of policies when needed (for those areas that are new or missing).

• Specifically assist with the review and completion of reporting for the following areas: o Meal Access and Reimbursement

3. Assist the Child Nutrition Services team in understanding, preparing for and organization for the On-site

Review.

• Provide a detailed orientation to the On-Site Assessment Tool

• Guide the school/district in the collection of necessary files, binders, procedures and other documentation required for the On-site Review.

• Provide electronic file organization to minimize review time on site.

• Review all documents and provide guidance for revisions as needed in order to comply with regulations and minimize risk.

• Guide the creation of policies when needed (for those areas that are new or missing).

4. Provide High Quality e-Learning: Provide a comprehensive e-Learning Platform that addresses the professional development and engagement of all program staff during the COVID-19 outbreak.

• Partner with program staff to develop content and trainings that are relevant and timely to your team.

• Grant access to the e-Learning platform that meets all USDA Professional Standards with individual logins and tracking tools for each school nutrition professional at BMMA.

• Provide lessons that meet the specific needs of the school, support health, safety, and compliance during COVID-19, and support all USDA and CDE annual training requirements. Trainings modules shall include:

i. At least four hours of back to school training modules in preparation for a remote start of the school year training.

ii. Monthly lessons for the school year training. iii. Additional lessons over the summer or during the school year as requested. iv. Lessons and webinars to assist staff in utilizing the e-Learning platform.

• Tracking and evaluation tools will be available for assessing staff compliance and maintain records.

• Organizational tools and timelines for project management

• Ongoing technical assistance with questions and problems.

5. Provide Dietitian Services in order to help with oversight of the meal vendor. • Evaluate menus for nutrient content and compliance with applicable regulations.

• Ensure all menus meet guidelines prior to the week of targeted menu review. Assist with the preparation of menu compliance documents for the auditor in order to mitigate the risk of corrective action.

6. Provide general school nutrition management consultation services, including COVID-19 specific

consulting for managing emergency meal services. • Assist the school in understanding and correcting various aspects of the National School Lunch

Program, School Breakfast Program and other special programs including those related to COVID-19. • General operations relating to program eligibility activities . • Review of various documents and reports that may be examined and revised as necessary to ensure

that only complete, compliant and concise information is provided to the California Department of Education.

• Assistance with organizational tools and timelines to ensure annual processes are completed according to schedule.

• Provide assistance with revising policies and procedures as needed such as Wellness Policies, Food Safety Plans, Collection Procedures, etc.

• Not to exceed $5,000 per fiscal year. If BMMA is not selected for an AR for SY 20-21, total will not exceed $4,000 per fiscal year.

• Total amount will be billed at one time during fall 2020 to align with procurement standards.

Top Notch Catering Contract

Bella Mente Charter School

This Catering Contract (“Contract”) is entered into on July 1st, 2020 by Top N Catering, LLC dba Top Notch

Catering with its principal place of business provided above (“TNC”), and Bella Mente Charter school, a

California nonprofit public benefit corporation operating the Bella Mente Montessori Academy with its

primary place of business at 1737 W. Vista Way, Vista Ca 92083 (BMMA) for school breakfast and lunch

services.

Recitals

WHEREAS, BMMA desires TNC to provide breakfast and lunch meal services to its students; and

WHEREAS, TNC desires to provide such services to BMMA and its students on a fixed fee per meal basis.

THEREFORE, both parties agree as follows:

Agreement

I. Top Notch Catering Responsibilities

A. Delivery Requirements. TNC is responsible for the timely delivery of all meals to BMMA at

the time specified by BMMA. Unless BMMA gives 24-hour notice to TNC stating

otherwise, TNC must deliver lunches and breakfast (for the following day) daily, Monday

through Friday excluding school holidays, to BMMA at the address above by 10:15 am.

TNC is responsible for providing Cambros or other forms of insulation to maintain the

proper temperature for lunch components, including milk, during transportation. BMMA

may use the Cambros or other insulations, such as the refrigerator (True Manufacturing

Co./Model TR2R-2S) and standing warmer (Henny Penny/ Model HC-900) that have been

provided to BMMA by TNC, to maintain temperatures after delivery without cost,

provided the items are returned to TNC. TNC will include disposable serving trays, utensils

and napkins in sufficient quantity for the number of lunches ordered. On minimum days,

TNC must have meals delivered by 9:30am. BMMA will provide TNC with a school

calendar.

B. Meal Price. The cost per meal is listed below is agreed upon by both parties:

a. Lunch: $3.21

b. Breakfast: $1.80

C. Menu Preparation and Approval . No later than the 15th day of each month, TNC will

provide BMMA for its approval of the monthly menu covering all meals to be served the

next month. BMMA may adjust the menu items by providing notice to TNC on or before

the 20th day of each month. TNC will then post the menu on Boonli’s website by the 20th of each month for review by BMMA students and their families. TNC agrees to

accommodate meal orders placed or cancelled by the students and their families through

Boonli’s website as late as 6:00 PM for the following day.

D. Field Trips . Upon five day notice from BMMA, TNC agrees to deliver sack lunches for the

numbers of students participating in a field trip at the time specified within such notice.

E. Food Preparation. TNC shall ensure that each meal provided to BMMA under this contract

meets the minimum nutritional content requirements for reimbursement under the

National School Lunch Program and School Breakfast Program (“NSLP/SBP”). TNC shall

operate in accordance with current NSLP/SBP regulations, and shall comply with all other

United States Department of Agriculture (“USDA”) regulations regarding food service

vendors, including those specified for commercial food service if applicable. TNC shall

cover the costs for any meals that are declined reimbursement under the NSLP/SBP

standards.

F. Recordkeeping . TNC agrees to provide lunch preparation documentation by using the

yield factors for each food item as listed in the USDA’s Food Buying Guide when

calculating and recording the quantity of food prepared for each meal. TNC will maintain

full and accurate records and production worksheets to documents:

a. The menus provided to BMMA during the term of this Contract.

b. A list of all meal components of each meal;

c. An itemization of the quantities and portion sizes of each component used to

prepare each meal;

d. Recipes, Nutritional Fact labels, and any other necessary Child Nutrition (“CN”)

labels or product specification sheets related to the menu serves;

e. Cost records, such as invoices, receipts or other documents that show the

purchase, procurement or availability to TNC of the meal components and

quantities itemized in the meal production records; and

f. An accurate count, on a daily basis, of the numbers of meals, by meal type,

prepared for BMMA, including the number of meals requested by BMMA in

writing.

g. All required documents will be provided to BMMA to ensure meal compliance by

the 15th of each month.

TNC shall retain these records and all other records relating to this contract in its

possession for five (5) years after the expiration to termination of this Contract. Upon

request, TNC shall make all accounts and records pertaining to this contract available to

BMMA, any account or auditor retained by BMMA, representatives of the Department of

Education, USDA, the US General Accounting Office, and the USDA Office of Inspector for

audits or administrative reviews at a reasonable time and place. TNC shall surrender all

record pertaining to its operation of the food service to the School Food Authorities upon

termination of the Contract.

G. Invoicing. TNC shall provide BMMA an invoice no later than the 5 th day of each month,

which itemizes the previous month’s meal delivery. TNC agrees to forfeit payment for

meals that are:

a. Not ready within an hour of the agreed delivery time;

b. Discovered, within 24 hours of delivery, to have been spoiled or unwholesome at

time of delivery; or

c. Do not otherwise meet the meal requirements contained in this Contract.

In cases of TNC’s nonperformance or noncompliance, TNC agrees to pay BMMA for any costs

BMMA incurs to obtain meals from another source, and any reasonable damages incurred by

TNC’s nonperformance.

H. Certifications. TNC shall possess and maintain current all applicable certifications and permits

required by law, and will provide BMMA copy of current health certifications for the food service

facility in which it prepares meals for BMMA and the NSLP/SBP. TNC shall comply with all

applicable state and federal health, sanitation, and food preparation requirements at all times.

TNC shall ensure that wholesome ingredients are used, that all food is properly stored,

prepared, packaged, and transported and that any substance the food contact or is used in

conjunction with the food is handles to ensure that it doesn’t not become contaminated.

I. Subcontracting. TNC cannot subcontract portions of the Contract.

J. Quality Control Inspections. TNC shall conduct random service inspections at the delivery site to

ensure meal service staff, delivery drivers, and the meal program adhere to guidelines and

Contract specifications. TNC agrees to provide BMMA staff and representatives access, with 24

hour notice, to all of its facilities and records for purpose of inspection and audit.

K. Refrigerator and Cambro. TNC will be responsible for fixing or replacing any existing equipment

that is of TNC property. TNC will be leaving all existing equipment from the following year of the

2019-2020 school year such as the refrigerator and standing warmer.

L. Pickup and Loss/Replacement of Equipment. TNC is responsible for any loss or damage to

equipment owned by BMMA while at TNC’s facilities. TNC agrees to pick up any food service

equipment left during delivery from the delivery site the following day. TNC is responsible to

maintain inventory of such meal service equipment, and may bill BMMA for any equipment that

is lost, damaged or not returned to TNC.

M. Buy American . The vendor must notify the SFA in writing at least 10 days prior to delivering a

nondomestic agricultural commodity or product and request prior approval for delivery of a nondomestic agricultural commodity or product. This written notification must list alternative domestic substitutes for the SFA to consider and provide an explanation for the following:

a. Why the domestic product is not produced or manufactured in sufficient and reasonably available

quantities of a satisfactory quality; and/or

b. Why competitive bids reveal the cost of the domestic product is significantly higher than the

nondomestic product

II. BMMA Responsibilities

A. Delivery Schedule. BMMA shall provide TNC its academic calendar showing all scheduled

minimum days, holidays, etc., and BMMA shall provide at least 24 hour notice of any

changes to its schedule or delivery requirements.

B. Meal Count-Orders and Estimates . BMMA shall notify TNC three (3) days in advance if

there is to be a special order out of the normal meal order pattern.

C. Menu Changes and Approval. If TNC has timey provided BMMA its proposed menu for the

following month by the 15 th day of the current month, then BMMA may adjust menu

items by telephone or other notice by the 20 th day of each month. For each day TNC

provides the proposed menu to BMMA after the 15th, BMMA’s deadline will be postponed

an additional day. BMMA will promptly report the discovery of any meals found to have

been spoiled or unwholesome at the time of delivery, or that do not otherwise meet the

meal requirements in this contract, within 24 hours of acceptance of the meals.

Documents to ensure compliance are due by the 15th of each month with the menus.

D. Price and Quality Control. BMMA retains control over all prices, including price

adjustments, for meals served to its students under this Contract, and BMMA controls the

quality, extent, and general nature of the food service operation.

E. Staffing. BMMA will ensure that a school representative is available at the specified time

on each delivery date to receive the requested number of meals. BMMA will provide

personnel to serve the meals, and to collect any food service equipment that TNC left at

the time of delivery for pickup by TNC the following day.

F. NSLP/SBP Compliance . BMMA will provide TNC any notices of changes in the food service

requirements of the NSLP/SBP received from the Department of Education. It is TNC’s

sole responsibility to review the food service requirements of the NSLP/SBP, and

implement any changes in those requirements.

G. Payments . BMMA agrees to pay TNC the amount presented on the monthly invoice

within 30 days of receipt, less any discrepancies or disputed charges for which BMMA

provides TNC notice within five (15) business days after receipt of the invoice. BMMA and

TNC agree to resolve any discrepancies or disputed charges in a timely manner.

H. Buy American . The SFA shall maintain documentation outlining the justification for

supporting their use of an exception to the Buy American Provision requirement prior to

accepting nondomestic agricultural commodities or products. This documentation will be

kept on file for the term of the contract plus any extensions and three additional school

years thereafter.

a.The SFA shall monitor the contract to ensure that the correct domestic food

components contracted for are delivered as required by 2 CFR , Section 200.318(b)

unless the vendor has received prior approval from the SFA for nondomestic

agricultural commodity or product.

b. The SFA shall monitor the contract to ensure that the correct domestic food

c.The SFA must ensure the vendor is in compliance with the Buy American Provision

language in solicitations and contracts as well as the process for requiring vendors

to certify the domestic percentage of the agricultural food component of

products.

III. Additional Terms

A. Amendments and Waivers. Any term in this Contract may be amended or waived only

with written consent by both parties.

B. Sole Contract . This Contract constitutes the sole agreement of the parties and supersedes

all oral negotiations and prior writings with respect to the subject matter hereof.

C. Notices. Unless otherwise stated above, any notice required or permitted by this Contract

must be in writing and will be deemed sufficient upon receipt when delivered personally

or by courier, overnight delivery service, or confirmed facsimile, 48 hours after being

deposited in the regular mail as certified or registered mail (airmail if sent internationally)

with postage prepaid, if such notice is addressed to the party to be notified at such

party’s address or facsimile number as sent forth below, or as subsequently modified by

written notice.

D. Severability. If one or more provisions of this Contract are held to be unenforceable under

applicable law, the parties agree to renegotiate such provision in good faith. In the event

that the parties cannot reach a mutually agreeable and enforceable replacement for such

provision, then (1) such provision will be excluded from this Contract, (2) the balance of

the Contract will be interpreted as if such provision were so excluded and (3) the balance

of the Contract will be enforceable in accordance with its terms.

E. Advice of Counsel . Each party acknowledges that, in executing this Contract, such party

has had the opportunity to seek advice of independent legal counsel, and has read and

understood all of the terms and provisions of this contract.

F. Authority to Enter Contract . The parties, and each of them, including each person signing

below on behalf of a party, represent and warrant that their respective signatures are

fully authorized to enter into the terms and conditions states herein, to execute this

Contract, and to bind legally the parties on whose behalf they are signing.

G. Construction of Contract. This contract is entered in the State of California, and the

parties agree this Contract is governed by, construed, and enforced under the laws of the

State of California, and will be interpreted as if all parties participated in this preparation.

H. Jurisdiction. The parties agree that jurisdiction over any litigation arising out of this

contract is in California and that venue will be in the County of San Diego. The parties

submit to such jurisdiction and venue in the event of litigation arising out of this Contract.

I. Obligations Continue Despite Breach. Being found liable for breaching this Contract

and/or paying damages or other amounts arising from such breach does not relieve the

breaching party from its obligations under this contract.

IV. Term of Contract

This contract is the first year of a single year contract under emergency procurement guidelines.

The term of this contract shall begin July 1, 2020 and end June 30, 2021 with no option for

renewal. This Contract may be terminated with or without causes by written notification given

by either party with at least 30 days prior to the date of termination. BMMA has the option to

cancel this Contract if the state or federal government withdraws funds to support the NSLP/SBP.

In the event of cancellation of the Contract, BMMA is responsible for meals that have already

been ordered, assembled, delivered/picked up in accordance with this contract.

BACKGROUND: The school has a conservative operating history and has built a reserve to ensure the school remains fully functional in the certain event of deferral of funds.. Current days of operating cash in the bank are equal to 220 days of operation.

The State Legislature and Governor are expected to come to an agreement to hold schools harmless for fluctuations in ADA in the 2020-2021 school year. The school is expected to be funded at 589.65 ADA, our P2 attendance count for the 2019-2020 school year. To reflect a worse case scenario, the school has assumed a decrease in enrollment in the 2020-2021 school year, equally 563 ADA (Based on a 96% attendance rate).

This budget reflects that with this worst case scenario, Bella Mente is operating conservatively and within budget.

No deficit is expected to be realized in the 2020-2021 school year. This is a cash positive for the school treasury account as depreciation is calculated at $421,473 for the 20-21 fiscal year.

Cost savings which have not been calculated into the budget due to their unknown include the following: reduced energy costs due to energy efficient lighting upgrades in the one story building and solar energy production as well as possible decrease in occupancy time; special education department has managed costs and should see a reduction in contractor staffing expenditures; decreased copier lease cost and internet provider renegotiation which is in progress

SUBJECT: Review and Approve removal of minimum wage escalator for Classified Salary Schedule in 2020-2021 and 2021-2022 schedules (prior approval in May 2019 to correspond with California minimum wage increases)

ISSUE: The school must make fiscal decisions which ensure solvency for years to cme.

BACKGROUND: Bella Mente is currently using an hourly salary schedule for classified staff which was adopted in 2019. The adopted classified hourly salary schedule removed the first five rows across all columns. While the Range numbers remained the same, the salary schedule table moved up to accommodate these five rows.

The increase was initially proposed to celebrate the work of the current classified staff. It also acted to attract new talent to the school. In addition, at a higher rate, the school proposed a more robust job description and more developed training for its entire Classified Staff. This increase was necessitated by cost of living and minimum wage laws (minimum wage is $12.00 January 1, 2019, $13.00 January 1, 2020, $14.00 on January 1, 2021 going up to $15.00 January 1, 2022).

The largest number of classified staff fall in the Instructional Assistant category. Under the current pay scale as adopted, the following ranges exist. The proposal is to keep the current schedule, 2019-2020, and abandon the 2 outyear increases which would have occurred in the 2020-2021 and 2021-2022 school years. Instead, the Board will approve beginning January 1st, 2021, an increase to the State minimum minimum wage, any hourly amounts which fall below this requirement.

Without the two outyear increases, the school remains competitive to local school districts and charter schools.

IA hourly rates of:

2019-2020: $14.35-$19.29.

2020-2021: $15.45-$20.78

2021-2022: $16.64-$22.37

While most school districts have opted to no longer have Instructional Assistants, Bella Mente would like to continue to develop the use of Instructional Assistants in classrooms. Most charter schools and Districts do not have Instructional Assistants for General Education as we do in our school.

SUBJECT: Review and Approve proposal to reduce new employee prior experience credit from 10 years to 5 years (certificated); 5 years to 1 year (classified)

ISSUE: Due to the economic uncertainty on the horizon, Bella Mente must look for ways to ensure fiscal responsibility in the coming years.

BACKGROUND: From our inception through the 2018-2019 school year, all staff were eligible to receive credit for up to 5 years of equivalent work experience. For the 2019-2020 school year, an increase was approved by the board of directors to increase this to 10 years of equivalent work experience.

This decrease in transferable equivalent work experience will allow us to keep the cost of any new hires under control during these tight times.

This approved adoption impacts new hires only. It does not impact current employees who are grandfathered in at their current levels.

FISCAL IMPACT/ FUNDING SOURCE: Potential to control costs for up to a possible additional 5 columns for more experienced new hires.
