The Report you are reading includes an entire section dedicated to the Sustainability of Manni Group, based on the data collected in 2017. We are convinced that the growth of our Group over its 70 years of history is supported by a vision that is not only based on profit, but also on sustainable development from an ethical, environmental and economic standpoint, created for all stakeholders of the Group.

It is no exaggeration to say that the difficult years from 2008 until present, resulting from general economic crisis and more specifically the crisis in our sector, have forged our way of existence with a new ability to react.

Therefore, today our Group is cohesive, strongly motivated to grow, convinced of its own resources and confident of the best contribution of its employees. Evolution in technical and commercial areas towards complex production and broader markets has shown us the right direction for the future, which we can pursue thanks to the significant investments being made in digital technology, marketing, internationalization and research. The path has been mapped out, our tools are adequate and our staff, already responsible for the results achieved, will guarantee those expected in the future.

The business areas we operate in give us the possibility to make an important contribution to sustainability challenges: steel, which Manni Group has always been synonymous with, is not only one of the most resistant materials, but it is also completely recyclable, resilient and ductile, just like an international business must be today in order to combine growth, innovation and responsibility. Moreover, renewable energy is a strategic area for all policies aimed at reducing greenhouse gas emissions.

By adopting our Sustainability Policy, we wanted to define a concrete goal: to reduce our energy consumption and cut C02 emissions by 15% from 2016 to 2021, thanks to a major energy efficiency plan. In addition, starting in 2017, we decided to use energy from renew-able sources, reducing overall emissions by more than 31%.

To succeed in this challenge, we have adopted the best practices based on solid scientific evidence, with the aim of fueling our leadership inspired by the principles of the circular economy, pursuing a strategy aimed at reducing the social and environmental impacts of both the Group and the system.

This Report illustrates a future vision already integrated in our governance and enhances the results obtained thus far by including them in a strategic framework of shared values that guide the work of the Board of Directors and management.

We now leave you to read these pages with a promise and an invitation: the preparation of the Sustainability Report will become a regular event in our relationship and, for this reason, we invite you to actively share with us any observations, reflections or questions you may have.

The impact of humans on the Earth is drastically impoverishing the resources essential for life, putting the very existence of future generations at risk. Each year we consume more resources than the Earth is able to regenerate. If this trend is not inverted, by 2050 we will need two planets to meet the annual demand for resources.

Manni Group promotes the constant updating of the cultural and operative tools necessary to integrate consideration for Natural Capital in all activities, in light of the commitment undertaken to integrate natural capital into private sector accounting.

In this context, it is now clear that environmental factors are becoming increasingly relevant for companies, which play a decisive role in the development of a more sustainable and fair economy. We need to reconfigure the current system, moving from a linear “take-make-dis-pose” logic to a circular “life cycle” approach that considers the entire supply chain of the product/service, combining innovation and sustainability. To stop the current trend and reverse the course of climate change, the need for transition to a green and circular economy has strongly emerged in recent years.

A new economic paradigm based on sustainability is not only possible but necessary. A revo-lution is underway in our way of producing, consuming, investing and living, which embraces three aspects: economic, social and environmental.

SUSTAINABILITY AS THE CORNERSTONE OF A NEW ECONOMY

The strategy for transition to a circular economy has the objective of preserving the value of products, materials and resources for as long as possible within the economic system. Achieving this objective requires the extension of the useful life of products and a design that facilitates the reuse and recycling of materials in order to minimize waste production and improve resource efficiency.

Aware of its leadership in markets that are able to offer concrete solutions capable of driv-ing change, Manni Group wishes to contribute to the fight against climate change and the depletion of natural resources.

As a matter of fact, all sources share the belief that both the steel sector and the renewable energy sector, as well as the construction industry in which many Manni Group products and services are used, can play a strategic role for growth based on an efficient, sustainable and circular use of resources.

Manni Group is a historical company operating in the steel industry, founded in Verona in 1945 by Luigi Manni for the trade of ferrous materials and recovered metals.

After Luigi, the following two generations of the Manni family transformed the Group and its subsid-iaries into a first-rate technical and strategic partner in terms of skill, quality, innovation and service capacity. In 1960, Giuseppe Manni marked a major transition for the business, from commercial to industrial, and linked the first companies to a holding company. Since 1991, Francesco has joined him to develop other business.

Today Manni Group drives the international market of steel processing and insulating panels, and is part of the renewable energy and energy efficiency market.

Leader in the European market of semi-finished steel products, for over 57 years Manni Sipre has made the advantages of the most advanced technologies available to customers at its Service Cen-ters, significantly increasing the competitiveness of its steel solutions.

Constant investment in resources and technologies enables the company to respond promptly, with a wide range of high-level products and services, to the needs of companies operating in the fields of mechanical construction, heavy carpentry, earth moving, oil & gas plants, shelving and automated warehouses, offshore plants, as well as light and heavy plant engineering. In the con-struction industry, Manni Sipre works alongside companies involved in the construction of works with metallic structures, in new and emerging sectors.

Thanks to 7 divisions organized across 4 Italian locations (Mozzecane - Verona, Crema - Cremona, Campoformido - Udine, Monteprandone - Ascoli Piceno and a 25% stake in Manni Store - Torino), Manni Sipre supplies both the retail market and large international orders, accompanying Italian companies wishing to operate abroad. The companies of Manni Group have progressively obtained the most important quality certifications, reflecting the standards offered to its employees, the market and the community.

The Company holds a 90% stake in the share capital of Manni Inox. It also carries out direct exports. Manni Sipre has obtained the following quality certifications:

Manni Inox offers quality products and processing, guaranteeing maximum flexibility and atten-tion to individual customer needs. Two divisions in Verona and a 25% stake in Manni Store with headquarters in Turin, twenty years of experience, highly qualified personnel, a continuous investment policy to improve the efficiency of production processes, a large quantity of ready-made goods and service efficiency make Manni Inox an important reference point for Italian and European stainless-steel users.

The company Manni Green Tech is the result of extensive research carried out over time on the basis of the best market studies, aimed at the construction of anti-seismic buildings using ultra-light steel profiles, ensuring the utmost environmental and economic sustainability.

Isopan is a world leader in the production of insulating panels for walls and roofs intended for con-struction in the commercial, industrial, civil, livestock and cold chain sectors of the main interna-tional markets. Its high performing products and customer focus have made Isopan a reliable part-ner for a number of Italian and foreign companies, offering them a competitive advantage and value.

Thanks to strong synergies with other companies of the Group, Isopan has always been committed to the innovation of construction products and services, with a particular focus on improving the performance of buildings in terms of safety, energy efficiency and environmental sustainability. Isopan products contribute to achieving the prerequisites and credits needed for LEED v4 (Leader-ship in Energy and Environmental Design) certification, the international standard that measures the energy efficiency and sustainability of buildings.

Isopan operates in Italy through 2 production plants located in Verona (Trevenzuolo) and Frosi-none (Patrica). It holds a 50% stake in the commercial company Manni Store based in Turin. It has consolidated its presence on international markets through the establishment of foreign subsidiaries, namely:

Manni Energy represents the Manni Group’s commitment to clean energy. It accompanies com-panies throughout the entire energy efficiency process, from analysis to design and performance monitoring.

In 2016, through its dedicated Operations & Maintenance function, Manni Energy worked with over 200 customers for the overall production of 80,000 kW from photovoltaic, 2,200 kW from biogas and 2,200 kW from mini wind power.

The strategic investment in Officinæ Verdi, Italian leader in energy efficiency and sustainability thanks to innovative solutions, integrates the development strategy of the Group by extending its skills from structural engineering to sustainable engineering and building efficiency.

ANNUAL REPORT 2017The past year has confirmed the Manni Group’s ability to consolidate its national activities and significantly increase business abroad.

It should be noted that volumes of the panel business unit exceeded those of the steel business units due to important foreign plants, the goodwill of which has almost been entirely amortized. Manni Green Tech also shows a promising outlook after the positive launch of production.

The renewable energy and services business unit made an important investment in photovoltaic systems, the economic results of which will be highlighted in future years.

During the performance of all business activities, we paid great and constant attention to sustain-ability in all its forms: economic, environmental and social.

In 2017, the Group’s aggregate turnover grew by more than 10% with a higher increase in foreign operations, which represented 38% of total turnover.

The positive EBITDA result does not reflect the previous year mainly due to the sudden rise in raw material costs, accompanied by limited supply, which did not allow for the immediate adjustment of sales prices and instead caused some interruptions to production cycles.

During the year, the new Digital Marketing & Communication project was launched, in view of major marketing developments, as well as the Manni Green Tech project, focused on research and experimentation in the area of green construction.

Group investments increased for the reasons mentioned above and guarantee the coverage of needs of the three business units in terms of improved production capacity, innovation and offer-ing premium services to customers.

The net financial position was stable and showed a positive trend with respect to the growth of the business.

Consolidated shareholders’ equity increased in line with the previous financial statements.

The number of directly hired employees is growing, especially for foreign activities and the new holding services: digital, research and green housing.
