Acclaimed as the most durable of
all resilient-seated butterfly valves
in the industry, this valve excels in
a wide variety of applications.
Cast in both wafer and tapped-lug
patterns in a wide variety of material
choices, DEMCO butterfly valves
feature a one-piece body for minimum
weight and maximum strength. The
unique stem hole design in the disc
ensures a dry stem journal and the
hard-backed seat allows ease of
installation, reliable operation, and is
field-replaceable without special tools.
DEMCO butterfly valves are available
in sizes 2 in. through 36 in.
(50 mm through 900 mm).

Bi-directional sealing

This valve provides bi-directional
sealing at full rated pressure with
identical flow from either direction.
Molded into the edge of the seat is
an integral flange seal which
accommodates ASME weld neck,
slip-on, threaded and socket flanges
as well as “stub end” type C flanges.
Body rating is ASME Class 150
(285 psi non-shock).
Wafer body diameters are designed
to self-center in ASME Class 150
flange patterns.

FEATURES AND BENEFITS
Multiple pressure ratings
Three drop tight pressure ratings are
offered for 2 in. to 12 in. (50 mm to
300 mm) sizes.
The standard shut off pressure rating
is 200 psi, but 285 and 50 psi shut off
ratings are also available and where
drop tight closure is not required and
minimal torque is desired, a throttling
rated valve is available.
Both the 50 psi and throttling ratings
allow for smaller actuators, which can
significantly reduce overall installation
cost in automated applications.
The 14 in. to 36 in. (350 mm to
900 mm) size valves are available in
150 and 50 psi drop tight shut off
ratings as well as throttling.

Dry stem journal eliminates
potential for leakage
Hard-backed cartridge seat
The DEMCO disc is uniquely designed
with a continuous annular raised land
around the stem hole and disc edge
which presses into the seat flat at every
angular position. The resilient seat
presses back with a higher specific
force than the line pressure, preventing
leakage to the stem. In addition, two
O-ring ribs are provided in the seat
stem bore creating a triple stem seal.
In competitive stem seal designs with
boot seats, a seal is accomplished by
an interference “squeezing” on the
stem or an O-ring in the stem journal.
The potential for leakage behind the
seat is high for this competitive design.
As the disc wipes the seat, elongation
of the stem seal area allows leakage
to collect behind the seat. This
condition is eliminated by DEMCO’s
dry stem journal and hard-backed seat.
The DEMCO cartridge seat is
constructed by permanently bonding
a resilient elastomer to a rigid backing
ring. In addition to superior sealing
integrity, this design; 1) makes valve
installation easier because no special
precautions are required for disc
position. This is especially
advantageous when installing valves
with fail closed actuators; 2) eliminates
high torque and premature failure
caused by elastomer distortion as
found in other non-rigid seat designs;
3) simplifies seat replacement because
it is slip fitted into the body, with no
need for special tools.

Positively oriented disc
End-of-line service
Proper orientation of the stem/disc
connection is assured by the
rectangular drive. In 2 in. through
24 in. (50 mm through 600 mm)
size valves, the disc is permitted to
float on the stem to perfectly
center in the valve seat. This design
enhances drop tight sealing and
prolongs service life.
Lug body valves may be used in
end-of-line service, with downstream
piping removed. (Only weld neck or
socket flanges can be used for this
service). Since upstream pressure is
excluded between the flange and
the seat face by the exclusive
DEMCO flange seal design, there is
no effective force to slide the seat
downstream.
DEMCO 2 in. through 12 in. (50 mm
through 300 mm) Lug Butterfly
Valves are suitable for liquid service
up to 200 psi with downstream
piping removed (150 psi 14 in.
through 36 in.
(350 mm through 900 mm)).
Lug body valves are recommended
for isolation of pumps, control
devices or other system components
which may need to be removed for
repair or replacement.
Lug valves are also suitable for
installation at points from which
piping expansion may proceed.
Such valves are normally blanked
with blind flanges, to protect the
exposed seats until new piping is
attached.

Series NE-I Sanitary
Other benefits:
Sizes 2 in. through 12 in. (50 mm through
300 mm), it is similar to our Series NE-I valve,
but is exclusively designed to meet the
rigorous requirements of sanitary service in
the food and beverage industry. The body is
available in bronze, stainless steel, aluminum
or electroless nickel-coated ductile iron.
FDA - approved materials are used for all
wetted parts. Handle parts are bronze and
stainless steel, permitting caustic washdown.
• DEMCO dry journal stem seal system gives
absolute assurance of sanitary butterfly
valve construction.
• Drilled passageways, a design originated by
DEMCO, vent the entire interior of the disc to
atmosphere. No closed chamber is provided
for the culture of undesirable organisms.
• Discs are produced from investment castings,
smooth and non-porous. Stem bosses are
minimized for increased flow.
• The projecting inner surface of the resilient
seat contacts and is compressed by the
mating flange to form a smooth and
uninterrupted flow way.
This positive seal between the innermost
contact of the seat and flange ensure aseptic
conditions after a piping flush.
Sanitary Features
Series NEI-T Teflon
Marine
Because of the inert, aseptic non-stick character
of Teflon, DEMCO’s NEI-T Teflon-lined butterfly
valve is ideal for “clean” lines in food and
beverage plants.
The Teflon seat consists of a virgin Teflon liner
overlaying and bonded to an elastomer cushion
(either Buna-N or EPT are available) which
provides resilience for sealing.
The Teflon liner extends over the seat faces,
completely covering and sealing the resilient
material from contact with line fluids.
DEMCO Marine butterfly valves are available
in the NE-C Lug, NE-I Lug and Wafer and NE-D
Wafer styles and conform to Title 46 of the
Code of Federal Regulations, Part 56 of the
U.S. Coast Guard’s Marine Engineering
Regulations as well as the American Bureau of
Shipping Standard including tagging per
MSS-SP-25 and testing per MSS-SP-67.

general purpose valve with neck
length designed to provide full
clearance of the valve top over
two inches of insulation on
ASME Class 150 pipe flanges;
available in both wafer and lug
styles.
Sizes 2 in. through 12 in. (50 mm
through 300 mm), it is suited for a
wide range of applications in many
industries, including food and
beverage utilities and process flow
lines. This short neck design is
offered in a wide variety of body
materials. The valves are designed
for installation between
ASME Class 125/150 flanges.
Sizes 2 in. through 12 in.
(50 mm through 300 mm), it is
a short neck valve with body
notches to fit popular lightweight
flange patterns, making it ideal
for bulk material handling and
the transportation industry.
Valves will also center in
ASME Class 125/150 flanges.
Sizes 14 in. through 36 in.
(350 mm through 900 mm) are
available in both wafer and lug
styles.
The wafer body has two drilled
locator lugs at top and bottom
for ASME Class 150 flanges.
Bronze bearings are installed
on both stems for minimum
operating torque.

DEMCO Series DR pneumatic actuators
are available in double-acting or
fail-safe, spring return models.
Series DR actuators are compact, high
torque, piston actuators.
Three basic handle designs interchange
on any 2 in. to 12 in. (50 mm to
300 mm) valves: ten position locking,
two position locking and memory stop.
Memory-stop handles provide
throttling which is infinitely adjustable
and can be set by a lock nut with
memory-stop setting (adjustable open
stop).
Handles are available in basic trim,
corrosion-resistant trim and sanitary
trim. Stem extensions are fabricated
from carbon steel parts and contained
in a tubular housing.
Gaskets and O-rings seal the stem
extension at top and bottom. These
extensions are fabricated to specified
lengths.
DEMCO weatherproof gear operators
are offered with a choice of
handwheel, chain-wheel, or square nut.
The worm gearing has self-locking set
screws to control open and closed
positioning or an optional adjustable
memory stop for “balance return” to
a preset open position after closing.

BUTTERFLY VALVES
DR PISTON ACTUATORS
DEMCO Series DR Piston Actuators consist of two opposed
pistons with integral gear racks which are coupled to a
common central drive shaft to produce rotary motion.
In the basic unit, the Body, Pistons and End Caps are
aluminum; the Central Drive Shaft is hard anodized, high
performance Aluminum Alloy 70-75. The Fasteners are
plated steel; the Seals are Buna-N. All units are totally
enclosed and use gaskets for weatherproof operation.
Carbon filled teflon guide bands support the pistons to
eliminate metal-to-metal contact during actuator operation.
As a result, piston O-rings designed for sealing are not
required to perform bearing functions.
Mounting the actuator to the valve for many popular sizes
is direct, requiring only a splined, aluminum stem adapter.
Other sizes may require the addition of an aluminum
adapter plate, but still make a closed coupled unit.
Some sizes (mostly the larger valves) will require the
traditional steel brackets/coupling mounting kit.
Consult the factory for complete data sheets showing
mounting configurations. Flatted stems are standard on
2 in. through 12 in. (50 mm through 300 mm) Butterfly
Valves (NE-C, NE-I, NE-D), whereas 14 in. through 36 in.
(350 mm through 900 mm) NF-C utilize a keyed stem.
Series DR Actuators are available as Double-Acting or
Spring Return. Double-Acting is the most economical,
requiring either air or hydraulic pressure for opening
and closing (fail last position).
Spring-Return Actuators
use compression spring(s)
to move valve in one
direction, while air
pressure moves it in
the opposite direction.
Spring Return Actuators
are used when valves
must move to a
predetermined position
upon air supply failure
(fail open or fail closed).

DR PISTON ACTUATORS

Position Indicator Switches are available
toprovide an electrical contact closure at
open and closed positions, normally used
for On-Off service.
Independently adjustable SPDT switch
elements are arranged so that each end
of the valve travel is indicated by separate
circuit closures.
Pneumatic positioners are offered for
modulating service. The standard signal
range is 3-15 psi, and may be
generated by temperature,
pressure or level controllers.
Solenoid Valves are used to
direct supply air to the actuator
to open and close the butterfly
valve at the command of an on/off
electrical signal.
Direct attachment to the actuator through
a manifold eliminates all external piping.
Pressure connections are 1/4 NPT. Standard
voltage is 120 VAC; other voltages are
available on special order.
NEMA 4 weather proof or NEMA 7 explosion-
proof enclosures are available.
Solenoid valves are available as 3-way valves
for spring return actuators or 4-way for double
acting actuators. Four-way solenoids are
equipped with a push button manual override.
Exhaust metering valves are available to
control opening and closing speed of
the butterfly valve.
Declutchable Manual
Worm Gear Overrides
are available for size
40 through 4004 DR actuators.
Especially applicable to spring return actuators,
the handwheel can be engaged with a special
declutch lever to hold the valve in its last
position until the actuator is
returned to automatic operation.
Seal Kits consist of all
rubber seals, bushings
and guide bands required

to close one while opening the other, with a single actuator.
Valves are commonly connected in this manner by assembling to
a flanged tee for diverting service.
3-way adapters for valves may be used with piston, cylinder,
diaphragm, or electric actuators, gear operators or manual
handles.

Three drop tight pressure ratings are offered for DEMCO
Butterfly Valves. Normally, 200 psi shutoff is used in
butterfly applications. However, 285 psi shutoff is
optionally available for higher pressure applications.
For smaller actuator sizing, 50 psi valves offer reduced
torque.
For throttling valves, which do not
provide drop tight closure, are available.
DEMCO Butterfly Valves will seal against
(29.9 inches of mercury). For reduced torque and
extended seat life, 50 psi discs are recommended for the
dry service conditions found in many vacuum applications.
Lug body valves may be used in end-of-line service, with
downstream piping removed.
Since upstream
pressure is excluded between the flange and the seat face
by the exclusive DEMCO flange seal, there is no effective
force to slide the seat downstream. DEMCO Lug Butterfly
Valves are recommended for service up to 200 psi
with downstream piping removed.
Lug body valves are recommended for isolation of pumps,
control devices or other system components which may
need to be removed for repair or replacement.
Lug valves are also suitable for installation at points from
which piping expansions may proceed. Such valves are
normally blanked with blind flanges, to protect the
exposed seats, until new piping is attached.

Installation and Maintenance
Each valve is positively identified by marking and tagging
per MSS SP 25.
Positive latch handles, worm gear operators and automatic
actuators are available and totally interchangeable on the
DEMCO valve.
The DEMCO top flange is dimensionally compatible with
other competitive butterfly valves. With optional “utility
top” stem, the DEMCO valve interchanges directly with
competitive valves, allowing valve replacement without
the need for new actuation.
DEMCO Butterfly Valves are bi-directional, with identical
flow-way from either face. To install, simply close the
valve, insert between flanges and make up with studs or
cap screws. No regular maintenance or lubrication is ever
required. Disassembly is simple, for inspection or
replacement of parts.
Open the valve, remove handle or actuator, remove
tangential pins, pull out the stems and push the disc and
seat out of the body. Reassemble in reverse order, with a
small amount of general purpose non-hydrocarbon based
lubricant on the outside of stems, seat and disc flats.
Steel or cast iron flanges of either raised or flat-faced type
are suitable for use with DEMCO Butterfly Valves. Plastic
flanges are subject to damage at installation by over-
tightening the bolting and may deflect or “cup,” resulting
in flange leaks. Refer proposed plastic flange installations
to DEMCO Valve Quotations Department for review and
recommendation.
Throttling discs, with no seat interference, do not provide
a stem seal. Stem O-rings are provided for this application.
Flange gaskets assist the O-rings in 2 in. through 12 in.
(50 mm through 300 mm) valves, and must be used with
throttling discs, only.

Water Hammer
Water hammer is a series of shocks in a piping system
caused by rapidly stopping the flow of fluid in that system.
Although it is difficult to measure pressure spikes caused
by water hammer shock with ordinary equipment,
maximum obtainable pressures caused by instantaneous
valve closure can be approximated by the following
formula:
Pressure (max) = Interrupted velocity (fps) x 58 psi/fps
In other words, pressure increases 58 psi for each foot per
second of interrupted pipe line velocity.
A pipe carrying fluid at 15 feet per second velocity will
have an instantaneous pressure increase of 870 psi under
rapid closure conditions.
The effects of water hammer are seen in a butterfly valve
as bent disc and stems, broken bodies or both.
Water hammer can be minimized or eliminated by slowing
valve closure time in accordance with the following
formula:

Cavitation Data
Liquid flow is accelerated as it passes through a valve in such
a manner that pressure is decreased below the vapor
pressure and bubbles form. Immediately downstream of the
valve, velocity decreases while pressure increases and the
bubbles collapse causing noise and possible mechanical
damage to the valve and piping. This is called cavitation.
Cavitation can often be identified by the noise of the
collapsing bubbles which sounds like gravel flowing in the
pipe.
Generally butterfly valves operate with high flow capacities
and at low pressure differentials and are not particularly
susceptible to cavitation.
When butterfly valves are used as control valves, one can
assure that cavitation will not occur by applying the
following simplified formula:

Under the above conditions it is possible to take a 40.03 psi
pressure drop across the valve before cavitation will begin.
Torque
The torque (turning effort) required to operate a given
butterfly valve is determined by two factors: friction of
disc and seat due to interference, and dynamic forces of
flow through the valve which tend to open or close the
valve. Actuator torque output must meet or exceed the
maximum torque requirement of the valve.
Normal Wet Opening Torque requirements due to
interference are tabulated below. Dry service will
increase opening torque significantly. Consult factory for

The disc of a butterfly valve, in partially opened
condition, is subject to “lift” forces from passage of fluid
over its surfaces. This effect is analogous to an airplane
wing and results in an unbalanced turning force on the
disc. Dynamic torque is proportional to pressure drop
through the valve and may become significant in some
applications.
Dynamic torque typically is a maximum at about 70° disc
opening. Under high differential pressure conditions,
such torque may exceed the design strength of stems,
connections or actuators. The curves at right may be used
to calculate dynamic torque for DEMCO Butterfly Valves
and should be consulted in any case where high
differential pressure may occur during operation of a
valve.

oils with a wide temperature range (–30°F to 230°F). Abrasion
resistance is equal to Buna-N. Resistance to hydrogen sulfide

Any written or oral purchase order received
from Buyer by Cooper Cameron Corporation,
Cameron Division and Cooper Cameron Valves
("Seller”) shall be construed as a written
acceptance of Seller's offer to sell and shall be
filled in accordance with the terms and conditions
of sale set forth herein. SELLER'S ACCEPTANCE OF
THIS ORDER IS EXPRESSLY CONDITIONED ON
BUYER'S ASSENT TO THE TERMS CONTAINED
HEREIN. The terms and conditions of Seller's
proposal (if any) and acknowledgement shall
prevail over any conflicting or different terms in
Buyer's order unless Buyer notifies Seller in writing
of its objections thereto within fifteen (15) days
from receipt of Seller's acknowledgement. Buyer's
standard terms of purchase will not be considered
a counteroffer to Seller's terms and conditions of
sale. The failure of Seller to object to any provision
in conflict herewith whether contained on Buyer's
purchase order or otherwise shall not be
construed as a waiver of the provisions hereof
nor as an acceptance thereof.
All quotations are made for prompt acceptance
and any terms quoted therein are subject to
change without notice after thirty (30) days from
the date quoted unless specifically stated
otherwise on the quotation. Any product, service
capability or manufacturing capability which may
be available at the time a quotation is made is
subject to prior sale. Prices quoted are valid for
thirty (30) days unless specifically stated otherwise
on the quotation and are subject to change
without notice. The price in effect at the time of
shipment including any escalation formula will
apply, unless a valid quotation or written
agreement to the contrary exists between Buyer
and Seller. All prices shown are in U.S. dollars
and are F.O.B. Seller‘s shipping point.
Any documentation pertaining to traceability
requirements for raw materials or products or
documentation required for any routine or
special processes must be identified by the Buyer
at the time of quotation (if any) or at the time of
order placement
Any tax or other charge imposed by law on the
sale or production of goods or the performance
of services shall be paid by the Buyer, unless the
law specifically provides that such payment must
be made by Seller, in which case Buyer shall
reimburse Seller for such payment as part of the
purchase price. Custom duties, consular fees,
insurance charges and other comparable charges
will be borne by Buyer.
Shipment schedules are given as accurately as
conditions permit and every effort will be made
to make shipments as scheduled. Seller will not
be responsible for deviations in meeting shipping
schedules nor for any losses or damages to Buyer
(or any third party) occasioned by deviations in
the shipping schedule, whether due to Acts of
God, orders bearing priority ratings established
pursuant to law, differences with workmen, local
labor shortages, fire, flood, shortages or failure
.
of raw materials, supplies, fuel, power or
transportation, breakdown of equipment or any
other causes beyond Seller's reasonable control,
whether of similar or dissimilar nature than those
enumerated. Seller shall have additional time
within which to perform as may be reasonably
necessary under the circumstances and shall have
the right to apportion its production among its
customers in such a manner as it may consider to
be equitable.
Seller reserves the right to furnish commercially
equivalent or better substitutes for materials or
to subcontract the Buyer's order or portions
thereof as Seller deems necessary. In no event
shall Seller be liable for any consequential
damages for labor resulting from failure or
delay in shipment. If Buyer requires drawings,
procedures, standards or similar material for
approval, shipping schedules will be calculated
from the time such approvals are received by
Seller, since shipping schedules are based on
Seller having all required information and a
firm order from Buyer which is enterable into
production. Any hold points, witness points or
the need for inspection by Buyer's represent-
atives must be identified by Buyer at the time
of quotation (if any) and/or order placement in
order that the effect on the prices or shipping
schedules (if any) can be taken into account.
Additional inspection or testing required by
Buyer which affects normal production
sequence will be considered as extending
the shipping dates accordingly.
Seller reserves the right to impose a minimum
billing charge on all sales, change orders or
order supplements.
Terms of payment for all materials and service
are 30 days from invoice date, at net price,
provided satisfactory credit has been established.
All unpaid invoices are subject to the maximum
legal interest rate per annum commencing with
the due date.
Purchase orders once placed by Buyer and
accepted by Seller can be canceled only with
Seller's written consent and upon terms which
will save Seller from loss. No products may be
returned for credit or adjustment without
written permission from Seller's office
authorized to issue such permission.
All products of Seller's manufacture are
warranted against defects of material and
workmanship for a period of twelve (12)
months from the date of installation or
eighteen (18) months from date of shipment,
whichever period first expires, when such
products are used in the service and within
the pressure range for which they were
manufactured. In the case of products or parts
not wholly of Seller's manufacture, Seller's
liability shall be limited to the extent of its
recovery from the manufacturer of such
products or parts under its liability to Seller.

Any repair work performed by Seller is warranted
for one year from completion of such repairs and
applies only to work performed.
If, within these specified periods, Seller receives
notice from Buyer of any alleged defect in or
nonconformance of any product or repair and if,
in the Seller's sole judgment, the product or repair
does not conform or is found to be defective in
material or workmanship, then, Buyer shall, at
Seller's request, return the part or product F.O.B.
to Seller's designated plant or service location.
Seller has no liability for removal or reinstallation
of products or equipment from below the surface
of the water. Seller, at its option and expense,
shall repair or replace the defective part or product,
or repay to Buyer the full price paid by Buyer for
such defective part, repair or product. Any
repayment of purchase price shall be without
interest.
Seller's warranty liability, including defects
caused by Seller's negligence, shall be limited to
such repair, replacement or refund, and shall not
include claims for labor costs, expenses of Buyer
resulting from such defects, recovery under general
tort law or strict liability or for damages resulting
from delays, loss of use, or other direct, indirect,
incidental or consequential damages of any kind.
Seller will not be responsible for failures of products
which have been in any way tampered with or
altered by anyone other than an authorized
representative of Seller, failures due to lack of
compliance with recommended maintenance
procedures or products which have been repaired
or altered in such a way (in Seller's judgment) as to
affect the products adversely. THIS WARRANTY IS
EXPRESSLY IN LIEU OF ALL OTHER WARRANTIES,
EXPRESS, STATUTORY OR IMPLIED, INCLUDING THE
WARRANTY OF MERCHANTABILITY AND FITNESS
FOR PARTICULAR PURPOSE WHICH EXCEED
THE FOREGOING WARRANTY.
The products sold hereunder are not designed or
manufactured for use in or with any atomic
installation or activity. If the Buyer or ultimate
user of these products intends to use them in such
an installation or activity, Seller's Nuclear Terms of
Sale shall be part of and control this contract.
Seller will furnish Buyer with a copy of its Nuclear
Terms of Sale upon request.
Seller warrants that the use or sale of material
or apparatus sold or rented by it to Buyer
hereunder will not infringe United States' patents
of others covering such material or apparatus by
itself, and hereby agrees to indemnify Buyer against
judgment for damages for such infringement of
any such patent, provided that Buyer shall, upon
receipt of any claim for infringement of any such
patent or threat of suit for such infringement or
upon the filing of any suit for infringement, which-
ever comes first, promptly notify Seller in writing
and afford Seller full opportunity, at its option and
its own expense, to answer such claim or threat
of suit, assume the control of the defense of said
suit, and settle or compromise same in any way
Seller sees fit. Other than court-awarded
judgments as aforesaid Seller shall not be liable

for any delays, loss of use or for other direct,
indirect, incidental or consequential damages
incurred by reason of any such judgment. Seller
does not warrant that such material or
apparatus (a) will not infringe any such patent
when not manufactured by or for Seller or when
specially made in whole or in part to the Buyer's
design specification and such infringement arises
from the inclusion of such specified design or (b),
if used or sold in combination with other
material or apparatus, or if used in the practice
of a process, will not, as a result of such
combination or use, infringe any patent covering
such combination or process; and Seller shall not
be liable for and does not indemnify Buyer for
damages or losses of any nature whatsoever
resulting from actual or alleged patent
infringement arising pursuant to (a) or (b)
above.
Seller in its sole discretion shall have the right
to manufacture the products provided
hereunder as far in advance of its estimated
shipping schedule as it deems appropriate. Seller
expressly reserves the right to change or modify
the design and construction of any product in
due course of Seller's manufacturing procedure
without incurring any obligation or liability to
furnish or install such changes, modifications or
improvements to products previously or
subsequently sold.
Upon request, Seller will provide engineering
and/or technical information regarding its
products and their uses and if feasible, will
provide personnel to assist Buyer in effecting
field installations and/or field service. Any such
information, service or assistance so provided,
whether with or without charge, shall be
advisory only. In that regard, neither Seller nor
Buyer assumes any liability for the acts or
omissions of the other party except as may be
provided in these terms.
Seller hereby certifies that these products were
produced in accordance with all applicable
requirements of Section 6, 7 and 12 of the
Fair Labor Standards Act as amended and of
regulations and orders of the United States
Department of Labor issued under Section 14
thereof.
Unless otherwise agreed in writing, final
inspection and acceptance of products must be
made at Seller's plant or other shipping or
receiving point designated by Seller and shall
be conclusive except as regards latent defects.
Buyer's representatives may inspect at the
Seller's plant or shipping point during working
hours prior to shipment in such manner as will
not interfere with operations.
Delivery shall be in accordance with the
requirements in the Purchase Contract, provided,
in the event Buyer is unable to accept delivery
upon completion of the manufacture of the
Goods in accordance with such requirements,

15. DELIVERY AND ACCEPTANCE:
Buyer agrees that (i) title and risk of ownership
shall pass to Buyer on date of Seller's invoice and
(ii) Buyer will make payments within thirty days
after date of such invoice. Seller shall retain
custodial risk of loss until delivery is made in
accordance with such requirements.
All prices are F.O.B. Seller's plant or other
designated shipping point.
No freight is allowed unless stated in Seller's
quotation (if any) or in a written contract which
may exist between Seller and Buyer at the time
of shipment. If Seller's quotation or a written
contract states that all or a portion of freight is
allowed, all prices are F.O.B. Seller's plant or
other designated shipping point, with most
economical surface transportation allowed. If
the quoted or contractual price includes
transportation, Seller reserves the right to
designate the common carrier and to ship in the
manner it deems most economical. Added costs
due to special routing requested by the Buyer
are chargeable to the Buyer. Under no
circumstances is any freight allowance which is
absorbed by Seller to be deducted from the
selling price. If the quoted price or contract
includes transportation, no deduction will be
made in lieu thereof whether Buyer accepts
shipment at plant, warehouse, freight station,
or otherwise supplies its own transportation.
When sales are made from the Seller's
warehouse, Seller reserves the right to charge
either actual or pro-rated freight from Seller's
principle point of manufacture to Seller's
warehouse. Buyer assumes risk of loss upon
delivery to the carrier, regardless of who pays
shipping costs.
Seller endeavors to pack or prepare all
shipments so that they will not break, rust or
deteriorate in transit, but does not guarantee
against such damage. Unless requested in
writing by the Buyer, no shipments are insured
by Seller against damage or loss in transit. Seller
will place insurance as nearly as possible in
accordance with Buyer's written instructions but
in such case Seller acts only as agent between
the insurance company and the Buyer and
assumes no liability whatsoever.
Any claims for shipping loss, breakage or
damage (obvious or concealed) are Buyer's
responsibility and should be made to the carrier.
All claims regarding shortages must be made
within thirty (30) days from receipt of shipment
and must be accompanied by the packing list(s)
covering the shipment.
Consular fees for legalizing invoices, stamping
bills of lading, or other documents required
by the laws of any country or destination are
not included in quotations or selling prices.
If instructed in writing, Seller will make
arrangements for consular documents and
declarations as agent of the Buyer, but Seller
assumes no liability whatsoever as a result of
making such arrangements. Seller assumes no
responsibility for any fines or other charges
imposed due to errors or incorrect declarations.

A. INDEMNIFICATION:
Seller agrees to indemnify Buyer and hold Buyer
harmless against any claims, demands or causes
of action for property damage or personal injury
(including death) caused by the negligent act or
omission of any employee, agent or sub-
contractor of Seller and not contributed to by
the negligence of Buyer, its employees, its agents
or any third party. Seller shall not be responsible
for the acts and workmanship of employees,
agents, contractors or subcontractors of Buyer
or any third party, nor for failure or malfunction
of any tools, materials, equipment, products,
supplies, facilities or devices not manufactured
and supplied by Seller. Buyer agrees to hold
Seller harmless from any and all losses, claims,
or damages arising from subsurface damage,
surface damage caused by subsurface damage,
loss of hydrocarbons and from pollution,
regardless of whether such damages, losses or
claims were caused by the negligence or sole
negligence of Seller, it being the intent of the
parties that this indemnity shall apply to
property of Buyer or to that of any third party.
B. LIMITATION OF LIABILITY:
UNDER NO CIRCUMSTANCES SHALL SELLER BE
LIABLE FOR ANY SPECIAL, CONSEQUENTIAL OR
INCIDENTAL DAMAGES, INCLUDING, BUT NOT
LIMITED TO LOSS OF ANTICIPATED PROFITS,
LOSS OF USE OF EQUIPMENT OR OF ANY
INSTALLATION, SYSTEM OR FACILITY INTO
WHICH SELLER'S EQUIPMENT MAY BE LOCATED
OR AT WHICH SELLER, ITS AGENT OR
SUBCONTRACTOR MAY BE PERFORMING WORK.
Seller's total responsibility for any claims,
damages, losses or liabilities arising out of or
related to its performance of this contract or
the products or services covered hereunder shall
not exceed the purchase price.
The terms herein may not be modified or
rescinded nor any of its provisions waived unless
such modification, rescission or waiver is in
writing and signed by an authorized employee
of Seller at its office in Houston, Texas.
Failure of Seller to insist in anyone or more
instances upon the performance of any of the
terms and conditions of the contract or the
failure of Seller to exercise any of its rights
hereunder shall not be construed as a waiver
or relinquishment of any such term, condition,
or right hereunder and shall not affect Seller's
right to insist upon strict performance and
compliance with regard to any unexecuted
portions of this contract or future performance
of these terms and conditions.
All orders must be accepted by an authorized
employee of Seller. The rights and duties of the
parties and construction and effect of all
provisions hereof shall be governed by and
construed according to the internal laws of the
State of Texas. Any disputes which arise under
this agreement shall be venued in the District
Court of Harris County, Texas or in the Southern
District of Texas.
