WelcomeCongratulations on your decision to become a Miche Home Party Representative. Welcome to the Miche Canada family!

Since we opened our doors in 2008, we have been experiencing tremendous growth due to our amazing team of Representatives.This is an exciting time for Miche Canada as we are releasing fantastic new products every month and are becoming increasingly more involved with Miche lovers across the country. We could not be more excited to have you join our team and to see the success you will have with your own Miche Home Party business!

Along with your kit, you will receive several resources for growing your business including product leaflets, business cards and more. We encourage you to read the information we have given you and utilize it as a stepping-stone to your success.Use this binder of information as a reference guide in case you ever need some help! Use this Handbook as your guide Use this Representative Handbook as a guideline. If you haven’t found the answer to your question, contact your Account Manager - they are here to help you! See “Contacts” on page 26 for contact information.

Familiarize yourself with the ShellsLearn the name of each Shell in your Kit, familiarize youself with the different materials and textures. Newer Shells will have their name printed on the inside. Some Shells (depending on the date of their release) do not have names. Place a non-permanent sticker on the inside of those that do not. This will help you familiarize yourself with the names and their product codes for upcoming Parties.

You can do this through many free outlets like Kijiji or Craig’s List. Make sure to read the “Do’s & Don’ts” on page 22 of Miche to keep on top of being a great Representative!

Party PlanningWhen Party planning always make yourself a “Circle of Friends” chart like the one you see below! You will be amazed to see how many parties you can get out of such a small group of ladies. For example, you could have ONE party with your Mom, Sister, Aunt and Best Friend and then end up doing one Miche Party every couple of months OR you could have FOUR Parties, one for each lovely lady and her circle of friends. This way your inner circle introduces you to a whole new group of women and expands your Miche business very quickly. Split your one large group of women into smaller groups.

Finding your next lead or booking your next Party can be a challenge at times. Depending on the time of year and how much time you put into your Miche Business. We’ve got a few tips and tricks for you to get started.

You’ll find that filling up your calendar is not as difficult as you might think!

Booking Tips

1. Advertise at your child’s school or activity/sports centre2. Post a leaflet in an employee lunchroom3. Hold your own Open House4. Offer your own seasonal/holiday themed party5. Have a booth at a school fair6. Advertise in your alumni newsletter and or local newspaper7. Reconnect with past hostesses and guests8. Go door-to-door in your neighborhood9. Visit local businesses and offer shared advertising10. Advertise in your local church bulletins11. Host an office party or brunch12. Host a show before a church or school parent teacher meeting13. Host a fundraiser for your favourite charity showcasing your products14. Set up a display at a craft fair or a kiosk at the mall15. Participate in a local fundraiser16. Market with fellow direct sellers17. Ask family and friends to promote you to their friends and families18. Get personalized items with your company logo19. Mention free benefits at least 3X at a show20. Encourage guests to hold a show to earn free just like the hostess did21. Host an online party22. Encourage frequent customers to regularly plan seasonal parties23. Be the first hostess to share the new products that are being released24. Treat Hostesses to a special hostess appreciation luncheon25. Call realtors with suggestions for gift giving ideas26. Offer to use Miche bags at a fashion show27. Start collecting emails for an e-newsletter28. Encourage your hostesses and guests to refer potential new recruits to join your business29. Offer a bridal show registry or gifts for bridal party30. Call hostesses who postponed shows to rebook38. Call everyone who said “maybe” or “sometime”39. Contact ladies organizations to showcase your product at their luncheon or dinners40. Leave your leaflets everywhere… doctor’s office, grocery stores, bank, library, bulletin boards, coffee shop and anywhere moms are! 41. Always get the Hostesses birth date to send her a card with a note and small gift42. Incorporate Miche when selecting gifts for friends and family43. Always give extra service to anyone who’s interested in purchasing and gift wrap their purchase44. Add a post-it note on every leaflet. When you hand it out get that person’s name, # and email address to follow-up with them

45. Never be afraid to ASK, ASK, ASK!46. Put your “Ask me about my purse” pin on your clothes or coat47. Smile when talking on the phone, believe me they will know!48. Introduction - Make sure to introduce yourself and thank your Hostess for hosting the party! Explain how the program works for you as a Representative and as the Hostess. Ask her to outline what her expectations are before the Party. What are her goals? What does she need to do to get a $2,000 party? Share with her the Hostess Handbook to provide her with all the information related to hosting her own party.

The most important consideration for your Hostess is, “ will her friends have fun? “ Absolutely! She will earn free Miche too! Think about lending your Miche Bag to your Hostess (if she does not already have one) to allow her to show it around. Give some of your new brochures to her; allow her to show her Miche Bag wher-ever she goes! Make this relationship a win-win situation for both of you.

DisplayGreeting room - Play a product video on your TV or laptop. This will set the tone of your party, engage your guests and encourage questions while waiting for new arrivals.

Display - work with whatever surface area you have available (dining room tables, window sills, dressers, etc.) Group product together based on size or colour. Be sure to have a few Base bags on hand for women to play with and make sure to take Shells out of the plastic wrapping.

Be creative - Use drying racks or dividers to hang your closet organizers, try different combinations: • Display the Classic Bag with long, short and Chain Handles. • Feature both the wrap-around Shells and Slip-on Shells. • Display accessories

Use your resources - Don’t forget about product leaflets, and any other marketing materials you have. Have this type of material amongst your display and/or in a binder to pass around. Bring a laptop or tablet for easy access to all our re-sources. Show our full product line with our Lookbook and Catalogue and don’t forget to keep the MOF handy for stock verification. Use your Classic! Have your Classic Miche Bag in hand; replace Shells repeatedly while talking through the following selling points:

• Quality Point out the series of 16-high powered, computer-safe, credit card safe magnets which run along the outer edges to hold the Shells in place.

• Classic Quality Show each Shell you change has studded bottoms to protect your purse from water and dirt all-year round.

• A place for everything & everything in place Mention that you will “never forget your lipstick, keys, compact again when switching purses, because you don’t have to, just change the outer Shell!”

• Fashion Remind your guests how often you will receive compliments when it comes to your Miche Bag. It is hard to leave the house without someone commenting on your new purse every day. Shells come in beautiful colours, patterns and great detail. Every Shell is distinct and new Shells are released monthly!

Demonstration

When you finish demonstrating with the Classic, say the Miche Bag also comes in three sizes: Petite, Demi and Prima. (pick up and demo). All Miche lines have the same concept as the Classic, with magnets running along the top of the base and Shells.

Colour code your Demo Shells Explain to your customers that there are 3 lines of Shells in each Miche line. To make it easy for you and your customers to clearly distinguish between the different levels of Shells, mark the back of each Shell with a sticky coloured dot (these can be found at any dollar store, Wal-Mart or Staples). Use a“dot” for each Premium Shell, which is $5.00 more than a Signa-ture Shell and display your Luxe Shells separately.

If you were purchasing a complete Kit online it would cost anywhere from approx. $135.00 to $200.00 depending on which Shells you choose. On the way home from work in the fall of 2004, a young woman did something a lot of us have done—she spilled on her favourite handbag. Frustrated by the thought of hunting for a replacement then transferring all the contents, she created a new cover for her handbag instead —thus creating the first prototype for what would eventually become the Miche Bag! Miche was launched in 2007, and the concept for purses with interchangeable exteriors has been taking the world by storm ever since!

1. Read the Miche Pulse! Stay in the Miche-know whether it’s a system update and reminder, sales tips and tricks, inspiring stories and more!

2. Get Social Follow our many social platforms and join our mailing list! Get the latest detailsand releases and share them directly with all your customers. Have them enterour contests and get more involved with Miche!

5. Clients firstAlways follow up with a phone call, e-mail or thank-you card after you have done business with one of your clients. Check in with guests with a quick e-mail or phone call two days prior to a Party. Regardless of the subject, respond to your clients as soon as you can. The more commitment and loyalty you have to your clients, the more loyalty they will have in your Miche business.

3. There has never been a better time to buy a Miche! Miche is always on the cutting edge. There is always a new design to look forward to in this future!

4. What is the best way to sell a Demi or a Prima? Carry the Classic. The Classic is the easiest of the bags to perform an instant demonstration when in line at the bank, at the school, when you’re at the mall. It is your 30 second pitch. It allows you to make introductions quickly.

Sales Tips & Tricks

Create a Facebook Fan Page for your Miche business! When creating any Miche-related Social Media External Website (e.g. a “Fan Page” on Facebook, a Pinterest, Twitter, Flickr or Tumblr account for Miche related posts or “pins”) you may use the following structure when naming such Miche-related Social Media External Websites:

“[Insert your name here] Independent Miche Representative.” See Policies & Procedures for details.

6. Use “Ask me about my purse” promo items!Use these items to start conversations, use them while you’re out and about, at work and atParties.

7. Think BIGThink big! The sky is the limit. Believe in the product you are selling, and sell with conviction. Take and show your bag wherever you go, take along business cards and brochures to promote the product.

8. Don’t worry about the little things. Although it is very possible that you may have another sales Representative in your area, just remember to have faith: the purses sell themselves. You will get your initial investment back plus many more clients, products and profit depending on how active you are.

9. Front and Centre!Unlike many other Home Party programs, the Miche Bag does the work for you. Being the fashion savvy woman that you are, showcasing the Miche is as effortless as carrying it around on a day-to-day basis. By changing your Shell every day and wearing it with pride, you can keep your Miche front and centre!

Here are some ways to help further display the Miche Bag:

• Place your Miche on your desk at work • On the counter when shopping • Beside you at social gatherings • Remember, never place a Miche on the floor or hide it under a desk!

10. Customize your Miche BusinessCreate an e-mail address that quickly identifies and demonstrates integrity in your Miche Home Party business.

Examples:

These are easy to remember and will tie in to your personal website when you login to Home Party Rep. Please refrain from using the terms Miche® or Endless Possibilities® or any derivatives in e-mail addresses, domain names or online aliases. See “Do’s & Don’ts” on page 23 for details.

11. Hold prize draws at Parties!Guests earn tickets based on how much they participate in the festivities! Some examples of how they can earn tickets:

• RSVP: 1 ticket • Arrive on time: 2 tickets • Bring an outside order: 3 tickets • Bring a friend: 4 tickets • Book a Party: 10 tickets • Bring your Hostess a beverage or appetizer that fits the Party’s theme: 10 tickets • Dress for the theme: 10 tickets

12. Be a Weeble! Be who you want to be...or at least fake it till you make it! Walk tall, smile, dress for success, look people in the eye, and use positive words. Don’t dwell on what can’t be done, just do what is possible. Even though all of the above statements are clichés, they can be life changing because they are motivating and self-fulfilling. Are you old enough to remember the toy commercial for Weebles? “Weebles wobble but they do not fall down.” No truer words have ever been spoken. Be a Weeble. I know I am.

Filling out invoices

1. Fill in your name and contact information. Be sure to add your website for future purchases. Fill in the date of Party and Host’s name.

2. Fill out customer information including where the order will be shipped. (email addresses are for your personal records, our head offices will not compile clients’ emails).

3. Encourage your guests to Go to a Party, Host a Party or Become a Home Party Rep by checking boxes that apply.

4. Example of how to write down a starter kit on the invoice. Do not to add a price for Shells that are included in Kit.

5. Example of adding extra Shells on invoice.

6. Example of how to add more than one of the same Shell to an invoice. Add the actual price of the product into “price” section. Add total value of Shells into the “total” section (2x20= $40).

7. Write in sub-total of the amount of all products on invoice.

8. Add in shipping cost.

9. Calculate GST or HST on sub-total & shipping where applicable. See “Canadian Tax table” on page 14 for reference.

10. Calculate PST on Sub-total (if your province uses PST).

11. Add total, including all sub-totals of shipping and taxes.

12. Fill out payment information. Please make sure the customer signs the invoice. If the client is paying with cash or cheque, write down payment type in card # area.

Your customer should leave the party with a copy of their invoice. Your copy of the invoice should be used to enter your orders into the Home Party Rep system later. (See Step-by-Step manual to get started). As a Miche Home Party Rep, if your customers are paying by CC you require the following information:

• Their full CC number• Expiry date • CVR number (which is on the back of their CC)• Their signature

A signature is required and as a Home Party Rep you need to keep paper copies for 2 years (in case of an exception) as proof to their bank that it was an authorized sale.

Out-of-town Parties and applicable taxes If you are asked as a Representative to do a party out of your province, you need to charge the applicable taxes for the province that the order is being delivered to. For example, if you live in Ontario and are visiting relatives in Alberta and your cousin would like to host a party, you would charge the Alberta tax of 5% on your orders. Where the order is delivered to determines the tax that should be charged. If you have multiple orders going to different provinces then you must charge the applicable rate for each province.

United States of America OrdersDrop Ship Flat Rate - $20.00 Canadian (for orders up to $800 USD meaning customers do not pay duty, broker fees orother taxes.) Certain areas of the USA are Excluded from Flat rate shipping of $20.00. Other limitations include:Tired OLD Bags are excluded from ordered from the USA.We are not accepting USA reps into our program.Quantities of stock may be limited from time to time.Orders may be placed within a party on your HPR site.

Submitting your order

Home Party Rep online system Review our Home Party Rep manual for steps on how to process orders and navigate the system. See “Resources” on page 26. How-to videos are also available at the following links. The password required to view videos is “miche.”

Sending in your invoicesOnce you have completed your order in the online Home Party Rep system, you will be required to fax or scan and email the invoice to us. Once we are confident in your ability to navigate the system, you will no longer be required to send in your invoices.

Your order will be sent for packing and shipping. With every party order submitted you will receive new invoices and brochures. We also include retail bags with every order. We recommend that all orders be sent to the Representative for distribution. When you receive your order, be sure to review all items for accuracy.

ShippingThe size of the order and address provided (i.e. P.O. Box vs. a physical address) will determine whether we send by Canada Post or UPS.

Distributing your ordersAfter reviewing the order, please use the supplied retail bags to pack your customer orders. Ensure that your clients receive a copy of their Miche invoice (this is for warranty issues or refunds) AND copies of their credit card slip (if they paid by credit card). When delivering a clients’ order, take this opportunity to invite them to another Party or suggest the benefits of hosting their own Party. Remember to retrieve all of your clients email addresses so you can send updates on new Shell releases and email Miche Party invitations.

Returns, exchanges & warranties

Returns & exchanges Miche Canada allows returns or exchanges within 30 days purchase of Miche Base Bags, Shells and accessories. If your customer would like a refund or exchange please have them send their Base Bag/Shells with the invoice to: Unidem Sales Inc.8-1288 Ritson Rd N, Box 240 Oshawa, ON L1G 8B2

Please keep the following things in mind for refunds and exchanges:

1. All items must be returned in original condition and in the original packaging with an invoice. 2. Miche Canada does not cover return shipping costs. 3. Refund or exchange requests outside of the 30-day purchase window will not be honoured.4. Commission on refunded orders will be deducted from your next commission.

Warranty All Miche Bag products including Base Bags and Shells come with a 90-day warranty that covers manufacturers’ defects to zippers, straps, sewing, and carabineers. The warranty does not cover normal wear and tear of the product. If your customer needs a Miche Bag product replaced under the 90-day warranty, as an acting agent for Miche Canada, please cover the following process: • Ensure that it was purchased within ninety 90 days (obtain a copy of the receipt/invoice)

• Add the warranty item to your next party order (write up an invoice with the customer’s name, description of problem and when it was originally purchased)

• Please take item from client and discard item as you see fit (don’t worry about sending it back to us) Miche Canada stands behind its products. Within thirty (30) days of the original purchase date, we will gladly accept returns for a full refund, less shipping, or for an exchange. All products must be in original packaging and resalable, as determined by Miche Canada. Additionally, Miche Canada products must be returned to the original point of purchase (e.g. Home Party Rep). For manufacturing defects, you must return the Miche Bag product within ninety (90) days of purchase to qualify for a replacement. Please note that normal wear-and-tear, does not constitute a manufacturing defect. Proof of purchase must be provided.

Gift cards We have gift cards available for sale through our Miche Representatives. Gift cards can come in any denomination with a minimum amount of $25.00. Clients can purchase a gift card to give to anyone, for any occasion!

Ordering gift cards When placing your order in the Home Party Rep online system please write the following in the notes section:

Gift Cards will be counted toward your party at the time of purchase. When a Miche Canada customer is redeeming a gift card through you, the amount of the gift card will not count towards your total, however the remaining amount the client pays over the amount of the gift card will be put towards your total.

Retired & back-ordered Shells Periodically, a Shell will retire and no longer be available to order. The Shell will officially be “Retired” once we have run out of stock. We will give you notice as to how much stock remains when the retiring Shell becomes “Soon to be Retired.” on the Master Order Form (MOF). If your customer chooses a retiring Shell, have them pick an alternative Shell just in case the stock has depleted at the time the order is placed. Sometimes, this transition happens very quickly so you may get a Party order back without the Retired Shell. Call your customers and have them choose an alternate Shell and add it to your next party order.

When a Shell has been back-ordered it means that we are currently out of stock and will be receiving a new shipment of that Shell in the near future. Once the stock has been replenished, we will send out the back-ordered Shells with your party order.

Fall/Winter & Spring/Summer Closets Just like our own closets at home, we pack away our seasonal items twice a year.

1- Fall/Winter items will be put away in the spring.2- Spring/Summer items will be put away in the fall.

This will bring a new life to all of our Miche items and help to keep your demonstrating kits at a manageable level. Make a Note: The Shells and Accessories haven’t Retired. Keep your demo items around for the next season as they will be back.

1. Party Order IncentivesParty orders that total $300 or more (before taxes and shipping) are recognized and qualify for incentives! We award Independent Miche Representatives and Hostesses with incentives; the more sales accumulated, the more incentives you and your Hostess will receive. See our Incentive Chart on page 19 for details.

2. Booking Incentives If one of your Hostess’s guests’ book a future party with you (the Independent Miche Representative) – once the Party is booked and considered qualified*, your original Hostess will receive a booking incentive

Special EventsIt’s all about youThe first thing you are selling at an event is you, so put on your “show attitude,” smile, be real, be friendly and above all... be positive! No matter what size your display is, it needs to be neat, organized and pleasing to the eye. There is so much to share with Miche but remember an event is different than a Home Party. At an event, women are standing/walking around, usually rushed and often distracted.

Key Selling Tips • Quickly catch a woman’s eye with an attractive display and a demo of the Classic bag (always be demonstrating, taking • the Shells on and off)• Explain the Miche concept simply: handbags with interchangeable magnetic covers.
