As an Exhibitor in the Canmore Rec Centre - Thelma Crowe Ice Arena you will receive:

Two tickets to the Welcome Reception – Friday May 10 from 5:00 – 7:00 pm

One 10 x 10 Draped Booth includes: o 8 foot high backwall drape o 3 foot high sidewall drape o One skirted table – 6 foot unless otherwise specified o Two chairs o 1 - 700 watts power outlet o Internet

Inclusion in the event program, maps, event website and other advertising materials

*Additional power available from GES Trade Show provider. **Additional tables, chairs, carpets… available from GES Trade Show provider at their rates. ***As per the Alberta Health Region, any food items, tasting samples, including pre-packaged food items must be reported to organizers at least one month prior to the trade fair date.

Schedule:

Exhibitor set-up Booths will be available for set up: Friday May 10 from 9:00 am – 8:00pm Saturday May 11 from 9:00am – 10:00 am Setup MUST be completed by 10:00am when the doors open to the public.

Welcome Reception Friday May 10 from 5:00 – 7:00 pm Join us for happy hour and meet other business owners and Trade Fair Exhibitors

Exhibitor Set up / Tear Down All booths will need to be dismantled and fully cleared by 8:00 pm Sunday, May 12, 2013 Please do not dismantle your booth until after 5:00 pm on Sunday May 12 when the doors close.

Please load and unload from the large bay door at the back of the arena. To facilitate ease of loading for all exhibitors, pull in, unload your vehicle, go park your vehicle, come back and bring your goods into the building. Tear down, dismantle your booth, take all goods outside, get your vehicle, load and go.

There will be monitors at the back to ensure the safety of your goods. Carts will be available on a shared basis to move your items.

*Note: During Trade Fair Public Hours please park well away from the building to facilitate ease of parking for our guests. Do not park in the Golf Course Parking Lot.

What is happening at the Canmore Trade Fair - subject to change Admission: The Bow Valley Food Bank needs donations all year round. This year we are charging for admission and all goods collected will go to this great community support group. Adults: 2 cans of food or $2.00, Children age 6 - 15: 1 can of food or $1.00 Family of 4: 3 cans of food or $3.00, Children 5 and under: Free

Contests and Competitions We are taking Canmore back to its roots with contests and competitions reminiscent of a Country Fair. Arts and Crafts & Culinary Arts contests are pre-submission for judging. Winners will be displayed in Building Two.

Waiver for Exhibitors of the Canmore Trade Fair 2013 at the Canmore Recreation Centre

Please sign and return this page along with your insurance certificate. Insurance Certificate is MANDATORY for Exhibitors in the Canmore Recreation Centre. Must have Shop Local Canmore and Town of Canmore as additional insured to be valid. Please read through the following carefully. You are signing a legal document that waives certain legal rights including your right to sue.

Sign below with a witness signature to acknowledge acceptance of Term and Conditions and to confirm booking of an exhibitor’s site. Please note all exhibitors must provide a Certificate of Insurance – refer to clause #3 of Terms and Conditions.

In consideration of my acceptance of this Shop Local Canmore Trade Fair contract, I, for myself, for my company, our heirs, executors, administrators and assignees, forever waive, release and discharge all rights, demands, claims for damages and causes of suit of action know, including those caused by negligent act or omission of any of those mentioned, or others acting on their behalf, that we may have against Shop Local Canmore and the Town of Canmore and any Canmore Trade Fair 2013 sponsors, employees, and agents of such parties from all injuries in any manner resulting from your participation in the Canmore Trade Fair 2013

Canmore Trade Fair 2013 hours: Saturday May 11, 2013 – 10:00 am to 6:00pm Sunday May 12, 2013 – 10:00 am to 5:00 pm

1. If the exhibitor fails to comply in any substantial respect with the terms of this agreement the Organizers shall have the right to sell the space, the exhibitor however, is to be liable for any loss suffered by the organiser thereby, and all monies paid by the exhibitors hereunder shall be absolutely forfeited to the Organizers. If in the event of the exhibitor failing to occupy the said space by the advertised opening time of the festival, the Organizers are authorised to occupy or cause the said space to be occupied in such a manner as it may deem best for the interest of the Canmore Trade Fair 2013 without refund to the said exhibitor and without releasing the exhibitor from any liability hereunder:

2. Exhibitors may not bring in or charge for any refreshments, prepared or cooked provided at their site without prior permission from the Organizers. It is the responsibility of the Exhibitor to comply with any health region regulations regarding the serving of food or drink from their site. The Organizers are not responsible for the introduction of food to the event by the exhibitor and the effect of it afterwards.

3. Exhibitors must provide a Certificate of Public Liability Insurance stating as co-insured, interested parties, Shop Local Canmore and The Town of Canmore with a value of $2,000,000 at least seven (7) days prior to the Canmore Trade Fair 2013. Contact your insurance company and they should add the additional parties easily. Exhibitors not providing their insurance will be disqualified with no refund.

4. The Exhibitor shall be responsible for the dressing of their site in the specified setup time and dismantle and remove their exhibit, including all garbage, at the specified close time.

5. Table size will be a minimum of 6 feet. Size will be confirmed with site confirmation.

6. The Exhibitor may only occupy space provided as per site confirmation and must ensure thoroughfares are kept clear and tidy at all times.

7. The Exhibitor will be responsible for any loss or damage they incur to items provided by the Organizers or the venue (Town of Canmore).

8. Exhibitors must comply with terms and conditions if and when they are set by the venue. Failure to do so will result in termination of the Exhibitors site. No refund will be given and any expenses incurred will be met by the Exhibitor.

9. Limited powered sites are available (based upon location). All electrical items must be tested prior to public opening to ensure no overload to the individual booth power supply. Additional electricity may be purchased from GES our equipment supplier at their costs.

10. Exhibitor contact details will be made available to the Canmore Trade Fair 2013 Sponsors unless otherwise advised in writing.

11. Exhibitor permits the use of their Company name and pictures to be broadcast, telecast and print media as they pertain to the Canmore Trade Fair 2013 in perpetuity.

12. Full payment for each exhibitor booth must be received by April 27, 2013, in advance of Canmore Trade Fair 2013. After this time, and only when monies have not been paid, the site will be available for sale to another business.

13. The Organizers reserve the right to re-draw the floor plan to the benefit of the exhibition, as they see fit.

14. The Organizers reserve the right to decline any application to participate in the exhibition and no application will be considered unless made on the correct application form. This form is to be completed in full and without alteration and sites are rented on these conditions.

15. No site will be held as rented until the application form is signed and returned to the organiser.

16. Exhibitors shall comply with the Terms and Conditions of the Canmore Trade Fair 2013 stipulated by the Organizers and the venue (Town of Canmore) as laid out in the Town of Canmore Rental Permit Terms and Conditions as provided by Canmore Trade Fair 2013. (Terms and conditions available upon request).

17. Every exhibitor hereby accepts liability for all acts or omissions of himself, his servants, contractors, agents, staff and invitees and undertakes to indemnify the Organizers and the venue (Town of Canmore). To keep them indemnified against all liability in respect thereof and against all actions, suits, proceedings, claims, demands, costs and expenses whatsoever, which may be taken or made against the Organizers and the Town of Canmore the venue (Town of Canmore) or incurred or become payable by them arising there from or in respect thereof including any claims arising out of the supply by the exhibitors of samples or goods or any kind whatsoever whether such samples or goods be sold or given away free and including any legal costs, expenses and damage and any compensation costs and disbursements paid by the Organizers and the venue (Town of Canmore) on the advice of legal counsel to compromise or settle any such claims.

18. Neither the Organizers nor the venue (Town of Canmore) will be responsible for the safety of any exhibit or property or any consequential loss of any exhibitor, or any other person, for the loss or damage of, or destruction to same, by theft or fire or any other cause whatsoever, or for any loss or damage whatsoever sustained by the exhibitor by reason of any defect in the building caused by fire, storm, tempest, lightning, national emergency, war, labour disputes, strikes or lock-outs, civil disturbances, explosion, inevitable accident, force majeure, or any other cause not within the control of the Organizers or the venue (Town of Canmore) or for any loss or damage occasioned, if by reason of happenings, of any such event the opening of the Canmore Trade Fair 2013 is prevented or postponed or delayed or abandoned or the venue becomes wholly or partially unavailable for the holding of the Canmore Trade Fair 2013. The exhibitor agrees and undertakes to insure in their full replacement value the contents of his site and all associated equipment and materials.

19. The Organizers will take all precautions they consider necessary for the protection and security of any exhibited articles but cannot be responsible for the safety, or loss damage of any exhibit or other property or any other person under any circumstances whatsoever.

20. The Organizers reserve the right to postpone the holding of the Canmore Trade Fair 2013 from the set dates, and to hold the exhibition on other dates as near to the original dates as practicable, and at a venue of its choosing if the original venue is not available, utilising the right only where circumstances necessitate such action and without any liability to the Organizers.

21. If due to unforeseen circumstances it is found necessary to close the Canmore Trade Fair 2013 on any day or to vary the hours the Canmore Trade Fair 2013 is open, the Organizers reserve the right to do so at their sole direction and without any liability to the Organizers.

22. The Organizers may from time to time add to or vary the Terms and Conditions and do anything at their sole direction as they deem desirable for the proper conduct of the Canmore Trade Fair 2013, provided that such amendments or additions do not operate to diminish the rights reserved to the Exhibitor under this agreement and shall not operate to license the liabilities of the Organizers.

23. Annoyance: The Organizers reserve the right to stop any activity on the part of any Exhibitor that may cause annoyance to other Exhibitors or visitors. Business must be conducted only from the Exhibitors own site and under no circumstances may this be carried out from an isle way or elsewhere in the Canmore Trade Fair 2013. Any such encroachment shall be deemed to be a breach of this contract.

24. Microphones: The use of microphones, videos etc, is permitted, but the volume must not be such as to cause annoyance to other Exhibitors.

25. The Organizers reserve the right to regulate or prohibit their use if in the Organizers opinion any annoyance is being caused.

26. Exhibitors must provide staff for their site for TOTAL time that the Canmore Trade Fair 2013 is open to the public.

27. Exhibits are admitted to the Canmore Trade Fair 2013, and shall remain there, solely on strict compliance with these Terms and Conditions. The Organizers reserve the right to prohibit in whole or in part and reject any Exhibitor or his representative in the case of failure to comply with the Terms and Conditions. There shall be no return of payment if such rejection or prohibition is deemed necessary by the Organizers.

28. Exhibits must not be removed and displays must not be dismantled either partially or totally before the closing time on the last day of the Canmore Trade Fair 2013. Thereafter all exhibits and display material must be removed as soon as possible and by the time indicated.

29. Cancellation of Space: In exceptional circumstances the Organizers will be prepared to consider cancellation of their Contract with Exhibitors, but only if the following conditions are complied with

(a) That the request for cancellation is submitted in writing; (b) That the request is received at least seventeen (17) days prior to the opening of the Canmore Trade

Fair 2013; (c) That the Organizers are able to re-let the cancelled space in its entirety; (d) That the reason given for the request given for the request for the cancellations is, in the opinion of

the Organizers, well founded. i. That the Exhibitor agrees that the Organizers shall retain 25 per cent of the contract price if the

cancellation is accepted more than fourteen (14) days before the opening of the Canmore Trade Fair 2013

30. Termination & Default: (a) This Contract may be terminated by the Organizers without notice, where the Exhibitor fails to comply

with any obligations. (b) Where the Exhibitor dies, has a bankruptcy petition presented against him, goes into receivership, or

enters a scheme of arrangement with his or its creditors then the Organizers may cancel this Contract. Where the Organizers do terminate or cancel this Contract the Organizers shall not be liable in any way whatsoever for any loss (including consequential loss) or liability incurred by the Exhibitor.

31. Interpretation: (a) Unless that contrary intention appears, this Contract shall be interpreted as follows. (b) “Contract” includes the Exhibitors Application to participate as an Exhibitor on the Application Form, these Canmore Trade Fair 2013 Terms and Conditions. (c) “Exhibitor” means the Exhibitor(s) named in the Exhibitor’s Official Application Form and includes the Exhibitor’s contractors, servants, staff, agents and invitees. (d) “Organiser” means Shop Local Canmore and their servants, staff or agents. (e) “the venue (Town of Canmore)” means the Town of Canmore their facilities, servants, staff or agents

32. Cancellation of Canmore Trade Fair 2013: If the Organizers are forced to cancel and not reschedule the Canmore Trade Fair 2013 for any reason whatsoever, whether within their control or otherwise, the Exhibitor shall receive a refund of any monies less 10% for administration costs.

I. Definitions:Agents: GES CANADA's agents, sub-contractors, carriers, and theagents of each.Customer: Exhibitor or other party requesting services from GESCANADA.Carrier: Motor carrier, van line, air carrier, or air or surface carrier/freight forwarder.Shipper: Party who tenders Goods to Carrier for transportation.Goods: Exhibits, property, and commodities of any type for which GESCANADA is requested to perform services.Cold Storage: Holding of Goods in a climate controlled area.Accessible Storage: Holding of Goods in an area from which Goodsmay be removed during shows.Services: Warehousing, transportation, drayage, un-supervised labour,supervised labour and/or related services.Show Site: The venue or place where an exposition or event takesplace.Supervised Labour: Labour that is provided to a Customer to install ordismantle a booth or exhibit space, and is supervised and/or directed byGES CANADA.Un-Supervised Labour: Labour that is provided to a Customer toinstall or dismantle a booth or exhibit space and per Customer's electionis not supervised and/or directed by GES CANADA. Customer assumesthe responsibility for the work of labour when Customer elects to useunsupervised labour.

II. Scope:These Terms and Conditions shall be binding upon Customer, GESCANADA, and their respective Agents and representatives, including butnot limited to Customer contracted labour such as Customer AppointedContractors and Installation and Dismantle Companies, and any otherparty with an interest in the Goods. Each shall have the benefit of and bebound by all provisions stated herein, including but not limited to timelimits and limitations of liability.By acceptance of services of GES CANADA or Agents, Customerand any other party with an interest in the Goods agree to theseTerms and Conditions.

III. Customer Obligations:Payment for Services. Customer shall be liable for all unpaid charges forservices performed by GES CANADA or Agents. Customer authorizesGES CANADA to charge its' credit card directly for services rendered onits' behalf after departure, by placing an order on-line, via fax, phone, orthrough a work order on site.Credit Terms. All charges are due before Services are performed unlessother arrangements have been made in advance. GES CANADA has theright to require prepayment or guarantee of the charges at the time ofrequest for Services. A failure to pay timely will result in Customerhaving to pay in cash in advance for future services. If a credit providedto GES CANADA, GES CANADA is authorized to bill to such credit cardany unpaid charges for services provided Customer, including chargesfor return shipping. Any charges not paid within 30 days of deliver will besubject to interest at 1.5% per month until paid.

IV. Mutual Obligations:Indemnification:Customer to GES CANADA: Except to the extent of GES CANADA'sown negligence and/or willful misconduct, Customer shall defend, holdharmless and indemnify GES CANADA from and against any claims,lawsuits, demands, liability, costs, and expenses, including reasonableattorney's fees and court costs, resulting from any injury to or death ofpersons, or damage to property, relating to or arising from performanceunder this Agreement.Customer agrees to indemnify and hold GES CANADA harmless for anyand all acts of its representatives and agents,

including but not limited to Customer Appointed Contractors and Installationand Dismantle Companies, any subtenant or other user of its' space or anyagents or employees engaged in business on its' behalf of Customer orpresent at Customers' invitation.GES CANADA to Customer: To the extent of GES CANADA's ownnegligence and/or willful misconduct, and subject to the limitations of liabilitybelow, GES CANADA shall defend, hold harmless and indemnify Customerfrom and against any claims, lawsuits, demands, liability, costs andexpenses, including reasonable attorney's fees and court costs, resultingfrom any injury to or death of persons, or damage to property other thanGoods. GES CANADA assumes no liability for bodily injury resulting fromCustomer's presence in areas which have been marked as "off limits toexhibitors" and during hours and days when exhibitors are present in thefacility, prior to the start of and after the conclusion of their space lease withshow management.

V. No liability for consequential damages. UNDER NOCIRCUMSTANCES WILL ANY PARTY BE LIABLE FOR SPECIAL,INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDINGBUT NOT LIMITED TO LOSS OF PROFITS OR INCOME.

VI. GES CANADA Liability for Loss or Damage to GoodsNegligence standard: GES CANADA shall be liable, subject to thelimitations contained herein, for loss or damage to Goods only if such loss ordamage is caused by the direct negligence or willful misconduct of GESCANADA.Condition of Goods: GES CANADA shall not be liable for damage, loss, ordelay to uncrated freight, freight improperly packed, glass breakage orconcealed damage. GES CANADA shall not be liable for ordinary wear andtear in handling of Goods or for damage to shrink wrapped Goods. AllGoods should be able to withstand handling by heavy equipment, includingbut not limited to forklifts, cranes, or dollies. It is the Customers'responsibility to ensure that Goods are packaged correctly prior to shipmentor movement on or off the Show floor.Receipt of Goods: GES CANADA shall not be liable for Goods receivedwithout receipts, freight bills, or specified unit counts on receipts or freightbills. Such Goods shall be delivered to booth without the guarantee of piececount or condition.Force Majeure: GES CANADA shall not be liable for loss or damage thatresults from Acts of God, weather conditions, act or default of Customer,shipper, or the owner of the Goods, inherent nature of the Goods, publicenemy, public authority, labour disputes, and acts of terrorism or war.Cold Storage: Goods requiring cold storage are stored at Customer's ownrisk. GES CANADA assumes no liability or responsibility for Cold Storage.Accessible Storage: GES CANADA assumes no liability for loss or damageto Goods while in Accessible Storage. Storage charges are for the use ofspace and are not a form of insurance, or a guarantee of security.Unattended Goods: GES CANADA assumes no liability for loss or damageto unattended Goods received at Show Site at any time from the point ofreceipt of inbound Goods until the loading of the outbound Goods, includingthe entire term of the respective show or exhibition. Customer is responsiblefor insuring its' own Good for any and all risk of loss.Labour: GES assumes no liability for loss, damage, or bodily injury arisingout of Customer's supervision of GES provided labour. If GES CANADAsupervises labour for a fee, GES CANADA shall be liable only for actions orclaims arising out of its' negligent supervision. If Customer elects to useunsupervised labour, then Customer assumes all liability for the actions orclaims that arise out of such work, and shall provide GES CANADA andshow management with an indemnity, including defense costs, for anyclaims that result from Customers' supervision or failure to superviseassigned labour.
