MINUTES OF 2016 ANNUAL GENERAL MEETING ___________________________________________________________________________________ TUESDAY 25TH OCTOBER 2016 Meeting opened at 7.10pm – President Rhonda Warner presided. PRESENT: Frances Cardwell, , Romeo Cecchele, Diana Cecchele, Rosemary Scully, Jean Blackwood, Rhonda Warner, Daphne Olsen, Michael Szafraniec, APOLOGIES: Russell Fitzgibbons, Norm Cardwell, Carolyn Perry The President acknowledged the Traditional Custodians of the Land The President welcomed Michael Szafraniec as Returning Officer. ADOPTION OF THE MINUTES OF THE 2015 ANNUAL GENERAL MEETING The Minutes of the 2015 Annual General Meeting were accepted on a Motion from Rosemary Scully Seconded Diana Cecchele UNANIMOUS BUSINESS ARISING – Nil REPORTS – The CEO reported on the 2015/2016 year. The CEO in acknowledging the efforts of the Staff for their support, recognised the extra efforts by the Staff who worked on the Disability Accreditation. Thanks were also extended to Senior Management Team and the Board for their support. The contribution of Volunteers was also acknowledged ADOPTION OF ANNUAL REPORT Moved Jean Blackwood Seconded Rosemary Scully that the Annual Report be adopted UNANIMOUS ADOPTION OF AUDITED FINANCIAL REPORT Appreciation was extended, by the CEO to the Corporate Services Team. Moved Jean Blackwood Seconded Romeo Cecchele that the Audited Financial Report be adopted UNANIMOUS APPOINTMENT OF AUDITOR FOR 2016/2017 FINANCIAL YEAR. Moved Romeo Cecchele Seconded Diana Cecchele that Kelly & Partners be retained as Auditors UNANIMOUS AUTHORISED SIGNATORIES Moved Rosemary Scully Seconded Romeo Cecchele that the President and Secretary be the Authorised Signatories UNANIMOUS The President thanked the Members of the 2015/2016 Board. The President declared all positions vacant and invited Returning Officer Michael Szafraniec to take the Chair. Four written Nominations were received. In line with the Constitution, the following nominees were duly declared as Directors of the Board for the 2016/2017 year. PRESIDENTS REPORT __________________________________________________________________________________________________________________________________________

As President and representative of the Board of Directors of CareWays community Inc., it is my privilege and duty to write an introduction to the Annual Report for the financial year, 2016 -2017. This overview will outline the financial status and the various activities of the organisation during the past year, and will reflect on the highlights and issues that have had an impact on the outcomes of the services that we provide. I recommend that all members and stakeholders read the in-depth reports that are contained in this document as these give detailed analyses of these matters. This is a time to Consider our clients, Analyse our performance, Reflect on the results and Explore the future potential for the organisation to thrive and grow whilst maintaining a high standard of caring services to the vulnerable, frail, aged and marginalised members of our community. Despite the fact that we are living in interesting times, where international turmoil and economic movements have had an inevitable impact on every aspect of our society, I believe that CareWays community Inc. has demonstrated the ability to cope with change by pre-emptive strategic planning. To this end, the annual Strategic Planning Sessions that take place are of immense benefit for the Directors of the Board and Senior Management Team as it is a time set aside to clarify the issues and develop strategies for the viable progress of the organisation. Also, regular attendance at other conferences and training sessions, in particular the Annual Better Boards Conference, has enabled Board members and senior staff to stay up to date with current modes of operation and the Government policy directions that shape the services that we deliver to our clients.

Over the past year, the development of services being provided at the Horsley and Koonawarra Community Centres has had a positive impact on the people who access these centres. In particular, the opening of the Sensory Room at Horsley was a great way to promote the organisation as well as providing a wonderful service to those people who can benefit from such a resource. Thanks must go to the staff and volunteers who have worked towards this success.

During this last financial year Thirroul Neighbourhood Centre Inc. approached the Board of CareWays community Inc. with a proposal to merge their organisation with ours. After a series of meetings where the details of such a merger were negotiated, the Thirroul Neighbourhood Centre members voted to proceed with this plan. All negotiations were completed in a timely manner to enable the merger to be enacted. This is something to look forward to in the next year.

During the past year the organisation has continued to provide a wide range of high quality services to the community. These have included Youth Services, Assisted Transport for vulnerable and disabled school students, Caring Services, including Meals on Wheels for our frail elderly clients and various Neighbourhood Centre activities. There are numerous positive stories that have been told by the recipients of these services which highlight how the lives of these people have been enhanced by the provision of such services. The staff and volunteers who, with a cheerful professional manner, perform these functions are to be commended for their role in building and maintaining a healthy and happy community. Events such as our Annual Art and Craft Show, Trivia Night, Horsley Open Day and NAIDOC celebrations provide the community with social activities that draw diverse sections of our society together in an enjoyable way that helps to create a more cohesive and supportive community. These activities have the additional benefit of raising community awareness of the organisation and the professional services that it provides.

The organisation is always affected by government policy shifts and funding arrangements. There have been many changes recently that have had an impact on the way in which CareWays community Inc. performs its caring services role. Among these have been the roll out of the new funding arrangements to do with the NDIS program and Consumer Directed Care. The Targeted Early Intervention funding model proposed by the NSW Government will be the next major influence on the direction and priorities of services of the organisation. It is to be hoped that in meeting the narrow parameters of these government policies that the community heart of the organisation is not left to perish.

I am pleased to note that according to the audited financial report, CareWays community Inc. has completed the financial year, 2016-2017 in a sound fiscal position. Contained within the pages of this Annual Report are further details of the financial status of the organisation and detailed information regarding the various activities and functions of the organisation in providing services to the community during the past year. I thank and congratulate our volunteers, staff, members of the Senior Management Team and members of the Board of Directors for their dedication and commitment to providing high quality services to the community.

CHIEF EXECUTIVE OFFICER’S REPORT ___________________________________________________________________________________ Care Working with vulnerable people.

o Working with Thirroul Neighbourhood Centre to merge and increase our geographic footprint. o Further Developing Koonawarra Community Centre, to restore it to a vibrant, efficient community

service for vulnerable people in Koonawarra. o Disability Inclusiveness through Sensory experiences and leisure activities at Horsley CC o Community Events – Dapto Art & Craft, Childrens Week, NAIDOC, Horsley Community Day, Trivia night o Planning for reform from Community Builders to Targeted Early Intervention. o Business planning for funding reform in changing government funding terms. o SAI Global Disabilities Accreditation o CareWays Reconciliation Statement o Community Care –Consumer Directed Care and Aged Care Package Provider Status Financial Sustainability Maintaining financial sustainability in a challenging and changing environment is critical in our strategic move to a community business model. The Audited financial report details the financial result for the year ending 30th June 2017. Although there was a small deficit this year, it is a result of our gearing up to implement our Community Care business plan enabling CareWays to become an Aged Care Package Service Provider a position the Board has taken to continue in home care services when the Commonwealth Home Support Program funding ends. Human Services as a commodity in a market driven community business will always be a challenge for any For Purpose service provider.

Merging Thirroul Neighbourhood Centre (TNC) into CareWays Community Hubs During the year, the Management Committee of TNC proposed a merger with CareWays. CareWays Board agreed to commence discussions. An evaluation of TNC services, social capital and funding contracts, resulted in an agreement to merge TNC into CareWays Community Hubs from 1 July 2017.
