Contract Summary Contract Number: W52P1J-15-D-0059
Scope : This contract vehicle is decentralized and available to Department of Defense (DoD), United States Coast Guard (USCG), North Atlantic Treaty Organization (NATO), Coalition Partners, other Foreign Military Sales (FMS), other Federal Agencies, and contractors in support of DoD activities. All Federal Contracting Officers are delegated procurement authority to place Task Orders/Delivery Orders against this AIT-V FFP IDIQ contract. All Contracting Officers seeking to place orders against the contract shall agree to comply with the terms and conditions of the base contract.
In this decentralized contract vehicle, CDO will provide AIT-V data communications, hardware, software, documentation, and incidental services to authorized Government users worldwide. The incidental services include training, warranty, and Technical Engineering Services (TES).
The AIT-V hardware and software purchased under this contract will be ISO/IEC 17050-1:2004 compliant. The TES available will provide turnkey solutions for integrating a user's existing Automated Identification Technology (AIT) and Passive RFID (pRFID) with the Active RFID (aRFID) technology. TES shall include those services required for AIT-V turnkey implementation, Item Unique Identification (IUID) implementation support, equipment integration, site analysis, installation, de-installation, relocation, problem-solving, user unique training, Integrated Planning Team (IPT) support, conducting Physical Configuration Audits (PCAs)/ Functional Configuration Audits (FCAs), software development; communications, interfaces to other Government systems, equipment and systems engineering services, System Design and systems integration to include middleware integration to enterprise systems. Any cables or adapters not listed in this Contract, middleware or other items and materials required for installation of Contractor-provided AIT-V components, may be ordered through the contract in accordance with (IAW) the provision entitled Incidental Materials Paragraph H within Section H of the Contract.
Contract Type: IDIQ with firm-fixed price CLINs and reimbursable CLINs for Other Direct Costs (ODCs) and travel.
Contract Period: 5/11/2015 through 5/10/2018
Geographic Scope of the Contract: Performance of this contract can be Contiguous United States, not continental (CONUS) or Outside the Contiguous United States, not continental (OCONUS). Additional clauses required to perform OCONUS shall be added at the Task Order level.

All Delivery Orders, purchase card orders, and Task Orders issued hereunder are subject to the terms and conditions of this contract. The contract shall control in the event of conflict with any order. Any request for deviation from the terms of this contract must be submitted to the PCO:

All requirements under this contract will be ordered by issuance of a DD Form 1155, SF 1449, purchase card form, or other authorized form. In addition to any other data that may be called for in the contract, the following information shall be specified in each order as applicable:
(a) Date of Order
(b) Contract and Order number (Note: Delivery Order numbering shall be in accordance with DFARS 204.7004 Only the issuing office (ACC-RI) is authorized to use the numbers 0001-9999).
(c) Point of contact (name), commercial telephone number, facsimile number, and e-mail address.
(d) Ordering Contracting Officer's commercial telephone number and e-mail address.
(e) Description of the supplies to be provided, quantity, unit price, and the associated CLIN/CLIN (See Sect. B). Defense Financing and Accounting Service (DFAS) requires the CLIN/CLIN numbers to be reflected on order forms in order to do initial entry of orders into their automated payment system. When the Contractor submits a request for payment, DFAS will compare the request for payment of CLIN/CLINs with the orders CLIN/CLINs. (Note: Use of item numbers in Block 19 on the SF 1449 and not CLIN/CLIN numbers will result in payment delays and excessive administrative costs to both the Contractor and the Government).
(f) Delivery date for supplies and performance period for services.
(g) Address of place of delivery or performance to include consignee.
(h) Packaging, packing, and shipping instructions, if any.
(i) Accounting and appropriation data and Contract Accounting Classification Reference Number (ACRN) . NOTE: DFAS requires an ACRN(s) on all orders.
(j) Invoice and payment instructions to the extent not covered by the contract. Include Wide Area Workflow (WAWF) clause information.
(k) Orders for known Foreign Military Sales (FMS) requirements shall clearly be marked FMS requirement on the face of the order, along with the FMS customer and the case identifier code.

Incidental Materials: Incidental Materials shall only include those items/materials necessary to complete the installation service ordered in accordance with PWS paragraph G. "Task Order Proposals for Technical Engineering Services (TES)". The price for the items/materials shall be negotiated on a FFP basis for each TO, if required (see PWS paragraph G. "Task Order Proposals for Technical Engineering Services"). The total negotiated price for incidental materials for each TO shall not exceed $100,000. Warranty: CDO will provide a minimum of a three-year warranty, including all parts, labor, and transportation costs for all AIT-V components provided under this Contract. CDO will provide a minimum of a three-year warranty for all software products. CDO will repair or replace all failed AIT-V components covered under warranty in this Contract in accordance with the procedures outlined below. All warranties shall be included in the purchase price of the component, and not priced separately. The CDO will immediately notify the ordering Contracting Officer and order Point of Contact (POC) regarding equipment requiring repair or replacement due to apparent user abuse, negligence, or missing significant parts, such as circuit cards or boards.

1.4 Equipment Destination Since the intent of this Contract is to satisfy AIT requirements worldwide, and since the items offered by CDO Technologies are offered worldwide, all orders against this Contract must stipulate the intended geographic area of operation in order to ensure that the appropriate AC cables, plugs, and adapters are included.
1.5 Inspection, Acceptance, and Receipt The Contractor will only tender for acceptance those items that conform to the requirements of this contract. The Government reserves the right to inspect or test any supplies or services that have been tendered for acceptance. The Government may require repair or replacement of nonconforming supplies or re-performance of nonconforming services at no increase in contract price. If repair/replacement or re-performance will not correct the defects or is not possible, the Government may seek an equitable price reduction or adequate consideration for acceptance of nonconforming supplies or services. The Government must exercise its post-acceptance rights within a reasonable time after the defect was discovered or should have been discovered; and before any substantial change occurs in the condition of the item, unless the change is due to the defect in the item.

CDO recommends Advanced Identification's IUID Compliance Verifier System. This verification system includes the Cognex Dataman 100 which will verify data matrix ECC 200 marks to ISO 15415, SAE AS9132A, and AIM DPO Guideline standards. The verification equipment will also validate data structure encoded in the marks to DoD IUID Syntax. The equipment will verify marks with cell sizes from 7.5 mil to 25 mil and up to one square inch in overall size. The equipment will include USB to USB interface cable to connect to a computer operating Windows 7 or later and will include the necessary software to produce, store, and print verification reports for each mark verified. The 5508 WLC is a highly scalable and flexible platform that enables system wide services for mission-critical wireless networking. Wireless Intrusion Detection Detail: The Cisco Intrusion Detection System/Intrusion Prevention System(CIDS/CIPS) instructs controllers to block certain clients from accessing the wireless network when attacks involving these clients are detected at Layer3 through Layer 7. This system offers significant network protection by helping to detect, classify, and stop threats including worms, spyware/adware, network viruses, and application abuse. Two methods are available to detect potential attacks: IDS sensors, IDS signatures
You can configure IDS sensors to detect various types of IP-level attacks in your network. When the sensors identify an attack, they can alert the controller to shun the offending client. When you add a new IDS sensor, you register the controller with that IDS sensor so that the controller can query the sensor to get the list of shunned clients.
You can configure IDS signatures, or bit-pattern matching rules used to identify various types of attacks on incoming 802.11 packets, on the controller. When the signatures are enabled, the access points joined to the controller perform signature analysis on the received 802.11 data or management frames and report any discrepancies to the controller. If an attack is detected, appropriate mitigation is initiated.
The Cisco Wireless Intrusion Detection System has 17 standard WIDS signatures, which it uses to detect rogue devices (access points and clients) and other hostile or threatening activity. Once the Cisco Aironet access points are powered up and associated to the WLAN controllers, they scan the coverage area 24 hours a day for the presence of rogue APs, rogue clients, and suspect wireless traffic that may be operating within the environment. As the controller detects intrusions, it generates real-time alerts and dispatches alarm notifications to administrators with further details about the offending activity.

BarTender provides a “what-you-see-is-what-you-get” interface, allowing users to easily design and create custom labels and forms to meet government formats and standard requirements. With a what you see is what you get design capability, it is easy to combine bar codes, text, and graphics into professional quality labels. SMARTRACK® is currently used by numerous military customers in the US Army and US Marine Corps and has been deployed CONUS and OCONUS, including combat zones.
SMARTRACK’s flexibility provides the mechanism to add any quantity or type of equipment and personnel from multiple units. All personnel and equipment can be managed through the automated arms room. Units can conduct inventory, maintenance, training, issue and turn in of equipment in accordance with established regulations. It is a total solution product that increases the accuracy of the units’ property accountability, thus allowing for increased readiness in the combat environment.
Heads Up Display (HUD): produces current system status updates reminding the user of what scheduled tasks are to be conducted. The user is notified when maintenance is due, when inspections are due, amounts of items checked in and checked out, ammo storage status and personnel alerts. The HUD provides the user the ability to easily complete important functions.
Master Authorization List (MAL): serves as the system controller. The MAL is a real time feature that displays the results of transactions, as they occur to include Property Book Assignment, Personnel Assignment, Maintenance and Checked-Out Item Status. MAL provides valuable information to keep the user and customer informed of where your equipment is assigned, who it’s assigned to, and what the maintenance status is at all times. Assigning and reassigning equipment is made effortless through drag and drop interfaces.
Turn-in and Issue: is completed in a fraction of the time it used to take. All forms are automatically populated and printed while automatically updating the MAL in real time. Security is improved through the use of the common access cards and personnel identification numbers. Unique features such as rounds fired tracking, issued items reports, and personnel issue restrictions allow the user to customize the system to fit the organization.
Conduct scheduled and un-scheduled maintenance: with automatic maintenance, scheduling maintenance is no longer a monumental task. All maintenance requirements are automatically presented to the user, applicable forms are auto populated, maintenance statuses are then tracked from beginning to end and includes parts ordering and off site, maintenance tracking.
SMARTRACK® provides the capability to conduct daily, monthly and on demand serial number inventories in 30 percent of the time it used to take saving you hours of work. Inventories provide you with valuable information such as what is present, what is not present, where it is, when it was checked out and who is currently in possession of the items. 6.1 Introduction CDO was incorporated in 1995 to provide quality management and information technology solutions to government and commercial clients. Our assignments have included technology insertion, process re-engineering, and legacy systems integration efforts. Additionally, CDO has been responsible for the design, development, deployment, and sustainment of several AIT hardware and software solutions. Since its inception, CDO has and continues to provide these, and many other, information technology services. CDO is thoroughly familiar with the overall benefits, strengths, limitations, and operating environmental requirements of AIT solutions available in the marketplace today. CDO has been appraised at a CMMI Maturity Level 2, with a Capability Level 3 for all process areas in the managed scope in accordance with Software Engineering Institute standards and CDO is ISO 9001:2008 certified.
Our experience as a solutions provider is built on our approach that evaluates our customer’s business processes, determines the solution requirements, and then selects the most suitable products and services to meet these requirements. Our extensive partner network and relationships with industry leading hardware and software providers enables us to provide cost-effective proven integrated solutions that meet our customer’s requirements and achieve expected Return On Investment (ROI) objectives. For example, CDO was selected to evaluate RFID technologies and their potential benefits on two Air Force Automatic Identification Technology Program Office contracts. On our Depot Maintenance Re-engineering Team (DMRT) contract, among others, CDO has demonstrated the effectiveness and process improvements that may be afforded through the implementation of a variety of AIT and RFID technologies. The implementation effort associated with the DMRT contract has demonstrated measurable improvements to supply chain visibility, maintenance workflow monitoring, and quantification of materials on-hand.
6.2.1 Travel
When a Task Order requires travel, CDO will develop travel plans and cost estimates for inclusion in our response to a Request For Quotation for the Task Order. CDO’s Program Manager will review all travel plans to ensure that they comply with the terms and conditions of this contract and that they comply with the Federal Joint Travel Regulations or other applicable regulations.
6.2.2 TES Trip Report
CDO will prepare and submit a TES Trip Report to the Task Order POC or Task Order COR, if applicable, no later than five workdays after the completion of each trip made for TES. CDO’s trip report will be tailored to most effectively discuss the events, accomplishments, and recommendations specific to the trip. As a minimum, each trip report will include:

6.2.3 Program Manager
CDO’s Program Manager (PM) will be responsible for the overall performance on this contract. In that role, the PM will manage all orders placed, formulate work standards, schedules, staffing plans, and ensure project performance on all assigned tasks. Our PM will oversee the work of CDO’s Project Managers that are assigned to specific Task Orders, review any TES Trip Reports that may be required, and review all travel plans to ensure compliance with the terms and conditions of this contract and in accordance with the Joint Travel Regulation.
6.2.4 Software Development Services
CDO brings extensive experience to our customers in the area of software development. Our involvement spans initial concept design to field support. Our technical approach is a unique blend of proven processes that leverages our functional experience, our software engineering development expertise, our proven past performance, as well as our military background, as part of an integrated team approach. Our view of this integrated approach built around our Software Engineering Institute Capability Maturity Model – Integrated CMMI Level 2/3 processes and industry best practices. CDO has attained a CMMI Maturity Level 2. Our technical approach focuses on process improvement and ensures proper execution of all activities including proactive management, plan, requirements determination, source selection support, costing, design, architecture, prototyping (as applicable), security, development, integration, testing, site surveys, deployment, installation, data migration, training, sustainment, help desk, and operational support of users, systems, and components. Our processes are compliant with IEEE/EIA 12207.0 Software Life-Cycle Processes (including 12207.1—Life-Cycle Data and 12207.2—Implementation Considerations). Our technical approach is characterized by adherence to Information Technology standards and our proven methodologies/processes and uses standard tools to the maximum extent possible.
NOTE: CDO’s Software Development Services, on this contract, are limited to the development work required to implement, modify, interface, and integrate an AIT-V application(s) to an existing Government application(s) and database(s) e.g., Standard Army Retail Supply System (SARSS), Transportation Information System (TIS). Services include new software development, which may include translation of existing Government code that has been determined necessary to ensure operation of the system.
6.2.5 Installation/De-Installation/Relocation Services and AIT Installation Plans
CDO has proven methodologies and techniques to professionally, cost effectively, and accurately plan, execute, and manage Installation/De-Installation/Relocation (IDR) assignments. Our technical specialists and project team members follow formal procedures and utilize comprehensive checklists to ensure that every step in the process is completed. From initial site survey and analysis through on-going sustainment of operations, CDO will provide personnel with the solution-specific technical expertise and experience to plan, manage and execute IDR tasks.
CDO will provide all necessary installation support equipment, cables for the interface of the various components forming an installation, including the AIT devices, servers, peripheral devices, and power device specific power supplies as required. CDO will provide these items based upon our Task Order Proposal and proposed project timeline that will be submitted upon receipt of a Task Order Request For Proposal. Upon receipt of a Task Order requiring

installation/de-installation, and in accordance with the proposed schedule contained therein, CDO will install/de-install AIT equipment in accordance with the approved Installation Plan.
CDO will develop installation/de-installation action plans that will include: detailed drawings, assembly, installation instructions, detailed task descriptions, estimated task sequencing, estimated elapsed time, labor hours, and project milestones. Additionally, these plans will include considerations for AIT integration requirements that are project specific. We will create a Bill of Materials listing required AIT components, and materials required for site modifications, and that meet environmental requirements. The plan will also identify roles and responsibilities for the customer and for CDO team personnel.
6.2.6 Incidental Materials
In the event that any materials not listed in this AIT-V contract are required to accomplish these task orders, they will be quoted as incidental materials.
6.2.7 Contract Support Personnel
CDO personnel are highly skilled and proven professionals that use state-of-the-art techniques, tools, and industry best practices on each assignment. CDO professionals are trained and certified on the products offered by CDO. Our people bring the proper mix of technical acumen, analytical and industry knowledge, and managerial leadership to each project in order to effectively and efficiently complete all assigned tasks. Our labor category offerings and the in-depth knowledge of the CDO team provides comprehensive coverage to support the requirements of any Task Order received.
7.0 Training Upon receipt of a Technical Engineering Services task order requiring training development and support services CDO will analyze the training requirements. Through our analysis we will identify the most appropriate training methodology and tools required. We will use our previous experience developing training manuals, CBT's, Classroom and OJT training to develop a training plan that will meet the requirements of the task order. Once the training plan is developed we will begin the development of all required training materials and track them through our standard CDRL delivery processes.
8.0 Customer Service Desk Customers will have access to our Customer Service Desk for customer service, initiating warranty repairs and replacements, warranted maintenance, and scheduling on-call warranty and maintenance requests. Our Customer Service Desk is designed to be the single point of contact between the end user and CDO for supplied products, services, and software. The service desk not only handles incidents, problems, and requests for information, it also provides a convenient way to administer returning AIT equipment when warranty or mail-in maintenance service is required, tracking components that must be returned, and scheduling on-call warranty and maintenance service.

9.0 Warranty Support
9.1 Introduction CDO will repair or replace all failed AIT-V components covered under warranty in this Contract in accordance with the procedures outlined below. CDO will immediately notify the ordering Contracting Officer and order POC regarding equipment requiring repair or replacement due to apparent User abuse, negligence, or missing significant parts, such as circuit cards or boards.
The warranty will not apply if damage to the equipment is occasioned by fault or negligence of the Government.
During the equipment warranty period, CDO will implement changes to correct equipment malfunctions in accordance with best commercial practices. The implementation will be in accordance with a mutually agreed upon schedule. These changes will be made at no additional cost to the Government. The warranty will fully protect the Government against equipment malfunctions due to material defects, workmanship, or intrinsic operating problems. The warranty period for items ordered by Delivery Order will begin upon Government acceptance of the equipment. In the event CDO is authorized to use a Certificate of Conformance, the warranty period for items ordered by a Delivery Order will begin on the date of shipment. The warranty period for items ordered by purchase card will be in accordance with the paragraph entitled “Government wide Commercial Purchase Card” within Section H of the Contract. The warranty will include mail-in procedures and on-call procedures as specified below.
9.2 Monthly Equipment and Service Report CDO will provide PD AMIS, the COR, and Contracting Officer with a Monthly Equipment and Service Report (MESR) in Microsoft Office Excel format via electronic mail and post it on the Contractor's web site for on-line viewing and ad hoc inquiries by authorized Users. The initial MESR will be submitted covering the month the first AIT-V item is received by CDO for warranty, and will be provided no later than 10 calendar days after the end of each subsequent month e.g., January report will be submitted by 10 February. CDO will update the CDO AIT-V web site no later than seven calendar days from each event associated with the data point/field. The report will contain the following items:

9.3 Warranty Mail-In Procedures CDO will bear all shipping costs, both from and back to Government sites. CDO will bear responsibility for the equipment from the time of receipt until safe return to the Government. The Government will provide CDO with any unusual transportation instructions for return shipment after repair. When the Government does not require the same serial number equipment, CDO will ship a replacement item no later than 24 hours after notification of failed AIT-V components. If the Government requires the same serial number equipment, CDO will restore all malfunctioning equipment covered under warranty to a fully operational condition and ship the equipment back to the Government no later than ten (10) workdays after receipt of the failed equipment (CONUS and OCONUS). In the event a same serial number component requested by the Government cannot be repaired, CDO will notify the Government User no later than three workdays after receipt of the component at the CDO’s (or OEM partner’s) facility. AIT-V returned warranty items marked with an IUID that require change of custody will be coordinated with the customer and reported to the DoD IUID Registry by CDO. The Government User will provide CDO with disposition instructions for un-repairable AIT-V components.
9.4 Component Return and Tracking CDO will assign a RMA number and inform the Government User of the RMA number as the tracking number, and serial number for each AIT-V component returned to CDO for warranty service.
9.5 Warranty Replacement Parts CDO will only use new parts, or parts warranted as new by the OEM for repairs of failed Government AIT components which are under warranty. All replacement parts will be equal to or better than the replaced parts in terms of quality and performance. The warranty for all replacement items installed during the initial warranty period will be equal to the remaining warranty period for the original item, or 90 calendar days, whichever is greater.
Failed parts replaced by CDO will become the property of CDO. However, the Government reserves the right to purchase unserviceable parts containing sensitive or classified material, as required by statute or regulation.
9.6 Warranty On-Call Procedures CDO will provide on-call warranty service for AIT-V IUID Marking equipment in CONUS only. CDO will provide on-call repair no later than three workdays of notification for CONUS locations. CDO will provide on-call warranty service outside the official hours of operation when required by the using activity. When warranty service outside the official hours of operation is ordered in CONUS locations, CDO will replace or return the equipment to a fully operational status no later

than five calendar days from the time CDO is notified of the malfunction. CDO will provide On-call Warranty service support to repair the item on-site.
10.0 Preventative Maintenance
10.1 Preventive Maintenance Preventive maintenance includes all actions performed in an attempt to retain an item in a specified condition by providing systematic inspection, detection, and prevention of incipient failures. Unless otherwise specified, Government personnel will perform all preventive maintenance for items acquired under this Contract. CDO will provide to the Government, in detail, all requirements and procedures for preventive maintenance and troubleshooting-level diagnostics, in documentation and User Manuals. CDO will provide both as electronic documents to be included with every hardware order as well as downloads available on the CDO AIT-V portal located at [TBD].
