RESOLUTION NO. 1/111-R/2019 The Governor of the Central Bank of Kuwait, Having considered Articles 21 and 61 of Law No. 32 of 1968 concerning Currency, the Central Bank of Kuwait and Organizing the Bank Profession, with all amending laws thereof; and Articles 4, 5 & 7 of the Ministerial Resolution No. 40 of 2003 on the rules governing the Islamic Bank Registration System; and Pursuant to the letters of the National Bank of Kuwait dated 9 & 22/05/2019 requesting certain amendments in the Banks Register with the Central Bank of Kuwait, Hereby decides:

ARTICLE 1

The following amendments shall be entered in the Banks Register under the National Bank of Kuwait with the Central Bank of Kuwait: Reducing the CBK`s share in the capital of the National Bank of Kuwait (France) from 85% to 80.32%. Increasing the CBK`s share in the capital of the Boubyan Bank from 59.52% to 59.88%.

4. The Initial Guarantee shall be KD. 150,000 in favour of PAHW and in the form of certified cheque or unconditional letter of guarantee free of any reservations by a local accredited bank in the State of Kuwait and valid for the entire validity period. The guarantee may not be refunded until 90 days after the opening of the envelops (original and extended) or the successful bidder submits the final guarantee and signs the contract unless the bidder is cancelled. The PAHW will not give any interest for this guarantee and bidder creditor has no right to reserve this amount.

5. This guarantee shall be inserted in a separate envelope for the financial proposal, and PAHW may request the extension of the guarantee upon its expiry before the submission of the final guarantee or the signature of the contract.

6. The offer shall be valid for 90 days as from the date of opening the envelopes. 7. The works implementation period shall be 24 months as from the date of signing the

contract or the work commencement date, including the contact and approval by the competent authorities.

8. The final guarantee (contract bond) shall be 10% of the total contract value according to the conditions stated in the bidding documents.

9. The PAHW shall have right to reject any offer according to Ministerial Decree No. 146 for 2014 amended Resolution No. 42 for 2017.
