SECTION A

PAYMENT AND SETTLEMENT REQUIREMENTS

A1> PAYMENTS: ALL PAYMENTS by the PURCHASER to Producer shall be made in the form of cash - U.S. DOLLARS ONLY, money order, certified check or cashier's check drawn on a United States bank. All Deposits should be made payable to TED KIURLAND ASSOCIATES. All balance payments are to be split between CHICK COREA TOURS MANAGEMENT, INC. & BELA FLECK PRODUCTIONS respectively. Producer will refuse to accept a personal check as fulfillment of any portion of Purchaser's obligation hereunder. SETTLEMENT MUST ALWAYS BE MADE PRIOR TO THE START OF THE SHOW WITH THE ARTIST'S REPRESENTATIVE, USUALLY THE TOUR MANAGER.

SECTION B EQUIPMENT, PRODUCTION AND STAGING REQUIREMENTS

PRODUCER SHALL HAVE SOLE AND EXCLUSIVE CONTROL OVER PRODUCTION, PRESENTATION AND

PERFORMANCE OF THE ENGAGEMENT PURCHASER agrees to provide for the Producer, at Purchaser's sole cost and expense, all the requirements listed herein: B1> PIANO REQUIREMENTS: THIS MUST BE:

YAMAHA CF-X, 9 FOOT CONCERT GRAND PIANO Please understand that the piano is Mr. Corea's primary instrument and a high quality, excellent piano is essential to a quality performance. B2> AN ADJUSTABLE, PADDED CONCERT GRAND PIANO BENCH IS TO BE PROVIDED. B3> ACQUIRING YAMAHA PIANO: Please contact the Producer's Tour Manager who will assist you in acquiring the piano from the local Yamaha representative in Purchasers area. Purchaser will have to pay for any

costs incurred for usage of such Yamaha Piano. Producer will aid Purchaser in the acquiring of piano but Producer is under no obligation for payment of piano. B4> PIANO TUNING & CARE: a. Yamaha Piano should be delivered and positioned on performance stage at least six hours before concert is schedule to begin. b. Tuning must occur after the piano is positioned on stage at its final performance position (SEE STAGE PLOT - ADDENDUM B) and cannot be moved after tuning takes place. In order to keep the tuning of the piano "fresh" for the performance, the piano should not be tampered with, moved, or played by anyone other than those specifically authorized by the Producer. c. Piano must be tuned on the day of the performance and immediately prior to Producer's arrival at the performance site. If the piano upon arrival at the concert hall has been already set to a certain pitch, please DO NOT RAISE OR LOWER THE PITCH on the day of the show. For example, if it is already set to 442, have it tuned at that pitch, do not lower it to 441 or 440. The tuning will need to be touched up after the sound check and again at the intermission. If the piano is being supplied by Yamaha or from a rental company please inform them not to change the pitch of the piano. d. Temperature, humidity and lighting on the stage should, at the time of piano delivery, be adjusted to resemble conditions that will exist during the concert and thus minimize the changes in the piano strings, hammers, wood frame, springs and other parts which sometimes occur from changing atmospheric conditions. B5> PIANO TUNER: Piano tuner must be scheduled to tune when the instrument is delivered, after the sound check AND at the intermission. In the event there is no intermission scheduled the tuner MUST stay at least until the performance is halfway over. If the performance is being recorded for television or radio, the tuner is required to stay until the end of the performance. B6> CONTINGENCY: If Mr. Corea is traveling with his own piano tuner it is understood and agreed upon by the PURCHASER that Mr. Corea's piano tuner has the right to make reasonable adjustments and to tune the piano. B7> ADDITIONAL EQUIPMENT FOR BAND: ONE (1) percussion table, ONE (1) 30” bar stool and TWO (2) Manhasset-style Music Stands, ONE (1) Amp Model #TA 100R B8> STAGE REQUIREMENTS: SEE SOUND ADDENDUM B : A stage area twenty-four (24) feet wide and sixteen (16) feet deep for the exclusive use of the Producer. PURCHASER agrees that this stage will be kept free of people and equipment not necessary to the production during the time it is assigned to the Producer. Purchaser also agrees that if the engagement is to be performed outdoors there will be adequate covering to protect the artist and all equipment from direct sunlight, wind, rain, etc., to the Producer's satisfaction. B9> ELECTRICITY:

- Electricity available mid-stage center for Bela Fleck quipment. - Outside the US and Canada: one transformer to 110 volts must be provided at the house mix position.

B10> TIME OF AVAILABILITY OF STAGE: The place of performance will be completely ready and available to Producer for a sound check at least three (3) hours prior to performance. In the event the Producer requires an earlier load-in and set up time, Purchaser will be notified a minimum of twenty-four (24) hours in advance with the specifics of such requirements. Purchaser will also ensure that the stage entrance door is open and unlocked and clearly marked for arrival of Producer. B11> SOUND SYSTEM: PURCHASER shall furnish a professional sound reinforcement system with stage monitors and microphones at the sole cost of the Purchaser. The system shall be chosen for its high quality and clean sounds, tending more toward a "hi-fi" system than a loud "rock & roll" system. Also to be furnished is personnel who are responsible for erecting and setting up the system and ensuring it is fully operational prior to sound check time and throughout the performance. Purchaser must also provide a monitor mix engineer. SEE SOUND ADDENDUM A. Producer retains the right to approve or disapprove for use any sound systems provided per this rider. B12> SOUND MIXING: PURCHASER will provide 3 consecutive rows of six (6) seats open, approximately 75-100 feet (23 - 31 meters) from the stage in the center of the audience for the placement of the sound mixing console and ancillary equipment necessary to the production of the engagement. It is also agreed and understood that a representative of the Producer shall have the sole and absolute authority in mixing and controlling the sound direction while Producer is performing at Producer's discretion only. B13> LIGHTING REQUIREMENTS: Chick prefers no direct lighting and likes the stage to be lit similar to a “classical music” concert with a lot of white, natural,full-color light. The whole stage must be lit, not just the areas where there are instruments or musicians--The reason for this is that during the show the musicians will perform and walk all over the stage. The house lights should be set at a very dim “glow” so that Chick & the musicians can see the audience. There MUST NOT be any lighting changes during the show, once a look is established and we approve it, it should not change. The idea is to light the show as if the band and the audience were playing in a living room or a small club not like a rock concert. B14> LOCAL CREW REQUIREMENTS: Producer must be supplied with a minimum of at least two (2) stage crew to assist with load-ins, setting up and breakdowns, one (1) monitor engineer and a sound representative from the sound company. They are to make themselves known and available to Producer's Tour Manager at load-in, and load-out, time. It is the responsibility of the Purchaser to see that this happens. B15> ACCESS PASSES: PURCHASER shall provide at his sole cost, backstage passes or some acceptable form of identification or authorization to all members of the Producer's crew, band and support personnel to insure complete freedom of movement throughout the place of performance.

SECTION C

ADVERTISING, PROMOTION, PUBLICITY & ANNOUNCEMENTS C1> BILLING, ARTWORK, ADMATS: PURCHASER agrees to use only the artwork and admats approved by Producer in all printed advertisements, flyers, newspaper ads, posters and any other media. PURCHASER agrees to the following billing for any marquees, lobby boards, programs, printed tickets, signs, etc.

C2> PUBLICITY PHOTOS: No Photos of CHICK COREA, BELA FLECK will be used other than those supplied by the Producer FOR THIS TOUR. Photos can be obtained by contacting Evelyn Brechtlein at Chick Corea Productions. C3> INTERVIEWS: PURCHASER agrees not to commit any member of the band to any personal appearances, interviews or any other type of promotion or appearances without Producer's prior written consent. All requests for interviews or other publicity should be directed to: EVELYN BRECHTLEIN PHONE:818-951-3535, FAX: 818-951-6526 C4> OTHER GROUPS AND PERFORMERS: If Producer is performing in a headline situation, PURCHASER agrees that the appearance of any act(s) on the same bill with Producer will be subject to Producer's prior written approval. If this has not been done, or if PURCHASER has not received at least verbal agreement directly from CHICK COREA PRODUCTIONS AT 818-951-3535, Producer reserves the right to cancel performance at any time.

NO OPENING ACTS WITHOUT PRIOR WRITTEN APPROVAL OF THE ARTIST'S MANAGEMENT.

C5> MERCHANDISING: Chick Corea Tour Management, Inc. shall have the sole and exclusive right to sell products i.e. T-shirts, souvenirs, programs etc. in connection with and at the performance hereunder and the receipts thereof shall belong exclusively to Chick Corea Tour Management, Inc., or its assigned agent.

PURCHASER agrees that no other program, souvenir, photographs, recordings (products identified with artist) or other material shall be sold or distributed in connection with this performance without prior approval of the Producer. PURCHASER will ensure any clearance or approval necessary from venue management or any other party or persons, is obtained to permit Producer to distribute the above merchandise in and around any area of the performance site. C6> COMPLIMENTARY TICKETS: PURCHASER agrees to provide twenty (20) complimentary tickets or 1% of the house per performance to the Producer. PURCHASER and House Management comps will not exceed twenty (20) comps without prior approval from Producer. Producer or his representatives will furnish a comp ticket list the evening of the performance and return any complimentary tickets not needed at least one hour prior to the performance. C7> SEGREGATED AUDIENCES: Producer will not appear or perform before any audience which is segregated on the basis of race, color or creed . C8> ANNOUNCEMENTS: The Producer requires no announcement or introduction to begin the performance. However, if there is any announcement required by law regarding safety exits, no smoking, etc., they may only be done in conjunction with the Producer, at least 5 minutes prior to the start of the performance.

SECTION D

HOSPITALITY, AND DRESSING ROOM REQUIREMENTS D1> DRESSING ROOMS: TWO (2) comfortable, private STAR dressing rooms. Each dressing room is to be equipped with TWO (2) hand towels, TWO (2) large clean TERRY CLOTH TOWELS, bottled water, clothes hangers, chairs or sofas; comfortably heated and/or air conditioned, ventilated and well lit. These rooms shall be in easy access to CLEAN lavatories which are supplied with SOAP, toilet tissue and towels. These lavatories shall be closed to the general public. PURCHASER shall be solely responsible for the SECURITY of items in the dressing room area and shall keep all unauthorized persons from entering said area by stationing a SECURITY representative of the PURCHASER outside the dressing rooms before, during and after the performance. Dressing Rooms are to be clearly labeled as follows:

D2> BEVERAGES AND FOOD FOR BAND: The following beverage and food requirements should be placed in a room labeled "HOSPITALITY ROOM". PLEASE SEE HOSPITALITY ADDENDUM C. D3> HOT MEAL BAND AND CREW: PURCHASER will provide a hot meal (dinner) for the crew and band consisting of SIX (6) people PLEASE SEE HOSPITALITY ADDENDUM C. ***The time of the dinner service should be coordinated with the Tour Manager.

SECTION E AIRPORT PICK-UPS AND LOCAL TRANSPORTATION

E1> AIRPORT PICK-UP: If the band is traveling by plane airport pickups are required. PURCHASER must provide 2 SUV s (Or Two comfortable air conditioned cars) AND An empty luggage van for 14 pieces (minimum) of luggage and equipment . A representative of the purchaser should meet them at baggage claim.. Please arrange with Tour Manager for airport pickup times etc.

The above mentioned transportation must be supplied to the nearest MAIN airport that the group can comfortably fly in to. The Purchaser is to provide this up to 2 days before the performance and 2 days after. E2> LOCAL TRANSPORTATION: 2 SUV’s (or 2 cars) are required for transportation to and from the venue, from the hotel for sound check and the performance. A separate, empty luggage van, or truck, will be required to bring the equipment between the hotel and the venue, before and after the performance.

SECTION F INSTRUCTIONS FOR STAFF AND AUDIENCE

F1> AUDIENCE ENTERING HALL: PURCHASER shall not allow audience to enter place or performance until such time as technical set-up and sound check has been completed unless otherwise agreed. F2> LIGHTS & MUSIC AT CONCLUSION OF CONCERT: Raising the house lights signals the end of the performance, the determination of which shall remain the right of the Producer. IT IS FURTHER AGREED THAT NO MUSIC WHATSOEVER WILL BE PLAYED BEFORE OR AFTER THE PERFORMANCE.

SECTION G INSTRUCTIONS FOR TV, VIDEO, RECORDING & PHOTOGRAPHY

G1> TELEVISION & VIDEO: In the Event that it is agreed that the performance can be recorded on Video or TV Cameras the following conditions must be agreed to. This agreement must be obtained in written form through Mr. Corea's agent, Ted Kurland Associates. THIS CLAUSE IS NOT AN AGREEMENT THAT THE CONCERT CAN BE RECORDED FOR TV OR VIDEO. Mr. Corea would like the TV/Video director and crew to do all they can to help him make the live performance a success. This will result in the best possible performance for the TV/Video cameras. Chick Corea and his representative on tour will discuss the performances' guidelines with the TV/Video director so that the director can understand how to make a good TV show out of the performance as well as helping make the live performance a success. Lighting, camera placement and movement should not distract from the live performance in any way. Mr. Corea requires that cameras be kept at a certain distance at all times. MR. COREA AND HIS REPRESENTATIVE RESERVE THE RIGHT TO HAVE FINAL CONTROL ON CAMERA POSITIONS AND PLACEMENT. Mr. Corea and representatives will work with the TV director to help make the TV filming a good one and expects the same from the TV director and crew regarding the live performance. G2> RECORDINGS, PHOTOS: No portion of this performance, rendered hereunder may be broadcast, photographed, recorded, filmed, taped or embodied in any form for any purpose of reproducing such performance and purchaser agrees that it will not authorize any such recording without prior written consent of the producer. Purchaser will deny entrance to any persons carrying flash cameras, tape or video recording devices, without limiting in any way the generality of the foregoing prohibition. Press are allowed to photograph the first two numbers of the performance with no flash. A sign must be placed at each entrance to the concert site stating : "NO PORTION OF THIS PERFORMANCE MAY BE PHOTOGRAPHED, RECORDED, FILMED OR VIDEOTAPED". It is understood that the producer will make a high quality cassette or D.A.T. recording of every performance for the producers own library use.

SECTION H SECURITY

H1> SECURITY: PURCHASER will provide adequate security personnel for the protection of the artist, persons who travel with the artist and their personal property. Such security personnel will be available during sound check, performances, and at least one half (1/2) hour after performance.

THE STAGE AND BACKSTAGE AREAS SHALL BE CLEARED OF ALL PERSONS DURING THE SOUNDCHECK AND PERFORMANCE SUBJECT TO PRODUCER'S DISCRETION.

SECTION I

PERMITS, LICENSES AND WORK VISAS I1> PERMITS, LICENSES AND WORK VISAS: PURCHASER shall furnish and provide at his sole cost and expense any and all necessary permits, licenses, work permits, and authorizations from any and all governmental agencies, bureaus and departments, federal, state or local.

SECTION J HOTEL REQUIREMENTS

J1> HOTEL REQUIREMENTS: Purchaser shall provide FIVE STAR hotel accommodations for the band and crew. This shall consist of 2 suites and 4 single occupancy rooms. Please arrange for large rooms on high, quiet floors. The hotel should have a fitness room, health facility or gym available. The hotel is subject to approval by the Producer. The Producer may have a tour bus to park at the hotel as well. Please e-mail proposed hotel to the tour manager for approval. The rooms should be booked for CHICK COREA .1 BEDROOM SUITE with SEPARATE LIVING ROOM, BELA FLECK .1 BEDROOM SUITE with SEPARATE LIVING ROOM and 4 (FOUR) large single rooms. J2> ROOM CHARGES: Purchaser is liable for the room and tax charges. Producer shall ensure that all the incidental charges (phone, restaurant, etc.) are paid upon departure.

SECTION K LEGAL CONTRACTUAL CLAUSES

K1> BREACH OF AGREEMENT: In the event PURCHASER shall breach this agreement, Producer shall have the right without limiting any of its other remedies hereunder, to refrain from rendering a performance or stop rendering a performance if such a breach occurs during the rendition of a performance. Notwithstanding the cessation of such performance, the PURCHASER shall be liable to Producer for all of the fees and compensation hereunder in the same manner as though the Producer had fully performed. A BREACH OF ANY CLAUSE IN THIS RIDER BY THE PURCHASER SHALL BE DEEMED A MATERIAL BREACH. If Producer elects to perform or continue to perform notwithstanding a breach of this agreement by PURCHASER, the performance by Producer shall not constitute a waiver or any claim the Producer may have for damages or otherwise. K2> AMENDMENTS TO AGREEMENT: Any proposed additional terms or conditions which may be affixed to this contract by PURCHASER does not become part of this contract until signed by CHICK COREA TOUR MANAGEMENT, INC.. By sole act of signing, PURCHASER accepts all provisions of the CHICK COREA TOUR MANAGEMENT, INC. contract regardless of any additions or deletions PURCHASER may try to make. K3> LEGAL RELATIONSHIP: This agreement shall not be construed to create a joint venture or partnership between Purchaser and Producer and no business relationship other than that of Purchaser/Producer shall exist between the parties. K4> WAIVER RE: RIOTS, ETC.: In the event of public calamity or riots, epidemic, fire, serious illness or injury, or cancellation not under the control of CHICK COREA TOURS MANAGEMENT, INC., or other act of God, no claim shall be made of CHICK COREA TOURS MANAGEMENT, INC., in respect to non-fulfillment of this agreement with regard to the concert(s) so affected. In the event of serious illness or injury, a doctor's certificate will be supplied by CHICK COREA TOURS MANAGEMENT, INC. K5> TRANSFER OR ASSIGNMENT: It is agreed that this rider and attached contract may not be transferred in whole or in part to any other party or individual. It is the sole responsibility of the PURCHASER to deliver, perform, comply with and complete each detail of this rider and attached contract.

ADDENDUM A

SOUND SYSTEM

P.A. SYSTEM: A high quality P. A. System which produces a full & even coverage of the complete audience. System should be capable of producing a minimum SPL of 95dB at the last row with a frequency response of 30hz – 18khz. LINE ARRAY SYSTEMS WITH SUBWOOFERS PREFERRED. ADDENDUM C

HOSPITALITY RIDER

Artist’s representative will go over and approve all requirements with promoter representative prior to date of show. Changes or substitutions are subject to approval by Artist’s representative. Load in: A selection of hot & cold beverages must be made available to Artist and Artist's road crew beginning when the crew arrives for load in (3:00pm) and continuing throughout the day. These shall include non-carbonated spring water, cold sodas, assorted fruit juices with no sugar added, and hot coffee with sugar, milk, Milk and honey. Dinner for SIX (6): After sound check, purchaser will provide a hot meal at the venue. Please note the use of chaffing pans is acceptable and No SALT or OIL should be used in the preparation of all non-meat dishes. The dinner is to be kept up until the end of the performance and consist of:

• Salad Bar (spinach, romaine,sliced tomato, cucumber, broccoli, mushrooms, bell pepper, cilantro, jalapeno

pepper, ripe whole avocado, garlic, cheese, blueberries, strawberries and unsalted sunflower seeds) • Selection of salad dressing (containing no sugar, oil or salt) • Vegetable soup w/ beans • Brown rice • Grilled or well (slightly overcooked) steamed green vegetables, 3 different kinds prepared separately

(Spinach w/ garlic, kale, broccoli, bok choy... ) • Surprise vegan dish (vegan curry, vegan chili, etc.) • Steamed or grilled fish for 4 persons (salmon or lean white fish; wild caightand not farmed)

*Please have “ to go” style containers for any left over food

*NO Plastic, China plates and metal utensils please

In situations where in-house dinner is not feasible, artist's tour manager will discuss outside eating arrangements with purchaser. A reasonable budget figure will be set and dinner is the sole responsibility of purchaser. Dressing Rooms The following items must be available in the dressing room at a time designated by Artist’s representative. All perishables shall be properly stored and covered.
