Mr. Hudson is a member of Houlihan Lokey’s Tech+IP Advisory practice and has nearly two decades of experience providing intellectual property advisory services to clients and IP owners in the Americas, Europe, and the Asia-Pacific region.

Before joining Houlihan Lokey, Mr. Hudson was EVP & Chief IP Officer with a privately held technology company, where he was responsible for managing all aspects of IP management and strategy. In this role, he worked closely with others on the executive management team and board of directors and with outside counsel to protect innovation and drive overall corporate and shareholder value. Prior to this position, Mr. Hudson was a member and co-leader of Deloitte’s National Intellectual Property Advisory practice within Deloitte Advisory.

He has conducted royalty audits and related IP investigations; calculated reasonable royalties and lost profits in the context of IP disputes, licensee identification, and license negotiations support; implemented strategic and enforcement licensing programs, determining reasonable royalty rates and optimal licensing structures; valued and sold royalty streams; and evaluated intellectual asset and intellectual property management programs and technology transfers.

These engagements have been in the context of mergers and acquisitions, bankruptcy and restructuring, divesture, arbitration, mediation, litigation, securitizations, investigations, tax planning, joint venture formation, and spinouts. Austin J. Lee is a Managing Director with Deloitte Advisory and concentrates in valuation matters for financial reporting and regulatory compliance.

Mr. Lee most recently served as a Professional Accounting Fellow for valuation in the Chief Accountant’s office for the Division of Corporation Finance at the U.S. Securities and Exchange Commission (SEC). As a fellow, Mr. Lee participated on rule making committees responsible for shaping valuation policies under Dodd Frank, US GAAP, and IFRS. Profile Mr. Niemi is an Executive Director in Ernst & Young’s Valuation and Business Modeling practice in the San Francisco office. He is responsible for practice development, managing practice operations, and the execution of valuation engagements.

Experience Mr. Niemi has extensive experience in the valuation of business enterprises, equity and debt interests, and various intangible assets associated with businesses. Types of engagements include allocation of purchase price as part of a business combination, valuation of minority and control equity interests for tax planning purposes, corporate/strategic planning, and recapitalizations. Executive Summary

Carl Saba is a Partner in the Forensic and Financial Consulting Service Group at Hemming Morse, LLP.

He is a recognized leader within the business valuation community, with over twenty years of experience

advising companies on complex valuation issues for litigation, mergers and acquisitions, tax, and fi nancial

reporting matters. His valuation expertise spans business valuation, valuation of intellectual property and other

intangible assets, and valuation of options and other derivatives.

Carl has led in excess of 500 valuation engagements over the last ten years across a broad range of industries

with niche expertise in the areas of Technology, Life Sciences, and Medical Device. He has assisted clients

as a valuation expert in high exposure situations in initial public offerings, acquisitions, corporate restructure

transactions, and bankruptcy reorganizations with transaction values exceeding $1 billion. He has also assisted

clients with resolving valuation disputes with the Internal Revenue Service (IRS), and addressing valuation inqui-

ries and reviews by the Public Companies Oversight Board (PCAOB), and Securities and Exchange Commission

(SEC).

On litigation matters, Carl has served as an expert and testifi ed on a wide range of complex business disputes

involving economic damages. These have included shareholder dissolution actions, business interruption,

unfair competition, patent infringement, alter ego, lost wages, and fraud claims. In most cases, he has been

successful in contributing to a favorable award for clients and out of court settlement of the dispute.

Carl also has signifi cant fi nancial advisory experience in mergers and acquisitions due diligence and turnaround

management. He has lead due diligence efforts that have assisted his clients in negotiating key deal terms,

negotiated with creditors to recapitalize companies, and helped management teams defi ne strategic direction.

Contributing to thought leadership within the valuation community is something Carl is passionate about. He

co-founded and currently Chairs the Executive Committee of the Fair Value Forum, a business valuation expert

group dedicated to defi ning best practices within the profession. He also served a term as President of the

Valuation Roundtable of San Francisco, and several years as a board member. Carl has authored several

articles on cutting edge valuation topics, and teaches and lectures on the topic frequently.

He has performed valuations of businesses, business interests, intangible assets, economic damages, derivatives, and lost profits. His experience includes preparing valuations for a wide range of purposes including financial reporting, litigation support, corporate planning and consulting, mergers and acquisitions, estate and gift tax reporting, and employee stock ownership plans. From 2013 to 2015, Adam served as a practice fellow at the Financial Accounting Standards Board (FASB) specializing in fair value issues. In that role, he worked on projects with the FASB, the Financial Accounting Foundation (FAF), the Emerging Issues Task Force (EITF), the Private Company Council (PCC), and the Governmental Accounting Standards Board (GASB) and performed extensive outreach with regulators, other standards setters, and accounting and valuation professional organizations. From 2015 to 2017, Adam was the Technical Director of Business Valuation Standards for the International Valuation Standards Council (IVSC) and worked with the IVSC Standards Board to develop an updated and improved version of the International Valuation Standards. In his position, Adam worked with other technical staff to write two new chapters and revise the existing chapters of the International Valuation Standards. Publication of the revised standards was completed in January 2017. Adam received his B.A. in Business and Economics with a Minor in Accounting from the University of California, Los Angeles. Mr. Vogt is a member of Houlihan Lokey’s Financial Advisory Services business and has nearly 20 years of experience in advisory services. He has a particular emphasis in the valuation of public and closely held businesses, business interests, intangible assets, and intellectual property for transactional, tax, and financial reporting purposes. He has advised private equity firms and their investors, public and private companies, nonprofits, attorneys, and government agencies in valuation, investment, and other financial consulting matters. Mr. Vogt also has experience in the valuation of public and privately held equity securities in complex financial structures, debt, warrants with price protection features, embedded derivatives, and contingent liabilities.

Prior to joining Houlihan Lokey, Mr. Vogt was a Director in the Atlanta office of Grant Thornton LLP’s Transaction Advisory Services practice. Mr. Vogt performed valuations primarily for financial reporting purposes associated with asset allocations, goodwill impairment analyses, and valuations of equity securities issued as compensation. He has worked across many industries, including information technology services, software-as-a-service (SaaS), healthcare, manufacturing, consumer product retailers, and automotive retailers.

Additionally, Mr. Vogt has prior experience in forensic accounting and litigation support services in shareholder disputes, marital dissolutions, and civil and criminal investigations. He has provided expert witness testimony and provided his expert valuation opinion before the Department of Justice.

Mr. Vogt holds a B.B.A. in Finance from Kennesaw State University. He is currently a candidate member of the American Society of Appraisers.

George WilfertPublic Company Accounting Oversight BoardDeputy Director

George Wilfert, Deputy Director, serves as senior technical advisor in the Office of Economic & Risk Analysis (ERA), and is responsible for overseeing support to PCAOB staff on complex matters, as well as helping lead certain of the Board’s strategic initiatives. Mr. Wilfert collaborates with staff from the Securities and Exchange Commission and the Financial Accounting Standards Board on various PCAOB-related matters.

Mr. Wilfert has 24 years of large firm and regulatory experience. He joined the PCAOB in 2006 as an Inspections Leader working on the inspections of large firms. He became an Associate Director in the Division of Registration and Inspections in 2009 before moving to the Office of Research & Analysis, and became a Deputy Director in 2011.

Prior to joining the PCAOB, Mr. Wilfert worked for a decade at PricewaterhouseCoopers. Two of those ten years were spent at the firm's national office focusing on risk management and performing consultations. Before joining PricewaterhouseCoopers, Mr. Wilfert worked for Arthur Andersen. He began his audit career at KPMG Peat Marwick.

Mr. Wilfert also serves as part time adjunct faculty teaching auditing in the Masters of Accountancy Program at the University of California, Irvine. Mr. Wilfert earned a B.S. in Accounting from Loyola Marymount University. Mr. Wilfert is a certified public accountant in California and New Jersey.
