1. Roll Call

The meeting was called to order at 6:00 p.m.

2. Approval of meeting minutes from meeting on Thursday, June 6, 2019.

Motion by Mike Charles, second by Allan Radant to approve the minutes from June 6, 2019 Municipal Services and Utilities Committee. Roll Call 4-0. Motion Passed.

3. Discussion and possible action on 888 Dorothy Drive Easement

Encroachment Agreement. Director of Public Works Aaron Jahncke reviewed the memo 888 Dorothy Drive with the committee stating the current homeowner is replacing an existing deck (and increasing deck size), during the inspection of the footings the building inspector located a manhole. The previous deck was on a portion of the 20” sewer easement and the actual manhole location was concealed with a previous structure that was razed to expand the deck. There was not a representative for property at 888 Dorothy Drive to discuss in detail. Motion by Radant to not endorse the 888 Dorothy Drive Deck encroachment and for Council to not approve the agreement, second by Klapper. Roll Call 3-1 with Charles voting no. Motion Passed.

4. Discussion and possible recommendation RA Smith W. Carroll St. Survey Contract. Jahncke reviewed the memo W. Carroll St. Survey and reminded the committee that this was budgeted last year to cover these costs. Motion by Charles, second by Radant to recommend to Council the W. Carroll St. Survey Agreement not to exceed 14,600. Roll Call 4-0. Motion Passed. 5. Discussion on Capital Improvements Update. Jahncke reviewed the memo Capital Plan Updates. Jahncke stated the Chip Seal and Crack Fill projects are completed. The sidewalk is waiting for the sidewalk crew to finish up and the Paving Rehabilitation has begun excavating and the project is expected to be finished by July 19th. 6. Adjournment.

There being no further business, motion by Charles, 2nd by Radant to adjourn. Motion carried by signifying aye at 6:32 p.m.

MEMORANDUM

To: Municipal Services & Utilities Committee From: Aaron J. Jahncke, P.E., Director of Public Works/City Engineer Subject: 888 Dorothy Dr. Date: July 3, 2019

Background:

The homeowner’s contractor began construction on the deck without a permit after pulling the permit our building inspector found a previously concealed manhole in the homeowner’s backyard. After looking in our archives we found that there is a 20’ wide sewer easement through the backyard of this property.

Analysis:

On the attached page is the original plan page. Jim Grothman will be providing an encroachment exhibit to show the areas of the encroachments. This document will most likely be passed out at the meeting on Thursday. Staff is not in favor of any structure built over an easement due to the fact these easements are placed in these areas to provide the City access to these facilities in case of an emergency or for maintenance.

Fiscal Note: There are no fiscal ramifications at this time. Recommendation:

It is staff’s recommendation that the Municipal Services and Utilities Committee does not endorse and the Council not to approve the attached agreement.

Background:

SEH is the consultant working on the preliminary design. The boundary survey is usually included in the final design. The DNR will also need a boundary survey to complete its final plans.

Analysis:

SEH broke down these costs per task and these costs are detailed in the agreement.

Fiscal Note: There was $60,000 budgeted for the Segment 2 design and part of the amount budgeted for final design. The account number is 460-00-53100213 Recommendation:

It is staff’s recommendation that the Municipal Services and Utilities Committee endorse and the Council to approve the attached agreement.

Agreement for Professional Services

This Agreement is effective as of June 27, 2019, between City of Portage (Client) and Short Elliott Hendrickson Inc. (Consultant). This Agreement authorizes and describes the scope, schedule, and payment conditions for Consultant’s work on

the Project described as: Portage Canal Segment 2 Boundary and Tree Survey.

Scope: The Basic Services to be provided by Consultant as set forth herein are provided subject to the attached General Conditions of the Agreement for Professional Services (General Conditions Rev. 07.14.16), which is incorporated by reference herein and subject to Exhibits attached to this Agreement.

The CONSULTANT shall provide a boundary survey of Segment 2 of the Portage Canal. The surveys shall provide information necessary for the preparation of plats and acquisition of rights of way and property. Cost of Service: $7,030 The CONSULTANT shall coordinate with WDNR and WDNR contractor(s) and utilize WDNR information related to its ownership boundaries of the Portage Canal. The CONSULTANT shall base the horizontal and vertical alignments off of the field surveys previously provided by the CONSULTANT, as well as by the WDNR’s CONSULTANT for sediment remediation design. Cost of Service: $520 Surveys shall include ties to section corners, quarter section corners, and to street lines or block corners in platted areas. These ties shall be in sufficient detail to permit the preparation of proper legal descriptions of the lands acquired. Cost of Service: $1,505 This PROPOSAL includes one deployment to temporarily mark up to 20 easements, and/or proposed FEE areas. Additional deployments and/or marking will be considered extra services. Cost of Service: $3,905 Locate the necessary section corners for the right-of-way plat. It is estimated that up to four section corners need to be located, established, and tied to state plane coordinates. Cost of Service: $1,040

The CONSULTANT shall locate all trees with a diameter of six inches or greater within Segment 2 of the existing WDNR-owned Portage Canal. Cost of Service: $11,800

Schedule: All work to be completed before October 2019. Payment: The lump sum fee is $25,800 including expenses and equipment. The payment method, basis, frequency and other special conditions are set forth in attached Exhibit A-2. This Agreement for Professional Services, attached General Conditions, Exhibits and any Attachments (collectively referred to as the “Agreement”) supersedes all prior contemporaneous oral or written agreements and represents the entire understanding between Client and Consultant with respect to the services to be provided by Consultant hereunder. In the event of a conflict between the documents, this document and the attached General Conditions shall take precedence over all other Exhibits unless noted below under “Other Terms and Conditions”. The Agreement for Professional Services and the General Conditions (including scope, schedule, fee and signatures) shall take precedence over attached Exhibits. Payments to Consultant for Services and Expenses

Using the Lump Sum Basis Option The Agreement for Professional Services is amended and supplemented to include the following agreement of the parties:

A. Lump Sum Basis Option The Client and Consultant select the Lump Sum Basis for Payment for services provided by Consultant. During the course of providing its services, Consultant shall be paid monthly based on Consultant’s estimate

of the percentage of the work completed. Necessary expenses and equipment are provided as a part of Consultant’s services and are included in the initial Lump Sum amount for the agreed upon Scope of Work. Total payments to Consultant for work covered by the Lump Sum Agreement shall not exceed the Lump Sum amount without written authorization from the Client.

The Lump Sum amount includes compensation for Consultant’s services and the services of Consultant’s

Consultants, if any for the agreed upon Scope of Work. Appropriate amounts have been incorporated in the initial Lump Sum to account for labor, overhead, profit, expenses and equipment charges. The Client agrees to pay for other additional services, equipment, and expenses that may become necessary by amendment to complete Consultant’s services at their normal charge out rates as published by Consultant or as available commercially.

B. Expenses Not Included in the Lump Sum The following items involve expenditures made by Consultant employees or professional consultants on behalf of the Client and shall be paid for as described in this Agreement.

1. Expense of overtime work requiring higher than regular rates, if authorized in advance by the Client.

2. Other special expenses required in connection with the Project.

3. The cost of special consultants or technical services as required. The cost of subconsultant services shall include actual expenditure plus 10% markup for the cost of administration and insurance.

The Client shall pay Consultant monthly for expenses not included in the Lump Sum amount.

Jahncke, P.E., Director of Public Works/City Engineer Subject: Portage Canal Contract Amendment Date: July 26, 2019 Background: Working with the DNR, DOT, SEH and KL Engineering it was determined that we are to concentrate on working on Segment 2 of the canal between Adams and the CP Rail bridge. The City and DOT are in further negotiations with SEH to further lower the amount of our Segment 2 design contract. I was hoping to have these negotiations complete but I will bring the revised contract to the meeting if we have an agreement.

MEMORANDUM

To: Municipal Services and Utilities Committee From: Aaron J. Jahncke, P.E., Director of Public Works/City Engineer Subject: Portage Canal Contract Amendment Date: July 26, 2019 Background: The ad-hoc canal committee, MSU and the Council agreed in previous meetings to go through a change management process to do the Lock Bridge process as a separate project. This is the design for the bridge over the locks.

Analysis:

The initial contract amount that was brought forth in February was $48,160.56 and includes sub-surface investigation and abutment design. Since then the DOT and the City has better defined the scope and has reduced the contract amount to $38,440.15.

Fiscal Note: The City is responsible for 20% of the cost so the contract will cost the City $7,688.03. Recommendation: Staff recommends that the committee favorably endorse and forward to council for approval.

THREE PARTY DESIGN ENGINEERING SERVICES CONTRACT

BETWEEN THE WISCONSIN DEPARTMENT OF TRANSPORTATION,

City of Portage (MUNICIPALITY)

AND Short Elliott Hendrickson Inc. (CONSULTANT) FOR

Project ID 6996-05-35 City of Portage, Portage Canal (Pedestrian Bridge over Locks)

Non Highway Columbia County

This CONTRACT made and entered into by and between the DEPARTMENT ,MUNICIPALITY and the CONSULTANT provides for those SERVICES described in the Scope of Services and Special Provisions and is generally for the purpose of providing the SERVICES solicited by the MUNICIPALITY for the design of foundations to support a prefabricated bridge and the design of shared use path approaches leading up to the prefabricated bridge over the locks in Segment One of the Portage Canal.

The DEPARTMENT and MUNICIPALITY deem it advisable to engage the CONSULTANT to provide certain engineering SERVICES and has authority to contract for these SERVICES under sec. 84.01(13), Wis. Stats. The DEPARTMENT REPRESENTATIVE is: Mark Weterveld, PE, Local Program Project Manager; 2101 Wright Street, Madison, WI; [email protected]; 608-246-5355. The MUNICIPALITY REPRESENTATIVE is: Aaron Jahncke, PE, Director of Public Works/City Engineer; 115 W. Pleasant Street, Portage, WI 53901; [email protected]; 608-742-2176. The CONSULTANT REPRESENTATIVE is: Chris Blum, PE; Project Manager; 6808 Odana Road Suite 200, Madison, WI 53719; [email protected]; 608-620-6192. The CONSULTANT SERVICES will be performed for the DEPARTMENT's Southwest Region office located in Madison, WI and will be completed by December 1, 2019. Deliver PROJECT DOCUMENTS to WisDOT SW Region, 2101 Wright Street, Madison, WI 53704-2583, unless other directions are given by the DEPARTMENT. Compensation for all SERVICES provided by the CONSULTANT under the terms of the CONTRACT will be from the:

For Shared Use Path Approach Plans and Structure Foundation Plans a lump sum of $34,690.15.

Compensation for all SERVICES provided by the CONSULTANT under the terms of the CONTRACT shall be for an amount not to exceed $38,440.15.

The CONSULTANT does and will comply with the laws and regulations relating to the profession of engineering and will provide the desired engineering SERVICES.

This CONTRACT incorporates and the parties agree to all of the standard provisions of the Three Party Design Engineering Services Contract, dated July 1, 2015 and referenced in Procedure 8-15-1 of the State of Wisconsin Department of Transportation Facilities Development Manual. CONSULTANT acknowledges receipt of a copy of these standard provisions.

This CONTRACT incorporates all of the MANUALS defined in the CONTRACT.

The parties also agree to all of the Special Provisions which are annexed and made a part of this CONTRACT, consisting of 7 pages. Nothing in this CONTRACT accords any third part beneficiary rights whatsoever on any non-party that may be enforced by any non-party to this contract.

VI. SPECIAL PROVISIONS

SCOPE OF SERVICES

A. DESIGN REPORTS (1) Pavement Report: The CONSULTANT shall base the flexible pavement design on what is being proposed for Segment

Two of the Portage Canal shared use path project and incorporate them with comment into the Design Study Report.

B. ENVIRONMENTAL DOCUMENTATION No Environmental Documentation will be required for this project. The Environmental

Documentation has been completed with the adjacent overall project concerning the shared use path on Portage Canal, Project ID 6996-05-27 which covers this project. No work will be required for Environmental Documentation.

C. AGENCY COORDINATION (1) Section 401 and 402 Certifications and Section 404 Permits: This project will not require agency coordination with the Wisconsin Department of Natural

Resources as well as the US Army Corp of Engineers as this coordination will be covered under the Portage Canal shared use path under Project ID 6996-05-27.

D. UTILITY INVOLVEMENTS (1) Utility Coordination Perform all utility coordination in accordance with: a) The WisDOT “Guide to Utility Coordination” for non-TRANS 220 projects

(2) The DEPARTMENT/MUNICIPALITY will provide the CONSULTANT with a list of known utilities on the PROJECT and a list of contact personnel for utility coordination. This list is not warranted to be complete, but is furnished to assist the CONSULTANT. Verify and update the list.

(3) Confer on an ongoing basis with all utility facility owners in the project vicinity to establish

mutual understanding on design features of the project affecting utility facilities, and shall keep the DEPARTMENT and MUNICIPALITY informed of all such coordination activities.

(4) The CONSULTANT shall prepare all necessary conveyance documents for the MUNICIPALITY.

The MUNICIPALITY will enter into negotiations with the affected utility companies and will prepare all other documents.

E. PUBLIC INVOLVEMENT Public Involvement Meeting(s) will not be included as part of this CONTRACT. The Public

Involvement was provided as part of the Portage Canal Environmental Public Involvement under Project ID 6996-05-27. Any work required under Public Involvement will be considered “Extra Services”.

F. MEETINGS

(1) Attend or hold an Operational Planning Meeting to discuss the organization and processing of the Services under this CONTRACT.

(2) A Final Plan Review Meeting with the DEPARTMENT / MUNICIPALITY shall be held

approximately 45 - 60 days ahead of the P.S. & E. submittal date. G. SURVEYS (1) Survey for Project ID 6996-05-27, Portage Canal shared use path, shall be used for this

project. If additional survey is required in order to perform the work, this will be considered “Extra Services”.

H. SOILS AND SUBSURFACE INVESTIGATIONS (1) The CONSULTANT shall conduct soils and subsurface investigations per normal

DEPARTMENT practices as described in Geotechnical Bulletin No. 1, August 1, 1991 or as directed by the DEPARTMENT.

(2) Perform two (2) borings for the foundation design of the prefabricated bridge abutments,

in order to determine a system to support the foundation for project needs. (3) Investigations of subsurface soil conditions for foundations at the sites of proposed bridges

or other structures are required. They shall consist of not less than one machine powered boring within the approximate limits of each substructure unit.

Foundation borings shall be performed to yield sufficient detailed data to enable an

engineering design of the structure and its foundation per DEPARTMENT LRFD standards. Foundation investigations shall be coordinated with the MUNICIPALITY, with a minimum of

three working days prior notice, to enable the MUNICIPALITY to make provisions for on-site observations and to evaluate conditions during drilling.

When borings have reached the depth of 50 feet without providing necessary data, the

driller is authorized to continue drilling until depths reach 120 percent of the planned depths. When necessary data is obtained for any individual boring, prior to borings reaching the planned depth, the drilling for that individual boring shall be terminated.

When completion of drilling to 120 percent of the depth of any individual boring as set forth above is not sufficient to adequately assess subsurface conditions, or otherwise determine all the required foundation information, the CONSULTANT shall recommend revised boring depths or a revised boring program for verbal authorization by the MUNICIPALITY. The extent of all subsurface foundation investigations performed shall be fully justified in the Soils Report for the PROJECT.

All boreholes and monitoring wells shall be backfilled as per the April 20, 1992 guidelines

titled "Wisconsin Department of Transportation Geotechnical Unit -Drilled Borehole and Monitoring Well Abandonment Procedures".

Record final borehole location; station and referenced offset and elevation. CONSULTANT shall provide boring locations.

(4) Perform subsurface investigations to analyze project geotechnical concerns and provide full detailed recommendations. The soils shall be classified by pedological means to provide pavement design parameters.

I. SHARED USE PATH APPROACH PLANS (1) The CONSULTANT shall prepare Shared Use Path Approach Plans for the PROJECT. (2) Shared Use Path Approach Plans are the compilation of documents, reproducible drawings,

depicting the location, character, dimensions, and relevant data necessary to the layout and construction of the prescribed work. Shared Use Path Approach Plans are expected to consist of the following:

(a) Title Sheet (b) Typical Cross Sections, General Notes, and Special Details (c) List of Standard Detail Drawings (d) Engineering Estimates On Computer Worksheet (e) Miscellaneous Quantities (f) Plan and Profile Sheets (g) Computer Earthwork Data (h) Cross Sections (i) Erosion Control Plan

Shared Use Path Approach Plans shall be designed in accordance with the current practices of the DEPARTMENT and in accordance with the principles, standards, and practices adopted by the DEPARTMENT for design of highway plans, as specified in the MANUAL and

shall be developed in accordance to, or be coordinated with the latest edition of the STANDARD SPECIFICATIONS for HIGHWAY and STRUCTURE CONSTRUCTION, of the DEPARTMENT.

(3) The CONSULTANT shall develop one alignment and one profile to enable a design that

provides the best balance between practical construction considerations, right of way requirements, aesthetics, blending with the topography, and costs. The shared use path profile is to provide a "good fit" to the terrain to minimize earthwork and grading costs and to develop the configuration of other path elements such as bridges and cross-sections.

(4) Plans for minor incidental retaining walls less than six feet in height and pipe type structures

are not included in this CONTRACT shall be considered “Extra Services”. (5) In preparation of Shared Use Path Approach Plans, the CONSULTANT shall prepare and

furnish to the DEPARTMENT / MUNICIPALITY specifications for construction work included in the plans which are not covered by the STANDARD SPECIFICATIONS, and such amendments to or revisions of the STANDARD SPECIFICATIONS as may be required to properly cover the work contemplated by the plans.

(6) The CONSULTANT shall furnish such other pertinent information and data with respect to

the plans and design as may be necessary for completion of work under this CONTRACT. (7) Plans are subject to review and examination by the MUNICIPALITY and the DEPARTMENT. (8) It is anticipated that the PROJECT length will not exceed 100 feet. (9) It is anticipated that the Plan & Profile Sheets will be developed to a 1”=40’ scale on the 11-

inch by 17-inch size sheets. (10) It is anticipated that the PROJECT will be closed to traffic during construction. A detour

route and plan as well as a temporary bypass are not included in the CONTRACT and shall be considered “Extra Services”.

J. STRUCTURE PLANS (1) In the design and development of the Structure Plans the CONSULTANT shall develop one

(1) prefabricated bridge alternative structure type that provides the best balance between practical construction considerations, right of way requirements, aesthetics, and cost considerations.

(2) Prepare a Structure Survey Report, which includes a discussion of structure sizing, in

accordance with the MANUAL. The completed preliminary plan shall show the structure plan, elevation, and typical cross section, and all pertinent data shall appear on the first sheet(s) of the completed structure plans. Four prints of this plan and the Structure Survey Report shall be submitted to the DEPARTMENT for review. The DEPARTMENT will review

this preliminary plan and the Structure Survey Report and return one print to the CONSULTANT showing requested revisions, if any.

(3) This CONTRACT does not include any Hydrology of Hydraulic analysis for the locks or

prefabricated bridge. It is assumed that the low chord of the prefabricated bridge does not impact the 100 year flood event and therefore does not warrant the need for hydrology or hydraulic analysis. The hydrology and hydraulics analysis is not included in the CONTRACT and shall be considered “Extra Services”.

(4) This CONTRACT only includes the design for bridge foundation supports on cast-in-place

abutments located behind the existing lock walls. The design of a prefabricated bridge is not included in this CONTRACT and shall be considered “Extra Services”.

(5) Plans for bridge abutments shall be fully dimensioned besides showing controlling

elevations. The plans shall be prepared with such precision and detail to allow for the convenient layout in the field with customary degree of accuracy, and to allow for the production of an accurate estimate of quantities for all pertinent items of work to be performed in the PROJECT.

(6) Plans for bridge abutments shall include schedules for bar steel reinforcement. Such

schedules shall provide all of the necessary detail required for the fabrication of the reinforcement without the necessity of making separate shop drawings for that purpose.

(7) When the plans for a bridge abutments have been completed the CONSULTANT shall

furnish the DEPARTMENT / MUNICIPALITY with three sets of prints of such plans for review and examination.

(8) Submit three copies for review and examination of all specifications for items of work in the bridge abutment Plans which are not covered by the STANDARD SPECIFICATIONS and such amendments to or revisions of the STANDARD SPECIFICATIONS as may be required to properly cover the work contemplated by the plans.

(9) Plans will be subject to review and examination by the DEPARTMENT / MUNICIPALITY. Such

review and examination may be made on the site of the PROJECT. (10) Along with the plans for abutments submit one copy or reproduction of the design

computations for the DEPARTMENT / MUNICIPALITY'S review and permanent file. (11) When the plans for the refabricated bridge are to be prepared by others, the DEPARTMENT

/ MUNICIPALITY and the CONSULTANT(S) shall provide each other with the necessary pertinent information to effect the proper correlation between the shared use path plans and the Structure Plans.

(1) The preparation of a right-of-way plat and/or temporary easements and any documentation associated with these services is not included in this CONTRACT and shall be considered “Extra Services”.

L. PLANS, SPECIFICATIONS & ESTIMATES (P.S. & E.) (1) The CONSULTANT shall submit the Plan Letter, Sample Proposal with the Highway Work

Proposal and Special Provisions, Recommendation to Governor for Contract and Bond Approval Form, Utility Status Report, Certificate of Right of Way, Contract Time for Completion, News Release and Notes to Construction portion of the P.S.&E. electronically as specified in the MANUAL.

M. SERVICES PROVIDED BY THE MUNICIPALITY The MUNICIPALITY will provide to the CONSULTANT the following for the PROJECT: 1. As-built plans as may be available 2. Known utility names and contacts

N. PROSECUTION AND PROGRESS

(1) The MUNICIPALITY shall report on the progress of the PROJECT as stipulated in the contract agreement. Standard benchmarks, consistent with DEPARTMENT’S internal staff benchmarks, will be reported monthly to the DEPARTMENT. The actual start, projected or actual finish date, and percent of work complete will be included for all relevant benchmarks on any project report required for delivery to DEPARTMENT staff. The report can be delivered in electronic format consistent with current DEPARTMENT standards (Microsoft Project), or on paper.

(2) The CONSULTANT proposes to sublet these services to: Subsurface Investigations to Intertek PSI (3) The following items of work will be completed and submitted to the DEPARTMENT by the

indicated dates, if CONSULTANT has received the Notice to Proceed by August 1, 2019.

Re: Proposal for Geotechnical Exploration Proposed Pedestrian Bridge Portage, Wisconsin Dear Mr. Blum, Thank you for giving Professional Service Industries, Inc. (PSI), an Intertek Company, this opportunity to propose our services. PSI is submitting this proposal to conduct a geotechnical exploration for the proposed Pedestrian Bridge in the Portage, Wisconsin. Presented below is a review of furnished project information, along with our proposed scope of services and fee information. PROJECT UNDERSTANDING Based on the information provided, it is understood that the project will consist of the construction of a Pedestrian Bridge over an existing channel located on the south side of Lock Street, north of the Levee Trail in the Portage, Wisconsin. The bridge will consist of a prefabricated steel truss single-span structure, which is estimated to span approximately 60 feet with a clear width of 14 feet. It is understood that the bridge foundation has not been designed yet and will likely consist of a deep foundation system consisting of driven piles. SCOPE OF SERVICES PSI proposes to drill two (2) soil test borings, one on each side of the channel, each to a depth of 50 feet below existing grade. In total, up to 100 linear feet of drilling is proposed. If areas of extended fill or other unsuitable soils are encountered during field exploration activities, boring depths may be extended until suitable subsurface soils are found. Where a significant alteration to the scope of work may be warranted, prior authorization from the client will be obtained. The borings will be advanced to the depths referenced above, or to refusal, whichever is shallower. Rock coring is not included in the scope of this exploration; therefore, the character and continuity of refusal materials, if encountered, can be determined only with a more comprehensive scope of services (which will require an authorization for additional budget).

It is anticipated that the site is accessible with standard drilling equipment. Therefore, the soil borings will be performed with a truck-mounted drill rig utilizing continuous flight hollow stem auger to advance the boreholes. Representative soil samples will be obtained at 2½-foot intervals to 10 feet and 5-foot intervals thereafter. The samples will be secured by employing split-barrel sampling procedures in general accordance with ASTM D-1586. Soil samples will be visually classified by a soils engineer in general accordance with the Unified Soil Classification System. Borings greater than 10 feet will be backfilled with bentonite upon completion. However, once backfilled and surface patched, it is possible that the backfill within the borehole will settle when surface water or groundwater enters the hole, thus causing the surface patch to fail. PSI cannot be responsible for monitoring the condition of said boreholes; therefore, the condition of the boreholes should be monitored by the property owner once PSI has demobilized from the site. In addition, the soil cuttings generated from the soil borings will be left onsite. Typically, they are thin spread adjacent to the boring locations or within green spaces. We have not included any costs for offsite disposal of soil cuttings. Representative soil samples obtained during the field exploration program will be returned to the laboratory for classification and a limited number of engineering properties tests. The nature and extent of this laboratory testing program will be dependent up on the subsurface conditions encountered during the field exploration program and may include testing selected samples to evaluate the soils’ moisture content, plasticity, grain size, and relative strength characteristics. IBC SCOPE EVALUATION Please note that the project site is located within a municipality that employs the International Building Code (IBC) 2015 edition. As part of this code, the design of structures must consider dynamic forces resulting from seismic events. These forces are dependent upon the magnitude of the earthquake event as well as the properties of the soils that underlie the site. Part of the IBC code procedure to evaluate seismic forces requires the evaluation of the Seismic Site Class, which categorizes the site based upon the characteristics of the subsurface profile within the upper 100 feet of the ground surface. To define the Seismic Site Class for this project, and in accordance with your requested level of assessment, PSI proposes to interpret the results of our soil test borings drilled within the project site and estimate appropriate soil properties below the base of the borings to a depth of 100 feet, as permitted by Section 1613.5.5 of the code. The estimated soil properties will be based upon data available in published geologic reports as well as PSI’s experience with subsurface conditions in the general site area. This proposal is based on the Seismic Design Category for this site being determined by others. However, should the site have a Seismic Design Category C, D, E or F, then the code requires an assessment of slope stability, liquefaction potential, and surface rupture due to faulting or lateral spreading. For certain types of buildings and sites, an evaluation of seismic stresses on retaining and basement walls may also be required. Detailed evaluations of these factors are

beyond the scope of this proposal. However, PSI’s evaluation of conditions will provide a qualitative assessment of these issues and will provide recommendations for more detailed study if the risk of one or more of these hazards is considered moderate to high. REPORT At the conclusion of PSI’s field and laboratory work, a geotechnical exploration report will be prepared. The report will include the following:

• Soil boring logs containing descriptions of the soil and groundwater conditions at the test boring locations and boring location diagram;

• A summary of the laboratory test results; • Evaluation of soil and groundwater conditions; • Guidelines for subgrade preparation for foundations, and for the selection and placement

of structural fill in these areas; • Foundation design recommendations including allowable bearing pressures; • IBC 2015 seismic site classification.

SPECIAL INSTRUCTIONS Communication of any available site development plans or previous geotechnical investigations to PSI is needed. Upon project start-up, PSI will contact your designated representative regarding this information about project scheduling. Some damage to ground surface may result from the drilling operations near the work areas and along ingress/egress pathways. PSI will attempt to minimize such damage, but no restoration other than backfilling the soil test borings and surface patching is included. PSI will contact Diggers Hotline for public utility clearance prior to the start of drilling activities. However, this service does not mark the locations of privately-owned utilities. PSI’s proposal is based on private utility lines and other subsurface appurtenances being located in the field by others prior to our mobilization. The cost of private utility locating is not included in PSI’s proposal. If PSI is asked to provide this service, an additional fee will apply. FEES It is proposed that the fee for performance of the geotechnical scope of services be charged on a lump sum basis. For the base scope of services outlined above, the total fee for the geotechnical services will be $3,750.00. Boring, sampling, and testing requirements are a function of the subsurface conditions encountered. This fee is based on adequate bearing materials being encountered with the proposed boring depths. Should conditions be encountered which require deepening borings or additional investigation, PSI will notify you to discuss modifying the outlined scope of work. Additional work beyond the lump sum fee will not be performed without your prior authorization.

GENERAL CONDITIONS

1. PARTIES AND SCOPE OF WORK: Professional Service Industries Inc. (“PSI”) shall include said company or its particular division, subsidiary or affiliate performing the work. “Work” means the specific service to be performed by PSI as set forth in PSl’s proposal, Client’s acceptance thereof and these General Conditions. Additional work ordered by Client shall also be subject to these General Conditions. “Client” refers to the person or business entity ordering the work to be done by PSI. If Client is ordering the work on behalf of another, Client represents and warrants that it is the duly authorized agent of said party for the purpose of ordering and directing said work. Unless otherwise stated in writing, Client assumes sole responsibility for determining whether the quantity and the nature of the work ordered by the client is adequate and sufficient for Client’s intended purpose. Client shall communicate these General Conditions to each and every third party to whom Client transmits any part of PSI’s work. PSI shall have no duty or obligation to any third party greater than that set forth in PSI’s proposal, Client’s acceptance thereof and these General Conditions. The ordering of work from PSI, or the reliance on any of PSI’s work, shall constitute acceptance of the terms of PSI’s proposal and these General Conditions, regardless of the terms of any subsequently issued document. 2. TESTS AND INSPECTIONS: Client shall cause all tests and inspections of the site, materials and work performed by PSI or others to be timely and properly performed in accordance with the plans, specifications and contract documents and PSI’s recommendations. No claims for loss, damage or injury shall be brought against PSI by Client or any third party unless all tests and inspections have been so performed and unless PSI’s recommendations have been followed. Client agrees to indemnify, defend and hold PSI, its officers, employees and agents harmless from any and all claims, suits, losses, costs and expenses, including, but not limited to, court costs and reasonable attorney’s fees in the event that all such tests and inspections are not so performed or PSl’s recommendations are not so followed. 3. PREVAILING WAGES: This proposal specifically excludes compliance with any project labor agreement, labor agreement, or other union or apprenticeship requirements. In addition, unless explicitly agreed to in the body of this proposal, this proposal specifically excludes compliance with any state or federal prevailing wage law or associated requirements, including the Davis Bacon Act. It is agreed that no applicable prevailing wage classification or wage rate has been provided to PSI, and that all wages and cost estimates contained herein are based solely upon standard, non-prevailing wage rates. Should it later be determined by the Owner or any applicable agency that in fact prevailing wage applies, then it is agreed that the contract value of this agreement shall be equitably adjusted to account for such changed circumstance. Client will reimburse, defend, indemnify and hold harmless PSI from and against any liability resulting from a subsequent determination that prevailing wage regulations cover the Project, including all costs, fines and attorney’s fees. 4. SCHEDULING OF WORK: The services set forth in PSI’s proposal and Client’s acceptance will be accomplished by PSI personnel at the prices quoted. If PSI is required to delay commencement of the work or if, upon embarking upon its work, PSI is required to stop or interrupt the progress of its work as a result of changes in the scope of the work requested by Client, to fulfill the requirements of third parties, interruptions in the progress of construction, or other causes beyond the direct reasonable control of PSI, additional charges will be applicable and payable by Client. 5. ACCESS TO SITE: Client will arrange and provide such access to the site and work as is necessary for PSI to perform the work. PSI shall take reasonable measures and precautions to minimize damage to the site and any improvements located thereon as the result of its work or the use of its equipment. 6. CLIENT’S DUTY TO NOTIFY ENGINEER: Client warrants that it has advised PSI of any known or suspected hazardous materials, utility lines and pollutants at any site at which PSI is to do work, and unless PSI has assumed in writing the responsibility of locating subsurface objects, structures, lines or conduits, Client agrees to defend, indemnify and save PSI harmless from all claims, suits, losses, costs and expenses, including reasonable attorney’s fees as a result of personal injury, death or property damage occurring with respect to PSI’s performance of its work and resulting to or caused by contact with subsurface or latent objects, structures, lines or conduits where the actual or potential presence and location thereof were not revealed to PSI by Client. 7. RESPONSIBILITY: PSI’s work shall not include determining, supervising or implementing the means, methods, techniques, sequences or procedures of construction. PSI shall not be responsible for evaluating, reporting or affecting job conditions concerning health, safety or welfare. PSI’s work or failure to perform same shall not in any way excuse any contractor, subcontractor or supplier from performance of its work in accordance with the contract documents. Client agrees that it shall require subrogation to be waived against PSI and for PSI to be added as an Additional Insured on all policies of insurance, including any policies required of Client’s contractors or subcontractors, covering any construction or development activities to be performed on the project site. PSI has no right or duty to stop the contractor’s work. 8. SAMPLE DISPOSAL: Test specimens will be disposed immediately upon completion of the test. All drilling samples will be disposed sixty (60) days after submission of PSI’s report. 9. PAYMENT: The quantities and fees provided in this proposal are PSI’s estimate based on information provided by Client and PSI’s experience on similar projects. The actual total amount due to PSI shall be based on the actual final quantities provided by PSI at the unit rates provided herein. Where Client directs or requests additional work beyond the contract price it will be deemed a change order and PSI will be paid according to the fee schedule. Client shall be invoiced once each month for work performed during the preceding period. Client agrees to pay each invoice within thirty (30) days of its receipt. Client further agrees to pay interest on all amounts invoiced and not paid or objected to for valid cause in writing within said thirty (30) day period at the rate of eighteen (18) percent per annum (or the maximum interest rate permitted under applicable law), until paid. Client agrees to pay PSI’s cost of collection of all amounts due and unpaid after thirty (30) days, including court costs and reasonable attorney’s fees. PSI shall not be bound by any provision or agreement requiring or providing for arbitration of disputes or controversies arising out of this agreement, any provision wherein PSI waives any rights to a mechanics’ lien, or any provision conditioning PSI’s right to receive payment for its work upon payment to Client by any third party. These General Conditions are notice, where required, that PSI shall file a lien whenever necessary to collect past due amounts. Failure to make payment within 30 days of invoice shall constitute a release of PSI from any and all claims which Client may have, whether in tort, contract or otherwise, and whether known or unknown at the time.

10. INDEMNITY: Subject to the above limitations, PSI agrees not to defend but to indemnify and hold Client harmless from and against any and all claims, suits, costs and expenses including reasonable attorney’s fees and court costs to the extent arising out of PSI’s negligence as finally determined by a court of law. Client shall provide the same protection to the extent of its negligence. In the event that Client or Client’s principal shall bring any suit, cause of action, claim or counterclaim against PSI, the Client and the party initiating such action shall pay to PSI the costs and expenses incurred by PSI to investigate, answer and defend it, including reasonable attorney’s and witness fees and court costs to the extent that PSI shall prevail in such suit. 12. TERMINATION: This Agreement may be terminated by either party upon seven days’ prior written notice. In the event of termination, PSI shall be compensated by Client for all services performed up to and including the termination date, including reimbursable expenses. 13. EMPLOYEES/WITNESS FEES: PSI’s employees shall not be retained as expert witnesses except by separate, written agreement. Client agrees to pay PSI’s legal expenses, administrative costs and fees pursuant to PSI’s then current fee schedule for PSI to respond to any subpoena. For a period of one year after the completion of any work performed under this agreement, Client agrees not to solicit, recruit, or hire any PSI employee or person who has been employed by PSI within the previous twelve months. In the event Client desires to hire such an individual, Client agrees that it shall seek the written consent of PSI, and shall pay PSI an amount equal to one- half of the employee’s annualized salary, without PSI waiving other remedies it may have. 14. FIDUCIARY: PSI is not a financial advisor, does not provide financial advice or analysis of any kind, and nothing in our reports can create a fiduciary relationship between PSI and any other party. 15. RECORDING: Photographs or video recordings of the Client’s own project may be taken by and used for the Client’s own internal purposes. Photographs or video recordings may not be used for marketing or publicity, or distributed to a third party or otherwise published without PSI’s prior review and consent in writing. Taking photographs of other Clients’ samples, test setups, or facilities, or recording in any manner any test specimen other than the test specimen related to the Client’s project is prohibited; and the Client agrees to hold in strict confidence and not use any proprietary information disclosed either advertently or inadvertently. The Client shall defend, hold harmless, and indemnify PSI for any breach of this clause. 16. CHOICE OF LAW AND EXCLUSIVE VENUE: All claims or disputes arising or relating to this agreement shall be governed by, construed, and enforced in accordance with the laws of Illinois. The exclusive venue for all actions or proceedings arising in connection with this agreement shall be either the Circuit Court in Cook County, Illinois, or the Federal Court for the Northern District of Illinois. 17. PROVISIONS SEVERABLE: The parties have entered into this agreement in good faith, and it is the specific intent of the parties that the terms of these General Conditions be enforced as written. In the event any of the provisions of these General Conditions should be found to be unenforceable, it shall be stricken, and the remaining provisions shall be enforceable. 18. ENTIRE AGREEMENT: This agreement constitutes the entire understanding of the parties, and there are no representations, warranties or undertakings made other than as set forth herein. Chip Seal – Complete

Crack Fill – Complete

W. Carroll St. – Utility crews have completed water, sanitary sewer, water laterals, sanitary sewer laterals and force main. Crews have begun storm sewer work. Grading crews are scheduled to come into town the 2nd week of August. The utility crew has storm sewer work on Carroll and Sanitary and water work on Summit to complete.

Sidewalk – Sidewalk is finishing up concrete work the week of July 22.

Paving Rehabilitation (Slifer, Oakridge and Winnebago)- Complete
