NIGERIA

Total Health Trust Ltd Total Health Trust Limited (“THT”) was founded in 1997 and commenced operations in the year to June 1998.

It is a leading health maintenance organization (“HMO”) in the emerging managed care sector of the Federal

Republic of Nigeria. With over 230,000 members or subscribers (or about 8% of the estimated population of

the organized private sector with medical insurance coverage) at December, 2010, it is one of the largest

HMO in the Country. THT is a “Medical Doctor- driven “HMO. Liberty Holdings of South Africa took an

investment stake in THT in 2009. The scaled equity investment will be 51% by January 2012. The existing

shareholders of the Company combine the medical services delivery experience of Health Assurance

Consultants Ltd., and individual Nigerian medical doctors; with the insurance resources and reputation of

Leadway Assurance Company Ltd.; the processing systems and the international exposure of Liberty Health

and Liberty Group of South Africa.

In accordance with developments in the Nigerian health insurance sector the Company is registered as a

national HMO under the National Health Insurance Scheme (“NHIS”) as HMO /02, accredited to provide

private pre-paid and national health insurance schemes. THT was reaccredited in 2009. In return for a fixed

prepaid premium, the company; offers, arranges and coordinates the provision of health services and

benefits for members (subscribers and their authorized dependents). Coverage is provided through the

network of contracting providers. Benefits are defined and standardization of the medical care given is

governed by managed care rules and contract. THT provides health care to individuals and corporate

organizations. The Company, leveraging on its provider network, assumes control of the full spectrum of

health care coverage to members during their subscription period. In keeping with its focus on customer

service and promotion of member health, the Company has introduced a range of innovative cost-effective

health plans and tariff structures. THT members can, in some circumstances, also benefit from international

coverage. The provider claims processing and payment are automated through Liberty Health IT software.

The network consists of several (300 Private & 1,550 NHIS) accredited clinics and hospitals where quality of

care is guaranteed via a programmer of continuous service quality monitoring. The network has points of

presence in about 36 states and the Federal Capital Territory. Since it commenced operations in 1998, the

subscriber base of the Company has grown from 230 in June 1999 to 204,000 by June 2009. The company

now provides care to over 160 corporate clients and Federal public officers of Ministry of Foreign Affairs,

Ministry of Education, Ministry of Environment and Nigeria Police among others.

In South Africa, Netcare provides the following services:

Our private hospital and trauma services comprise 53 owned hospitals and 4 managed hospitals, 3 of which are Public Private Partnerships. Netcare has 8,713 registered beds, 319 operating theatres and 87 retail and hospital pharmacies. Netcare’s wholly-owned subsidiary, Netcare 911, operates the largest private emergency service in the country with over 7,8 million insured lives and a fleet of over 200 response vehicles and ambulances, and 3 helicopter and 2 fixed-wing air ambulances.

The Primary Care Division operates medical and dental provider services through Medicross, as well as a managed care organization that focuses on the low income market, extending healthcare to previously uninsured lives through Prime Cure. This includes a national footprint of 108 Medicross and Prime Cure Medicentres, with 41 retail pharmacies and 12 day-theatres. A group of 590 independent doctors and dentists provide comprehensive primary health services to about 3,5 million patients, funded through private medical aid insurance, managed care capitation premiums or self pay arrangements.

o The Prime Cure managed care organisation manages a current cohort of 254,000 capitated lives across 49 medical scheme options, ranging from primary to full risk options. The managed care business manages a designated provider network of more than 10,000 health service providers which includes 3,877 contracted doctors and dentists.

o The Medicross Provider Group was acquired as a 100% subsidiary by the Netcare Group in 2001, and the Prime Cure Group was acquired by Medicross in 2006.

Care Hospitals Care group was founded in 1997 with mission objectives of Quality, Cost, and Access. Built upon core ideology of "Patient First" and "To Practice Medicine As It Should Be" and an "Academic Medical Center" model, Care group is subserving its mission objectives through three entities - Care Hospitals (Healthcare delivery and Clinical Research & Training); Care Foundation (Education, Research, Telemedicine, Care Rural Health Mission, Little Hearts Charity program); and Relisys Medical Devices (indigenous technology platform for stents, catheters, and drug delivery systems to generate cost-effective medical devices). LATIN AMERICA & CARIBBEAN COLOMBIA Fundación Cardiovascular de Colombia The Cardiovascular Foundation of Colombia (FCV) was created in 1986 with the aim of providing medical treatment to patients with cardiovascular pathologies. FCV main Hospital and headquarters are located in Floridablanca; there are hospitals in other three cities (Santa Marta, Ibague and Manizales). All of our Hospitals provide high complexity health services in areas such as Cardiology, Cardiovascular Surgery, Neurosciences, Orthopedics, Gynecology and intensive care units between others. FCV is a non-profit entity, but at the same time generate his own cash flow to run the business. The Heart Institute of the FCV located in Floridablanca (SS) was the first organization in Colombia to obtain national accreditation ICONTEC. Additionally, in 2009 became the first clinic in Colombia on access to certification from the Joint Commission International. One of its main strengths is the knowledge in Hospital Management, which has given him national recognition.

FCV has been really active in creating additional business units all of them to provide goods and services for the health sector, such us: FCV Telemedicine: created to remotely provide outpatient services in different specialties and

for critical care patients FCV HOSPITAL PRODUCTS: manufactures and sells medical supplies. FCV . COMMERCIAL BUSSINESS UNIT: Imports and distributes medical supplies and equipment. FCV Bioengineering: designs, manufactures and sells biomedical equipment. FCV SOFTWARE FACTORY: designs, develops and sells specialized software for comprehensive

management of hospitals. Its core module is the electronic health record, to which all modules are linked and financial or administrative action. This software has over ten years in the service of the management of large hospitals in Colombia.

At present the FCV has begun construction of a 460 bed Hospital located at 15 minutes from the city of Bucaramanga. All medical specialties will be attended for either, national and international patients. Other facilities included in the project are a building with 450 medical and dental offices, parking tower, Hotel & Convention Center, and a shopping center. Universidad Autónoma de Guadalajara Founded in 1935, the Universidad Autónoma de Guadalajara (“UAG”) is the first private university in Mexico and Latin America. In 1974, it began offering hospitalization services and, subsequently, in 1983, it opened the new hospital consisting of three floors dedicated to hospitalization and general services and a ground floor to general outpatient services. Currently, HAL is a full service hospital that offers 26 medical specialties. It caters mostly to middle and low income customers. As of August 2010, it had 60 doctors on staff, 23 of which were specialists. HAL has a potential capacity of 240 beds. Based on its modular construction, the patient floors can be converted into suites, private rooms, semiprivate or a general ward. Currently the hospital only has 100 beds and a utilization rate of 80%. During 2009, an estimated 600 surgeries and 24,000 consults were performed at the hospital. Established in 1940, as the first site of the school of medicine, Ramon Garibay hospital (“HRG”) specializes in maternity and infant health care. Specifically, it offers gynecology, obstetrics, and pediatrics services. It caters to middle and low income customers. As of August 2010, it had 30 doctors on staff. HRG is located in a two story facility that houses X-ray machines, ultrasound, electroencephalography, normal equipment of three operating rooms, two delivery and recovery rooms, emergency department, pharmacy and café. It has approximately 30 beds and has a utilization rate of 80%. Capacity can be augmented by approximately 50%. During 2009, an estimated 600 surgeries and 12,500 consults were performed at the hospital.
