ThisActmaybecitedastheCompetitionandConsumerAct2010.
2ObjectofthisAct
TheobjectofthisActistoenhancethewelfareofAustraliansthroughthepromotionofcompetitionandfairtradingandprovisionforconsumerprotection.
2AApplicationofActtoCommonwealthandCommonwealthauthorities
(1) Subjecttothissectionandsections44AC,44Eand95D,thisActbindstheCrowninrightoftheCommonwealthinsofarastheCrowninrightoftheCommonwealthcarriesonabusiness,eitherdirectlyorbyanauthorityoftheCommonwealth.
(2) Subjecttothesucceedingprovisionsofthissection,thisActappliesasif: (a) theCommonwealth,insofarasitcarriesonabusinessotherwisethanbyan
authorityoftheCommonwealth;and (b) eachauthorityoftheCommonwealth(whetherornotactingasanagentofthe
CrowninrightoftheCommonwealth)insofarasitcarriesonabusiness;wereacorporation.
(3) NothinginthisActmakestheCrowninrightoftheCommonwealthliabletoapecuniarypenaltyortobeprosecutedforanoffence.

2BAApplicationofPartIVtolocalgovernmentbodies
(1) PartIVappliesinrelationtoalocalgovernmentbodyonlytotheextentthatitcarriesonabusiness,eitherdirectlyorbyanincorporatedcompanyinwhichithasacontrollinginterest.
(2) Inthissection:
localgovernmentbodymeansabodyestablishedbyorunderalawofaStateorTerritoryforthepurposesoflocalgovernment,otherthanabodyestablishedsolelyorprimarilyforthepurposesofprovidingaparticularservice,suchasthesupplyofelectricityorwater.
2CActivitiesthatarenotbusiness
(1) Forthepurposesofsections2A,2Band2BA,thefollowingdonotamounttocarryingonabusiness:
(a) imposingorcollecting: (i) taxes;or (ii) levies;or (iii) feesforlicences; (b) granting,refusingtogrant,revoking,suspendingorvaryinglicences(whetheror

(2) Subsection(1)doesnotlimitthethingsthatdonotamounttocarryingonabusinessforthepurposesofsections2A,2Band2BA.

3Repeal
TheRestrictiveTradePracticesAct1971andtheRestrictiveTradePracticesAct1972arerepealed.
4Interpretation
(1) InthisAct,unlessthecontraryintentionappears:

(2) Apersonshallbedeemedtobecompetitivewithanotherpersonforthepurposesofsubsection(1)if,andonlyif,thefirstmentionedpersonorabodycorporatethatisrelatedtothatpersonis,orislikelytobe,or,butfortheprovisionofanycontract,arrangementorunderstandingorofanyproposedcontract,arrangementorunderstanding,wouldbe,orwouldbelikelytobe,incompetitionwiththeotherperson,orwithabodycorporatethatisrelatedtotheotherperson,inrelationtothesupplyoracquisitionofalloranyofthegoodsorservicestowhichtherelevantprovisionofthecontract,arrangementorunderstandingoroftheproposedcontract,arrangementorunderstandingrelates.
4EMarket
ForthepurposesofthisAct,unlessthecontraryintentionappears,marketmeansamarketinAustraliaand,whenusedinrelationtoanygoodsorservices,includesamarketforthosegoodsorservicesandothergoodsorservicesthataresubstitutablefor,orotherwisecompetitivewith,thefirstmentionedgoodsorservices.
4FReferencestopurposeorreason
(1) ForthepurposesofthisAct: (a) aprovisionofacontract,arrangementorunderstandingorofaproposed
contract,arrangementorunderstanding,oracovenantoraproposedcovenant,shallbedeemedtohavehad,ortohave,aparticularpurposeif:
(i) theprovisionwasincludedinthecontract,arrangementorunderstandingoristobeincludedintheproposedcontract,arrangementorunderstanding,orthecovenantwasrequiredtobegivenortheproposedcovenantistoberequiredtobegiven,asthecasemaybe,forthatpurposeorforpurposesthatincludedorincludethatpurpose;and

4GLesseningofcompetitiontoincludepreventingorhinderingcompetition
ForthepurposesofthisAct,referencestothelesseningofcompetitionshallbereadasincludingreferencestopreventingorhinderingcompetition.
4HApplicationofActinrelationtoleasesandlicencesoflandandbuildings
InthisAct: (a) areferencetoacontractshallbeconstruedasincludingareferencetoaleaseof,
oralicenceinrespectof,landorabuildingorpartofabuildingandshallbesoconstruednotwithstandingtheexpressreferencesinthisActtosuchleasesorlicences;
(b) areferencetomakingorenteringintoacontract,inrelationtosuchaleaseorlicence,shallbereadasareferencetograntingortakingtheleaseorlicence;and
(c) areferencetoapartytoacontract,inrelationtosuchaleaseorlicence,shallbereadasincludingareferencetoanypersonboundby,orentitledtothebenefitof,anyprovisioncontainedintheleaseorlicence.
4JJointventures
InthisAct: (a) areferencetoajointventureisareferencetoanactivityintradeorcommerce: (i) carriedonjointlybytwoormorepersons,whetherornotinpartnership;or (ii) carriedonbyabodycorporateformedbytwoormorepersonsforthe
purposeofenablingthosepersonstocarryonthatactivityjointlybymeansoftheirjointcontrol,orbymeansoftheirownershipofsharesinthecapital,ofthatbodycorporate;and
(b) areferencetoacontractorarrangementmadeorunderstandingarrivedat,ortoaproposedcontractorarrangementtobemadeorproposedunderstandingtobearrivedat,forthepurposesofajointventureshall,inrelationtoajointventurebywayofanactivitycarriedonbyabodycorporateasmentionedinsubparagraph(a)(ii),bereadasincludingareferencetothememorandumandarticlesofassociation,rulesorotherdocumentthatconstituteorconstitutes,orareoristoconstitute,thatbodycorporate.

IfthemakingofacontractafterthecommencementofthissectioncontravenesthisActbyreasonoftheinclusionofaparticularprovisioninthecontract,then,subjecttoanyordermadeundersection51ADBor87,nothinginthisActaffectsthevalidityorenforceabilityofthecontractotherwisethaninrelationtothatprovisioninsofarasthatprovisionisseverable.
4MSavingoflawrelatingtorestraintoftradeandbreachesofconfidence
ThisActdoesnotaffecttheoperationof: (a) thelawrelatingtorestraintoftradeinsofarasthatlawiscapableofoperating
concurrentlywiththisAct;or (b) thelawrelatingtobreachesofconfidence;
butnothinginthelawreferredtoinparagraph(a)or(b)affectstheinterpretationofthisAct.
4NExtendedapplicationofPartIIIA
(1) PartIIIA,andtheotherprovisionsofthisActsofarastheyrelatetoPartIIIA,extendtoservicesprovidedbymeansoffacilitiesthatare,orwillbe,whollyorpartlywithin:
(a) anexternalTerritory;or (b) theoffshoreareainrespectofaState,oftheNorthernTerritory,orofanexternal

(2) IfthisPartrequiresorpermitssomethingtobedonebytheprovider,thethingmaybedonebyoneormoreoftheparticipantsonbehalfoftheprovider.
(3) IfaprovisionofthisPartreferstotheproviderbearinganycosts,theprovisionappliesasiftheprovisionreferredtoanyoftheparticipantsbearinganycosts.
(4) IfaprovisionofthisPartreferstotheproviderdoingsomething,theprovisionappliesasiftheprovisionreferredtooneormoreoftheparticipantsdoingthatthingonbehalfoftheprovider.

(a) thataccess(orincreasedaccess)totheservice,onreasonabletermsandconditions,followingadeclarationoftheservicewouldpromoteamaterialincreaseincompetitioninatleastonemarket(whetherornotinAustralia),otherthanthemarketfortheservice;and

(b) thatthefacilitythatisused(orwillbeused)toprovidetheservicecouldmeetthetotalforeseeabledemandinthemarketattheleastcost;and
(c) thatthefacilityisofnationalsignificance,havingregardto:
(i)thesizeofthefacility;or
(ii)theimportanceofthefacilitytoconstitutionaltradeorcommerce;or
(iii)theimportanceofthefacilitytothenationaleconomy;and
(d)thataccess(orincreasedaccess)totheservice,onreasonabletermsandconditions,followingadeclarationoftheservicewouldpromotethepublicinterest.
(2)Forthepurposesofparagraph(1)(b),thecostreferredtointhatparagraphistotakeintoaccountthecosts,totheprovideroftheservice,ofcoordinatingmultipleusersofthefacility.
(3)WithoutlimitingthematterstowhichtheCouncilmayhaveregardforthepurposesofsection44G,orthedesignatedMinistermayhaveregardforthepurposesofsection44H,inconsideringwhetherparagraph(1)(d)appliestheCouncilordesignatedMinistermusthaveregardto:
(a) theeffectthatdeclaringtheservicewouldhaveoninvestmentin:
(i) infrastructureservices;and
(ii) marketsthatdependonaccesstotheservice;and
(b) theadministrativeandcompliancecoststhatwouldbeincurredbytheprovideroftheserviceiftheserviceisdeclared.

44FPersonmayrequestrecommendation
(1) ThedesignatedMinister,oranyotherperson,maymakeawrittenapplicationtotheCouncilaskingtheCounciltorecommendthataparticularservicebedeclared.
(2) Afterreceivingtheapplication,theCouncil: (a) musttelltheprovideroftheservicethattheCouncilhasreceivedtheapplication,
unlesstheprovideristheapplicant;and (b) must,afterhavingregardtotheobjectsofthisPart,recommendtothe
designatedMinister: (i) thattheservicebedeclared,withtheexpirydatespecifiedinthe
recommendation;or (ii) thattheservicenotbedeclared.

44FACouncilmayrequestinformation
(1) TheCouncilmaygiveapersonawrittennoticerequestingthepersongivetotheCouncil,withinaspecifiedperiod,informationofthekindspecifiedinthenoticethattheCouncilconsidersmayberelevanttodecidingwhatrecommendationtomakeonanapplicationundersection44F.
(2) TheCouncilmust: (a) giveacopyofthenoticeto: (i) ifthepersonisnottheapplicanttheapplicant;and (ii) ifthepersonisnottheprovideroftheservicetheprovider;and (b) publish,byelectronicorothermeans,thenotice.
(3) Indecidingwhatrecommendationtomakeontheapplication,theCouncil: (a) musthaveregardtoanyinformationgivenincompliancewithanoticeunder
subsection(1)withinthespecifiedperiod;and (b) maydisregardanyinformationofthekindspecifiedinthenoticethatisgiven
afterthespecifiedperiodhasended.
44GLimitsontheCouncilrecommendingdeclarationofaservice
(1) TheCouncilcannotrecommenddeclarationofaservicethatisthesubjectofanaccessundertakinginoperationunderDivision6.
(1B) TheCouncilcannotrecommenddeclarationofaservicethatisthesubjectofaregimeinrelationtowhichadecisionundersection44Nthattheregimeisaneffectiveaccessregimeisinforce(includingasaresultofanextensionundersection44NB).
(1A) WhileadecisionoftheCommissionisinforceundersubsection44PA(3)approvingatenderprocess,fortheconstructionandoperationofafacility,asacompetitivetenderprocess,theCouncilcannotrecommenddeclarationofanyserviceprovidedbymeansofthefacilitythatwasspecifiedunderparagraph44PA(2)(a).

Stoppingtheclockbyagreement
(5) TheCouncil,theapplicantandtheprovideroftheservice(iftheproviderisnottheapplicant)mayagreeinwritingthataspecifiedperiodistobedisregardedinworkingouttheexpectedperiod.
(6) TheCouncilmustpublish,byelectronicorothermeans,theagreement.
Councilmayextendtimeformakingrecommendation
(7) IftheCouncilisunabletomakearecommendationwithintheconsiderationperiod(whetheritistheexpectedperiodortheconsiderationperiodaspreviouslyextendedunderthissubsection),itmust,bynoticeinwritingtothedesignatedMinister,extendtheconsiderationperiodbyaspecifiedperiod.
(8) Thenoticemust: (a) specifywhentheCouncilmustnowmakearecommendationontheapplication;
and (b) includeastatementexplainingwhytheCouncilhasbeenunabletomakea
decisionontherecommendationwithintheconsiderationperiod.
(9) TheCouncilmustgiveacopyofthenoticeto: (a) theapplicant;and (b) iftheapplicantisnottheprovideroftheservicetheprovider.
