CONSTITUTION AND BY LAWS

OF THE

LALAWIGAN ORGANIC AGRICULTURAL FARMING ASSOCIATION (LOAFA)

PREAMBLE

We the Organic Farmers of Barangay Lalawigan, Borongan city, Eastern Samar,in order to improve our standard of living and enhance the general welfare, themembers of this excoriation do hereby promulgate this constitution and bylaws!

ARTICLE 1

NAME AND ADDRESS OF THE ASSOCIATION

Section 1. "he name of the #ssociation shall be$

LALAWIGAN ORGANIC AGRICULTURE FARMING ASSOCIATION OR LOAFA

Section ! "he address of the #ssociation is at Brgy! Lalawigan , Borongan

Eastern Samar!

ARTICLE II

OB!ECTI"ES AND PURPOSE

Section #. Ob%ectives and purpose & the Ob%ectives and purpose of the #ssociationare as follows$

'! "o establish an #ssociation that will promote mutual and protection to itsmembers!(

)! "o promote the moral, social, and economic wellbeing o all the members(*! "o develop a sustainable organic vegetable rice and livestoc+ thru the conduct

of activities which aim of uplifting of the economic condition of the members(and

! "o provide the members with +nowledge and s+ills with all aspect of naturalfarming!

ARTICLE III

MEMBERSHIP

Section $. #pplication for membership

'! "he #pplication of membership shall be in writing and shall be presented to theOfficers for action!

)! "he #pplication shall be accompanied by a membership fee of One -undred.esos /.h.'00!001 which amount will be returned in case of re%ection!*! 2embers of the association shall pay "hirty .esos /.h.*0!001 for illness and

death aid!

Section %. 2embership in the #ssociation, once ac3uired, shall be permanent andmay ne lost on the following grounds$

'! 2embership in subversive organi4ations or one who profess subversive ideas()! -abitual absences from meetings where his5her attendance is re3uired /at least

there consecutive absence being excused1(*! -aving been convicted of a crime involving moral turpitude( and! Failure to comply with the existing rules, policies and regulations of the

#ssociation as set forth in the constitution and bylaws or any violations of theprovision thereof!

ARTICLE I"

RIGHTS& DUTIES& AND RESPONSIBILITIES OF MEMBERS

Section '. 6ights of 2embers every members has the following rights$

'! "o participate in the deliberation during membership meetings()! "o avail of the service of the association without discrimination , conditions and

re3uirement thereof(*! 7nspect and examine the boo+ of accounts, the minutes boo+ and other records

of the #ssociation and to exercise other rights and privileges of membership(! "o exercise the rights to vote on all matters relating to the affairs of the

#ssociation(8! "o be eligible to any elective or appointive office of the #ssociation , and9! "o avail of all the facilities, e3uipment5machineries and services of the

#ssociation! .rovided that newly applicant members are ended their ) /two1years provision!

Section ! :uties and 6esponsibilities of 2embers every member shall have thefollowing duties and responsibilities$

'! "o obey and comply with the constitution and bylaws of the association andsuch rules and regulations that it may promulgate from time to time(

)! "o attend all meetings, trainings and seminars that it may call for re3uiringattendance of members(

*! "o assist in every way possible in advancing the ob%ectives of the #ssociation!

ARTICLE "

TERMINATION& WITHDRAWAL AND EPULSION OF MEMBERS

Section *. "ermination of 2embership membership in the #ssociation may beterminated either by withdrawal or expulsion!

shall be called by the officers within fifteen /'81 days from receipt of awritten re3uest!

Section 1 =otice of ;eneral #ssembly written notice of all members shall beserved by the Secretary upon each member or through information board

at least two/)1 wee+s prior to the general assembly!"he notice of the general assembly shall be accompanied by theagenda, minutes of meeting of all the last general assembly , consolidatedreports of the other papers needed by the members to arrive at sound anintelligent decision during the general assembly!

Section 1* Fiscal >ear"he Fiscal >ear of the #ssociation shall commence on the firstday of ?anuary and end on the last day of :ecember!

9! -aving been convicted of any crime involving moral turpitude, gross negligence,gross misconduct in the performance of his duties if found culpable on anyadministrative case involving such offense(

A! Facing as responsible for defending on administrative proceedings orcivil5crimiGnal suits involving financial and5or property accountability ( and

! -aving been dis3ualified pursuant to dis3ualification prescribed by law!

Section $ Election of Officer "he officer shall be elected by secret ballot by themembers as the annual general assembly and shall hold office for a termof two/)1years unless earlier removed for cause, or have resigned orbecome incapacitated due to illness or death! "he unexpired term of theremoved or resigned officer shall be served by a newly elected officer,incumbent officers may be reelected to serve for another term!

Section % Cuorum of Officers 2eeting One half plus one of the total number ofofficers shall constitute a 3uorum! # ma%ority vote of the 3uorum duly

assembled in a meeting shall be valid!

Section ' Hacancies When a vacancy of the Officer occur by reason of death,incapacity, removal or registration, the remaining officers constituting a3uorum shall fill the vacancy! 7f the officers do not constitute a 3uorum, thevacancy shall be filled by the general assembly in a regular or specialmeeting called for the purpose! "he successors named in either of the twoinstances shall serve for the unexpired portion of the term!

c1 .ay upon the recommendation of the Business 2anager or as authori4ed bythe officers, all money transaction and certified to the correctness of cashposition of the association in all financial statements and reports submitted to

the officers and the general assembly(d1 "urnover all monies, securities, papers and other properties of the#ssociation that he5she may have in his passion upon election of hissuccessors(

e1 .erform the duties of the Secretary in the latters absence or inability toperform his5her duties!

! Secretary shall have the following duties$

a1 Ieep a complete list of all members and maintain correct record of allmeetings of the officers and general assembly(

b1 ;ive notice to all meetings called(c1 Ieep and maintain in the record boo+ and serve as custodian of the seal ofthe #ssociation(

d1 "urn over to his5her successor all boo+s and other properties in his5herpossession belonging to the #ssociation( and

e1 .erform the duties of the treasurer in case of the latters absence ir inability toperform his duties!

8! #uditor conducts audit on income and expenses and inventory of.roperties of the association!

a1 #cts as the courier of messages5notices to all members(b1 7nforms the members and general public as to the activities of the association!

A! Business 2anager

2anages the business of the #ssociation! he5she renders periodicstatement and reports in the form and in the manner prescribed by the officersand preserves the boo+s, documents, correspondence and records of whatever+ind pertaining to the business which may come into his possession!

ARTICLE "III

OPERATION

Section #1 "he #ssociation shall engage 7 different organic farming activities such as

vegetables, rice, poultry, livestoc+ production coconut culture activitiesand ma+ing of different +ind of organic fertili4ers and organic pesticides!

Section # the #ssociation shall promote and mar+et the products of members andprovide the needed services in the usual and customary manner it maysee fit under the circumstances having in mind the interest and welfare ofthe members! #ll members shall execute a mar+eting and5or serviceagreement with the #ssociation!
