1. BUENAVENTRUA CLAIM. Concerning the legal claim of Buenaventura Development Corp.("Buenaventura") and approximately 49 Hectors of real property on the eastern boarder of Finca3008, which boa¡der is the boundary common to said Buenaventu¡a and St. [4onica, which legalclaim is disputed and is in litigation, the aarties ¿g¡ee that St. Monic-a shai! segregate, by law, theproperty under dispute from the remainder ofFinca 3008 so that it rvill become-its own Finca uponüe records of Cocle Province, Panama. The cost of segregation of the disputed propefy shall bepaid by St. Monica. Segregation shall be completed by Monday, October 29, 2005, and if notsegregated by that date, further payments under the Agreement ofAugust 26, 2005 will be delayeduntil segregation of the disputed property is completed, Upon written notification and,/or a copy ofthe Doouments ofSegegation, payments shall resume.

2. LEGAL FEES FOR BUENAVENTIJRA CLAIM. When the segregation of the disputed propenr-has been completed, G.P;I., Ltd. ag¡ees to pay the legal fees associated with said titigation (law suitsbetween Buenaventura and St. Monica) from üat point forward. St. Monica agrees to pay all legalfees due prior to tl¡e segregation of the disputed property. If the disputed property, or any paJrthereof, is resolved in favor ofSt. Monica, it shall become the property of G.P.I.; Ltd.

EXE6UTION AND pAyMENTS. once two originals of this Agreernent are lgned and they have

been translated into Spanisl¡ signed and not¡fized, G.P.I., Ltd. shall have two business days to

transfer the $500,000:00 initial e¿rnest money payment as stated in the handriritten Agreement ofAugust 26, 2005, by wire transfcr to Wachovia Bank, ABA: 063000021, J,acksonville, FL, to the

accáunt of Wilson C. Lucom, Acct. #1683608617431 ancl resume üe payments-as established in the

handw¡iften Agreement ofAugust 26' 2005 attached. -

ACCESS TO SUBJECT PROPERTY. During the period when payments are being made from

G.p.l., Ltd., it and its authorized representatives and agent shall have unlimited and unrestrictedaccess to the prope4y which is the object of this sale, including the la¡rd and buildings, and maydisturb fhe soil, wate¡ plan and or animil life, renrove soil and subsurface ground (including core-drilling) samples to determine the structural integ¡ity for ñrture buildings, and may remove samplesof agricultural products anüor vegetation, for the purpose of performing tests, analysis , surveys,planning and performing reclamation or making improvements in preparation for taking possessionupon closing the sale of said property at.i6-ów¡ expense. Any improvements.or reclamation shallbe the sole and separate property of qq{-!pf¡!9ltq the benefit of St. Mo¡ica in the event of G.P.l.,Ltd.'s default. .A.ny plans, <iesigns, .surveys or appraisals conducted or prepared at the request ofG.P.L, Ltd. during the period of this Agreement shall be the sole and separate property of G.P.l.,

7. ONGOING CARE AND MAINTENCE. St. Monic¿ shall be responsible,. aLits expense, for thecare an! feeding of all livestock, the paynent of St. Monica eúployees and shall termin¿re themwithin the period ofthis Agreement, such termination to be completed by clósing and the time whenG.P.I., Ltd- takes possession of the Subject Property and the maintenance of tli'e existing buildings,structures and improvements on said property düing the period of this Agreément. Until the closingof this sale St. Monica shall have the right to sell the livestock and agricultural products on theSubject Prop€rty in order to accomplish such maintenance of the ranch in the normal cycles ofagriculture.

TRANSLATION. St, Monica agrees to translate the ha¡dwritten Agreement _of August 26, 2005into Spanish, and to have it notarized as an attachment to this Agreement.

HONORARIOS LEGALES PARA DEMANDA DEBIIENAVENTURA. Cr¡ando la segregación de la propiedad endisputa se hubiese completado, G.P.L Ltd. acuerda pagar loshonorarios legales asociados con el mencionado litigio (demandasentre Buenaventua y St. Mónica) a partir de ese punto en-adelante.St. Mónica acuerda pagar todos los honorarios legales incurridosantes de la segregación de la propiedad er disputa. Si la propiedaden disputa, o cualquier parte de est4 es resuelta a favor de St.Mónic4 deberá constituirse en propiedad de G.P.L Ltd.

3. DEMANDA DEL DR. QUINTERO Y HONORARIOS LEGALES.Concerniente a la demanda legal del Dr. Rigoberto eurntero yaproximadámente de 3 a 6 hectáreas de i¡mueble en el.Sur-Este dellimite de la Finca 11272 \a cual esta localizada hacia la playa delOceano Pacifico, al extremo Sur y Este de la propiedad, Sf. ttiOnicaacusrda completar la defensa de esa Demanda frente al MIDA y lasautoridades judiciales cofrespondientes que tengan ju¡isdicciónsobre la mencionada Demanda. St. Mónica deberá pagar,todos loshonora¡ios legales y costos asociados con la resolucióñ de estademanda legal. El mencionado reclamo legal deberá ser .completadopor St. Mónica por lo menos una semaúa antes del cierré de la

Fideicomiso los fondos suficientes para pagar los costosiazonablesde honorarios legales para concluir el mencionado asr¡nto.

ACCIONES DE ST. MONICA. Dentro de los dos (2) días de lafirina y notarización de este Acuerdo, St. Mónica acuerda de ponertodas sus acciones en fideicomiso con r¡n abogado panameño deeiec€ió^n de G.P.L Ltd, (el cual será designado yinüado por escritoal Bufete Se-llhorn y Asociados, Firma dé Abogadós, VictorCrosbie, por Fax 507-223-6002 dentro de las 24 horas luego dehaber fi¡mado este acuerdo). Wilson C. las tierras de propiedad de St. Monica debera esta¡ prohibidoexcepto para G.P.I. Ltd, bajo los términos de este Acue¡do. En elevento de incumplimiento por parte de G.P.I. Lt{ St. Monicatendrá el derecho de recuperar sus Acciones y Resolución por partedel Agente Depositario, dando aviso por escrito a G.P.I. Ltd, dentrode cinco (5) días. El Agente Depositario debera est¿r facultado paratransferir torlas las accioneS de St. Mónica hacia G.P.I- Ltd, almomento del cierre a G.P.L Ltd, en el evento de que todos lasrequisitos de este Acuerdo y el documento Adjunto han sidocumplidos.

EJECUCIÓN Y PAGOS. Una vez dos originales de este Acuerdohan sido firmados y han sido traducidos al Español, furnados ynotariados, G-P.L Ltd, debera dentro de los dos siguientes días\ábiles transferir los $ 500,000.00 como formal pago inicial tal cualse establece en el Acuerdo de Agosto 26, de 2005 mediantetransferencia cablegráfica hacia Wachovia Banlq ABA, 063000021,Jacksonville, FL, hacia la cuenta de Wilson C. Lucom, Cuenta #1683608617431 y reasumir los pagos como esta estabiecido en elAcuerdo en manuscrito de Agosto 26 de 2005 adjunto.

ACCESO A LA PROPIEDAD. Durante el periodo en que lospagos se,han efectuado por parte de G.p.I. Ltd, sus ,.p..r.nt*1.,autorizados y agentes deber¡ín tener acceso ilimitado e ir¡estricto aIa..propiedad objeto de esta vent4 incluyendo la tierra y losedificios, y podrían alterar el suelo, agua, plan ylo vidá animal,remover suelo y subsuelo (incluyendo uso de taladro) para tomarmuestras para determinar Ia integridad estructural pará futurosedifióios. y podrían remover muestras de productos de agricultura'y/o vegetación
