1.DefinitionsandInterpretation1.1IntheseTerms,wordsandexpressionsshallhavetheirordinarymeaningunlessotherwisedefinedinSchedule1andunlessthecontextotherwiserequires.TheinterpretationprovisionssetoutinSchedule1shallapply.
2.Background2.1TheProviderisengagedinbusinessasaconsultant,developerandproviderofwebsitesandonlineservices.2.2TheClientwishestoprocuresuchServicesfromtheProvider.2.3ThetwopartiesareenteringintoanagreementwhichcomprisesaFrameworkAgreement,anOrderorStatementofWork,andtheseTerms,inaggregate“theAgreement”.
3.CommencementandDuration3.1TheseTermsshallcomeintoeffectontheEffectiveDateoftheAgreementandcontinueinforceuntiltheterminationoftheAgreementinaccordancewiththetermsoftheAgreement.
4.Services,ScheduleandFees4.1ThespecificationoftheServicestobeprovided,theScheduleandtheFeesshallbeagreedbetweenthepartiesonanOrderFormorStatementofWorkwithintheAgreement.
5.ProviderObligations5.1TheProvidershallperformtheServicesinaccordancewiththeAgreement.5.2TheProvidershall,andprocurethatallPersonnelshallperformtheWorkinaccordancewith:
(i)GoodIndustryPractice;and(ii)allApplicableLaws
5.3Withoutprejudicetoclause5.2,TheProvidershall:
5.3.1complywithallapplicablelaws,statutes,regulations,andcodesrelatingtoanti-briberyandanti-corruptionincludingbutnotlimitedtotheBriberyAct2010("RelevantRequirements");

5.3.2notengageinanyactivity,practiceorconductwhichwouldconstituteanoffenceundersections1,2or6oftheBriberyAct2010ifsuchactivity,practiceorconducthadbeencarriedoutintheUK;5.3.3haveandshallmaintaininplacethroughoutthetermoftheAgreementitsownpoliciesandprocedures,includingadequateproceduresundertheBriberyAct2010,toensurecompliancewiththeRelevantRequirements,andwillenforcethemwhereappropriate;5.3.4promptlyreporttotheClientanyrequestordemandforanyunduefinancialorotheradvantageofanykindreceivedbytheProviderinconnectionwiththeperformanceofthisAgreement;and5.3.5immediatelynotifytheClientiftheProvideroritsemployees,agentsorotherpersonswhoperformorhaveperformedservicesfororonbehalfoftheProviderisinvestigatedbyanylawenforcementagencyorClientinrelationtocorruptpracticesandanybreachofanti-briberyandanti-corruptionlaws.
5.4TheProvidershallallocatesufficientresourcestodelivertheServicesinaccordancewiththetermsoftheAgreement.5.5TheProvidershallprovidereasonableassistancetoandco-operatewithotherprovidersandserviceproviderstotheClientandwithallotherrelevantthirdpartiesineachcasetotheextentreasonablynecessaryforthesmoothprovisionof(andtheClient'senjoymentof)theServicesandtheservicesprovidedtotheClientbyitsotherprovidersandserviceproviders.5.6TheProvidershallactinaccordancewithallreasonableinstructionsgiventoitbytheClientprovidingsuchinstructionsarecompatiblewiththeAgreement.5.7TheProvidershallbeentitledtoperformanyoftheobligationsundertakenbyitthroughanyothermemberofitsgrouporthroughsuitablyqualifiedandskilledsub-contractors.Anyactoromissionofsuchothermemberorsub-contractorshall,forthepurposesoftheseTerms,bedeemedtobeanactoromissionoftheProvider.5.8TheProvidershallprovidetheClientwithaccesstothesourcecodeofallsoftwareprovidedundertheseTermsbygrantingaccesstoversioncontrolrepositories,orprovidingazip-fileorsimilarofthesourcecode.Thiswillbeprovidedoncompletionoftheproject,andonrequestatanyotherpoint.
6.ClientObligations6.1TheClientshalluseallreasonableendeavourstoprovideallpertinentinformationtotheProviderthatisnecessaryfortheProvider’sprovisionoftheServices.

6.2TheClientmay,fromtimetotime,issuereasonableinstructionstotheProviderinrelationtotheProvider’sprovisionoftheServices.AnysuchinstructionsshouldbecompatiblewiththeAgreementandtheseTerms.6.3IntheeventthattheProviderrequiresthedecision,approval,consentoranyothercommunicationfromtheClientinordertocontinuewiththeprovisionoftheServicesoranypartthereofatanytime,theClientshallprovidethesameinareasonableandtimelymanner.6.4Ifanyconsents,licencesorotherpermissionsareneededfromanythirdparties,itshallbetheClient’sresponsibilitytoobtainthesameinadvanceoftheprovisionoftheServices(ortherelevantpartthereof).6.5IfthenatureoftheServicesrequiresthattheProviderhasaccesstotheClient’spremisesoranyotherlocation,accesstowhichislawfullycontrolledbytheClient,theClientshallensurethattheProviderhasaccesstothesameatthetimestobeagreedbetweentheProviderandtheClientasrequired.6.6IfanystaffoftheProvideraretoworkattheClient’spremisesformorethanfiveworkingdaysinanyonecalendarmonth,theClientwillprovidecontiguousofficespace,desks,chairs,telephones,powersocketsandotherresourcesasmaybeagreedfortheProvider’sstaff.ThesefacilitieswillbeofthesamequalityandquantityasprovidedtotheClient’semployees.6.7AnydelayintheprovisionoftheServicesresultingfromtheClient’sfailureordelayincomplyingwithanyoftheprovisionsofthisClause3shallnotbetheresponsibilityorfaultoftheProvider,andfurther,theProvidershallbeentitledtochargefortimethatisbookedbutnotusablebecauseofdelaysontheClient’spart.
7.FeesandPayments7.1TheProvidershallinvoicetheClientforFeesdueinaccordancewiththeAgreement,whichshalldetailtheFeestobechargedandthescheduleforpayment.7.2TheClientshallpaytheFeestotheProviderinaccordancewiththeprovisionsoftheAgreement,butbydefault:
i)ConsultancyandDevelopmentworkshallbeinvoicedatthecompletionofeachiteration.ii)SupportandHostingshallbeinvoicedmonthlyinadvance.
7.3AllsumspayablebyeitherpartypursuanttotheAgreementareexclusiveofanyvalueaddedorothersalestax,forwhichthatpartyshallbeadditionallyliable.

7.4AllpaymentsrequiredtobemadepursuanttothisAgreementbyeitherpartyshallbemadewithin30daysofthedateoftherelevantinvoiceinsterlinginclearedfundstosuchbankastheotherpartymayfromtimetotimenominate,withoutanyset-off,withholdingordeduction.7.5IfeitherpartyisrequiredbylawtomakeanytaxdeductionorwithholdinginrelationtoanypaymentwhichitisrequiredtomakepursuanttothisAgreement,itshalldoallthingsinitspowerwhichmaybenecessarytoenableorassistthepartytowhomthepaymentisduetoclaimexemptionfromor(ifthatisnotpossible)acreditforthatdeductionorwithholdingunderanyapplicabledoubletaxationorsimilaragreementfromtimetotimeinforce,andshallfromtimetotimegivethepartytowhomthepaymentisdueproperevidenceastothedeductionorwithholdingandpaymentoverthetaxdeductedorwithheld.7.6WhereanypaymentpursuanttothisAgreementisrequiredtobemadeonadayonwhichisnotaBusinessDay,itmaybemadeonthenextfollowingBusinessDay.7.7Eachpartyshall:
7.7.1keep,orprocurethattherearekept,suchrecordsandbooksofaccountasarenecessarytoenabletheamountofanysumspayablebyitpursuanttothisAgreementtobeaccuratelycalculated;7.7.2providestatementsofaccountonrequest;and7.7.3atthereasonablerequestoftheotherpartyinwritingwith30days'notice,andwiththeotherpartybearingitsowncosts,allowtheotherpartyoritsagenttoinspectthoserecordsandbooksofaccountand,totheextentthattheyrelatetothecalculationofthosesums,totakecopiesofthem;
7.8IfeitherpartyfailstopayontheduedateanyamountwhichispayabletotheotherpursuanttothisAgreementthen:
7.8.1thatamountshallbearinterestfromtheduedateuntilpaymentismadeinfull,bothbeforeandafteranyjudgment,ateightpercentperannumovertheofficialBankofEnglandbaseratefromtimetotime;7.8.2thepartythatisawaitingtheoverduepaymentmaysuspendtheiractivityandobligationsundertheAgreementuntilpaymentsarebroughtuptodate;and7.8.3thepartythathasfailedtopayontimeshallnotbeentitledtousetheworkthatthepaymentrelatedtountilpaymentismade.
7.9WhereanysumpayablepursuanttothisAgreementiscalculatedinacurrencyotherthansterling,itshallbeconvertedintosterlingbyreferencetotheaverageoftherelevantbuyingand

sellingratesofHSBCBankPlcrulinginLondonatthecloseofbusinessontheduedateor,ifthatisnotaBusinessDay,onthenextfollowingBusinessDay.7.10EstimatesofFees,andtherate-cardoftheProvider,assumethattheServicesareperformedfromtheProvider’sownfacilitiesathourstosuittheProvider,unlessotherwisespecified.
8.Expenses8.1TheProvidershallbeentitledtorecoverfromtheClientallreasonableincidentalexpensesformaterialsusedandforthirdpartygoodsandservices(includingtravel,subsistenceandaccommodation)suppliedinconnectionwiththeprovisionoftheServices,subjecttothefollowingprovisions:
8.1.1suchexpenseswillbeinvoicedwithreasonablesupportingdocumentation;8.1.2anyexpensethatisreasonablyexpectedtobemorethan£250inrelationtoanyparticularmattershallrequirethepriorapprovaloftheClientbeforeitisincurred;and8.1.3thetotalexpensestobereasonablyincurredbytheProviderinconnectionwiththeServicesinanymonthshallnotexceed£500withoutthepriorapprovaloftheClient.8.1.4travelbypublictransportwillbemadeinstandardclass,exceptforjourneysoutsidetheUKlongerthan3hourswhichmaybemadeinbusinessclass.Businessorfirstclasstravelmayalsobetakenwhereitcanbeshownthatthedifferenceinfarewas15%orless.
8.2IftheClientrequirestheattendanceofstaffoftheProvider’sUKofficeatalocationoutsideofLondon,Englandthen,inadditiontotravelexpenses,theProvidermayalsoinvoicefortraveltimeat50%ofthecurrentlyapplicabledayrateofthestaffmembersconcerned.8.3IftheClientrequirestheattendanceofstaffoftheProvider’snon-UKofficesinlocationsotherthantheirnormalCityofwork,then,inadditiontotravelexpenses,theProvidermayalsoinvoicefortraveltimeat50%ofthecurrentlyapplicabledayrateofthestaffmembersconcerned.8.4WheretheClientwishestoprocurethirdpartyproductsorservicesthroughtheProvider,theServicesProvidershallbeentitledtoinvoicetheClientforthecostsincurred,plusa10%administrationfee.
9.Governance9.1TheProviderandTheClientshalleachappointarepresentativebynolaterthan7BusinessDaysfollowingtheEffectiveDate("ProjectDirector").SuchProjectDirectorsshallberesponsibleforthemanagementofallmattersrelatingtotheperformanceoftheServicesandeachpartyshall,promptlyandinwriting,notifytheotheroftheidentityoftheirProjectDirectoruponappointment,anduponanychangetosuchappointment.TherespectiveProjectDirectorsshallbesufficiently

seniorwithintheorganisationoftheappointingparty,andgrantedsufficientauthoritybythatparty,toensurefullcooperationinrelationtotheoperationandthemanagementofthisAgreement.9.2ThepartiesshalleachappointandspecifyineachOrderorStatementofWork,aProjectManagerforthemanagementofallmattersarisingoutoftheperformanceofsuchOrderorStatementofWork.ThepartiesmayspecifyintheStatementofWorkanymeetingand/orreportingrequirementsspecifictosuchStatementofWork.
10.IntellectualPropertyRights10.1AllIntellectualPropertyRightsinanymaterialsmadeavailablebytheClienttotheProvidershallremainvestedintheClientoritslicensors.10.2TheClientherebygrantstotheProvideraroyalty-free,non-transferable,non-exclusivelicenseduringtheTermtousetheClientIPsolelytotheextentnecessaryfortheProvidertoperformitsobligationsundertheAgreementandtheseTerms.10.3ThepartiesagreethatOpenSourcesoftwareshallbeusedasthebasisforanyServices,andbothagreetohonourthelicensetermsofanysuchsoftware.10.4TheProvidershalllicenseanyoriginalsoftwareitcreatesunderaGNUPublicLicense(GPL)version2orlater,orotherwiseasmayberequiredbyanyOpenSourceprojectsuchsoftwareextendsormodifies.10.5TheProviderherebygrantstotheClientaperpetual,royalty-free,transferable,non-exclusivelicensetoanyothermaterialscreatedbytheProviderfortheClient,inrelationtotheAgreement,thatarenotcoveredbysoftwarelicenserequirementsinclause10.4,including,withoutlimitation,content,graphicdesignordocumentation.10.6AnyIntellectualPropertyRightstheProviderownsinitsinformation,know-how,materialsorotherresourcesnotdirectlycreatedinrelationtotheAgreementshallremainvestedintheProvider.10.7FortheavoidanceofdoubttheClientshallnotberequiredtopaytheProvideranylicensefeesinrelationtotheServices,unless3rdpartycommercialsoftwareisnecessaryandtheClientandtheProviderspecificallyagreeterms.
11.ConfidentialityandDataProtection11.1EachofthepartiesshallkeepconfidentialandshallnotdisclosetoanypersonanyConfidentialInformationwhichhasbeenormaybedisclosedtoit("receivingparty")byoronbehalfoftheotherparty("disclosingparty")exceptinsofarastheConfidentialInformation:
11.1.1isrequiredbyapersonemployedorengagedbythereceivingpartyinconnectionwiththeproperperformanceoftheAgreement;or

11.1.2isrequiredtobedisclosedbylaworbyregulationbythereceivingparty,providedthatthereceivingpartyshallnotifythedisclosingpartyoftheinformationtobedisclosedandthecircumstancesinwhichthedisclosureisallegedtoberequiredasearlyasreasonablypossiblebeforesuchdisclosuremustbemadeandshalltakeallreasonableactiontoavoidandlimitsuchdisclosure.
11.2AnydisclosureofConfidentialInformationpermittedunderclause11.1.1shallbeinconfidence,shallonlybetotheextentthatanypersonstowhomtheinformationisdisclosedneedtoknowthesamefortheperformanceoftheirdutiesundertheAgreementandthereceivingpartyshallbeobligedtoprocurethatallsuchpersonsareawareoftheobligationofconfidentialityandundertaketocomplywithit.11.3EachpartyherebyundertakestotheothertousetheConfidentialInformationdisclosedtoitbyoronbehalfoftheotherpartysolelyinconnectionwiththeperformanceoftheAgreementandnototherwiseforitsownbenefitorthebenefitofanythirdparty.11.4ConfidentialInformationdoesnotincludeinformationwhich:
11.4.1isorbecomesgenerallyavailabletothepublicotherwisethanasadirectorindirectresultofdisclosurebythereceivingpartyorapersonemployedorengagedbythereceivingpartycontrarytotheirrespectiveobligationsofconfidentiality;or11.4.2isorwasmadeavailableorbecomesavailabletothereceivingpartyotherwisethanpursuanttothisAgreementandfreeofanydutyofconfidenceorotherrestrictionsastoitsuseordisclosure.
11.5Withoutprejudicetoanyotherrightsorremediesthatthedisclosingpartymayhave,thereceivingpartyacknowledgesandagreesthatthedisclosingpartyshall,withoutproofofspecialdamage,beentitledtoaninjunction,specificperformanceorotherequitablereliefforanythreatenedoractualbreachoftheprovisionsofthisclause,inadditiontoanydamagesorotherremedytowhichitmaybeentitled.11.6AsfaraspossibletheClientshouldrestricttheProvider’saccesstoPersonalData,removingitfromcopiesofdatabasefilesorotherdatasourcesbeforeprovidingthemtotheProviderforuseinprovidingtheServices.11.7If,inthecourseofprovidingtheServices,theProviderisrequiredtohaveaccesstoandprocessanyPersonalData,theClientwarrantsthatanysuchdatahasbeenprocessedinaccordancewithallapplicablelawsandthattheperformancebytheProviderofitsobligationsunderthisAgreementinrespectofthePersonalDatawillnotresultinitinfringingtherightsofanythirdparty.TheClientshallindemnifytheProvideragainstallloss,damages,costsandexpensesawardedagainstorincurredbytheProviderasaconsequenceofanybreachbytheClientofthisclause11.7.

11.8Inrelationtothetransferandprocessingofanypersonaldata,itistheintentionofthepartiesthat:
11.8.1theClientwillbethedatacontroller;and11.8.2theProviderwillbethedataprocessor.
11.9TheProviderwillonlysuchPersonalDataasstrictlynecessaryfortheperformanceofitsobligationsunderthisAgreementandanyinstructionsgiventoitbytheClientandnofurther.11.10TheProviderwillprotectPersonalDataasConfidentialInformation.11.11TheProviderwillnotprocessPersonalDatainanywaycontrarytoanyapplicableDataProtectionLegislation.11.12TheProviderwillnot,exceptinaccordancewithanyinstructionsprovidedbytheClientorwiththewrittenpermissionoftheClient,transfer,store,hostorprocessPersonalDatainanyjurisdictionsituatedoutsidetheEuropeanEconomicArea(‘EEA’).11.13EachpartywilltakeappropriatetechnicalandorganisationalmeasuresagainstunlawfulorunauthorisedprocessingofPersonalDataandaccidentallossordestructionofPersonalData.11.14TheProvidershallimplementstrictandadequatesecurityandorganisationalmeasuresinrespectoftheintegrityandconfidentialityoftheClientPersonalData,whilstinitspossessiontoensurethattheClientPersonaldatawillnotberecorded,disclosed,processed,deleted,altered,usedorotherwisebetamperedwithinanunauthorisedoraccidentalmannerandtoprotecttheClientPersonalDatainaccordancewiththerelevantDataProtectionLegislation.11.15TheProvidershallimmediatelynotifytheClientofanyactual,potentialorallegedbreachoftheprovisionsofthisclause.11.16TheProvidershallindemnifytheClientagainstalllosses,liabilities,damagesandexpenses(inclusiveofreasonablelegalcosts)incurredorawardedagainsttheClientasaresultofanybreachofthisclause.WithoutprejudicetotheforegoingortotheotherrightsorremediesoftheClient,intheeventofanybreachofthisclausetheProviderundertakespromptlytoremedythebreach(orthecircumstancesgivingrisetothebreach)withoutchargeandatnoadditionalcosttotheClient.
12.Warranties12.1TheClientacknowledgesthatanysoftwareorserviceisprovidedonanopensourcebasiswithoutlicensefeesorrestrictions,andadditionallytheProviderisprovidingtheClientwithaprofessionalserviceratherthanaproduct,therefore:
12.1.1theSoftwareisprovided"asis"withoutwarrantyofanykind,eitherexpressorimplied,includingwithoutlimitationanyimpliedwarrantiesofcondition,uninterrupteduse,merchantability,fitnessforaparticularpurpose,ornon-infringement;

12.1.2NooralorwritteninformationoradvicegivenbytheProvider,oritsemployeesshallcreateawarranty;12.1.3Inplaceofthewarrantiesthatarenormallyincludedwithannualproductlicensefees,theClientmaychoosetoenterintoasupportagreementwiththeProvidertoprovidetheresourcestosupporttheSoftwareonanon-goingbasis.
13.LiabilityandInsurance13.1IntheeventthattheProviderfailstoperformtheServiceswithreasonablecareandskillitshallcarryoutnecessaryremedialactionatnoadditionalcosttotheClient.13.2Subjecttoclauses13.3and13.4,neitherpartyshallhaveanyliabilitytotheotherinconnectionwiththisAgreement,whetherarisingfromtort(includingnegligence),breachofcontractorstatutorydutyforanyindirectorconsequentialloss,includinglossofprofits,failuretorealiseanticipatedsavingsorlossofgoodwillorreputation.13.3NothingintheseTermsshalllimiteitherparty'sliabilityfordeathorpersonalinjuryresultingfromitsnegligence.13.4Nopartylimitsitsliabilityforrecklessness,fraud,fraudulentmisrepresentation,dishonesty,grossnegligence,wilfuldefaultoranydeliberateactoromissionbyaparty,itsemployees,agentsorSubcontractors;13.5NeitherPartyshallbeliabletotheotherorbedeemedtobeinbreachoftheseTermsbyreasonofanydelayinperforming,oranyfailuretoperform,anyofthatParty’sobligationsifthedelayorfailureisduetoanycausebeyondthatParty’sreasonablecontrol.13.6TheProvidershallnotbeliableforanylossordamagesufferedbytheClientthatresultsfromtheClient’sfailuretofollowanyinstructionsgivenbytheProvider.13.7TheProvidershalltakeoutandmaintaintheinsurancepoliciessetoutbelowwithareputableinsurertocovertheliabilitiesofProviderarisingunderorinconnectionwiththisAgreementandalllosses,claims,demands,proceedings,damages,costs,chargesandexpensesforinjuriesordamagetoanypersonorpropertywhichmayresultfromthefaultornegligenceofProviderincarryingoutorpurportingtocarryoutitsobligationsunderorinconnectionwiththeAgreement:
13.7.1professionalindemnityinsurancecoverfornotlessthan£1,000,000intheaggregateforallclaimsinanyoneyear;13.7.2publicliabilityinsurancecoverfornotlessthan£5,000,000intheaggregateforallclaimsinanyoneyear;and

13.7.3employers'liabilityinsurancecoverfornotlessthan£5,000,000intheaggregateforallclaimsinanyoneyear.13.7.4Higherlevelsofinsurancemaybeagreedbetweenthepartieswherethesizeoftheprojectrequiresit.
14.DisputeResolution14.1ThePartiesshallattempttoresolveanydisputearisingoutoforrelatingtotheAgreementthroughnegotiationsbetweentheirappointedrepresentativeswhohavetheauthoritytosettlesuchdisputes.14.2Ifnegotiationsunderclause14.1donotresolvethematterwithin30daysofreceiptofawritteninvitationtonegotiate,thepartieswillattempttoresolvethedisputeingoodfaiththroughanagreedAlternativeDisputeResolution(“ADR”)procedure.14.3IftheADRprocedureunderclause14.2doesnotresolvethematterwithin45daysoftheinitiationofthatprocedure,orwithinothersuchperiodasthePartiesmayagreeinwriting,thePartiesshallhavenofurtherobligationunderthisparagraph.14.4Nothinginthisclause14shallprohibiteitherPartyoritsaffiliatesfromapplyingtoacourtforinteriminjunctiverelief.
15.Termination15.1EitherpartymayterminatetheAgreementaccordingtothetermsoftheAgreement.15.2Terminationofthisagreementforwhateverreasonshallnotaffecteither:
15.2.1theaccruedrightsandliabilitiesofthepartiesarisinginanywayoutofthisagreementasatthedateofterminationandinparticularbutwithoutlimitationtherighttorecoverdamagesagainsttheother;or15.2.2provisionsexpressedtosurvivethisagreement,whichshallremaininfullforceandeffect.
15.3TherightstoterminatethisAgreementgivenbythisclause15shallnotprejudiceanyotherrightorremedyofeitherpartyinrespectofthebreachconcerned(ifany)oranyotherbreach.15.4Followingnoticeoftermination,thepartiesshallagreeanExitPlantoenablethetransferofServicestoanewprovider.TheProvidershallprovidetwoperson/daysfreeofchargetoprepareandexecutetheplan,butbeyondthistheProvidershallbeentitledtochargeforthetimeandincurredexpensesofmakingandcarryingoutthisExitPlanincludingforparticipatinginmeetingsor

writingdocuments,accordingtotheProviderscurrentlypublishedrate-card,butnootherterminationfeesshallbecharged.
16.EffectsofTermination16.1UpontheterminationofthisAgreementforanyreason:
16.1.1anysumowingbyeitherpartytotheotherunderanyoftheprovisionsofthisAgreementshallbepayablewithin7days;16.1.2eachpartyshallforthwithceasetouse,eitherdirectlyorindirectly,anyConfidentialInformation,andshalluseitsbestendeavourstocomplywithanyrequesttodestroyorreturntotheotherpartyanydocumentsinitspossessionorcontrolwhichcontainorrecordanyConfidentialInformation(withtheexceptionofanyrecordthatmayberequiredtobekeptforcompliancepurposes);16.1.3anyprovisionofthisAgreementwhichisexpressedtocontinueinforceafterterminationshallcontinueinfullforceandeffect;and16.1.4subjectasexpresslyprovidedotherwise,andexceptinrespectofanyaccruedrights,neitherpartyshallbeunderanyfurtherobligationtotheother.
17.Non-solicitation17.1NeitherPartyshall,fortheTermoftheAgreementandforaperiodof6monthsafteritsterminationorexpiry,employorcontracttheservicesofanypersonwhoisorwasemployedorotherwiseengagedbytheotherPartyatanytimeinrelationtotheAgreementwithouttheexpresswrittenconsentofthatParty.17.2NeitherPartyshall,fortheTermoftheAgreementandforaperiodof12monthsafteritsterminationorexpiry,solicitorenticeawayfromtheotherPartyanyClientorclientwhereanysuchsolicitationorenticementwouldcausedamagetothebusinessofthatPartywithouttheexpresswrittenconsentofthatParty.
18.ForceMajeure18.1ForthepurposesofthisAgreement"ForceMajeure"means,inrelationtoeitherparty,anycircumstancesbeyondthereasonablecontrolofthatpartyincluding,withoutlimitation,anystrike,lock-outorotherformofindustrialactiontermination,civildisturbance,war,risk,fire,explosion,storms,flood,earthquake,epidemicorothernaturalphysicaldisaster,shortageofresourcesorrawmaterials,lackofpowersuppliesorlackofavailablefacilities.18.2IfanyForceMajeureoccursinrelationtoeitherpartywhichaffectsormayaffecttheperformanceofanyofitsobligationsunderthisAgreement,itshallforthwithnotifytheotherpartyastothenatureandextentofthecircumstancesinquestion.

18.3NeitherpartyshallbedeemedtobeinbreachofthisAgreement,orshallotherwisebeliabletoother,byreasonofanydelayinperformance,orthenon-performance,ofanyofitsobligationsunder,totheextentthatthedelayornon-performanceisduetoanyForceMajeureofwhichithasnotifiedtheotherparty,andthetimeforperformanceofthatobligationshallbeextendedaccordingly.18.4IftheperformancebyeitherpartyofanyofitsobligationsunderthisAgreementispreventedordelayedbyForceMajeureforacontinuousperiodinexcessof30days,theotherpartyshallbeentitledtoterminatethisAgreementbygivingwrittennoticetothepartysoaffected.
19.NatureofAgreement19.1EachpartyshallbeentitledtoperformanyoftheobligationsundertakenbyitandtoexerciseanyrightsgrantedtoitunderthisAgreementthroughanyotherMemberofitsGroup,providedthatanyactoromissionofthatotherMembershall,forallthepurposesofthisAgreement,bedeemedtobetheactoromissionofthepartyinquestion.19.2Eachpartyacknowledgesthat,inenteringintothisAgreement,itdoesnotrelyonanyrepresentation,warrantyorotherprovisionexceptasexpresslyprovidedinthisAgreement,andallconditions,warrantiesorothertermsimpliedbystatuteorcommonlawareexcludedtothefullestextentpermittedbylaw.19.3NofailureordelaybyeitherpartyinexercisinganyofitsrightsunderthisAgreementshallbedeemedtobeawaiverofthatright,andnowaiverbyeitherpartyofabreachofanyprovisionofthisAgreementshallbedeemedtobeawaiverofanysubsequentbreachofthesameoranyotherprovision.19.4NotermsorconditionssentbytheClientwithapurchaseorderorotherwrittencommunicationmayoverridethisAgreement.19.5NovariationtothisAgreementshallbebindingunlessmadeinwritingandsignedbyanauthorisedrepresentativeofbothparties.
20.InvalidityandSeverability20.1Ifanyprovisionofthisagreementisorbecomesinvalid,illegalorunenforceableinanyrespectunderthelawofanyjurisdiction,whetherpursuanttoanyjudgmentorotherwise:
20.1.1thevalidity,legalityandenforceabilityunderthelawofthatjurisdictionofanyotherprovision,and20.1.2thevalidity,legalityandenforceabilityunderthelawofanyotherjurisdictionofthatoranyotherprovision,shallnotbeaffectedorimpairedinanyway.

20.2Ifanyprovisionofthisagreementisheldtobevoidordeclaredillegal,invalidorunenforceableforanyreasonwhatsoever,thatprovisionshallbedivisiblefromthisagreementandshallbedeemedtobedeletedfromthisagreementandthevalidityoftheremainingprovisionsshallnotbeaffected.Ifanysuchdeletionmateriallyaffectstheinterpretationofthisagreement,thepartiesshallusetheirbestendeavourstonegotiateingoodfaithwithaviewtoagreeingasubstituteprovisionascloselyaspossiblereflectingthecommercialintentionoftheparties.
21.Waiver21.1Awaiverofanyterm,provisionorconditionofthisagreementshallbeeffectiveonlyifgiveninwritingandsignedbythewaivingpartyandthenonlyintheinstanceandforthepurposeforwhichitisgiven.21.2Nofailureordelayonthepartofanypartyinexercisinganyright,powerorprivilegeunderthisagreementshalloperateasawaiverofit,norshallanysingleorpartialexerciseofanysuchright,powerorprivilegeprecludeanyotherorfurtherexerciseofitortheexerciseofanyotherright,powerorprivilege.21.3Nobreachofanyprovisionofthisagreementshallbewaivedordischargedexceptwiththeexpresswrittenconsentoftheparties.
22.Assignment22.1Subjecttotheprovisionsofclause22.2neitherpartyshallassign,transfer,sub-contract,orinanyothermannermakeovertoanythirdpartythebenefitorburdenofthisagreementwithoutthepriorwrittenconsentoftheother,withsuchconsentnottobeunreasonablywithheldordelayed.22.2Eitherpartyshallbeentitledwithoutthepriorwrittenconsentoftheothertoassign,transfer,sub-contractorinanymannermakeoverthebenefitorburdenofthisagreementtoanaffiliateortoanycompanywithwhichitmaymergeortoanycompanytowhichitmaytransferitsassetsandundertaking,providedthattheaffiliateorothercompanyundertakesandagreesinwritingtoassume,observeandperformtherights,powers,dutiesandobligationsofthepartyundertheprovisionsofthisagreementbeingassigned,transferredorotherwisemadeover.
23.RelationshipoftheParties23.1Nothinginthisagreementandnoactiontakenbythepartiespursuanttothisagreementshallconstitute,orbedeemedtoconstitute,thepartiesapartnership,association,jointventure,theagentsofeachotheroranyotherco-operativeentity.
24.MarketingandPublicity24.1Asaservicesupplier,theProvidertradesonitsreputationgainedthroughpreviousprojects.Thepartiesthereforeagreethat:

24.1.1EitherpartymayannouncetheexistenceofthisAgreement.
24.1.1TheProvidercanlisttheClientonitslistofclientsindocuments,presentations,onitswebsiteandelsewhere,andmayincludetheClient’slogoinsuchlists.
24.1.1.1TheClientwillsupplyanylogosthatarerequired.24.1.1.2TheProvideragreesthatit:
(a)willnotmodify,change,alter,deletefromoraddtothelogo(s)includinganychangeintext,graphicsorcolour(excepttocreateamonochromeversionwherenecessary);(b)willcomplywithanyqualitycontrolmeasuresorbrandingguidelinesissuedwithanylogo;(c)willnotuseordisplaythelogoonanySocialMediaPlatform;(d)willonlyusethelogo(s)asprovidedtotheProviderincomputerisedformatandshallnotbepermittedtomakeuseofanyrepresentationsoftheClient’slogo(s)gainedfromanyothersource;(e)useorregister,orattempttouseorregister,orclaiminanyrightstothelogos;and(f)makeanyrepresentationordoanyactwhichmaybetakentoindicatethattheProvideroranyotherpersonshasanyright,titleorinterestinortotheownershiporuseofanyoftheClient’slogosoranyconfusinglysimilarlogosunderthisAgreement.
24.1.1.3TheProvideracceptsthattheuseoftheClient’slogo(s)shallnotoperatetotransfertotheProvideranyrightinrespectofthelogo(s)andacknowledgesthatallrightsinthelogo(s)includinganygoodwillshallbelongtoandremainvestedintheClient.24.1.1.4WheretheProviderdisplaysthelogoasawebsitelinktotheClient’swebsite,itshallbemadedirectlytothehomepageandnopageorcontentoftheClientwebsiteshallbeFramedorDeepLinked.
24.1.2TheClientcanlisttheProvideronitslistofsuppliersindocuments,presentations,onitswebsiteandelsewhere,andmayincludetheProvider’slogoinsuchlists.24.1.3TheProvidercanpublishacasestudyoftheworkitcarriedoutfortheClientunderthisAgreementoranyStatementofWork,ontheconditionsthat:
24.1.3.1Thecasestudyshallbefactuallycorrect.24.1.3.2ThecasestudyshallnotcontainanythingthatwouldharmtheClient’sstandingorreputation.

24.1.3.3ThecasestudyshallnotincludeanyConfidentialInformationorPersonalData.24.1.3.4TheProviderwillprovideanadvancecopyofthecasestudytotheClientbeforepublicationforapproval,whichshallnotbeunreasonablydelayed,conditionedorwithheld.TheClientmayrequesteditsandcorrectionstothecasestudyonthegroundsgivenin24.1.3.1-24.1.3.3.Ifnoresponse,ornovalidchangerequest,hasbeenreceivedwithin10BusinessDaystheProvidermaypublishthecasestudy.
24.1.4EitherpartymayissueapressreleaseorofficialannouncementabouttheirworkunderthisAgreementandanyStatementofWork,providedthatpriorwrittenconsentisobtainedfromtheotherparty,whichconsentshallnotbeunreasonablydelayed,conditionedorwithheld.
25.ThirdPartyLiability25.1TheContracts(RightsofThirdParties)Act1999shallnotapplytothisagreementandnopersonotherthanthepartiestothisagreementshallhaveanyrightsunderit,norshallitbeenforceableunderthatActbyanypersonotherthanthepartiestoit.
26.EntireAgreementandVariation26.1Thisagreementembodiesandsetsforththeentireagreementandunderstandingofthepartiesandsupersedesallpriororalorwrittenagreements,understandingsorarrangementsrelatingtothesubjectmatterofthisagreement.Neitherpartyshallbeentitledtorelyonanyagreement,understandingorarrangementnotexpresslysetforthinthisagreementsaveforanyrepresentationmadefraudulently.26.2Unlessotherwiseexpresslyprovidedelsewhereinthisagreement,thisagreementmaybevariedonlybyadocumentsignedbybothoftheparties.
27.ChangeControl27.1AnychangetotheseTermsisonlyvalidwhenmadeinwritingandsignedbybothparties.
28.Notices28.1Anynotice,demandorothercommunicationgivenormadeunderorinconnectionwiththematterscontemplatedbythisagreementshallbeinwritingandshallbedeliveredpersonallyorsentbyemailorprepaidfirstclasspost(airmailifpostedtoorfromaplaceoutsidetheUnitedKingdom)totheregisteredofficeoftheotherParty,orotheraddressasmaybenotifiedinwritingbyeachPartywithin14daysofanychange.28.2Noticeshallbedeemedtohavebeendulygivenormadeasfollows:

"Consent" meansallapprovals,consents,licences,concessions,certificates
andstatutoryAgreementsrequiredfromanycompetentauthorityorthirdpartynecessaryforcarryingoutanyStatementofWork;
"Dispute" meansanydispute,controversyorclaimofwhatevernaturearising
under,outoforinconnectionwiththisAgreementincludinganyquestionofthebreach,interpretation,validity,effect,performanceorterminationofthisAgreementandanyclaimforset-offorcounterclaim;

"EffectiveDate" meansthedateonwhichtheAgreementcomesintoforce
followingsignaturebybothparties;“ExitPlan” meansaplanagreedinwritingbetweenthePartiestotransferthe
provisionofsomeoralloftheServicesfromtheProvidertoanotherprovider.TheplanwillsetouttheServicestobetransferred,themethodfortransfer,andanyestimatesoftimeandresourcesrequired.Theplanwillsetoutestimateddatesforcompletionofkeymilestones;
"GoodIndustryPractice" means:(a)usingstandards,practices,methodsandproceduresin
theprovisionoftheServicesandotherwisedischargingtheobligationsandresponsibilitiesofProviderunderthisAgreementwhichareofaqualitywhichcouldreasonablybeexpectedofaskilledandexperiencedproviderofServicessimilartotheServices;and(b)providingtheServicesanddischargingtheobligationsandresponsibilitiesofSupplierunderthisAgreementwiththedegreeofskill,care,diligenceandprudencewhichwouldreasonablybeexpectedofaskilledandexperiencedproviderofServicessimilartotheServices;
"InsolvencyEvent" meanstheoccurrenceofanyofthefollowingeventsor
circumstances(oranyanalogouseventorcircumstanceinajurisdictionotherthanEnglandandWales)inrelationtotherelevantentity:(i)beingdeemedunabletopayitsdebtsasdefinedinsection123InsolvencyAct1986withoutanyrequirementtoproveanymatterstatedinthatsectiontoacourt,(ii)proposingavoluntaryarrangement;(iii)stepsbeingtakenforareceiver,administratorormanagertobeappointedoverthewholeoramaterialpartofitsbusinessorassets;(iv)anorderbeingmade,aresolutionpassedorotherstepsbeingtakenforitswinding-up(exceptforthepurposesofabonafidesolventreorganisation),bankruptcyordissolution;(v)otherwiseproposingorenteringintoanycompositionorarrangementwithitscreditorsoranyclassofthem;or(vi)ceasingtocarryonbusinessorclaimingthebenefitofanystatutorymoratorium;
"IntellectualPropertyRights" meansallintellectualpropertyrights,includingpatents,
supplementaryprotectioncertificates,pettypatents,utilitymodels,trademarks,databaserights,rightsindesigns,copyrights(includingrightsincomputersoftware)andtopographyrights(whetherornotanyoftheserightsareregistered,andincludingapplicationsandtherighttoapplyforregistrationofanysuch

rights)andallrightsandformsofprotectionofasimilarnatureorhavingequivalentorsimilareffecttoanyofthesewhichmaysubsistanywhereintheworld,ineachcasefortheirfullterm,andtogetherwithanyrenewalsorextensions;

damage,loss,demand,expense,liability,interest,fine,penalty,taxationorproceeding;
“OpenSource” meansanysoftwareorsoftwarecomponentwhich(a)islicensed
subjecttotheopensourcelicensetermsandconditionslistedatwww.opensource.org/licenses;(b)fulfilltheopensourcedefinitionsetoutatwww.opensource.org/docs/osd;or(c)isotherwiselicensedsubjecttolicensetermsandconditionsconformingtothecriteriasetoutatwww.opensource.org/docs/osd.
“PersonalData” meansidentifiableinformationaboutindividualsheldbytheClient;“Services” meanstheservicestobeprovidedasspecifiedinaStatementof
Work,andsubjecttothetermsofthisAgreement;“ServicesRequest” meansacommunicationfromtheClient’srepresentativesofwork
thattheywouldliketheProvidertocarryout.Thismaybecommunicatedinwriting,viaemail,orverbalcommunication;
“SocialMediaPlatform” meanstheuseofweb-basedandmobileapplicationsforsocial
interactionandtheexchangeofuser-generatedcontent.SocialMediachannelsincludes,butisnotlimitedtoFacebook,Twitter,LinkedIn,GoogleYouTube,blogs,reviewsites,forums,onlinecommunities,location-basednetworksandanysimilaronlineplatformsdevelopedandexistingnoworatanytimeinthefuture;
"StatementofWork" meansastatementofworkintheformsetoutinSchedule2
(StatementofWork);"StatementofWorkEffectiveDate"
meansthedateuponwhichtheStatementofWorkisapprovedinaccordancewithclause4.8;and
"StatementofWorkServicesCommencementDate"
