Our Client

One of the leading dairy and food company in Saudi Arabia.

The Business Situation

As part of its growth plans, the Client was considering acquisition of

controlling stake in an Egypt based vegetable and fruit processing

company (“target”). The investment was expected to yield vertical

integration benefits for the Client by providing raw tomato paste for

its Tomato Pastes & Ketchup portfolio.

Our Role

The Client had approached Raiscient PKC Advisory to undertake

financial analysis of the target and prepare a valuation report

indicating the intrinsic value of the Company. The scope of the work

involved undertaking financial analysis of the target, indicating its

intrinsic value, consolidating the Due diligence findings and drafting

a business plan for the Target. Intrinsic value was determined using

DCF analysis and Replacement Value methods. Raiscient PKC

Advisory also evaluated the cost benefits (value accretion) due to in-

house production of raw tomato paste.

Raiscient PKC Advisory also helped the Client in conducting a

workshop to finalize the business plan for the target.

The Client was approached by an Islamic wholesale investment

bank based out of Bahrain to assist it in a proposed merger

transaction with another Islamic retail bank based out of Bahrain.

In this context, the Client wanted Raiscient PKC Advisory to

program manage the transaction during financial due-diligence

phase and carry out a valuation of the counterparty.

Our Role

The overall objective of the assignment was to assist the Client

during the financial due-diligence phase and subsequent

negotiations. The scope of work involved reviewing the business

plans/ prospects of all the group companies as well as

investments and to build a sell-side case for a mutually appointed

third party valuer to carry out valuation of both parties. In addition,

an independent valuation of the counterparty was carried out to

provide the Client an alternative reference for negotiations.

Raiscient PKC Advisory was responsible for creating and

managing the virtual data-room, handling of queries, meetings

and discussions with the external parties involved in the

transaction.

Our Role

Raiscient PKC Advisory undertook site visit to meet the

management and reviewed the facility. Thereon a detailed study

of the healthcare and hospital sector in India was performed,

covering key growth drivers & risks influencing hospital sector,

entry options for new players, key highlights of recent deals and

growth path of corporate hospitals. Based on the secondary

research and meetings with management, Raiscient PKC

Advisory developed an understanding of the KPIs of the sector

and a financial model for arriving at an indicative valuation of the

Raiscient PKC Advisory prepared a detailed Information

Memorandum which included company background, business

areas, economic overview of existing and target geographies,

and strategies, key risk factors and mitigants, and financial

The Client was seeking to raise a debt issue of US$150 million to

fund one of its projects in India. In this regard, it had mandated

Raiscient PKC Advisory to prepare a financial model and an IM

the project company to be given to the lenders.

Our Role

The objective of the assignment was to prepare a financial model

and an information memorandum for the Client’s development

project in India. The information memorandum was to be used as

a support document for the purpose of raising a syndicated loan

facility. The information memorandum included project details,

shareholding structure, industry characteristics, key project

drivers and financial summary. Also, it involved a brief study of

key growth drivers of the real-estate market in India. Other

relevant information related to the project feasibility such as cost

& deployment schedule, revenue & cost assumptions, financial

projections, sensitivity analysis, financing plan, debt related ratios,

etc. were also incorporated in the information memorandum. A

financial model was prepared to evaluate project feasibility and

ascertain the amount of funding required.
