Introduction
This document demonstrates some of the reporting capabilities of Corporate Focus. Corporate Focus contains
over 150 reports that cover each area of the data you can store in the program. The reports in this document
are typically used by Attorneys, Paralegals and Legal Assistants who track information such as organizational
information, officers, directors or managers, ownership, intellectual property, UCC filings and minute book
documentation for one company or a collection of many entities.
Key points to understand about Corporate Focus’ reporting capabilities include:
Reports can be generated for any point in time – in the past or in the future
Reports can be filtered by any of the data fields in the target records, including specific field values or date ranges
Many reports include several optional settings for altering standard field formats, such as how names are displayed or decimal points printed
Reports can be customized to meet your exact needs so you can create your own library of required reports and documents
Reports can be exported as well as printed, with supported export formats including Excel and PDF
This set of sample reports is provided to give you a sense of some of the more popular reports, but it is not a
substitute for actually using the system. If you are not already a Corporate Focus customer, ask your
representative about other ways to learn more about the system, such as scheduling a live online
demonstration or signing up for a free trial.

Corporate Information Reports
The reports in this section are used by a legal team to provide a comprehensive summary of one or more
companies, including information about the people, meetings and tasks related to those companies.
1. Exhibit A: Company Summary
The Company Summary Report is used to view a summary of all basic company information for one or
more companies. This report includes organizational information such as the date of formation,
registration number and Federal Tax ID Number, as well as the current officers, directors or managers
and an ownership ledger. This report can provide a legal team and their clients with a quick and
complete picture of their company.
2. Exhibit B: List of Companies by Responsible Person
The List of Companies by Responsible Person Report enables a legal team to identify which companies’
individual team members are responsible for. It also lists the client name and client number associated
with each company.
3. Exhibit C: Annual Report Due Dates By Month
Annual Report Due Dates By Month provides a list of jurisdictions where one or more companies are
organized or qualified to do business in. The report is organized by annual report month and includes
the date that the next annual report is due.
4. Exhibit D: Tasks
The Tasks Report provides a list of tasks ordered by task date and, by using a filter, can show all
uncompleted tasks assigned to select members of your legal team.

Ownership Reports
The reports in this section are used by legal teams and their clients to obtain a picture of the company’s current
and past ownership and capitalization information. These reports provide both detailed and summary
information about ownership information entered in Corporate Focus.
1. Exhibit E: Ownership Ledger - Details
The Ownership Ledger provides a comprehensive list of ownership records and the numbers of
outstanding shares for each record related to a company.
2. Exhibit F: Ownership Ledger - Details by Name
The Ownership Ledger by Name includes the same comprehensive information as a standard ownership
ledger, but organizes the information by owner name and indicates each owner's percentage interest in
a company.
3. Exhibit G: Option Personnel Summary
The Option Personnel Summary is a report for those clients that are maintaining an Option Plan. This
report shows each optionee and their related option information, including options granted, exercise
price, options vested, and options exercised.
4. Exhibit H: Capitalization Table by Type
The Capitalization Table by Type shows you the fully diluted ownership of each company grouped by
ownership type. This report can be modified in many different ways including the any point in time
reporting capability.
5. Exhibit I: Capitalization Table by Name
The Capitalization Table by Name shows you the fully diluted ownership of each company and is
grouped by participant. This includes a listing of shares outstanding, common equivalents, and
percentage ownership on a fully diluted basis for each individual participant in a company. Additionally,
this report breaks down the owners of equity into owner types so your client can review the percentage
ownership of their companies by Management, Investors and Employees. This report can also be
modified in many different ways including the any point in time reporting capability.

Documents
The reports in this section are used by a legal team produce corporate documentation necessary to maintain a
company and issue stock or unit certificates.
1. Exhibit J: Annual Consent of Directors
The Annual Consent of Directors provides a standard annual consent template which you can customize
to include any special resolutions required for that Consent.
2. Exhibit K: Notice of Grant and Option Agreement
After you have entered an option grant into Corporate Focus, you can then create the option agreement
for the participant to sign. After receiving the signed copy back, you can store a scanned copy of the
agreement in Corporate Focus and link it to the option record. Like any report, the content of this report
can be adjusted by working with our consulting group so that it meets your exact needs (in this case, to
match the text required by your plan).
3. Exhibit L: Stock Certificate
After you have entered an ownership record, you can then print the stock certificate, including any
required restrictive legends and a blank stock power. Corporate Focus prints to standard and preprinted
certificate styles and supports the most popular certificate forms. Again, a certificate style can be
adjusted or created by working with our consulting group so that it meets your exact needs.
4. Exhibit M: Stock Receipt If delivering an original stock certificate to an owner, you can generate a receipt for that certificate to be signed by the owner and returned to you. After receiving this signed receipt back, you then store a scanned copy in Corporate Focus and link it to the ledger record.
5. Exhibit N: Closing Statement After an option participant terminates, you must send them a notice letting them know how many exercisable options they have. Corporate Focus allows you to do this by creating a closing statement.
